LINFIELD, Pa.--(BUSINESS WIRE)--Oct. 21, 2004--
Biofarm, Inc. (OTCBB:BIOF) announced today its
intention to distribute a special stock dividend (Dividend) to its
shareholders. As previously reported in its 1934 Act filings, BIOF has
transferred all of its assets and liabilities, effective as of June
11, 2004, to OCWEN Corp. (OCWEN) a wholly-owned subsidiary.
Simultaneously, all of the shares of capital stock of OCWEN were
registered in the name of Trustees to hold all such shares for the
benefit of the BIOF shareholders. Each holder (Beneficiary) of BIOF
shares of Common Stock on October 31, 2004 (Record Date) will be
entitled to receive that number or fraction of shares of OCWEN capital
stock for every share of BIOF's Common Stock held by such Beneficiary
on the Record Date, to be calculated by dividing the number of shares
of OCWEN capital stock issued and outstanding held by the Trustees on
the Record Date by the number of shares of BIOF's Common Stock and
outstanding on the Record Date. It is anticipated that each
Beneficiary will receive one OCWEN share for each share of BIOF's
Common Stock held by such Beneficiary on the Record Date.
In accordance with that certain Trust Agreement between BIOF and
the Trustees, the Trustees will initially hold the OCWEN shares on
behalf of the Beneficiaries and will endeavor to distribute the OCWEN
shares to the Beneficiaries as promptly as practicable after a
registration statement relating thereto has been declared effective
under the 1933 Act. Stockholders of BIOF are also cautioned that the
assets and liabilities of BIOF transferred to OCWEN on June 11, 2004,
have minimal value and liability; therefore, it will be necessary for
OCWEN to effect an acquisition of its own in order for its shares to
realize any market value of consequence.
No action of any kind whatsoever is required to be taken by BIOF
shareholders. The Transfer Agent for BIOF Common Stock is being
instructed to maintain a record of all holders of BIOF Common Stock at
the close of business on October 31, 2004. The address of the Transfer
