Talked to Troy Lovick investor relations..

there goal is to get on the nasdaq, and i know alot of people think about R/S he said it is an option but its their last option since prizewise is out they are planning on generating a profit. TFCT is in the buisness of investing in small co. and buying potential co. there no# goal is to get on the NASDAQ

ohhh he said he just updated the o/s it is 495million and some change that is what he said..

"During the third and fourth quarter of 2003, the Company raised $4,629,564by selling 235,730,081 shares of common stock. This offering was completed inthe first quarter of 2004, bringing the total cash raised to $5,000,000 and anadditional 35,300,000 shares of common stock were issued under regulation E.Additionally, Compass Capital purchased 3,000,000 shares of restricted commonstock for a total payment of $750,000. This was part of the commitment topurchase 10,000,000 shares $2,500,000 which resulted in a director representingCompass Capital being elected to the Board of Directors."

Dunno the O/S but add 235 million....


And then from the first quarter they made 1,297,347 from selling stock, lets say at .035 average is 1,297,347/.035 = a little over 37 million more shares.

So here is the O/S from the 10-K
"As of December 31, 2003 the Company has outstanding 437,173,162 shares of common stock"

Add in the 37 million and the O/S is now

474,173,162 by my count as of March 31, 2004.

The A/S was upped to 750 million in November by a vote.

That means they are still dumping shares to get capital...you would think with 10 subsidiaries they might only hold on to the profitable ones so they could actually use some REVENUE to pay for new acquisitions. Maybe they are biting off a bit more than they can chew.

We need a great advertising campaign. The good news is that I did a search on google a couple of weeks ago and got 350 matches for prizewise. I did a search again today and got 778 matches. Thats not a bad gain in to weeks. The bad news is if you do a search for online auction, online raffle, online sweepstakes you get nothing on prizewise(that is not good). Anyways I hope our big advertising campaign starting on the 10th will fix this.

My opinion is that this stock is going to rise on the hype of Prizewise and it has the potential of a QBID like run but anyone who is in this long term needs to look at the core companies and see if they're worth your investment money. Prizewise is clearly an unknown at this point. Look into the company for their patch technology, their rifle scopes, munitions and other things. Again, if you're looking at this as a long term investment, that's where you need to look until Prizewise plays itself out one way or the other. If you're only in this short term, well then, welcome along for the ride!

I can and I did. I hope this stock goes wild and you all profit loads from it. I'm content to make anywhere from 10 to 50% on a given stock and take my cash. I"m not a basher but I think long term investments in this company are hopless. On th eshort term the stock will go up but I personally believe this company will never really pull through they seem a little sketchy with the way raffles work and you guys have to remember not to compare them to ebay ebay has been around for a while and has destroyed many competetors along the way. there is not much that can compete with ebay. I'm not telling you not to buy just be carefull and take what i've said into consideration.

I don't know if I agree with that or not. The company does have some interesting products outside of Prizewise and if they're what they claim they are, they have a shot, Prizewise or not. Do a little research on them and you'll see that they have many irons in the fire besides Prizewise.

Can we get some punctuation from you! Thanks And the long term prospects here would be fine if the company was willing to stop dumping millions of shares per quarter. You guys need to start seeing a big number on that retained earnings statement. If they could invest profits into the company instead of diluting to get capital they might really have a chance to go places.

I believe that TFCT would have to hit the $1.00 -$1.50 range before the company announces a reverse split. At that point, the price per share will be high enough to meet NASDAQ requirements. It would probably take a retraction in price at first, but I am sure it would be followed by good news. That would give the new stock price a boost. Timing is everything. Do not under-estimate a winner like TFCT. I believe that it will not be PrizeWize alone that causes it to reach new highs. They have several Irons in the fire and a combination of good news can really send this stock flying. Remember that! It is the unexpected that will catch traders off guard. The best bet is to BUY and HOLD. Wait for the DOLLAR+. Time is on your side. JMO

I totally agree with you roger7485 on the fact that they dump alot of shares. That is why i'm a little sketchy about the stock.If they start seeing the big picture and help out their investors the stock will rise.And if they have other investments other than just prizewise they still can have a good company in the making!!

Careful, dont let the hype blind you to what is really there. There was a site called qool.com that had a very similar structure and did not succeed. They even had a car up for auction, and a trip on the first civilian flight to space. Much like the current launch gimmick for Prizewise. This site has a chance to attract a unique market, but definitely not ebay users. I dont think anyone will use Prizewise instead of ebay. Ebay is simply the better business model, not to mention their giant market share. I have no idea what the PPS will do, but this IS NOT the next ebay. Thats all ill say. Good luck to you all.

Just mention this site to people and they perk up. I have yet to hear anyone being unimpressed with their great idea. He||, I'm even gonna buy some tickets and I NEVER go for things like that.

I'd like to just kick in a hundred bucks and go shopping thru there like a kid at a candy store window. Tuffy, basher? Me? I think some would differ in opinion. Maybe some people would be more angry who bought because of your .10 price target by two weeks ago? I dont think that will happen if they keep dumping 35 million shares a quarter.... But I do think the pps will rise into the ad campaign.

Market makers are already positioned in this stock and are going to do the slow walk up. I agree about the bashers who post here. I remember reading some of their inaccurate posts in the past. If they call it wrong, they should not post here anymore. They should be banished from this board. I am glad TUFFY is policing this board to point these individuals out. Like I said before, We should see support in the .10-.12 range, then at .25, and then .50. From there, ONE DOLLAR+ is a mere skip away. JMO.

Name a stock that I bash....go ahead. And me saying that QBID should R/S is not bashing btw. Their O/S is a joke. Looks like a good day for TFCT. At the end of the day nothing I say can make the pps go down, however the company dumping shares into strength sure as hell can. Go ask someone smarter than yourself about dilution tuffy the trader. The trader huh? Not the investor? So you are just in this for a quick buck?

Hope some of you played PGTV and CVTX today. Huge runners. And tuffy, I was never arguing with your solid 100% profit. That is indeed an EXCELLENT return. But to continue to say that this stock will blow past .10 with no problem whatsoever obviously has to be looked at with scorn. With the company issuing more shares, they obviously arent that interested in shareholder value yet. Maybe once the ball finally gets rolling and the advertisements bring in REAL revenues, then you can tell me how amazing TFCT is. Until then, they are just buying more and more unprofitable subsidiaries using YOUR hard earned money.

who said they issued more shares... there goal is to get on the nasdaq. so why issue more shares when that is your goal... I believe this stock has alot of potention. and TFCT must care about their investors because if you go to ************* they have links to sites with good and bad info on them. a company has to be pretty confident in itself to do that IMO
