CURRENT BUSINESS INFORMATION: Global Business Markets, Inc. is a business process outsourcing company that contains characteristics of both administrative service provider and professional employment organization concepts. The Company strives to be global in scope and ability to provide its clients with the best possible solution to meet their needs by offering its services in either a bundled or unbundled suites of benefits and services. The Company intends to add strategic value through outsourcing by creatively examining each client's specific needs throughout the human resource process and then actually changing the way it is performed to a more cost effective - streamlined manner.
· The Company intends to offer its clients cost effective integrated solutions for the management and administration of some or all of the client's human resources function by contractually assuming substantial employer risks and responsibilities. As a co-employer of it's client's workforce, the Company also performs the technical aspects of HR and allows its clients to offer broader based benefits to their employees that otherwise would only be available to large corporations. · The Company's services include Payroll processing and reporting, Comprehensive health care benefits, and Workers' compensation services. · HISTORICAL BUSINESS INFORMATION: The Company was duly incorporated as Last Company Clothing, Inc. in Nevada on March 26, 1999. On or about July 5, 2000, Last Company Clothing, Inc. shareholders, authorized the Company to consider an opportunity to acquire M-I Vascular Innovations, Inc., which acquisition, if consummated would have changed the Company's business plan, and might have resulted in a change of control; but, that acquisition was not consummated and did not proceed. Last Company Clothing, Inc. abortively changed its name to MIVI Biomedical Technologies, Inc., but restored its original name soon thereafter, and resumed its intention to pursue its original business plan. · Premier Axium ASP, Inc. was a privately-held, corporation duly organized, validly existing, and in good standing under the laws of the State of Delaware, incorporated September 26, 2000. · In March 2001, Last Company Clothing, Inc. acquired 100% of Premier Axium ASP, Inc. in exchange for the issuance of 40,000,000 shares of its Common Stock and changed its name to Premier Axium ASP, Inc. In connection with this acquisition, affiliates of Premier Axium ASP, Inc. returned 87,990.000 shares of Common Stock to the Treasury. The acquisition was recorded as a reverse merger. · On July 15, 2002, Premier Axium ASP, Inc. changed its name to Core Solutions Inc. · On December 10, 2002, Core Solutions, Inc. announced that it has completed a Letter of Intent to purchase the payroll operations of Management Resource Group, LLC of Albuquerque, New Mexico for a combination of cash and stock. · In May 2003, the Company effectuated a 1 for 25,000 reverse-split of its common stock and changed its name to "Sunshine Ventures, Inc." as a result of control change. · In July 2003, the Company changed its name from "Sunshine Ventures, Inc." to "Christine's Precious Petals Inc." and its trading symbol to "CPCO". · In September 2003, the Company changed its name from "Christine's Precious Petals, Inc." to "Global Business Markets, Inc." and its ticker symbol from CPCOE to GBMIE.
