MONTREAL -- (MARKET WIRE) -- 04/06/06 -- Nord Oil International Inc. (OTC: NDOL) announced today that it has received an unsolicited purchase offer for 100% of the total outstanding stock of Nord Oil International Inc.

The company has opted to keep the information confidential until such time as the purchase offer can be bona fide and the amount of the offer confirmed. The company will make every effort possible to review the offer and offering party and release said offer information as soon as possible. Oh Oilmonger, you are sucha pessamist

I'm glad it went up.....I was expecting to sell today at open, but with this news, it is quite nice......with the buy out offer, it has got to be at least .40-.50 or much more.

If you take it that the O/S is 236 million (adding the 20 m shares recently to the 216m),
and then consider 48 million barrels times $20 per barrel (very conservaitve #s), that's 960 million dollars.......well 236 m shares at $1 per share is not even close to what it;s worth.
So then, let's just take the proven barrels 15M and just 15M barrels of the probable reserves, for 30M barrels at $20 per barrel, that's $600M......we're looking at 2.30 or more per share! Those are very conservative numbers, so you see where this is going????

I wasn't being pessimistic Weather. I was just asking. How does the Frankfurt affect the stock price here? How will this buyout work for us? I am hoping this stock breaks into the dollars. I just want to figure out how all of this will pan out. I still beleive that this stock is way undervalued. I mean undervalued by a few bucks. with the money they expect to make I don;t see why this stock cannot hit the $10s. Especially with only 200 million shares.

Take note of the part of today's PR below......ASAP is when Nord said they will release the info on the possible buy out.......We might get a PR on this as soon as tomorrow. I don't think they will make any decisions on it yet, untill they have a shareholder's meeting and discuss or vote on it, but we could see some nice numbers released on this......definitly by early next week we should see an update. I play stocks off of PRs, but this won't be a long wiat at all, which is nice.

2Create, that phenomena that you are referring to is called Pump and Dump. People like you pump up a stock on message boards to bring up its value then you sell it all and the stock drops like a rock, you collect your profits then you buy back a whole bunch more shares at a ridiculously low price and then you pump it up later on and the whole cycle continues. It is capitalism at its best, or maybe worst.

Weatherbill, I have been invested with this company way back when it was CXIN. I am not short at all. If you do the math of the price. The stock was at .02 before the RS then went to .24. It is now at .10. That means the value is at .008 compared to the pre-RS price. Trading at what is less than one penny per share is not that encouraging.

...LISTEN, look at the chart!...ONLY 500 SHARES traded at $1.01 ! AND it wasn't ME that sold that 500 shares!....It was simply MM manipulation at work here by HDSN who by itself was the one responsible for increasing the Bid near EOD on that one trading day for 'whatever' reason...GEESH! You sure are bitter...AND SO WRONG with your accusations towards ME, who has done MORE DD on this company and the people behind the scenes then perhaps anyone here, no offence to others, of course
...please remove your head form you know where...Good day sir I just hope you are still aroung 10 to 12 months from now...so YOU can SEE how truly wrong you were about these companies and myself. You have too much time on your hands 2Create. Don't you have a job?

Anyhow. I have been with this stock for 2 years now. Remember CXIN? I set those shares away and let them sleep. Maybe I can still make a good profit or maybe it will stay were it is in the mid .20s. Who the hell knows. Lots of people left this stock a few months back but I stuck with it. Like an abused wife sticks with her husband. I got abused by this stock for so long. Maybe the ***** will finally pay off.

I have been in this since last August. I hold 100K shares of this baby, 25k of which I got at .073.
Here is my DD

The offical O/S is 236 M. It was 216M, but they recently added 20 M to the O/S (go to edgar and type in NDOL), so Nord has 15 M barrels MB in proven and 33MB in probable reserves. Let's just take some conservative numbers here and call it 30 million barrels of oil.......that's very generous for the buyer since the total is 48 MB with all reserves added.
Now, it takes money for pumping and refining and all that, so can't use the $60 per barrel number......realistically it is between $20 and $35 per barrel, but we will use the $20 per barrel number for the most conservative estimate, so $20 per barrel X 30 m barrels = $600 million.
Now let's just go ahead and even cut that number in half for the buyer.....we are being very generous to give away NORD for 300 million.
Now take 236 million shares at $1 a piece, that's only 236 million dollars, not even 300 million.....do you see where this mother load is going???? I'm freaking out! I have 100K shares of this baby and I don't think Nord would even consider the buy out offer if it was below $1, so when they go to release the PR on this, you can bet it;s gonna pop some eyes wide open!
I'm freaking out just thinking about it!
So expect something $1 or more on the offer and once that kind of PR hits, this thing is going to the moon! But what they will prob do, is give the details of the offer, then have a time frame to discuss it with share holders, so may be a couple weeks before any buy out would be finalized, but in the mean time, wehn they do release that PR, this baby will be headed much higher.......I'm freaking out!

OK, OILmonger, you said the 20 million shares Nord added are going to the CEO to dump on the open market, but I got word back from Nord that that is a total lie!
You have absolutely nothing to back up those claims and it doesn't make sense anyway, since Nord is worth so much more, why would anyone give the shares away at these prices......once again, I hope you will get a little more positve about this. Hope defered makes a heart sick......Please, don't spread your sickness. We are doing well, as production starts June 1st, no matter what happens with the buy out.....Nord will reflect it's value soon enough.

alotta folks on another board are talking much more than a $1 buy out per share....don't know if that's realistic, but those in see this as a huge cash cow.

I said it would go back to the upper teens, but check this out!

Something I didn't think about before, even if a buy out was off, the folks who wanted to buy Nord out said they intend to purchase 10% of the company stock. The float is only 28 million right now out of 236 million. If those investors buy up 10% Nord shares as said in the PR, that will only leave around 7-8 million shares in the float. Nord recently added 20 Million shares to the O/S and that was for employees of the company, but don't think those shares have been given out yet and who would want to cash them in now?
I bet the OS would be around 4-6 million really, since there are many smaller investors long on Nord as well......with a float that small, this will move in a massive way come mid May......
Keep in mind, employees or directors of Nord are not day traders. They are way long on Nord and they won't be cashing in their shares anytime soon at all, so the float is going to be around 7-8 million if the buy out doesn't happen, (but probably 4-5 M) but if it does, expect a massive surge and if not expect a much quicker rise in Nord PPS than normal.......man this is looking good no matter what happens.

I expect sustained lower 40's by end of May, and higher if there's that 10% buying up of Nord shares....you figure, with production starting june 1st, making revs go from 25m to 75m for 2006, and then take total o/s (236m)(24m float) divided by .40 per share, market cap 94.4 million....those are some conservative numbers.....alot of other stocks are trading much higher without near the revs Nord willl bring in.
Alot of things could unfold by June 1st....maybe O/S could increase with aquisitions or further backing, those investors offering the buy out said they'd buy up to 10% of Nord stock, making the float much less......there's still alot in the works that could make this volitile....I beleive we will see a PR this up coming week on the buy out numbers and if or when it might go thru or a stock holder's meeting to determine if Nord wants to do it......just alot going on, but the possitive way outweighs any temporary negative news that might airse, such as buy out not going thru.....either way, buyout or smaller float, the investors offering the buy out will do one or the other....it's all possitive either way.

I'm ready for NDOL to kick some butt this week with the PR on whatever the buy out numbers are...... I'm sure it's gonna be over $1, which will pop some eyes open and give us a rise back into the upper twenties,....maybe even the 30's and then a lower twenties sustain price for a time depending on what the PR says, could be alot more if they decide to go with the buy out.....now that would be sweet to cash out some NDOl for $1 or more per share......

Read a profesional report of how oil company buy outs are priced per barrel of oil......Many buy outs by bigger oil companies price a buy out anywhere from as little as $3 per barrel to $15 a barrel, most buy outs being at $9 a barrel.
Examples
Occidental just bought Vintage Petro for $9 a barrel
Pogo bought Nothrock for $15 a barrel
CNPC won a bidding war for Kazakhstan driling at $9 a barrel

The very cheapest buy outs are at $3 a barrel

If Nord were to get the cheapest offer at $3 a barrel and just taking 40 M barrels from their 48 million, do the math....it would come to .508 per share with an O/S of 236 M shares........that is the very cheapest the buy out would be at.......I would'nt mind getting .50 per share, but what if it was just at $6 per barrel for 40 million barrels.....6 X 40M= 240 M / 236 M shares= $1.01 per share.......that is closer to fair price for Nord shares........now these prices are not speculation. This is what smaller oil companies are getting bought out for....the very least being $3 per barrel, with many smaller companies going for $9 per barrel. Nord is a very attractive target for a buy out because THE WELLS ARE ALREADY DRILLED! Do you get this. Therefore, since the wells are already drilled, it is less expense to get the oil. Just updating the drilling equipement, so Nord should see at the very least $6 per barrel offer or $1.01 per share.........Now that's a tasty profit to chew on, a???

20's new support. NDOl is ready for the next leg up. Nothing but good news here. Wait till summer starts and we start running into serious oil shortages etc...Trying to accumulate more I can at thes elevels before mejor production starts and we here more about the buy out (which, imo, they should refuse if it is below 2.00 per share).

what a day!

We cracked the .30 mark.......I came home from work and was very pleasantly suprised.....

if you haven't heard, I cut n paste this post below from another's post....something huge is up for middle of next week.

i just called that 514 number and got in touch with the vice president of the co. who is a very nice man. i asked him if there were any obstacles in the buyout deal or listing and his reply was "the president didnt fly to russia today for nothing".and that it was expensive to fly there. he said, "you will be extremely happy in the middle of next week. he said the actually float was closer to 30 million.he said the week after will be another pr on the oil production itself. nice guy.they are working on the web site right now.hes very very excited because he said he owned a number of restricted shares as well as the president. AGAIN IN HIS WORDS,THE PR WE ARE WAITING FOR WILL BE RELEASED MIDDLE OF NEXT WEEK. BUY UP THE FARM BOYS WE GONNA BE RICH. "

To me that rumor sounds like an insider tip, so I'm assuming it may not be true.

NDOL shouldn't need to hold a stockholder's meeting to sell the company, since they easily have over 50% of the stock.

I'm waiting for the dip before the run, since there usually is one. Maybe I'm wrong and there won't be, but I'd hate to miss out on the dip if there is one. Nord has said before that they are in it for the business not the stockholder, so beware.

looks like it's gonna be a good week for NDOL with PRs looming on buy out and OTCBB uplisting will bring in many new investors.....I'm feeling very bull on Nord this week, especially by the end of the week if PRs are not out yet, so that would mean an even bigger run next week beings it will be the last week of April.
