LOS ANGELES--(BUSINESS WIRE)--Sept. 6, 2005--The Fashion House Holdings, Inc. (OTC: FHHI.OB - News) formerly known as TDI Holding Corporation ("TDI" or the "Company") and previously trading under the ticker symbol TDIH.OB recently acquired The Fashion House, Inc., a privately held company based in Los Angeles. The Fashion House, Inc. holds licenses to design, develop and market women's fashion footwear under high profile designer brands including Richard Tyler Couture, tyler. Richard Tyler, O Oscar by Oscar de la Renta and Oscar by Oscar de la Renta.

The long-term agreements with Richard Tyler and Oscar de la Renta are exclusive to The Fashion House on a global basis and encompass all women's shoe categories. Through these exclusive licensing arrangements, The Fashion House brings designer footwear to the women who walk the red carpet and to those who aspire to. The Company sells its shoe lines to major department stores, direct marketing companies, and specialty footwear and apparel retailers.

The acquisition was effected through a Reverse Share Exchange Agreement ("reverse merger") whereby The Fashion House became a wholly-owned subsidiary of TDI and the former shareholders of The Fashion House were issued a controlling interest in TDI. In addition, all of the officers and directors of TDI resigned and the officers and directors of The Fashion House were appointed to take their place. The acquisition took place on August 19, 2005, and the reverse split and name change took effect with the NASD on August 30, 2005. In connection with the acquisition, the Company changed its name to The Fashion House Holdings, Inc., affected a reverse split of its outstanding shares on a 21.8 to one basis, and obtained a new ticker symbol. Concurrent with the closing of the acquisition, the Company raised over $2,500,000 in gross proceeds pursuant to a private placement of its common stock (less commissions and fees).

new director on 8k I know nothing about him. this reads weird but trager is new director and watson is out. will attempt to find out more about him when time permits.

On August 22, 2005, we filed a current report on Form 8-K, as amended, in which the appointment of Steven W. Trager as director was incorrectly reported. Instead of Steven W. Trager, the director that was appointed on August 19, 2005 was Stephen T Watson.

watch the level 2 on this one, something is up.

for 2 days 2 bids at .99 now 2 jumped over a buck

someone is accumulating in small amounts.

do u think one will ever drop below the .15 mark again,,
i see it dips here and there,,
once to .13 i think a few days ago,,

what is ur take on this,,

people just profit taking from before,, or what it is,,,,
if the stock has this much potential, why the drop,,,,
