TUCSON, Ariz.--(BUSINESS WIRE)--Nov. 30, 2004--
Fidelis Energy Inc. (OTCBB: FDEI), an emerging oil and
gas company dedicated to developing North America's energy resources,
is pleased to announce a forward stock split of its common shares on a
1.66 for 1 basis. This announcement was made on the company's Web site
on the 28th of November and is now being disseminated over Business
Wire to provide for the broadest public disclosure.
The split will be performed for those who are shareholders of
record on Dec. 8, 2004. For each share owned at that date, the company
will dividend an additional .66 shares without action required by the
shareholder. Holladay Stock Transfer, the company's transfer agent,
will journal the additional shares to the account of each shareholder
on the 8th of December. Those holding ownership in "street name" at a
brokerage firm should see the increase reflected in their December
statements.
The company took this action in an effort to maximize overall
long-term shareholder value. While any forward stock split provides a
short-term, and most often commensurate, decrease in share price, with
a subsequent increase in stock price, shareholders' overall principal
returns would be enhanced.
In summary, those shareholders who have purchased and own shares
as at Dec. 8, 2004 will be issued an additional .66 shares without any
required action on their part.
