U.S. Canadian Minerals, Inc. Secures Funding Transaction

LAS VEGAS, Aug 20, 2004 (BUSINESS WIRE) -- U.S. Canadian Minerals, Inc. ( UCAD ) announced today that it has signed an agreement with a private investment company to engage in a transaction for the funding of the Company. The Agreement calls for the purchase, by the investment company, of U.S. Canadian Minerals, Inc. common shares, valued at the time of the closing at $9,005,355 USD, in exchange for shares of the investment company.

The investment company is a newly formed London-based entity that will apply for its shares to be admitted to trading on the London stock exchange as an investment trust. The investment company has been established specifically to invest in US micro cap companies with long term growth potential. The investment company expects its shares to be trading on the London Stock Exchange by September 30, 2004.

The investment company has entered into a "lock-up" agreement with U.S. Canadian Minerals, Inc. pursuant to which it has agreed not to trade U.S. Canadian Minerals, Inc. shares it will receive as a result of this transaction for a period of two years from the closing date. In full payment for the shares of U.S. Canadian Minerals, Inc., the investment company will issue to U.S. Canadian Minerals, Inc. $9,005,355 USD equivalent of its shares at a price per share valued at One Pound Sterling.

Fifty percent of the investment company's shares issued to U.S. Canadian Minerals, Inc. will be held in escrow for two years following their issuance and in the event the per share market price of U.S. Canadian Minerals, Inc. common stock at such time is less than the per share value of U.S. Canadian Minerals, Inc. stock at the time of the closing, the investment company shall be entitled to the return out of escrow a percentage of the investment company's shares equal to the market value of such decline. The remaining shares held in escrow shall be released to U.S. Canadian Minerals, Inc. at the time of any such release back to the investment company. The closing of this transaction is subject to certain contingencies, including the listing of the investment company shares on the London Stock Exchange on or before September 30, 2004.

I really dont care for the card idea. Just another way to get more of our money. Fees here, fees there. If it was going to be a GOOD promotion, there wouldnt be all the fees.

The way I read it is it's a share swap between the two companies. UCAD's shares to the London group are restricted for 2 years, 50% of the London shares to UCAD are tied up for the same period.

I tried starting a thread called "The Back Alley". My goal was to divert arguments away from the real threads. Although I appreciate your intentions, this new thread serves only to divert valid information from the CMKX thread.

We all have better things to do, than sort through juvenile bickering, but I also don't enjoy sorting through 2 threads to make sure I don't miss something important.

Your intentions were noble, but the outcome is, we now have a redundant thread, which some here consider annoying.

Care to reconsider?

thank you for your concern. and while I do realize that this thread is redundant, There are people out here who just want info. I myself tire of reading through the arguments and so forth. It is all a matter of opinion, where you read where you post. I will read both threads and as long as this one stays clean, I hope it continues. It depends on the people.

("Magma") has exercised its share purchase warrants and acquired an additional 2,500,000 common shares at a price of $1.10 per share for net proceeds of $2,750,000. Shore has used a portion of the proceeds from the warrant exercise to purchase the remaining interest in the modular Dense Media Separation ("DMS") plant, which is currently processing kimberlite as part of the 25,000 tonne bulk sample.
Magma is part of the Steinmetz Diamond Group, one of the world's largest integrated diamond marketing and trading companies with offices in Antwerp, Tel Aviv, Mumbai, Johannesburg, New York and Chicago. Hi Tamie, Winsome answered your question on another thread. I don't know if it applies to pennystocks but if they can have a trailing stop loss it can supposedly trigger it and they can pick up some shares to buy at the now available price.

I have also heard it called a fat finger number. It could be just an innocent decimal point error. Or maybe done on purpose to throw off charting and make the stock appear to be moving.

Hope this helps. In theory I like to get news and DD but I also enjoy the banter when it is friendly. This site has a good history of being a good place for both newbies and seasoned investors. We all have a responsibilty to try to keep it that way. I'm sorry that I haven't turned the other cheek often enough. Hopefully, I won't have to keep taking the same test I am failing over and over. damn debi - you been busy...

I really do hope it works for you.

I started with $2K in fall of 02 had a high of $30K this past winter.

Since then seen most of my profits
decrease to about 16K. For me this has been
fun money since I have not added any to
the original 2K.

Hope things work out... This company really
is a slam dunk it they would pull their act
together.

Q. Are we at 150 feet drilling or more?
A. I imagine we are further down than that. I've haven't spoken to Ron but that was a couple days ago. I'll find out later and keep you updated.

A. I don't think so. It is too early. A plan would not take too long. We have a plan for where we are right now. We will implement this plan, make sure it works then we will move on to another plan.

A. I don't know anything about that company so I will reserve comment on that one.

Q. Is the company in negotiations with regards to any of the properites up there (carolyn pipe, etc.) Is there a bidding war going on?
A. I can't comment on who we are negotiating with. Think about it. I can't comment on a bidding war.

Q. Will CMKX move to the new facilities in UCAD PR?
A. I have no idea. Couldn't tell ya.

Q. How many feet per day are we drilling?
A. Last I heard was 150 ft. I haven't spoken to anyone for a day and a half. If everything is going good... I won't even guess. Depends on what we are going through. I may drive up tonight and should have an answer tomorrow or Monday.

Q. When can we have an open chat with the geologist?
A. I spoke with Ralph yesterday and I think we can set this up soon. I'm working on it.

Q. When doing a core sample, will the drill bit chew up a good size diamond.
A. No. Diamonds are the hardest.

Q. Can you comment for Ralph's experience.
A. Ralph has a good resume. Geologist for 35-40 years. Done everything from diamond things to gold uranium. His credential are pretty darn impressive. You can ask him that when he gets on here.

Q. Earlier you said you were happy and we should be happy as well. Could you explain that statement.
A. Sure I can. Don't read into what I'm saying. It's the weekend. People are supposed to be happy on the weekend. But you folks read that we will be getting this and such on the weekend. I'm just saying it is the weekend. That is it.

Q. Could you explain horizontal drilling?
A. Like Shore Gold is doing. They dig themselves a big hole 10-20 feet. They then lower a bucket with a crane into the hole and they send miners down to drill holes in the side of the major hole and they dig tunnels outwards. All the stuff they take out is put in bucket and is put in big piled. This is what you call bulk sampling.

Q. Your excitement for the shareholder... Does it reach a peak this week or in the very near future. Can you elaborate.
A. hah, hah, hah. Labrian, you break me up. No I'm not even gonna answer that one. Everyone is great at assumptions around here so you people make up your own assumptions okay.

Someone politely commenting that Melvin can be misleading. For instance comments about this weekend.

Melvin: you hit the nail on the head. Even my wife says I like to flap my lips. People hang on every word I say. Perhaps I should watch what I say. I'm trying my darndest. People read into what I say a lot. Maybe it is just the way I say it. Please accept my deepest apologies. I'm not a pumper by no means.

Uncle Melvie gets excited sometimes especially when there is good news. Put yourself in my shows. When I do get good news and I'm not allowed to say anything. I'm a bubbly guy and like to play music and things. It is really tough for me to know what I know and not be able to tell you folks. Whether it be good news or bad news. It is easy to tell people bad news. I hope you can appreciate where I am coming from.

I never met 97% of you but I love you people to death and respect each and every one of you. There is so much I wish I could tell you and it hurts me that I can't. But it is my job and I have to learn to control my emotions. I've been blessed but on the other hand that I have to watch what I say and how to say it. You people can hear my voice and sometimes see my picture. You know how excited I can be. That is not that good.

I have to learn to be more professional. Now, when I say more professional, I'm not going to sit here like a stone and say "no comment" "I'll get back to you". I'm not gonna just be a rock. I like to talk to people in a civilized manner. That is just the way it is. I've got to learn to control my emotions and how I say things becasue people perceive what I say is very important.

I apologize if I sound upbeat. But I am upbeat. Is it because of what is coming down the pipe. No. If I made a comment about something on my desk making shareholders happy, I should get slapped. If I did say it, I profusely apologize. I would never try to manipulate you people or give bad advice. Or pump this company up all weekend so you are let down on Monday. You are my friends and I love you guys. I'm sorry if I offended any of you or misled any of you. My intentions are good. I need to learn to control my emotions.

"This increase in assets, coupled with our restructuring efforts to reduce liabilities, should represent a dramatic change in the financial condition of Quintek, which should be evident in our upcoming filing for the Quarter ending June 30, 2004."

Robert Steele, CEO of Quintek commented, "Quintek is 1 of 23 companies selected by the managers of this fund from the universe of U.S. micro cap companies." He continued, "This solid vote of confidence from an institutional investor indicates that the interest in Quintek is growing. As we build momentum and move forward with our aggressive growth plan, we hope to see more interest from individual and institutional investors."

The investment company has entered into a "lock-up" agreement with Quintek pursuant to which it has agreed not to trade the Quintek shares it will receive as a result of this transaction, for a period of two years from the closing date. In full payment for the shares of Quintek, the investment company will issue to Quintek USD $2.38 million equivalent of its shares at a price per share valued at One Pound Sterling.

Fifty percent of the investment company's shares will be held in escrow for two years following their issuance and in the event the per share market price of the Quintek common stock at such time is less than the per share value of the Quintek stock at the time of the closing, the investment company shall be entitled to receive out of escrow a percentage of the shares equal to the percentage of such decline. The remaining shares held in escrow shall be released to Quintek at such time. The closing of this transaction is subject to certain contingencies, including the listing of the investment company shares on the London Stock Exchange on or before September 30, 2004.

Raider, as one of the biggest proponent of CMKX on this board has pointed out on numerous occassions, MANY, NOT ALL, of these types of calitalization companies are in reality, just paper mills. Some of them are set up to swap shares between them... this makes it difficult to identify dilution of shares unless you are "hip" to their games....they might invest in good companies, but GOOD companies can go to numerous capitalization venues, like GE or duPont. or Wachovia.....most of the time this is a prelude to issuing more shares into the float......but the PR sounds promising...

Shadow: I have had my 7.9 mil for about 9 mos I bought them at 0.0001. I am seriously thinking about adding more this coming week, if I can get them at 0.0003. But who knows if PR comes out this week-end or on Monday it maybe to late. Actually, I would hope that it will be to late to buy more at that price, I would rather see a higher PPS and collect on what I already have. I also have shares in QBID which I anticipate will rock this coming week, on a release of PR and being so close to the launch.

To sum this up, it seems Nevada minerals was foreclosed and possibly on the verge of bankruptcy. They sold 500,000 acres of rights to UC and lost this property to foreclosure.

In the foreclosure the president of lear and his company buys 51% of the property and UCAD exercises an option to buy what I think is the rest.

From what we have determined from pr's we are now connected to...

1. Cameco a stock owner of UCAD.

2. Ramoil Management - owned by former president of Lear

3. A new investment group in England, no one knows their connections yet as far as I can tell.

4. Roger Glenn


And we own the mineral rights. This is big stuff.

possible timeline for real pr needed as in diamond content....at 150 ft per day as stated by melvin you get 1500 ft in ten days say they go to 2000 ft on this hole for safety sake lets give then 20 days per hole and 5 days between holes to move equipment. they are drilling a 2 1/2 inch hole so not much can be known about real content unless they get lucky and hit the right spot. so for 2 holes we are looking at the end of sept. or into oct. before done. from there it goes to testing which as we know can take 4 to 6 months before results are in. we are now into march or april before we have a clue as to whats in the ground and that is only a couple of 2 1/2 inch views. as it is clear UC has no intention of letting us know the share structure any time soon, we will know the o/s within the next 2 months from delievery of ucad shares, cim shares & juinia shares. if cmkx is naked shorted its clear the mm's aren't planning on covering or they would have before ucad dividend either that or they did and it had no effect on the pps. since the o/s is probably 483 billion which is more then close to 20 of the top fotune 500 companies added together chances are good that the current pps of .0003 to .0004 will be there into next yr. its possible that other things might factor in to raise it but it shouldn't be too suprising it its there in march. this of course is just my opinion based on the tiny bits of info we do have.

it is commmon in the pennies...not just the pinks, the OTCBB too....
i can't honestly say i know the intentions of any specific CEO of any company...
BUT
it is common practice to reverse split, and issue more shares to "raise working capital"--

it is common to "swap" shares and call it funding.....

the PPS goes down --UNLESS something worthwhile comes of the funding...
CMKX has no revenues--no major investment in mining equipment...
they have drilled a few 2.5 inch holes in the ground...that over how many acres????? millions????
they need to be drilling thousands of holes to cover their claims.....

if they PROVE a huge diamond find worth 100's of billions, they will be able to get a loan from GE to get it... GE will be taking your "profits" off the top.....
this isn't a get-rich quick comapny like some of the people are trying to tell you... it's a very long-term -very risky micro-penny play..
