CirTran Announces Forward Split, Giving Shareholders a 20% Stock 'Increase'

SALT LAKE CITY, Feb 07, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ) today announced a forward split of its common shares, rewarding shareholders with a 20% increase in the number of shares owned.

Iehab J. Hawatmeh, founder, president and CEO of the international full-service contract manufacturer of IT, consumer and consumer electronics products, said CirTran filed a Preliminary Information Statement on Form 14C with the Securities and Exchange Commission regarding the forward split after receiving the required approval in a Shareholder Consent Resolution. Mr. Hawatmeh said the split would be for shareholders of record as of a date to be determined when CirTran concludes the filing process with the SEC.

"CirTran is very happy to increase our shareholders' stock ownership through this 1.2 for 1 forward split," Mr. Hawatmeh said. "Our shareholders have been patient and loyal, and we believe this forward split will benefit them now and in the future."

SALT LAKE CITY, Feb 13, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ), an international full-service contract manufacturer of IT, consumer and consumer electronics products, said today that it has signed an agreement to manufacture and market a new patent pending portable luggage handle and scale ideal for travelers weighing a suitcase or package.

Trevor M. Saliba, CirTran's chief marketing officer, said a licensing agreement was signed with TFB Global of San Jose, Calif., giving CirTran the exclusive rights to market the new product worldwide, excluding Australia. The product will be marketed to and through major retailers, with Wal-Mart(R) (WMT, Trade ) and Office Depot(R) (ODP, Trade ) among the prime targets, he said.

"This innovative and very useful product is ideal for business or leisure travelers, and for small or home office-based businesses," he said. The handle, with an integrated electronic scale, can be quickly and easily attached to luggage for a 'weigh-in,' ensuring that you won't get hit with 'extra charges' for over-weight luggage at check-in. The 'convenience factor' is built right into the product," he said, "as it is so small and light-weight that it can be carried inside your luggage for the trip back home, again making sure that you won't face costly and annoying extra charges."

Mr. Saliba said the new product is also ideal for small businesses, or home-based businesses, where there is a need to estimate the weights of packages before filling out shipping forms. CirTran Ships First Order on $5.4 Million Contract for Sold-on-TV Fitness Equipment

SALT LAKE CITY, Mar 07, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ) announced today that it has shipped the first order completed against a $5.4 million exclusive manufacturing contract it signed late last year to build the CorEvolution(TM), new fitness product for the sold-on-TV market www.mycorevolution.com .

Iehab J. Hawatmeh, president and CEO of CirTran, an international full-service contract manufacturer, marketer and distributor of IT, consumer and consumer electronics products, said the shipment of approximately $60,000 in product, "is a good sign that the initial testing of the infomercial and the CorEvolution now underway is positive."

The contract with Evolve Projects, LLC, of Akron, Ohio was signed by CirTran in December for the CorEvolution, which Mr. Hawatmeh described as a fitness product designed to strengthen and rehabilitate the lower back and adjacent areas of the body. The first production units were manufactured by CirTran in China after final changes were approved by Evolve, who will oversee the on-TV marketing of the product.

Matthew A. Heinle, an Evolve principal, approved the first shipment from China, and said that his company "is excited about the prospects for the CorEvolution. CirTran is delivering high quality product we believe will prove to be very popular among consumers looking to get in better shape, particular as the warm weather months approach."

Mr. Hawatmeh said that the order now in route to the U.S. is part of a first year commitment of $1.2 million against the contract. He said the agreement calls for minimum orders of $1.8 million in the second year and $2.4 million in the third year as part of the five-year agreement.

Designed by John Maldonado and Victoria Wood, ELP's principals, the yet unnamed new product is a pencil compact combined with a sharpener and pencil holder. Planned add-ons for the product include pencil caps, blotting tissue dispenser, eyelash curler, pencil cap organizer, an eyebrow brush and two-in-one tweezers, with patents now pending for the pencil sharpener, eyelash curler and the tweezers with the U.S. Patent Office.

CirTran Projects First Quarter Sales Growth of Over 110%

SALT LAKE CITY, Apr 19, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ), an international full-service contract manufacturer of IT, consumer and consumer electronics products, said today that it projects reporting an increase of 114% in sales when it files its 10-QSB for the first quarter of fiscal 2007 next month.

CirTran Founder, President and CEO Iehab J. Hawatmeh said the company anticipates reporting sales of approximately $3.7 million for the quarter ended March 31, 2007, an increase of approximately $2 million, or 114%, over the $1,737,824 reported for the same period in fiscal 2006.

Mr. Hawatmeh said that the "strong sales during the first quarter" represented similar increases over the $1,732,090 reported for the fourth quarter of fiscal 2006 ended December 31.

"We continue to see evidence that business for CirTran is on the rise, and see indications that the road ahead is an exciting one for CirTran and our subsidiary companies," Mr. Hawatmeh said. SALT LAKE CITY, Apr 23, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ), an international full-service contract manufacturer of IT, consumer and consumer electronics products, today announced that it has formed a new wholly owned marketing-driven subsidiary to sell its products via the internet, to offer training, software, marketing tools, web design & support as well as other E-commerce related services to internet entrepreneurs, and to telemarket directly to previous buyers of its products & services.

CirTran signed a three-year Assignment and Exclusive Services Agreement for its subsidiary -- CirTran Online Corporation (COC) -- with Global Marketing Alliance (GMA), founded by Mr. Sov Ouk, and its affiliate companies, Online Profit Academy, LLC, and Online 2 Income, LLC including Webprostore.com and Myitseasy.com. CirTran Gets $1 Million Order for Sold-on-TV Fitness Equipment

SALT LAKE CITY, May 07, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ), an international full-service contract manufacturer, marketer and distributor of IT, consumer and consumer electronics products, said it has received a $1 million order to build and ship the CorEvolution(TM) ( www.mycorevolution.com ), a new fitness product for the sold-on-TV market.

Trevor Saliba, CirTran's chief marketing officer, said the order is part of a $1.2 million first-year guarantee - and a $5.4 million contract over three years - from Evolve Projects, LLC, of Akron, Ohio. In March, CirTran shipped approximately $60,000 of product for fulfillment in the initial testing of the CorEvolution infomercial and marketing program.

"With this order," said Mr. Saliba, "production of the CorEvolution now moves full-speed ahead at CirTran-Asia's manufacturing facilities in China." He said the order should be completed and shipped within 60 to 90 days, putting CirTran ahead of the first-year target for the fitness product designed to strengthen and rehabilitate the lower back and adjacent areas of the body.

John Cook, president of Evolve, said testing of the infomercial and first products shipped "exceeded expectations. With lower back problems growing as consumers spend more time driving, working at PCs, playing video games, or just being 'couch potatoes,' the quality and value of the CorEvolution built by CirTran should make the product and its marketing campaign successful from the outset," he said.

SALT LAKE CITY, May 07, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ) announced today that its shareholders, in a special meeting to vote on a proposed amendment to the company's articles of incorporation, have voted "overwhelmingly" in favor of a 1.2 forward stock split.

CirTran shareholders of record as of May 10, 2007, will receive a 20% increase in the number of shares owned, said Iehab J. Hawatmeh, founder, president and CEO of the international full-service contract manufacturer of IT, consumer and consumer electronics products.

Mr. Hawatmeh said that the shareholders were "enthusiastic and overwhelming in their support" for the company to increase its authorized capital by 750 million shares of common stock and to effectuate a 1.2 shares for one share forward split. The vote, he said, was 542,969,370 for the forward split and 14,725,706 against, with 187,715 shares abstaining and no broker non-votes.

SALT LAKE CITY, May 16, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ), an international full-service contract manufacturer of IT, consumer and consumer electronics products, today issued a shareholder update on several of the company's business units.

"Along with our shareholders, corporate management is disappointed in the recent performance of our stock," Mr. Hawatmeh said. SALT LAKE CITY, May 17, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ), an international full-service contract manufacturer of IT, consumer and consumer electronics products, said today that it has sold its headquarters office and manufacturing facility - and leased it back - achieving what its chairman called "cost-effective financing for new and on-going projects."

Iehab J. Hawatmeh, CirTran's founder, chairman and president, said the company's PFE Properties, LLC subsidiary sold the building for $2.5 million. PFE had purchased the building in April 2005.

Mr. Hawatmeh said that following payment of mortgage loan, taxes, fees, commissions and other expenses, CirTran netted $1.266 million at closing. He said that the company immediately signed a 10-year lease for the 40,000-square foot building, where it has been headquartered since 1996.

"By turning this real estate holding into cash, CirTran realized cost-effective financing for new and on-going projects," he said. Currently, CirTran is set to launch The Real Deal Grill(TM), endorsed by four-time heavyweight champion Evander Holyfield, as well as other direct marketing/sold-on-TV projects and marketing campaigns in the U.S. and aboard.

CirTran Posts Cash-Positive Results for First Quarter

SALT LAKE CITY, May 21, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ), an international full-service contract manufacturer of IT, consumer and consumer electronics products, today filed Form 10-QSB for the first quarter of fiscal 2007, showing its first-ever cash-positive period.

On April 19th, CirTran had announced that it anticipated reporting sales of approximately $3.7 million for the quarter ended March 31, 2007. However, in completing its quarterly closing and preparation for filing its first quarter Form 10-QSB, CirTran determined that approximately $1.4 million of sales did not meet its revenue recognition criteria.

In its filing today, CirTran reported sales of $2,288,293 for the period ended March 31, 2007, an increase of $550,469, or more than 31% over the same period in fiscal 2006. CirTran also reported a gross profit of $1,089,945, an improvement of $99,575 or 10% over the same period a year ago.

Another "major improvement" during the quarter, said Iehab J. Hawatmeh, founder, president and CEO of CirTran, was that the company was able to generate its own working capital. Net cash provided by (used in) financial activities was $129,999 as compared with ($719,898) in the same quarter in 2006.

CirTran and Diverse Talent Group Enter Agreement

SALT LAKE CITY & LOS ANGELES, May 22, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ) and Diverse Talent Group, Inc. (DTG), said today that they have mutually agreed to terminate their Exclusive Services Agreement and all related agreements, assignments and guarantees between the companies and their affiliates and to realign their relationship. The agreement is retroactively effective as of March 31, 2007.

As a result of the realignment, CirTran's wholly-owned subsidiary formerly known as Diverse Media Group Corp. has changed its name to CirTran Media Corp. (CMC). DTG's public parent corporation Diverse Media Group, Inc. (Pink Sheets:DVME) will now indirectly own the name and website formerly held by CMC as well as the business assets of Los Angeles based DTG. All previously announced contracts awarded to CirTran's subsidiary for manufacturing, marketing and distribution of various products will remain with CMC.

As part of the agreement, 9,000,000 shares of DVME will be issued into an escrow account for CirTran's benefit, giving it approximately 8% ownership of DVME. A portion of the shares are subject to surrender under certain circumstances.

CirTran and CMC will continue developing and marketing consumer and entertainment products through its multi-channel distribution outlets to the general market, direct response and entertainment industries while DTG and DVME will concentrate on talent and literary representation within the entertainment Industry.

Further terms and information about the settlement agreement will be made available in CirTran's forthcoming 10-Q filing.

SALT LAKE CITY, May 25, 2007 (BUSINESS WIRE) -- CirTran Corporation (CIRT, Trade ) announced today that it has been informed by Nasdaq(R) that company shareholders of record as of the close of business at 4 p.m. EDT on May 10, 2007, should receive shares in a previously-announced 1.2 shares for 1 share forward split next week.

Iehab J. Hawatmeh, founder, president and chairman of CirTran, an international full-service contract manufacturer of IT, consumer and consumer electronics products, said he has received an e-mail from Nasdaq saying it will "process the forward split for the open of business on Tuesday, May 29th."

"We are sorry for any confusion caused to our shareholders by the delay in processing the 20% 'increase' in their CirTran holdings," Mr. Hawatmeh said, reiterating that shareholders of record as of May 10, 2007, will receive 1.2 shares for every share of CirTran stock they owned as of close of business on May 10th.
