Well, not sure if you read it all then because its not to great to me. Too they are still behind in filing because 1st quarters haven't been filed yet so "E" will probably remain.

O/S as of Sep 30 2004 was 36 million after a 500:1 r/s
O/s as of Dec 31 2004 was 725 million
O/S as of March 31 2005 was 994 million

S-8 3/7/2005 1.3 billion shares were issued and is not part of the 994 million listed o/s. See below for details. Thi S-8 was stated as not being part of this financial statement. Continued dilution.

Preferred stocks issued and some are convertible.

Due to the lack of revenue, we need to secure adequate funding. If we are unable to obtain adequate funding, we may not be able to successfully develop and market our products and services and our business will most likely fail. We do not have commitments for additional financing. To secure additional financing, we may need to borrow money or sell more securities, which may reduce the value of our outstanding securities. Under these circumstances, we may be unable to secure additional financing on favorable terms or at all.

Selling additional stock, either privately or publicly, would dilute the equity interests of our stockholders. If we borrow more money, we will have to pay interest and may also have to agree to restrictions that limit our operating flexibility. If we are unable to obtain adequate financing, we may have to curtail business operations which would have a material negative effect on operating results and most likely result in a lower stock price.

Our common stock has experienced in the past, and is expected to experience in the future, significant price and volume volatility, which substantially increases the risk that you may not be able to sell your shares at or above the price that you pay for the shares.

During the year ended December 31, 2004 the Company:

Amended the Articles of Incorporation to authorize 800,000,000 shares of common stock and 100,000,000 shares of preferred stock.

Amended the Articles of Incorporation to authorize 1,800,000,000 shares of common stock and 200,000,000 shares of preferred stock.

Effected a 1 for 500 reverse split of the Company's common stock on September 20, 2004. All share and per share amounts have been retroactively restated to reflect this split.

Issued 302,770,000 shares of common stock for cash proceeds of $965,740. These shares were issued pursuant to the Bonus Plans described in Note 8. The shares were sold below fair value; an expense for the intrinsic value of $170,424 has been recorded in the statement of operations.

Issued 200,000 shares of common stock, valued at $900,000, as partial payment of fees payable to related parties in connection with the licenses for China, Malaysia, Singapore and Thailand.

Issued 29,032,000 shares of common stock, valued at $177,000, for services.

Cancelled 496 shares of common stock and the related receivable of $551,380.

Issued 7,000 shares of common stock, along with a cash payment of $10,000, to settle a related party debt of $68,500.

Issued 10,700,000 shares of preferred stock as partial payment of $190,000 of fees payable to related parties in connection with the licenses for China, Malaysia, Singapore and Thailand.

Issued 800,000 shares of preferred stock to acquire PTSTI from related parties.

Issued 4,000,000 shares of preferred stock, valued at $200,000, for services.

Issued 50,000,000 shares of common stock upon conversion of 1,000,000 shares of preferred stock.

Subsequent to December 31, 2004, the Company:

Issued 40,000,000 shares of common stock for services.

Sold 499,500,000 shares pursuant to the stock bonus plans, for cash proceeds of $292,584.

Entered into a one year lease for office space commencing March 1, 2005, with a monthly rent of $437.

Designated 20,000,000 shares of Series D preferred stock, $.001 par value, each share convertible to 200 shares of common stock. Each share of Series D preferred stock has voting rights.

Effective January 6, 2005, we designated 20,000,000 shares of our preferred stock as the Series D preferred stock. The shares of Series D preferred stock, as originally designated by the January 6, 2005 filing, were redeemable. No dividend is payable to the holder of our Series D preferred stock. Each share of the Series D preferred stock is convertible to 200 shares of common stock. On all matters submitted to a vote of the holders of our common stock, including, without limitation, the election of directors, a holder of shares of the Series D preferred stock is entitled to the number of votes on such matters equal to the number of shares of the Series D preferred stock held by such holder multiplied by the number of shares of the common stock into which each such share of the Series D preferred stock shall then be convertible.

Effective April 5, 2005, we filed a Certificate of Amendment to the Certificate of Designation for our Series D preferred stock. The Certificate of Amendment to the Certificate of Designation contained a new provision regarding conversion, which specified that no holder of the Series D Preferred Stock may hold more than 4.99 percent of the issued and outstanding shares of the Common Stock, in the aggregate, following any conversion of our Series D preferred stock into shares of our common stock. The Certificate of Amendment to the Certificate of Designation also amended the terms of the Series D preferred stock to provide for no redemption of the Series D preferred stock.

Effective April 5, 2005, we also filed a Certificate of Amendment to the Certificate of Designation for our Series C preferred stock. The Certificate of Amendment to the Certificate of Designation contained a new provision regarding conversion, which specified that no holder of the Series C Preferred Stock may hold more than 4.99 percent of the issued and outstanding shares of the Common Stock, in the aggregate, following any conversion of our Series C preferred stock into shares of our common stock. I also read all this numbers. The risk factor does always exists and for sure more in very small caps. But I would prefer to invest just in time when new activities starts to be profitable, and when prices are at lower side. You maybe did not read the following line from the board telling that:
''The positive side of this operating loss will be beneficial to us as two – three of our business units become profitable in 2005 and the net operating loss will allow us to accumulate cash without paying taxes in the foreseeable future.''

The near future will tell us if the board was right.

Regarding the potential futur dilution factor, as the board already issued a minimum of 994 millions of sh. today, the maximum dilution factor will be approx. 2, unless new authorization (until 1.8 billion). The price of today that is 0.0006 USD/sh, has already been affected by the dilution factor between 36 million sh. and 994 million sh.

That is also the reason why I would be more optimistic than you. Anyway, I wish you all the best in other penny stocks.

Been watching for bottom play but with latest S-8 not sure when that would be. O/S still not huge even with dilution but its still bringing down price. The main concern is they R/S at 1.8 billion the last time and that is coming soon again. So R/s does bother me. Will still watch for what ever play come off of the 10k. I think a dip and bounce but others may play it different and a raise then dip may happen. Hard call right now.

The trading volume was low because high resistance today. Then I expect a bounce by tomorrow. Low prices can be a good opportunity!

Have a look at this from Yahoo finance:

Market Cap (intraday): 73.33K
Enterprise Value (24-May-05)³: 5.94M

The market capitalization is calculate with 148 million sh, but we know today that is about 994 million. That means the market cap should be 500k or that share is about 10 times undervalued...

Am I right?

When China import license will be in force, it's going to be pulled up. The next QR should come soon too. Very strong steady position, no sellers and no buyers at that price !

Three months ended March 31, 2005 compared to the three months ended March 31, 2004.

Total net sales and revenues were at $111,862 for the three months ended March 31, 2004 compared to $0 for the prior period. This Increase in sales resulted from the acquisition of Global Links Card Services, Inc. in December 2004. There were no sales in the comparable quarter in the prior period.

Our gross profit for the three months ended March 31, 2005 compared to 2004 increased to $69,811 from $0. Gross margin as a percentage of sales was 62 percent in 2005.

Total operating expenses for the three months ended March 31, 2005 compared to 2004 increased by $4,198 to $497,692 from $493,494 in the prior period.

Operating loss decreased from a loss of $493,494 in the three months ended March 31, 2004 to a loss of $427,881 for the three months ended March 31, 2005.

Interest expense (net) for the three months ended March 31, 2005 was $7,882 as compared to the same period in 2004 of $(39).
