well, Bilgert, you convinced me to start a thread, you silver-tongued devil...

am thinking we should clutter no more Mag's threads...

I read some of those threads there Tex-meister. Something smells wackadoo over there- I don't know the background of the fella who's talking to the CEO, so I don't know how much credence I can put in his conversations. As far as the shorts having to cover- well, I'll believe it if/when I see it.

FWIW- my DD on Rockbands this weekend consisted of a poll of 5 pre-teens (friend's niece, a random kid at my barber and a couple of patients I spoke to at a hospital I volunteer at). I asked them if they thought that the designer wrist band was still cool. 1 said yes, 1 said kind of, 2 said no and 1 said "I don't know"

Margin of error for this poll: 100%

Even if the r/s is legit and we get shares, I don't know if it can sustain a digit to the left of the decimal point, even if you argue the market cap is low. While this is the wild world of pennies and anything is possible- this is a decorative accessory and not something that was even remotely useful, like a Swatch (that had a watch) or like CROX (ugly, buy comfy).

But I am getting to be quite the fuddy duddy in my mid 30's... Hope I'm wrong [Smile] .

Don't think this goes JDMC ($11 this week yes!) or NWMO ($5 [Frown] )- it probably goes down more like NTCI... but who really knows. That's what makes it so fun.

Totally agree with That's what makes it so fun.

btw, till I was in this? Did *not* realize JDMC had changed, yet again...but there it is, RINO at $11.00

Anyway, your "wackadoo" take, my "Funky Do" take, is what convinced me to grab the reins.

My major point is the freshly-minted, public-company CEO has a pivot point in his *immediate* future. I believe from an investor-relations standpoint the worst thing he could do would be to fight the round-up delivery.

If his "pal" is accurate, the ceo was blindsided, sideswiped by the realization that their Daily List publication obligates them to deliver 100 shares to folks who may have bought only one share...

EGAD!

OK, well--what you got, son? You wanted to go public. You gonna run and get weasly?

After all, your Website lists all these big stores as vendors, all these celebs as instant-marketing icons.

No, no, no...I say, butch up, cat daddy. Don't be a loser like SWNE/MCII or IPOR/BDCG... That's the essence of punkstuff--and the comparisons to MNPK/NWMO or ABIO/JDMO/JDMC/RINO serve as strong evidence.

Shorts? who the heck knows? IF, I say IF, shares were locked up in a total-cash transaction... maybe. After all, we have seen real short coverings...

On the other hand, if MMs went short to make a market the day before ex-date? That *is* legal--and I have no clue who "makes" them cover...

Glassy may know the "theory" better; he's studied it cuz of BCIT.

My deal is...we traders consulted an official source of information (OTCBB Daily List), and our brokers filled our orders.

So......pony up, leather-rock-band crew. You got impressive vendors, a real product, celebs in da mix... lol, don't EFF THIS UP!

Mag is a pillar of strength, a veritable Hercules at-his-tasks...continually swamping the stables of arguably the nastiest realm of the pennies.

But, as we know, gems to be uncovered there are...lol

I'm confident he'll check in. [Wink]

He would be a fool to fight the round-up, IMO. Bracelet boy CEO is probably just reeling over the fact that people are getting allegedly free shares. Everybody bought legally, so there's nothing he can do about it. That Sportsjunkie guy got his leopard-print panties in a wad for nothing.

Just deliver the shares and let the market take care of the situation. He just needs to sit back, go dig up some more ugly ass gemstones and start hawking his goods to the circus freaks and miscreants who want to buy his trinkets.

I wonder fundamentally how the deal went down, i.e. how he was approached (or how he approached) the owner or the representative of DTIC. I would love to talk to this Dahlberg cat and find out. That would explain a lot...

T e x - posted
you know...it really *does* make one wonder how these deals go down.

For instance, as you mention, who approached whom? etc...

Then? WHO said, "Let's do a round-up provision." ???

cuz, apparently so far, Dahlberg had no clue...

then SJ posts sumpin like " no one knew" about the interest in this shell...

DOH! peeps can read the Daily List.

In other words, who's getting paid U$Dollars to "advise" these guys?

Hi folks,

Happy Monday morning,

Does anyone have contact info for Rockbands. Apparently, Fidelity isn't gonna give me the round up shares from when this was DTIC. They say I have to contact RKBD.

Transcript of chat with Fidelity ReP.
quote:

Thanks for contacting Fidelity Investments. All interactions are subject to recordkeeping and monitoring. A representative will be with you shortly.

ME: DTIC had a reverse split into RKBD. No shareholder was supposed to receive less than 100 shares after the split. I had fractional shares and my account should have been rounded up to 100 shares at current share price. Instead, my shares were cashed out.
See the OTC Daily list here: http://www.otcbb.com/asp/dividend.asp?sym_id=DTIC&dDate=5/23/2008&sDateType=ex_d ate

[You have been transferred to queue: Trading]
REP has joined the session. Fidelity Brokerage Services LLC, Member NYSE, SIPC

REP: Hello, my name is_______. How are you today?

ME: fine and you?
Here is the wording on the split DTIC - Dti Inc Common Stock

Declaration Date:
-- Ex Date:

5/23/2008 Record Date:

-- Payment Date:
--
Dividend Type:

Reverse Split Dividend Amount:
1-1000 R/S
Notes:

N/C to Rockbands, Inc (RKBD). No shareholder will be receive less than 100 shares.

REP: I am happy to assist. It will take me one moment to review your account. Thank you for your patience.

ME: okay, Take your time.

REP: Thank you for waiting. I have reviewed the security and the minimum requirement to receive shares was to have enough shares that you would receive 100 shares after the reverse stock split. The minimum number of DTI shares needed to receive shares after the reverse was 100,000. The new company is named Rockbands Incorporated. You will need to contact the company for any details on the merger. Unfortunately, we do not have any contact information for this company.

ME: Per NASDAQ's dept of Corporate Data Operations and published to the OTC daily list, NO shareholder will received less than 100 shares. It gives no verbage stating there was a minimum no. of shares prior to the split. See above

REP: To receive shares you would need to qualify for 100 shares. Owners that had less than the required number of shares received a cash payout of $0.01 per share. No owners received less than 100 shares. If you would receive less you were paid cash by the company.

ME: I understood it to be that the company would round up the fractional shares. Not cash them out

ME: Can you email the filing or documentation that you are looking at that says anything about a cash payout. And the "required number of shares"

REP: Fractional shares are not rounded up. To confirm the details of the merger you will need to contact Rockbands directly.

ME: Where are you getting your information? Can you send me what you are reading?

REP: The cash payout was delivered to Fidelity by Rockbands specifying a payout for the shares you owned.

REP: This is how the transaction was processed by Rockbands it is not a filing that is being read by me. I apologize for any confusion.

ME: You stated previously that you have no contact information for them. Do you have the verbage that they sent that mentioned a "required no. of shares"?

REP: Due to the statement that no shareholder would receive less that 100 shs and that you received a cash payout for the shares you owned. It indicates Rockbands did not give 100 shares for the shares of DTI that you owned. This is most likely because the DTI shares worth would have been equivalent to 0.1 share of Rockbands rather than 100.

REP: Unfortunately, we do not have the details of the merger. You will need to contact Rockbands directly. Is there anything else I can assist with?

ME: Not really. If you have no contact info for them, I guess no.

REP: I apologize for any inconvenience. REP: Thank you for using Fidelity's online services.

well, they're jumping the gun--apparently the CEO learned of the round-ups only Saturday, I don't see how Fidelity could possibly know what to do, yet...

My understanding is that scottrade and zecco posted shares and that etrade has posted shares in some accounts.

It was interesting to look at the time/sales data today. It was el-dumpo city until $1.25 and then some MM was gobbling up the shares big time. Seems like that's the support for now.

Bid is now down to .55.

Do we have the new share structure?

bilgert - posted
back up to .75/2.00

For giggles, I have 2 separate orders in for .80 and 1.05 (both 100 share lots). They've been in since about 10 minutes after open. No bites yet. Kinda interesting- and kinda not...

SoAngel - posted
I bought 500 shares at .55 and sold them at .75 within 45 minutes. Nothing big... but quick.

bilgert - posted
I don't have the new share structure information. Does anybody know who the T/A is? I wouldn't mind calling, but I haven't found that info either.

bilgert - posted
Guess I shouldn't have been so cheap- nice job SoAngel.

Thanks. Wish I wouldn't have been so cheap either and bought a few more shares than that. [Smile]

Considering that lowtrades, E*Trade, Zecco, scotty and optionsxpress all got their shares, the fact that only 3700 shares have been traded is slightly encouraging.

I still can't believe that a company making crappy wrist accessories is going public.

PCola77 - posted
I got filled for 500 shares at .80 that I am still holding. Anyone else get any (besides SoAngel)?

PCola77 - posted
By the way SoAngel, I'll get back to your PM one of thee days, just haven't had time today.

bilgert - posted
I never filled 100* .80 or 100*1.25. Kinda curious that they never filled the smaller orders. Not that disappointed, mind you. I have plenty shares... Just find it kind of interesting.

Pretty sweet fill, your royal cola-ness. Hope it works out for you.

PCola77 - posted
Sorry to bid against you bilgert! I wanted 2000 more shares, but it ticked up before I got the rest.

Thanks for nothing mo fo [Smile] If they fill me, great- if not no big deal. Like I said- how high can a designer sweatband company go? I think it goes up from here, but I imagine the ceiling is a little low on this one. But who really knows.

(If I were a pumper though, I would spout the market cap data for Gucci or Crocs right now)

I just noticed that I DID get the 100 round up shares in my account. After Fidelity told me I would not.

Not much of a profit in dollar terms at current price of .75, but percentagewise it looks awesome. LOL. (341%)

Just an update, I sold my 100 round up shares yesterday for $1.25 so I made about $100.00 after commissions. (588% LOL)

Not bad, glad it worked out, even though Fidelity was saying I wouldn't get them.
