Smartlinx Inc. Approves Private Placement Offering of up to 5,000,000 Units for Gross Proceeds of up to $2 Million
Smartlinx Inc. (“Smartlinx”), (OTCBB: SMLK), is pleased to announce that it has approved a private placement offering (the "Foreign Offering") of up to 5,000,000 units (the “Units”) at a price of $0.40 US per Unit, with each Unit consisting of one share of Smartlinx’s common stock and one share purchase warrant. Each warrant entitles the holder to purchase an additional share of common stock exercisable at a price of $0.50 US per share for a two-year period from the date of issuance. The Foreign Offering will be made to persons who are not “U.S. Persons” as defined in Regulation S of the Securities Act of 1933.

Under the Foreign Offering, Smartlinx may pay a commission or finders fee to duly licensed brokers and investment dealers of up to 10% of the cash proceeds of the offering and issue warrants to purchase up to 10% of the number of Units sold in the offering on the same terms as the placed warrants.

Smartlinx intends to use the proceeds of the Foreign Offering to implement its plan of operation and for general working capital purposes. There is no assurance that the Foreign Offering or any part of it will be completed.

Smartlinx Forms Strategic Alliance with Nettlinx Limited to Implement SmartVM Technology in Biometric Based eGovernance

Smartlinx Inc. (“Smartlinx”), (OTC BB: SMLK.OB), is pleased to announce that its wholly owned subsidiary, Smartlinx VoIP Networks Private Limited, signed a memorandum of understanding with Nettlinx Limited (“Nettlinx”), an ISP and STPI registered service provider in India, to collaborate on the development of biometric based eGovernance system. Under the memorandum of understanding, Smartlinx has granted Nettlinx the right to use and market its SmartVM technology, an eGovernance application to be used with biometric systems, in the state of Andhra Pradesh, India. Smartlinx will retain the rights to market and use SmartVM outside of the state of Andhra Pradesh, India.

Nettlinx has obtained a work order from the Forest Department of the Government of Andhra Pradesh to develop a biometric based voting machine for pilot implementation. The parties anticipate that Nettlinx will initially use SmartVM in its development of this biometric based voting machine. Smartlinx has agreed to assist Nettlinx in the customization of SmartlinxVM with biometric based hardware and will also provide maintenance and support services to Nettlinx.

The term of the memorandum of understanding is for a period of one year. Each party may terminate the memorandum of understanding upon providing one month’s written notice to the other party.

Online educational and VoIP monitoring services provider Smartlinx Inc (OTCBB:SMLK) has announced it has approved a private placement offering ('Foreign Offering') of up to 5m units at a price of USD0.40 per unit, with each unit consisting of one share of the company's common stock and one share purchase warrant.
According to the company, each warrant entitles the holder to purchase an additional share of common stock exercisable at a price of USD0.50 per share for a two-year period from the date of issuance. The Foreign Offering will be made to persons who are not 'US Persons', as defined in Regulation S of the Securities Act of 1933.

PSC likes the upside on SMLK because of their vision and their ability to execute and get some big partners to back them in their endeavours.

SMLK is tackling the E-Learning multi-billion market. The article on this link predicts that the market could hit $49.6 Billion by 2014.

UNION CITY, NEW JERSEY, Mar 19, 2010 (Marketwire via COMTEX) -- Smartlinx Inc. is pleased to announce that its wholly owned subsidiary, Smartlinx VoIP Networks Pvt. Ltd, today crossed a major milestone in their tutor recruitment campaign across South India.

The campaign to enroll in excess of 10,000 tutors for Smartlinx's Live Tutor education platform, through aggressive advertisement campaigns across media including Radio, social networks, print, online as well as Out of Home (OOH) campaigns, has shown good results.

The target group for the campaign - "Teach, Learn and Connect" - includes professionals, professional teachers, students of higher education and housewives.

The campaign that began from 1st February 2010 has already enrolled 1,500 teachers as to date. Smartlinx plans to reach the target of 10,000 by May 2010 when summer vacation starts for the schools, provided that the private placement which was announced earlier is completed.

A tutor who is willing to teach an average of 9 hours a week and 3 students at a time, using Smartlinx's one-to-many model, can earn around Rs 10,125 ($225) per month while Smartlinx will charge a connect fees of 2,700 ($60) per month.

The student (Class X, IX, XII) just spends Rs 120 ($2.67) per hour which is almost what he/she spends for the transport to have supplementary education in metros now.

Based on the calculation above, the completion of this campaign gives Smartlinx the basis to target a turnover of Rs 324 Million ($7.2 million) per year only from this segment of its business.
