From pink sheets, it shows 50m shares o/s. Low float, RSI just crossed 50...could run big IMO.


LAS VEGAS, NV , June 27 /PRNewswire-FirstCall/ - Neuroscience Therapy Corp. (OTC: NPYC - News) announced that they have received an Intent to Purchase, which has been signed by both parties.
The amount tendered is in the amount of fifty million USD ($50,000,000.00) USD. We anticipate closing this transaction within ten (10) days of mutual acceptance and final legal due diligence on the parts of both respective firms.

An asset acquisition agreement must be prepared and agreed to that outlines and details all the assets of NPYC.


The following are the basic terms of this purchase agreement:

1 (100%) equity stock interest must be included in the purchase.
2. Neuroscience shareholders to receive fifty million ($50,000,000.00)
USD less commissions, legal and accounting fees at closing with
ten million ($10,000.00) USD, held in trust until all stock is
delivered. Payments may begin at the conclusion of a 10 day hold
period.
3. The Patent owners must agree to a reasonable price for the patents
prior to disbursement of funds. The price of the patents will be
taken from working capital, thirty five million ($35,000,000.00) USD
to be injected after closing.

This is an irrevocable offer, under the penalty and perjury. The period of closing should not extend beyond 30 days.

Moved 36% today. I can't see (yet) how this is a bad play at the current price.

In reading the 15c2-11 Information Statement it looks like there is 75 M O/S.

Which brings the basis to .667/pps on the buyout as best I can determine. Even with legal and trade fees would we not clear .45?

Why is this not trading higher?

If I felt I had a good understanding of the O/S I might feel better. I just do not know. Trying to find more DD...just coming up empty.

I left a message for IR on shares. Hopefully IR isn't west coast like the corp.

Looking closer at the 15c2-11 it looks like in Item(IX)(8) there are 150M shares Authorized.

Item(v) indicates there are 75M shares and some 25M for purchase of technology.

It also indicates 400K float.

The Stockholder's Equity section of 1Q '06 financials indicates 50M O/S.

The financials have the later date.

So, basically I am confused.

Assuming the following total shares we have these potential pricings:

50M shares $1
75M Shares $0.667
150M Shares $0.33

Less fees and legal.

Anyone able to confirm my information?

Sorry for being so thoughtless to everyone. I deeply regret the inconvenience I caused to all of you who wasted your day researching this stock because you thought it was .10 or under. My apologies. Jeez...

Ummmm, I am pretty sure I didn't waste time.

I am still looking at this one. Up .02 at the time of this writing.

Hopefully someone can verify my work and I hope IR calls me back today.

I will post what I get.

I just wanted to be clear I was thankful for the heads up.

I will admit I am having a hard time getting any good DD on this one. Even on IHUB.

I will call during Business hours tomorrow.

BTW, I am not in this stock yet. Too many uncertainties for me right now.

The other thing that concerns me is the falling price. Normally shares trade very close to the surrender value close to the sale.

This is also not getting IHUB press. Do you hvae anything Bax?

i just spoke with raymond johnson (the investment broker for neuroscience theropy corp.) at 1-866-639-3900 and he said it is a go and the price will be around .55 so just wait for the follow up news to find out what needs to be done to sell your shares

So 2 of us here and 3 on IHUB seems to be following this stock.

I am in and if the buy point is .55 or higher I am very happy.

Let's hope they hammer out those agreements quickly and close.

Up 50% today with little volume. Of course, it was down 50% from Thursday, but still money to be made possibly. Any other background on this company? [Smile]

I am getting nada. IR does not return calls and I can't seem to catch them when they are there.

Then agin...with a 400K float and a buyout I don't think stockholders are at the top of the list right now.

spoke with IR today. He is very nice and indicated to call back for updates.

I was told:

All indication is the deal is suppose to be on track.

Outstanding and allocated shares are 75M.

Deal is less legal and commissions.

This should be nice deal if it goes through.

it has stutter stepped since. looking at the chart it was .15 Thursday last, and has come down since. I thought this odd so I was going to keep a sharp eye on it.

So.....I am a little confused by this one. Low floater but does not move on news from the 27th. In fact, it drops but then goes up 40% yesterday at eod. Not much interest apparently, the buyout notwithstanding. Seems there is a weird spread on bid/ask but still no movement. I only have a few thousand shares but this seems to have the potential for $. Can't seem to find any info, website, etc. Sounds like my kind of investment! Any thoughts?

I did speak to IR a week ago and all was on track at that time. I have several IRs to call tomorrow and I will update.

The float is about 500K - 400K with outstanding and authorized shares at 75M. Raw gain is .66. After costs it should yield between .45 and .55.

Either the float is eaten or this is bogus.

I have already covered my expense on this one as a precaution.
