It's back & it's smoking. So far it's more than doubled since I first bought in. I'm actually thinking of buying more because this barcode reading technology is starting to take off & NEOM has some patents that many people will have to pay licensing fees to use the most cost effective applications. These guys are right in the middle of this. If companies don't use NEOM's patented technology it will cost them a lot more to set up their own mobile barcode reading applications. They were way a head of the curve 5 & 6 years ago. Now everybody else is catching up to their technology & the MOBILE MEDIA sector looks like it's ready to take off.

Like I said,,, I've already doubled my money, still riding this thing & might buy more Monday. It's behaving the same way it did 5 years ago. I made a mint on it back then & could do a lot better this time. The stock has done a bit of a correction the last 2 days coming off a high of .0148 & closing today at .0135. It looks like it's in another consolidation phase as traders take profits, re-esatablish their positions & new money comes in. Keep in mind I could be totally wrong & this is a penny stock which in itself makes this a super high risk play. However I think I'm right & I'm expecting another move up in the not too distant future. Overall I'm looking for this thing to blow up with even some half way decent news of any revenue generating deals or licensing deals from others using their patented technology.

Here's your powder keg

Almost too good to be true but this thing is behaving like it's getting ready to explode.

No pump here. Just an objective observation. This is not a run! THIS IS A TREND! .0219 & closed at the High of the Day! Up another 62% on above average volume. But consider this. Out of 1.3 billion shares only 24,124,149 crossed the board today. That's a drop in the bucket. The real run has yet to materialize. No news announcement. All anticipation. Looks like this is just the beginning.

This one has just started & when it's done it may have outperformed every other stock mentioned on the under .10 board & most of the other boards as well. I can't believe no one here is watching this thing but that's just one of the factors that will fuel a monster run on NEOM

Now I remember.

The last stock I was pumpin...errr...I mean objectively observing was a little gem called ONEV. Their product has potential but it will never be realized because their management are thieves.

This stock is in a different league. It's a penny stock for a reason & I don't know how things will shake out but I've placed a nice size bet * .0069 in late February & getting ready for fireworks.

I don't pretend to know what the cealing is but it's no where near that yet. This thing has a run coming. Any news of a significant material event will take it to new highs. This thing is just getting started.

Just for the fun of it you & Glassman should put it on a watch list. It will be fun to track a lottery pick that just keeps going up.

Closed at .0268 Up more than 23% on above average volume of 51 million shares. Well over a million in value traded hands. Trades appeared to achieve more of a balance, 3 buys for every 2 sells.

This thing has been in an upward trend for 5 weeks, since February 17th when they won the patent re-examination. That has ignited speculation that licensing deals may be forthcoming & has fueled the resurgence of this stock.

We should see some dips periodically that should be viewed as buying opportunities. Who knows, maybe we get a correction tomorrow. In any event there's still time to get in!

On April 3rd there will be a pre-trial hearing on NEOM's patent infringement suit against Scanbuy. If Scanbuy settles my guess is that this thing could see .25 near term. If news of licensing deals begin to appear we will go through twenty five cents with ease.

Overall,,,,Outlook bright!

We've experienced 100% gains the last couple days. There has to be a period of consolidation for the TREND to continue.

You need to be very happy with the way this is trading. NEOM has proven that this is not a flash in the pan or a 3 day run. This is a trend & it couldn't have happened without a pattern of corrections that have solidified ever higher levels of support. I could not be happier with the way this is trading. We need frequent periods of consolidation to continue to establish new highs.

Anyone who is a genuine Long welcomes consolidation as it sets up a new base to continue the climb. This is what differentiates us from a run. NEOM has established a TREND & it's UP!

I can't stress the word TREND! enough. The TREND is your friend. It's the primary reason I do not laugh when people talk about 50 cents & up. It validates the perception that people expect this to become the standard platform for what will become the hottest sector on Wall Street, "Mobile Marketing".

NEOM finally has a solid direction with a CEO who has the skillset & commitment to make it happen.

If NEOM realizes half it's potential, 50 cents PPS is not only realistic, it will be just another area of support on the way to much higher ground. Most people on this board would laugh or call me a pumper if you knew where I expected this to go. There are a lot of longs that had the conviction to not only hold this stock but accumulate & average down during one of the most brutal two & a half year down trends I've ever seen. I genuinely hope that they reap huge rewards for their determination.

On many different boards someone will routinely write "Name me a stock that has gone from sub-penny to over a dollar" To my knowledge there isn't one. I think it's high time that there is a first.

NEOM is an excellent candidate to be the one that makes history! I will hold a position "when" it does!

My guess is when a trade goes off at the bid it's considered a sell & when it goes off at the ask it's a buy!

Let me add that you & I know that when a stock goes up it's considered a bull market & buyers are running it up. When it's going down bears are in controll & we call it a selloff. We also know when MMs want to depress the price of a stock they can take it down on light volume so they can load up &/or cover their short sales.

What I really liked was that at the end of the day it was very heavy buying compared to almost no sells. It looked like traders were scrambling to get back in when the stock did not fall through support. It appears that they're unwilling to "buck the TREND" & be on the sidelines. Any given morning we could get some news that would validate their concern. Then again, this thing doesn't appear to need any news. It's headed up on anticipation!

Like I said! This thing is in a serious Up-trend!

Once again after a couple days of consolidation & profit taking the upward momentum continues.

Relatively light volume but still above average with a strong close near the HOD.

Up almost 42% on volume of 20,598,879 shares. Most of the buying came after 2 pm.

Buy volume almost double sell volume!

See you at a nickle sometime next week if not higher & don't expect it to stop there!

Italy: Train tickets: reservation and payments

The official website of Italian railways can be found at: http://www.ferroviedellostato.it. There you can browse route options and timetable as well as purchase your train ticket! However, payments by credit card are not always successful! You may find yourself struggling with registration, credit card processing and eventually failure.

A new payment option has been recently added to the site: now you can make your train ticket reservation without registering or using your credit card as you will be given the option (once in Italy) to make the payment cash at one of the many shops in Italy that are connected with the SISAL network! (most Tobacco shops)

You can also pay directly at train stations (cash or credit card), or at any ATM of UniCredit bank network (using your credit card)

To complete the payment (at the latest 24h prior time of departure of your train) you will only need the PNR code that is associated with your on-line reservation! At the moment this seems to be the easiest way to go!

A technology that would improve this system would be 2D barcodes that would be read by portable barcode-readers. After purchasing your ticket on-line you would receive the 2D bar-code as image on your cell phone. It would be enough to hand the cell phone to the employee on the train and have your payment verified. Check NeoMedia Technologies company (http://www.neom.com) as they are working on developing this technology that could be applyed to anything! From tickets for concerts, to bus tickets, to shopping and gift certificates... and anything else you can think of! In case you loose your cell phone it would be enough to call the operator to have all of your purchases and money blocked from being spent! No more risk of carrying cash as you would be able organize your e-Woollett from a PC or from your smart phone!

It seems I have lost track of one of my own perspectives as a result of the patent win which apparently has distracted me. If I have not mentioned the following on this board I do know I have mentioned it privately:

I have recently made mention that due to the PTO win and the flurry of activity surrounding codes Neom should now be able to move forward in selling the company. However, there is one item I am guilty of losing sight of. While Neom should certainly have a strong enough case at this juncture to warrant a sale, it still has not officially been "named" as the "clearinghouse."

Provided I am correct in believing Neom is slated to become such clearinghouse, the "official" award of that title could be worth an extra dollar or two in the till. I do not think that award will be issued prior to Q3 or Q4. Therefore, Iain may in fact be assembling the player(s) for the transaction now, however, it may not be able to be consummated until the announcement.

This is actually good news since it means that Iain will continue to build the revenue model which will only help substantiate the best value for the transaction.

All this is JMO.

This kind of upward movement we've had is what validates & best characterizes an Up-trend.

Move up followed by a period of consolidation, then another move up & the process repeats itself yet again = UP-TREND.

Much rather be on a stock with a strong up trend than on a stock that does a run 1 to 3 day run.

Mobile barcoder Scanbuy has announced that it’s going to make the specifications for it’s proprietary EZcode available to the public. All of the info necessary for encoding and decoding the 2d barcodes will be published for developers, merchants and producers to take advantage of.

What we think?

This is a major step away from proprietary and towards open standard barcodes. I can’t help but think this is a reaction to NeoMedia’s winning of it’s patent battle. With that under it’s belt, NeoMedia is going to go from strength to strength. In order to compete with that, other barcodes will need mass take-up. It’s not like EZcode is a small player - a huge number of companies use and support EZcode in markets globally. Now is the right time to use that success, and push towards standardisation.

On a 10 day scale the volume was less than average at 14.1 million shares but we're headed back up. Up 19.4% on decent volume & closed near the high of the day! That & the fact that most of the buys came in late is a show of strength. Now let's see if NEOM can continue it's interupted up-trend!

NEOM is locked in a 6 week Up-trend with no end in site. The entire mobile marketing sector is heating up & NEOM owns what can only be referred to as the “BRIDGE” It's an iron-clad patent on the most efficient application to scan & process the bar codes central to the new mobile marketing application. That same patent was challenged a couple years back & the United States Patent Office just up-held it in NEOM's favor.

Last two days trading much more slowly on lower volume but still holding it's own & actually posting minor gains both days. Still it's more like trading sideways as though setting up a base in another consolidation phase. Near term we continue to expect more gains.

I would like to see them move the bid up to .029 & leave it there or above. Volume is lower than usual but any close in the green is welcome. It would appear that we're in another consolidation phase. Next pop could take us into the .04s or higher.

I had a delightful interview with the CEO of ScanbuyJonathan Bulkeley at CTIA. We had been trying to meet each other for over a year now and I felt that there was a time there that Jonathan didn’t want to meet me – so catching up for an interview was great.


The only hiccup was that I had been to the Skype party the night before and I am not as young as I used to be so I am afraid to say it but at one point I did think that I might actually vomit on Jonathan – but he was very good about it! (I wish I was joking!)
So, I sat down with Jonathan and we drunk coke as I interviewed him. I had a few questions that I wanted to address immediately to clear the air and then move on.

Bena: So how is business?

Jonathan: Good. We have a strong foothold in the operator market – one of the best and that is where we are well placed.

Bena: Is the US your main area?

Jonathan:No. Actually, I know you are aware of our deals with Telefonica and recently TIM. Europe is huge market for us.

Bena: So you are targeting Europe first?

Jonathan: No. Our strategy and I think it is a vital strategy is to target markets. We feel that we can penetrate certain markets and own them.

Bena: What do you mean? So you control or create a seamless service in an area.

Jonathan:Yes. This is what is happening in Spain. We are going to have a seamless agreement with Telefonica and Vodafone. So any users can share the or take images of the same code. This is vital for the mobile barcode market and will make mobile services rocket. Mobile codes have amazing potential and we need to capture that. Our aim in territories is to capture it and own it.
Bena: That is a very interesting strategy. (Pause) Very ambitious – but very interesting. My only concern is that the operator market is a very tough space and there is little loyalty. What is the cost of entry?

Jonathan:Its free. Free is the best way to engage operators and that is why we have a head start. We make our money with revenue share and uptake and this is starting to happen now.

Bena: OK. But there is always competition from new or local players. There is a mobile code start up weekly.

Jonathan: Yes – but we have such a strong position in some markets it will be tough to penetrate.

Bena: I thought that you and CTIA had some kind of special thing going? So the US was a big market for you.

Jonathan: Yes. We are just a partner. The CTIA chose to make us a preferred partner and we went with it.

Bena:I thought there was some back hander or something there. Usually groups such as the GSMA will have a preferred partner - but pick one exclusively.
Bena: OK. (I have some other thoughts on this which will come out in another article on codes in general.)

What about the patent issue and NeoMedia?

Jonathan: Laughs – some one is suing someone!

Bena: Yes. But they won this patent war now – what does that mean for you?

Jonathan: They won the war on a scaled down patent.

Bena: Does that mean you will or won’t accept a license fee?

Jonathan:Today we are going to make our barcode open to the world. Open is the way forward.

Bena: I agree Open is a great strategy and I hated the fact that your code was proprietary. That will be good for you – but it won’t effect a license fee.

Jonathan: If there is a small and reasonable and very affordable fee – I am sure we wouldn’t mind. But will it be small enough?


Bena:I am sure it will be reasonable, or at least that is what I was told in an interview with Iain McCready.

Jonathan: Yes I have spoken to Iain, he is a nice guy.

Bena: Yes he is. So just to get this if this is a reasonable license fee you wouldn’t mind.

Jonathan: Yes.

Bena: How confident are you on the business in the recession and moving forward?

Jonathan: It is a tough market but we have made some great waves. We are in a lot of markets and we haven’t sat around we have a crafted strategy.

Bena: So what is the most important thing for you moving forward?

Jonathan:Well it has to be local territories. If we can achieve a seamless barcode eco-system in Europe (Spain) we have entered the road to success.

Bena:Do you see yourself as a barcode leader?

Jonathan: Yes. We are in some key and vital mobile markets and with high level operators.

Bena: But so is 3G Vision and others what is your value?

Jonathan:Bena – we are a growing company. We have a strong service and longevity already in the market and we have local and global teams. The operator space can be high burn but we are nearly there now the hard work has been done and rewards will follow.

We share a couple of jokes and I thank Jonathan for not eating the barbecued pork or whatever they were serving in the press office as the smell was having a very negative effect on me!

What we think?
Now. I had a nice chat with Jonathan Bulkeley and he was a very straight realistic guy. He wasn’t what I was expecting but I imagine he is a very tough cookie on the business side of things.

Also 8K was filed & we have an extention of our financing through July 2010.

Texas. At a February 25, 2009 status conference, the jurisdictional issue was raised, and the
Court suggested that the parties consider transferring this action to the United States District
Court for the Southern District of New York where an action by NeoMedia against Scanbuy is
pending (Civil Action No. 2:04-cv-3026).
After the status conference, the parties conferred in an effort to avoid motion practice in
this Court on the jurisdictional issue. Ultimately, NeoMedia provided Scanbuy and MFR with a
declaration from a corporate officer stating that, to the best of its knowledge, NeoMedia has not
conducted any business in the Eastern District of Texas.

The hearing is over. There were two lawyers from Neomedia and one from Scanbuy. The three of them went back into the judges chambers and had the hearing there. Nothing was discussed publicly, except the judge and the three lawyers agreed to move things along quickly. The TX case apparently has not yet been officially joined with the NY case because of some paperwork. That's it.

you're right, this week has produced some great pr and the stock isn't jumping quite like I expected it to. I guess the sell offs are taking a hit on the price but there's no reason why this stock isn't at least .05 yet.

We have received 12 different emails on the same subject, quoting the same material. We don’t know if its true -but it seems as though the bitter web patent mobile barcode battle between NeoMedia and Scanbuy is coming to an end.
This is what we received:
Neomedia and Scanbuy May be Very Close to Settlement
By letter dated September 10, 2009, Scanbuy and Neomedia jointly requested the judge in both the Neomedia v. Scanbuy case and in the Scanbuy v. Neomedia case to extend by two weeks certain looming procedural deadlines in the Neomedia v. Scanbuy case. The reason for the request was stated in the letter as follows: “The parties in the [two cases] have been engaged in settlement discussions over the last two weeks and believe that a resolution of both actions may be possible.”

Nice move today. Looks like we have an up-trend in place. Hope we can sustain this rally. We still have a settlement issue that could happen any day & expecting it to go in our favor. If there's a PR that states Scanbuy has agreed to a licensing fee as part of the settlement this thing should fly.

I only just recently heard of GERS.

Now I have it on my watch list as I really don't know anything about it.

NEOM's down today but I wi;; simply ride this out unless there's a monster spike. Only then will I take profits on some of my position.

My entire position has been bought at .0076 or below so I will hold a minimum of half that as a core.

The Court has twice before granted the parties' joint request for two-week extensions of the schedule for breafing related the the interpretation of the patent claims at issue to allow the parties to discuss settlement.

During the most recent extension, the parties exchanged emails and had numerous telephone conferences, but the parties have ben unable to schedule a face to face meeting between their respecti e representatives due to travel schedules. The fact that Scanbuy agreed to pay for past infringements at all, regardless how much, as well as the fact that they agreed to pay royalties on all future deals & told NEOM they didn't have to pay to use any of Scanbuy's patents is an indication of just how strong this patent is.

I'm not saying there's no way to get around it. I'm saying is this is proof that there's no cost effective way to get around it which means this is exactly what all the bashers said it wasn't. A strangle hold on a bottleneck killer app in the what will be one of the hottest market sectors for years to come!

We will not pay Scanbuy any fees or royalties. The way I read the 8K it looked more like a total surrender than any kind of settlement. Scanbuy is giving us access to their entire patent potfolio without us paying a dime. Not only that but they're paying us royalties plus fees for infringement.

I do expect a correction tomorrow. That was a huge spike today so some will take profits & there will be a hand full of players that get spooked into giving their's away.

Then again I could be totally wrong.

This thing could keep climbing for no other reason than the news of this settlement was monumental.

The way I see it, any pullback should be viewed as a buying opportunity but I would not encourage people to wait for a dip. Many times today we experienced corrections before continuing upward & it did close near the high of the day on the highest volume I've ever seen with this stock. So it's entirely possible this thing just keeps motoring north.

All I know is mine are locked up for the foreseeable future!

Do you really think they'll be a correction? It's not THAT high! We were at .0159 last week on NO news - never minds news of MONSTROUS proportions!!

I'm leaning toward selling enough to:
A) get my principal out
B) sell enough to get MOST of my principal out - but still holding the rest at .01 average.

I've ALWAYS liked this company - since the .01-.43 in a day move 5-6 yrs. ago - innnn.... OCTOBER!!! We've had some HUGE Octobers in pennyland! UVCL, CYBR - can't remember them all!

I'm up almost double on RDXN, and I'm REALLY hoping GERS gets back to last week's numbers - I'm STILL kicking myself in the but on the way I played that disaster. If I hadn't been here when the news hit - I would have been out at .0065 with a double. I cancelled that and bought more at .0067!! STUPID ME - I chased and lost big. Now my avg. is .0046 and down $900 on it.

Why buy? The short story,,,

Yesterday there was a PR stating NEOM & Scanbuy had reached a settlement. Then we had a decent run-up & closed near the high of the day on the largest single day volume in NEOM's history.

Then NEOM filed an 8K disclosing a "Significant Material Event"

The 8K started to hit the news wires right after the close & people had all night to digest the fact that it's not a settlement at all. It was an absolute surrender by Scanbuy & left Neomedia with virtually no competitors as the uncontested toll collector of the entire mobile marketing sector. Scanbuy actually becomes a sales agent for NEOM.

Two large companies had already signed up & have agreed to push the mobile marketing applications using & even promoting NEOM's IP.

Knowing how mobile marketing took off in Japan, even if we had a market cap of 500 million we would be grossly under valued & people would be climbing over each other trying to get in.

Today we're just watching MMs & flippers trying to improve their positions.

At a cost average og .0076 I'm happy with mine where it is & wouldn't sell at gunpoint!

Hope that answers anyone's questions that are new to the board. Do your DD quickly. at 2 cents a share no one has missed the boat.

If each of those codes generates an average of $100 annually that’s $3 billion in annual revenue
Even if the float reaches 5 billion shares that is annual revenue of $ 0.60 per share
Costs to Neomedia are minimal so they could realize $ 0.30 per share earnings
At a modest 15:1 P/E ratio that is a share price of $ 4.50
How long to get there? I have no idea.

After years of waiting for 2D barcodes to deliver on their promise of linking print and product codes to rich media and consumer engagement, it’s hard to get excited about yet another announcement.

Nonetheless, signs of standards alignment, mobile reader interoperability and serious ecosystem commitment are gathering momentum. Neustar, already the lynchpin of short code marketing in the United States, is well positioned to be the trusted service provider for wireless carriers and creative agencies who want to launch a marketing campaign based on 2D barcode scanning. Neustar provided central clearinghouse and registry services for a 2D interoperability pilot program last spring to get the ball rolling. In my experience, every leading brand and print publisher who sees a demo of 2D barcodes gets enthusiastic about how it can bring innovation and interactivity to their product marketing.

So everyone loves the technology. But marketing campaigns are planned around how many customers you can reach, how many devices, how many wireless subscribers. Getting the maximum participation in any campaign requires standards, interoperability among devices and readers, and also someone to be the registry and the clearinghouse for getting all the traffic to the right place based on the 2D barcode image scan. That means a large ecosystem of companies who are willing to put proprietary concerns second to creating a platform that will scale the market as a whole. That’s how NeoMedia looks at this opportunity – we want to help make it a big enough pie for all partners to benefit.

MC: I know that NeoMedia is active in Europe and Latin America and other areas of the world. What does your recent agreement with Neustar mean for the U.S. market in particular?

A lot of companies have been on the sidelines because of debates inside the industry about standards and interoperability and intellectual property ownership. MC: What’s your prediction about when the ecosystem strategy will pay off? Will 2010 finally be the year of 2D barcodes for mass market campaigns?

IM: I expect 2010 is going to be huge year; by the second half of 2010 we will begin to see scale and from that the market will take off. But we also know that mass market adoption is not going to happen overnight. There is still a lot of education to be done, and pilot projects to get new players familiar with the potential of 2D barcode interactions. So NeoMedia will be even more active in the coming year as the U.S. and global market takes off.

I'm just a little frustrated. I was up $3K at .025 - but was SURE (IMOM - In My Own Mind!!) that we'd hit .04-.05 this week and THEN MAYBE pull back to settle in mid .03's til news. I wouldn't have been surprised if we hit .10 or more yesterday.... I should have know when we moved up ever so slowly right after the news hit Wednesday. I can't believe we never even got to .03 - sure not like ROCKTOBER 5 or 6 years ago! Then again - there are a billion more shares out now. Yet other PURE, ABSOLUTE Scams with billions of shares out run for days sometimes!! I thought we'd have a run of "EPIX" proportions!! You saw what EPIX did last week right?
If I had sold at .025 I could have gotten back in yesterday or today with about 160,000 more FREE shares... I didn't sell ARTI and GERS on their runs recently and had lots - GERS I REALLY messed up on as you've probably red. Now it's so diluted I don't know what will happen.

Up on huge volume, down on low volume. There's no need for it. If they can't make a profit simply exicuting trades they need to go to jail. Unlikely that will ever happen.

Dorbirner Messe, a leading organizer of trade fairs in Austria, first engaged with NeoMedia in the spring of 2009 when it used 2D codes in the promotional campaign for its spring exhibition “Frühjahrsmesse”. Following the success of this campaign, NeoMedia and partner Philipp (a mobile solution and services provider), have just completed the Autumn Fair in Dornbirn. The autumn project involved issuing all exhibitors their own 2D barcode linked directly to their personal mobile subpage. These barcodes were displayed across a wide range of media including transport; employee t-shirts; and regional print media.

I should have been in during the middle of September, 2009, when the asking price was around 0.005/share. Again, when I take a second look, she's been dancing upward and there is that good possibility that she could even pass 0.03 soon.

We closed today @ .0168 as people are attempting to flip. You might want to do some research really quick as the up-trend you've wittnessed is not about hype. Don't get caught up in message board noise including this post. Read headlines & SEC filings & a little history. But I would encourage you to do this soon. At anything under 2 cents no one's missed the boat by any stretch of the imagination.

Hot - I agree with Whiz - You are LUCKY, imho, if you get in on this dip!!!

I have an order in for another 200000 at .01 - and if it bNEVER gets filled because we went to .05 - I'm THRILLED! Then again - if we stay in the .017-ish range - I'll fall asleep!

I'm starting to think there are no more upshots on good, legit companies... We need to play them all......

Love. I truely believe we have a legit company that we can "hold" long term like in days of old.

Remember how people used to "invest" in companies & not just flip & trade?

I'm thinking of buying more at this price as it appears to have bounced off the lower line of an uptrend. It could continue the trend or trade sideways for a while as it consolidates & this becomes a new base. Of course it could also go down but I'm hoping it doesn't.

The best thing it could do is stay in the 17ish range so you can get that sleep & we develop a strong level of support here.

Can't blame those that trade it because it has been volatile to the max.

My greatest fear is that I would attempt a flip & miss the run or have to chase it.

Buy out? It's not a baseless rumor. There's serious evidence that a buy out "could" be near. If it is sold my personal feelings are we would be getting robbed for anything less than 50 cents a share but the fact remains that NEOM has not had a chance to showcase it's potential & no one will pay 1.2 billion for it now.

Neustar's Diane Strahan on 2D Barcode Mobile Services

Mary Cronin (News - Alert): How would you compare the potential for 2D barcode implementation to the use of the Common Short Code Administration, which Neustar has been part of developing and supporting since 2003? Do you see 2D barcode marketing campaigns substituting for text message marketing, or co-existing with short codes?

Diane Strahan (pictured left): As more consumers rely on their mobile phones for media and information, I see mobile marketing campaigns increasing across the board. Neustar is enabling the same level of interoperability and ubiquity for mobile barcode services that we now provide for common short codes and both can thrive on that foundation.

Smartphones can access 2D barcodes to display rich media content about specific products and that’s an exciting new opportunity for brands to reach out directly to consumers. The barcode technology uses the mobile camera (already a part of 90 percent of phones), the fact is that picture-taking is now the third most popular activity for mobile consumers, after voice calling and texting. But this new activity isn’t going to displace short code marketing any more than TV displaced radio marketing campaigns. More media and content, not less are being consumed daily. And the youth market is consuming content over multiple media channels at the same time, using their phone, TV and PC internet at the same time.

Short codes have proven to be incredibly flexible in how they can be used to engage consumers, provide links to information, and create loyalty. Companies are using short codes in ways that we never imagined when the Common Short Code Administration service started up. Advertisers who recognize phone as a media channel will continue to make use of short codes and will incorporate the 2D barcodes to provide different types of information and services. Most consumers have unlimited messaging plans and over 97 percent of all mobile devices support messaging, so common short code based mobile marketing is here to stay for quite some time because consumers love to text.

Consumers who subscribe to data plans and are interested in immediate deep rich interactive experiences will enjoy 2Dbarcodes. In fact, many barcode readers are downloaded via a common short code. Both mobile marketing methods support click-to-call, coupons and more. In some cases it will be a matter of consumer preference and in some cases one mobile marketing method will be better than the other depending on the audience, content and experience desired. I expect that we will soon see very innovative 2D barcode campaigns for consumers and for the enterprise.

MC: Do you think that all the ecosystem components are finally in place for 2D barcodes to take off in the United States? If not, what is missing or still in an early stage?

DS: Neustar has been working with the players in the ecosystem from brands to mobile operators to technology companies so we can understand what is required by each in order to support a truly scalable, interoperable and customer centric service. A successful barcode marketplace requires interoperability of barcodes and readers, as well as the infrastructure designed to support marketing campaigns and 2D barcode services. Many of the services accessed by barcodes will be regional, or even local, depending on the company developing the campaign and the mobile operators on which the campaigns are delivered.

We wanted to think globally from the beginning and to offer the option for barcodes to seamless span all geographic areas, whether that is Europe, all of the Americas, or the entire world. So, to directly answer your question, yes, the important components of global barcode access and full interoperability are ready to go.

One piece that was missing until recently was agreement on 2D barcode intellectual property ownership and licensing issues; we worked to overcome that hurdle through our partnership with NeoMedia, who has important patents in this area. This partnership agreement and the demonstration of technical interoperability that Neustar and its global campaign management partners achieved earlier in the year, provides a clear field to move ahead with an open solution that allows all players to join the ecosystem and access the same infrastructure.

From a mobile device perspective, I expect we will see more out-of-the-box handsets that can scan 2D barcodes as mobile device manufacturers will make the embedded scanner a feature and innovate around the 2D capabilities on the phone. Their innovation will continue to improve the barcode readers flexibility and ease-of-use for consumers to use for all sorts of applications.

From a broad systems perspective, we are still early in the adoption stage, with mobile operators innovating to include mobile advertising in their portfolios and determining how they will work with the progressive media campaign managers. Now that the interoperability question is largely resolved and the necessary intellectual property and mobile device platforms are ready for widespread adoption, 2010 is shaping up to be a year of milestones for 2D barcode usage around the world.

MC: Beyond mobile marketing, do you see a role for 2D barcodes in other areas such as connected health, smart automotive, or enterprise services? If so, what kind of applications do you envision?

DS: Absolutely. 2D barcodes can play a role in many industry sectors. With a global registry and clearinghouse in place 2D barcodes will be feasible and valuable in many specific vertical markets and applications. Two areas we are already seeing take up are ticketing and couponing from both consumer and enterprise perspective this initiative is a huge convenience and money saver.

I see the automotive industry as a leading vertical for mobile marketing as well as for smart services. Cars and automotive parts already have barcodes on them that are used in manufacturing and inventory applications. Today these barcodes may require different types of scanners and not be interoperable or available to the car owner. As the automotive sector adopts 2D barcodes, employees and consumers can rely more on standard mobile devices for scanning and can access much more detailed information about parts, specification and inventory. In addition to advertising uses, barcodes will certainly support supply chain applications where specific information is required to solve problems and serve customers.

In fact, tracking parts and replacements with 2D barcodes applies to every complex product. This type of enterprise application will improve customer service and operational efficiency, especially as smart products become more complex and customized.

There is also a role for delivering information in new ways using 2D barcode displays and labels. The health care industry could use barcodes as a vehicle to migrate patient records from a primary care physician to a specialist – just think, no more faxes in the 21st century. This is a much “smarter” “greener” approach.

Overview

NeoMedia provides the infrastructure to make mobile barcode scanning and its associated commerce easy, universal, and reliable - worldwide. Our barcode ecosystem products including mobile barcode reading software, NeoReader, read and transmit data from 1D and 2D barcodes to its intended destination. Our Code Management (NeoSphere) and Code Clearinghouse (NeoRouter) platforms create, connect, record, and transmit the transactions embedded in the barcodes, like web-URLs, text messages (SMS), and telephone calls, ubiquitously and reliably.

In order to provide complete mobile marketing solutions, NeoMedia also offers barcode scanning hardware that reads barcodes displayed on mobile phone screens or printed media. NeoMedia provides infrastructure solutions to enable mobile ticketing and couponing programs - including scanner hardware and system support software for seamless implementation.

This technology is supported by our patents. In addition, NeoMedia has an open standards philosophy designed to make integration and use of the technology easy for handset manufacturers, mobile operators and advertisers; and the user experience safe, reliable and interoperable for consumers.

In 2006, we began divesting our non-core businesses in order to focus our efforts on the area that we believe will deliver the most value - our code-reading business and the related intellectual property. In the fourth quarter of 2006, we disposed of two subsidiaries, Mobot and Sponge. During April 2007, we sold the 12Snap business unit and in October 2007, we completed the sale of our Telecom Services business. In November 2007, we sold our Micro Paint Repair business unit. As a consequence of these divestitures, we evaluate our continuing business as one consolidated business. These divestitures were integral to our turnaround plan and the proceeds received from the sale of our non-core business units have been used to continue the development of our code-reading business. A major goal of ours is to provide the industrial and carrier-grade infrastructure to enable reliable, scalable and billable commerce that is customer-focused and drives revenue growth.

During 2008 and early 2009 we have made significant changes to strengthen our management team. In June 2008, Mr. Iain A. McCready became our Chief Executive Officer and Chairman of our Board of Directors; in September 2008, Mr. Michael W. Zima became our Chief Financial Officer and Secretary; in January 2009, Ms. Laura Marriott became a Member of our Board of Directors; and in March 2009, Mr. Dean Wood became our Vice President - Business Development.

During 2009, we have taken steps to build on the developing ecosystem based on the strengths of our patent portfolio. To accomplish this, we have entered into several licensing programs and resolved a significant outstanding legal matter.

On July 28, 2009, we entered into a non-exclusive patent licensing agreement with Mobile Tag, Inc. for machine readable mobile codes under our patent portfolio. Under the terms of that agreement, we will receive a percentage of revenue generated by Mobile Tag, Inc. through the use and licensing of our patent portfolio.

On October 2, 2009, we entered into a four year agreement with NeuStar, Inc. in which we granted to NeuStar a non-exclusive license to a portion of the Company's patent portfolio primarily for the purpose of establishing and providing registry and clearinghouse services within the field of use and territory. The terms of the License Agreement also grant to NeuStar an exclusive right to grant royalty bearing sub-licenses to the same portion of the Company's patent portfolio within the field of use and territory to resolution authorities for a period of not less than one year, but up to four years depending on the achievement of certain milestones as set forth in the License Agreement. In addition, NeuStar will perform certain reservations, administration, billing & collection and other additional services for the benefit of the Company, NeuStar and the sub-licensees.

On October 7, 2009, we entered into a four year agreement with Brand Extension Mobile Solutions, S.A., a Madrid (Spain) corporation ("BEMS"), in which we granted to BEMS a royalty bearing, and non-exclusive license to use the Licensed Platform in an approved Field of Use within a certain geographical Territory. The Licensed Platform will support BEMS's performance of exclusive commercial operations under a particular cooperation agreement between BEMS and Telef�nica Internacional, S.A.U. ("Telef�nica"). BEMS intends to use the Company as its prime vendor in connection with such agreement with Telef�nica. The License Agreement grants to BEMS the right to distribute the Company's barcode reading software via download or through its inclusion in mobile devices. The License Agreement also requires BEMS to purchase twenty-five of the Company's hardware products to support testing and marketing of barcode and mobile barcode based ticketing and couponing activities.

On October 16, 2009, we entered into a ten year settlement and license agreement with Scanbuy, Inc., in which the Company and Scanbuy settled all of their pending litigation against each other and granted non-exclusive licenses and a sublicense to each other. Pursuant to the terms of the Agreement, the Company granted to Scanbuy a royalty bearing, non-exclusive license to use a portion of the Company's patent portfolio within the field of use and in the territory.

Comparison of the Three and Nine Months Ended September 30, 2009 and 2008

Results of Continuing Operations

Beginning in late 2008 and continuing in 2009, we have taken aggressive steps to control our costs. These efforts have resulted in reduced operating losses in the three months ended September 30, 2009 compared to the three months ended September 30, 2008, of $1.8 million and $2.4 million, respectively, and reduced operating losses in the nine months ended September 30, 2009, compared to the nine months ended September 30, 2008, of $4.9 million and $7.6 million, respectively. However, our loss from continuing operations was $42.1 million during the nine months ended September 30, 2009 compared to $15.2 million during the nine months ended September 30, 2008. The overall loss incurred in the nine months ended September 30, 2009 was primarily the result of net non-cash losses from the change in fair value of our hybrid financial instruments, warrants and debentures, totaling $32.4 million. The net non-cash losses for the three months ended September 30, 2009 totaled $10.7 million. We incurred these net non-cash losses principally as a result of the fluctuations in the market value of our common stock during the three and nine months ended September 30, 2009. During the nine months ended September 30, 2008 we reported net non-cash losses on our hybrid financial instruments, warrants and debentures, totaling $5.4 million. These net non-cash losses were principally the result of fluctuations in the market value of our common stock.

Net Sales - Total revenues decreased $141,000, or 43%, to $189,000 for the three months ended September 30, 2009 from $330,000 for the three months ended September 30, 2008. Total revenues increased $14,000, or 2%, to $815,000 for the nine months ended September 30, 2009 from $801,000 for the nine months ended September 30, 2008. Our net sales and product mix have changed as a result of fluctuations in our operations and as a result of changes in our business strategy. During the three months ended September 30, 2009, our hardware product sales decreased $107,000 or 84%. However, during the nine months ended September 30, 2009, sales of our hardware products increased $173,000 or 63%. During 2009 we introduced our newest model barcode scanners and sold remaining quantities of our older models. Our hardware products tend to be sold in large transactions and can fluctuate significantly among reporting periods. During the three months ended September 30, 2009 our Lavasphere product sales increased $55,000 or 146%, and during the nine months ended September 30, 2009, sales of our Lavasphere product sales increased $46,000 or 60%, both as a result of increased demand for these products and services. During 2009 we introduced our barcode ecosystem products and during the nine months ended September 30, 2009, we have recognized $6,000 of sales revenue for our barcode ecosystem products, as well as $16,000 of sales revenue for the related platform licensing and patent licensing agreements. In succeeding quarters we expect these revenues to increase as we shift the focus of our efforts toward the emerging barcode ecosystem. We believe this focus will deliver the most value in the future. During the three months ended September 30, 2009 we disposed of our legacy software products. However, we retained a share of those products' future revenues. Accordingly, we expect these revenues to continue at reduced levels.

Cost of Sales - Cost of sales was $238,000 for the three months ended September 30, 2009 compared with $377,000 for the three months ended September 30, 2008, a decrease of $139,000, or 37%. Cost of sales was $1,046,000 for the nine months ended September 30, 2009 compared with $983,000 for the nine months ended September 30, 2008, an increase of $63,000, or 6%. Cost of sales for NeoMedia Europe, related to our hardware products, was $2,300 and $135,000 for the three months ended September 30, 2009 and 2008, respectively, and was $336,000 and $250,000 for the nine months ended September 30, 2009 and 2008, respectively. Amortization costs related to our patents, and the proprietary software was $236,000 and $243,000 for the three months ended September 30, 2009 and 2008, respectively, and was $710,000 and $733,000 for the nine months ended September 30, 2009 and 2008, respectively.

Sales and Marketing - Sales and marketing expenses were $149,000 and $711,000 for the three months ended September 30, 2009 and 2008, respectively, a decrease of $562,000 or 79%, and $613,000 and $2.0 million for the nine months ended September 30, 2009 and 2008, respectively, a decrease of $1.4 million or 69%. The decrease in sales and marketing expenses was the result of strict cost controls implemented in mid-late 2008 and further reductions in 2009 compared with 2008.

General and Administrative - General and administrative expenses were $1.0 million and $1.2 million for the three months ended September 30, 2009 and 2008, respectively, a decrease of $232,000, or 19%, and $2.8 million and $3.8 million for the nine months ended September 30, 2009 and 2008, respectively, a decrease of $1.0 million, or 27%. The decrease in general and administrative expenses was the result of reductions in compensation and travel costs, as well as reductions in professional fees implemented in mid-late 2008 and further reductions in 2009 compared with 2008.

Research and Development - Research and development expenses were $330,000 and $406,000 for the three months ended September 30, 2009 and 2008, respectively, a decrease of $76,000, or 19%, and $1.0 million and $1.6 million for the nine months ended September 30, 2009 and 2008, respectively, a decrease of $619,000, or 38%. The decrease in research and development expenses was the result of reductions in compensation and costs associated with the development of our hardware products, which were completed and launched in late 2008. We have also implemented further cost controls in 2009 compared with 2008.

Impairment of investment - Impairment charges of $261,000 resulted from our review and adjustment in the carrying value of our investment in Sponge Limited. Our investment in Sponge Limited is now fully reserved.

Gain (Loss) from Change in Fair Value of Hybrid Financial Instruments - We carry certain of our convertible debentures at fair value, in accordance with FASB ASC 815-15-25, and do not separately account for the embedded conversion feature. The change in the fair value of these liabilities includes changes in the value of the interest due under these instruments, as well as changes in the fair value of the common stock underlying the instruments. The liability related to these hybrid instruments increased in the three months ended September 30, 2009 resulting in a loss of $7.8 million, and decreased in the three months ended September 30, 2008 resulting in a gain of $1.0 million. The liability related to these hybrid instruments increased in the nine months ended September 30, 2009, resulting in a loss of $7.5 million, and decreased in the nine months ended September 30, 2008 resulting in a gain of $3.7 million. These fair value changes were primarily as a result of the fluctuations in the value of our common stock during the period. Because our stock price has been volatile and because many of our hybrid financial instruments include relatively low fixed conversion prices, it is possible that further increases in the market price of our stock could cause the fair value of our hybrid financial instruments to increase significantly in future periods.

Gain (Loss) from Change in Fair Value of Derivative Liabilities - Warrants - We account for our outstanding common stock warrants that were issued in connection with the preferred stock and our debentures, at fair value. The liability related to warrants decreased in the three months ended September 30, 2009 resulting in a gain of $5.8 million, and increased in the three months ended September 30, 2008 resulting in a loss of $.3 million. The liability related to warrants increased in the nine months ended September 30, 2009, and decreased in the nine months ended September 30, 2008, resulting in a loss of $6.6 million, and a gain of $3.1 million, respectively. These fair value changes were primarily as a result of the fluctuations in the value of our common stock during the period. Because our stock price has been volatile and because many of our warrants include relatively low fixed exercise prices it is possible that further increases in the market price of our common stock could cause the fair value of our warrants to increase significantly in future periods.

Gain (Loss) from Change in Fair Value of Derivative Liabilities - Debentures
- For our Series C convertible preferred stock, and certain of our convertible debentures, we account for the embedded conversion feature separately as a derivative financial instrument. We carry these derivative financial instruments at fair value. The liability related to the derivative instruments embedded in these debentures increased in the three months ended September 30, 2009, and 2008, respectively, resulting in a loss of $8.7 million, and $7.6 million, respectively. The liability related to these derivative instruments and debentures increased in the nine months ended September 30, 2009, and 2008, respectively, resulting in a loss of $18.3 million, and $12.2 million, respectively. These fair value changes were primarily as a result of the fluctuations in the value of our common stock during the period. Because our stock price has been volatile and because many of our derivative financial instruments include relatively low fixed conversion prices, it is possible that further increases in the market price of our common stock could cause the fair value of our derivative financial instruments to increase significantly in future periods.

Other Interest Expense, net - Other interest expense was $1.1 million, and $.5 million for the three months ended September 30, 2009 and 2008, respectively, a decrease of $.6 million or 120%, and $4.8 million and $2.2 million for the nine months ended September 30, 2009 and 2008, respectively, an increase of $2.6 million or 118% that results from increased financing activities from the second half of 2008 through September 30, 2009. Other interest expense consists of interest charges related to convertible debentures that are not carried at fair value under FASB ASC 815-15-25, interest accrued for creditors as part of financed purchases, past due balances and notes payable, net of interest earned on cash equivalent investments.

Results of Discontinued Operations - In 2007, we discontinued the operations of our Mobot, Sponge, 12Snap, Telecom Services and Micro Paint Repair business units. During the nine months ended September 30, 2008, we recognized a loss of $260,000, primarily attributable to wind-down expenses associated with Micro Paint Repair, 12Snap, and Telecom Services.

Liquidity and Capital Resources

As of September 30, 2009, we had $74,000 in cash and cash equivalents; a decrease of $1.2 million, or 94%, compared with a total of $1.3 million as of December 31, 2008.

Cash used in operating activities decreased to $3.8 million for the nine months ended September 30, 2009 compared with $5.0 million for the period ended September 30, 2008. The decrease in cash used in operations is primarily due to the cost control measures implemented in late 2008 and in 2009.

Cash used in investing activities was $65,000 for the nine months ended September 30, 2009, representing the purchase of equipment. Net cash provided by investing activities was $441,000 for the nine months ended September 30, 2008. This was primarily due to the sale of our remaining ownership of 12Snap, wind-down expenses from discontinued operations, a partial settlement of intercompany loans and cash retained by us from the shut-down of Micro Paint Repair-US which resulted in net proceeds to us of $751,000.

Cash provided by financing activities was $2.7 million for the nine months ended September 30, 2009, which resulted from $2.6 million in convertible debt instruments net of fees from Y.A. Global, and proceeds received upon exercise of stock options by two former employees totaling $116,000. Cash provided by financing activities during the nine months ended September 30, 2008 was $3.7 million, and was the result of additional borrowing activities through convertible debt instruments.

As of September 30, 2009, we had a working capital deficiency of $101.5 million, of which $76.4 million relates to the fair value of hybrid and derivative financial instruments, and $12.2 million relates to the carrying value of debentures carried at amortized cost. These values are significantly greater than the face amount of our debt that would be otherwise due in cash if the conversion feature of these instruments and the warrants did not exist.

Significant Liquidity Events

Going Concern - We have historically incurred net losses and losses from operations and we expect that we will continue to have negative cash flows as we implement our business plan. There can be no assurance that our continuing efforts to execute our business plan will be successful and that we will be able to continue as a going concern. The accompanying consolidated financial statements have been prepared in conformity with US GAAP, which contemplate our continuation as a going concern. Net loss for the nine months ended September 30, 2009 was $42.1 million while net cash used by operations was $3.8 million. We also have an accumulated deficit of $254.7 million and a working capital deficit of $101.5 million as of September 30, 2009, much of which is related to the derivative value of our financing instruments. We also have a continuing obligation as of September 30, 2009 of $4.6 million relating to a purchase price guarantee associated with our prior acquisition of 12Snap (which we subsequently sold).

The items discussed above raise substantial doubts about our ability to continue as a going concern.

We currently do not have sufficient cash to sustain us for the next twelve months. We will require additional financing in order to execute our operating plan and continue as a going concern. Our management's plan is to attempt to secure adequate funding to bridge the commercialization of our barcode ecosystem business. We cannot predict whether this additional financing will be in the form of equity, debt, or another form and we may not be able to obtain the necessary additional capital on a timely basis, on acceptable terms, or at all. We believe that we can obtain additional financing, but in the event that these financing sources do not materialize, or that we are unsuccessful in increasing our revenues and profits, we may be unable to implement our current plans for expansion, repay our debt obligations as they become due or continue as a going concern, any of which circumstances would have a material adverse effect on our business, prospects, financial condition and results of operations.

YA Global Investments, L.P. ("YA Global") has provided us with financing on a month-to-month basis, totaling $2.6 million, during 2009. YA Global has informed us that they intend to provide additional financing for our operations through the end of 2009. This additional financing has not yet been completed as of the date of this report. If cash received from our customers and licensees is not sufficient to fund our operations we will require additional capital financing from YA Global or from other sources in the future in order to continue as a going concern.

The financial statements in this Form 10-Q do not include any adjustments relating to the recoverability and reclassification of recorded asset amounts or the amounts and classification of liabilities that might be necessary, should we be unable to continue as a going concern.

Sources of Cash and Projected Cash Requirements - As of September 30, 2009, our cash balance was $74,000. NeoMedia's reliance on YA Global as our primary financing source has certain ramifications that could affect future liquidity and business operations. For example, pursuant to the terms of the convertible debenture agreements between us and YA Global, without YA Global's consent we cannot (i) issue or sell any shares of our common stock or our preferred stock without consideration or for consideration per share less than the closing bid price immediately prior to its issuance, (ii) issue or sell any preferred stock, warrant, option, right, contract, call, or other security or instrument granting the holder thereof the right to acquire our common stock for consideration per share less than the closing bid price immediately prior to its issuance, (iii) enter into any security instrument granting the holder a security interest in any of our assets or (iv) file any registration statements on Form S-8. In addition, pursuant to security agreements between us and YA Global, YA Global has a security interest in all of our assets. Such covenants could severely harm our ability to raise additional funds from sources other than YA Global, and would likely result in a higher cost of capital in the event we secured funding.

Additionally, pursuant to the terms of the Investment Agreement between us and YA Global in connection with our Series C convertible preferred stock sale, we cannot (i) enter into any debt arrangements in which we are the borrower, (ii) grant any security interest in any of our assets or (iii) grant any security below market price.

Subsequent Events

NeuStar, Inc., License Agreement - On October 2, 2009, we entered into a four year agreement with NeuStar, Inc., in which we granted to NeuStar a non-exclusive license to a portion of the Company's patent portfolio primarily for the purpose of establishing and providing registry and clearinghouse services within the field of use and territory. The terms of the License Agreement also grant to NeuStar an exclusive right to sub-license that same portion of the Company's patent portfolio within the field of use and territory to resolution authorities for a period of not less than one year, but up to four years depending on the achievement of certain milestones as set forth in the License Agreement. In addition, NeuStar will perform certain reservations, administration, billing & collection and other additional services for the benefit of the Company, NeuStar and the sub-licensees.

Brand Extension Mobile Solutions, S.A ("BEMS") License Agreement - On October 7, 2009, we entered into a four year agreement with Brand Extension Mobile Solutions, S.A., a Madrid (Spain) corporation ("BEMS"), in which we granted to BEMS a non-exclusive license to use the Licensed Platform in an approved field of use within a certain geographical territory. This SUCKS!

Have we been DREAMING that we could retire on this stock alone??? I have a buy in for more shares at .011 for a month. Hit that price 2 weeks ago but I didn't get filled. After that GREAT news today - I thought at LEAST .025-.03 - I get home and SHEIT - I almost damn near got fillet at .011 the way this DROPPED. WHAT is going on here???

I'm starting to think I should have left all my money in gold. It SOARED - this has tanked. I'm in here at .0151 average.

I've been busy and traveling a lot lately - I just have all mine GTC at .03 for ALL of it and I hope I come home soon and am pleasantly surprised! I now believe that it's so diluted - even though it's a GREAT company - we'll never see another meteoric rise like we did from .01- .43 in 3 hours like 5-6 years ago...... All the good news lately and it goes up and down. If I played it I'd have over a million FREE shares. Maybe you should buy LOTS. 'cuz the day I get taken out at .03 it will run to .10! LOL - Would be just my luck!

Not sure how lucrative this barcode scanner technology will be for NEOM...I just loaded a barcode scanner app on my new droid phone...it utilizes my camera as the scanner and the app was FREE...
