Looking good friday and this morning. News out this morning, expanding existing oil production on track.

This is a great gamble. Many PRs expected in
the next few days. Go for 3X or more, not 3%.
Get in now and hold for 6 weeks and you will
be a big winner. Watch it. The LOD was 0.0028,
now 0.0037. HOD will be above 0.0045. Check
the chart of RVGD and you will love it.

RVGD did great off the bottom and looks to continue as things continue coming together. Been trading it and putting profits into SGGC.

SGGC on the table has : new website in the works, merger completion, authorized share reduction, no r/s, new IR firm (same as RVGD *hint* *hint*), has oil gushing out of one of their most recent wells they are working on, see www.sigmaglobaloil.com for pictures, name change, cusip change coming as well.

65M float per IR trading at .004 ?? Huge potential for major profits.

Rule 144 "Safe Harbor"

Rule 144 provides a fairly clear way to sell restricted stock in the public market without running afoul of the law. It offers "safe harbor" protection to sellers who follow the five main requirements. Essentially, these are:
1. Holding period. You must own restricted stock for at least one year before you can begin to sell it in the market. The clock starts running when the stock is fully paid for.
2. Current information. The issuing company must provide adequate current financial information. If it reports to the SEC, it must be current with required periodic reports for example, its 10-K or 10-Q. If it is not a reporting company, similar information needs to be publicly available.
3. Volume limits. Only a limited number of shares may be sold during any three-month period. You can sell the larger amount of either: 1% of the total outstanding shares of the class being sold or the average reported weekly trading volume for the last four weeks, if the class is listed on a stock exchange or Nasdaq. (Stocks quoted on the OTC Bulletin Board and Pink Sheets use only the 1% measure.)
4. Ordinary brokerage transactions. Sales must be handled as routine trading transactions with a broker or a market maker. And you'll need to sign a Seller's Letter to the broker confirming that the sale complies with Rule 144.
5. SEC filing. When you place your sell order, you must notify the SEC by sending in a completed Form 144. If the sale doesn't take place within three months, you have to file an amended Form 144. No filing is required if your sales for any three-month period total less than 500 shares or $10,000.

Legend Must Come Off

Even if you've satisfied Rule 144, you still can't resell restricted stock into the public market until you get the restrictive legend removed from the certificate. And only the stock transfer agent can do that.
The transfer agent is usually a specialized outside firm appointed by a company to maintain stock records. It issues and cancels certificates; deals with problems like lost, stolen or destroyed certificates; removes outdated legends; and handles other such chores.
But the transfer agent's authority is limited. It can't erase a restrictive legend until the issuer of the stock says it's OK to do so. Issuers usually require an attorney's opinion letter before they give the green light for this. The letter is often written by issuer's counsel, but the seller frequently must pay for it.

Removal Takes Time

Because of the paperwork required, the number of parties involved, and the logistics entailed, it takes some time to have the legend removed. The period varies. It usually depends largely on the transfer agent, the issuing company and the attorney who reviews the matter and writes the opinion letter.
We find the entire process often takes three to four weeks, and sometimes significantly longer.

Restrictions End in 2 Years

Rule 144 restrictions end after you've owned the restricted stock for two years provided that you haven't been an affiliate for at least three months. After the two-year point, you may sell the stock in the public market without further concern for the rule, although you still must have the legend removed first.
You can put Rule 144 in a nutshell this way:
Year 1 = no selling
Year 2 = limited selling under Rule 144 restrictions
Year 3 = sell freely
[Ed. note: Although control stock is outside the scope of this article, note an important point here. If you're a company affiliate, your stock is always considered control stock and is always subject to most of the Rule 144 restrictions. That's true no matter how you acquired it, or how much time has passed even if it's registered stock that you bought in the public market.]

General Steps In 144 Sales

With all these extra legal requirements, a sale of restricted stock under Rule 144 is more involved than an ordinary sale.
When you sell restricted stock, a broker familiar with 144 requirements can help guide you through the steps of the process. The drill usually goes something like this:

First, the broker confirms that the stock is in fact restricted by reviewing information you supply and then contacting the transfer agent or issuing company, if required;
He or she helps you complete and submit SEC Form 144, as well as the Seller's Letter;
They help determine your volume limitations;
They help obtain legal and other needed approvals to have the legend removed;
They follow up on questions, monitor the progress of each step, and honcho the process until the new "cleaned up" certificate comes in;
and, finally, they execute the trade for you.
In summary, restricted stock differs in substantial ways from free trading stock. Sales of restricted shares are carefully regulated, involve extra steps, and take much more time than normal transactions. On the other hand, the stock may be attractively discounted to compensate for these limitations. It will pay you to keep these factors in mind whenever you consider buying or selling restricted securities.

When I watch this, it almost seems as if MMs will drop the pps, scoop up buys and then hold it. Odd...heck I could be completely wrong. Just a bit suspicious. I'm hopeful that the merger news and more oil news will come out. That would be great, especially with the decent volume.

Yesterday, I saw the price per barrel was $99, and analyst are making predictions of even higher costs per barrel. Still hard to believe oil has become so incredibly expensive! EEK.

JJMoneyman, you are right on the mark. The numbers do look good for this stock.

Brian Conrad, Sigma Global's CEO, stated, "In an effort to better serve our investors we have taken the time to put together pro forma projections for the company based on projected oil production. We have a scalable, realistic business plan that will mature through organic growth. I have personally seed funded the company and have a vested interest in its success. As stated in a previous press release, the company will change its name to Pradera Energy Corp. and will soon obtain a new CUSIP number and trading symbol. JJMoneyman, you are right on the mark. The numbers do look good for this stock.

some the analyst reports that I have read this past week will put oil at 125-130 p/bbl by the summer term, and will the chart of oil as it has been and those dang OPEC nations hoarding all the proceeds, I have a firm belief that it will hit it and go well beyond it.. 4 dollar gasoline nationwide, geez!

I placed an order at 9:00am for .0020 and when I saw the bid at .0021, I changed it, that was probably ~10:30am or so ?

Can anyone explain to me how the high of the day today is .0030 and I haven't sold a single share, even though I have a GTC sell order in at .0018 (and I allow partial orders) ?

Yesterday, same thing happened, price reached .0022 and mine just sat there with a GTC at .0020.

I lowered the GTC sell order this morning to .0018 just in case something was messed up on my end, and I come home to see the HOD is .0030 and current price is .0020. How did I not sell any at all ?

No, sorry, I am using Scottrade. It is discouraging, because even at .0018 I will be taking quite a loss.

I just cancelled my order and made a new one (same sell price), just in case modifying the order wasn't doing the trick, but if you are having the same problem, then I suspect it is something that we cannot control.

It could be a lot of things but sometimes it has to do with a specific mm that a broker is working with.

I have had to call the broker many times over the years to ask that same question and sometimes i have had them switch the mm if possible and the order would go through.

It could be a lot of things but sometimes it has to do with a specific mm that a broker is working with.

I have had to call the broker many times over the years to ask that same question and sometimes i have had them switch the mm if possible and the order would go through.

My sell at 0017 didn't go though either.

call your broker, and be polite but very firm in explaining you want a full, thorough explanation. Please post what they say...

This stock has been showing weird for awhile now.

The bid and ask have been a long ways apart quite often. They show sales at the high side yet the bid won't move.

Cannot figure where this one plays at this point more so than most pennies.

Interesting answer they gave you.

I had been wondering if the mm's have been buying and selling this stock on their own not letting investors get in or out much.

That appears to be what the broker is saying. I would think that would be illegal since they are running the bid and ask prices and accepting what they want.

I would have asked the broker to explain his statement a lot more in detail(which appears they did) and then asked if this practice is illegal especially since they represent the brokers who we invest through.

Not that the SEC. cares.

I spoke to Chad today,still waiting on symblem change and then they can finish the 15c211.They are talking with private investors,company needs about $20,000 to do minor repair to 3 of the wells.There are 2 wells active ,pumping about 2-3 barrells a day.Just enough to break even.
