GSCR's might be a short squeeze since they're planning on selling it..
GSCT, GSEG, GSEN, GSHF, GSGF are the rest of the family members.. GSCT looks to me like the next in potential, just according to estimate sales being $90mil

This can hit 20 cents, Low float, it hit .024 cents today. Thats less than a 10 bagger from where it is now. .2 divided by .001 is a 200 bagger!!!!

Ace of Spades Retiring under 30 just came 1 step closer to reality!!!

Yeah Tex, got in real early once I saw the Key words "Ethanol" and "Merge" ....Ethanol plays were hot today on BIG BOARD STOCKS like PEIX and XNL..So it was a no-brainer...

I just started knobias RAiDAR News filter service today. I just started the free trial and I love the News Filter. Its exactly what I was looking for, for Big Board Stocks (also Peny Stocks). You can filter News by what ever news soucrce or subject you want for all exchanges and keep out the junk.

http://www.knobias.com/front/product/raidar/screenshots/raidar_screen3.htm

I just wanted to get straight PR's only from BusinessWire , PRNewsWire , and MarketWire ...... like Microcaptrade does for the microcaps....with out dow jones and all the clutter. No I can get just straight up PR's from all exchanges at once even pinks and BB stocks.

Here is the PR in the middle...its off by three hours...gotta fix that LOL

btw, what's the cost on that, Ace? I used to have feeds set up from biz wire, yahoo, etc...but was never really convenient. Having the "all-in-one" package looks real handy...

yea I saw this one when it was up 750%. Thought it couldnt possibly go any higher.. boy did i make the right choice huh?

Tex...Im just doing the free trial right now, but it looks like for just the news service it's $50 per month. Which is well worth it to me, for the convience of having all PR's for every exchange, with out the promos and Dow Jones Clutter.

But if you want that you can set up multiple News Filters and save them, then flip back and forth. You can even have a filter for Technical news, like 52 week highs and Volume spikes. It has an option for every news source you can name, plus subjects and technical alerts.

https://www.knobias.com/front/freetrial/index.htm

Here's a screen shot of what the filter actually looks like. I just use a Basic one to just get ONLY PR's from PRNewsWire, BussinessWire, and MarketWire for all EXCHANGES. You can see the ones I selected on the Right.

What I also love is that...say you just get home or wake up at the end of the trading day...you open the news filter, and it will show you the News from the whole day, not just from that moment on...like my broker does.

I found out about it at mesasge board I just found when I was searching for info about Proprietary trading Firms. Here is a link for the Board I found.

http://www.elitetrader.com/vb/index.php?s=2b67f8eff526a9d46ae16ff220ff3724

Never saw this Message Board or site before, but they have many different categories with some real good info.

GSCT and GSHF will merge next week. The fair
value of GSCT should be 1/3 that of GSHF. Both
will get momo from GSCR. GSHF will be more stable
than GSCT, since you can not trade GSCT for 3
days when the merger happens. Both are in the
early stage of uptrend.

hope u didn't chase it this morning.. it's likely to rebound a bit.. hopefully u didn't lose.. i'm guessing it will run some more with the GS's .. but there's bound to be corrections.. so u can probably do some flips.. i would probably sell part of my position on the highs and try to flip, but still hold on some just in case i miss the ride..

You will not have access to your shares for

Tuesday, June 26 2007 12:28 PM, EST Business Wire "US Press Releases "
NEW YORK --(BUSINESS WIRE)--
GS CleanTech Corporation (OTC Bulletin Board: GSCT) today announced that it has begun to extract, buy and sell crude corn oil that it has extracted from Utica Energy, LLC's Oshkosh, Wisconsin 52 million gallon per year ethanol production facility.
GS CleanTech's patent-pending Corn Oil Extraction Systems(TM) have been engineered to help ethanol producers increase cash flows through the introduction of a third and novel revenue stream - corn oil. GS CleanTech provides turn-key extraction systems to participating ethanol producers at no cost to the ethanol producers in return for the long-term right to purchase the extracted corn oil at a per pound premium to its value when trapped in the distiller's grains. GS CleanTech's extraction technology also reduces overall plant emissions and utility costs by upwards of $1 million per year for a 100 million gallon per year ethanol plant that dries 100% of its distiller's grains.
GS CleanTech's current extraction system at Utica has been designed to extract oil from the distiller's grains at rate equal to more than 1.2 million gallons per year. This oil is currently worth upwards of $1.50 per gallon.
GS CleanTech's process engineers will present "Corn Oil to Biodiesel" at the Fuel Ethanol Workshop at 2:00 p.m. on Wednesday, June 27, 2007 in Room A. GS CleanTech's engineering staff will also be available at Booth 737 to provide ethanol producers with additional information about GS CleanTech's corn oil extraction program.
In all, GS CleanTech's publicly announced corn oil contracts will produce about 31.5 million gallons per year of crude corn oil for conversion into biodiesel fuel as GS CleanTech successfully deploys the relevant corn oil extraction systems during 2007 and 2008.
GS CleanTech and its affiliated fuel production company, GS AgriFuels Corporation (OTC Bulletin Board: GSGF), have partnered in the full scale commercialization of their technologies. GS CleanTech provides technology-centric services in return for process engineering and plant construction sales, ongoing technology royalties and selected feedstock sales. GS AgriFuels provides all of the capital for the construction of the extraction and biodiesel production facilities and generates revenues through its ownership of the biodiesel production assets.
The Annual International Fuel Ethanol Workshop & Expo
The Annual International Fuel Ethanol Workshop & Expo ("FEW") has a long history of creating a forum for industry to exchange valuable information and ideas to help improve ethanol production and operations. This exchange enables the ethanol industry to play a more vital role in supplying sustainable renewable fuels to markets worldwide. The FEW Program presentations will have a strong focus on commercial-scale ethanol production, new technology, and near-term research and development. More information regarding the conference and registration details can be found at www.fuelethanolworkshop.com.
Focus on Ethanol Production
GS CleanTech is focused on delivering technologies and process innovations to the ethanol production industry with a view towards maximizing the yield of corn-based ethanol production. GS CleanTech's currently available offerings in its ethanol program include its:
-- Corn oil extraction systems;

-- Small-scale modular biodiesel production systems; and,

-- Biomass gasification for combined heat and power solutions.
GS CleanTech is also developing new technologies, such as its carbon dioxide algal bioreactor technology, for application at ethanol facilities.
Traditional ethanol processing converts each bushel of corn, which weighs about 54 pounds, into about 18 pounds of ethanol, 18 pounds of carbon dioxide, and 18 pounds of distillers dried grains, which contain about 2 pounds of fat. This corresponds to about 2.8 gallons of fuel production per bushel of corn. GS CleanTech's ambition is to increase this efficiency as much as possible by converting as co-products such as DDG and carbon dioxide into additional renewable fuels.
Pictures of a recent GS CleanTech corn oil extraction system installation can be found at http://www.gs-cleantech.com in the Multimedia & Downloads section of the Products & Services section for GS CleanTech's Corn Oil Extraction Systems (http://www.gs-cleantech.com/product_desc.php?mode=1&media=true).
About GS CleanTech Corporation
GS CleanTech Corporation (OTC Bulletin Board: GSCT) provides applied engineering and technology transfer services based on clean technologies and process innovations that make it cost-effective and easy to recycle and reuse resources. Additional information on GS CleanTech's Corn Oil Extraction System and GS CleanTech's ethanol efficiency program is available online at www.gs-cleantech.com.
About GS AgriFuels Corporation
GS AgriFuels (www.gs-agrifuels.com) was founded to produce and sell clean fuels from agriproducts in innovative ways. GS AgriFuels' business model is based on the manufacturing and sales of proprietary biodiesel equipment and the use of new technologies to produce biodiesel and ethanol from non-traditional feedstocks such as corn oil and cellulosic biomass through the utilization of several new proprietary technologies, including innovative desiccation, process intensification, gasification, and catalytic technologies, synergistically at small-scales to enable the refining of many forms of biomass into clean fuels at Integrated Multi-Fuel ("IMF") production facilities.
GS CleanTech and GS AgriFuels are both majority owned by GreenShift Corporation (OTC Bulletin Board: GSHF), a company devoted to facilitating the efficient use of natural resources.
GreenShift and GS CleanTech are party to a merger agreement pursuant to which holders of GS CleanTech common stock will receive 1 share of GreenShift common stock for each 3 shares owned in GS CleanTech.
GS AgriFuels is also party to a merger agreement with GS Energy Corporation (OTC Bulletin Board: GSEG) pursuant to which holders of GS Energy common stock will receive 1 share of GS AgriFuels common stock for each 1,000 shares owned in GS Energy.

Cornell Capital Agrees to Support GreenShift's Restructuring
10:48a ET June 29, 2007 (Business Wire)
GreenShift Corporation (OTC Bulletin Board: GSHF) today announced its execution of an agreement with Cornell Capital Partners, L.P., pursuant to which Cornell and GreenShift agreed to use their best efforts to restructure the terms and conditions of GreenShift's various debts due to Cornell in a way that facilitates the completion of the GreenShift's pending merger with GS CleanTech Corporation (OTC Bulletin Board: GSCT) while attempting to safeguard and maximize the share value of the merged company and supporting the newly merged company's growth. Any agreement to restructure the terms of such debt obligations is subject to GreenShift and Cornell negotiating definite terms and entering into final written agreements, and no assurance can be given that the parties will be able to reach such agreement.

GreenShift and Cornell also agreed to waive on a one-time basis the past defaults under GreenShift's agreements with Cornell effective immediately provided (a) that GreenShift file and make effective a registration statement on Form S-4 to complete the GreenShift - GS CleanTech merger as soon as possible and (b) that GreenShift's chairman and chief executive officer, Kevin Kreisler, consent to the repayment of about $340,000 in Cornell debt in the form GreenShift stock to be paid out of Kreisler's stake in GreenShift at current market prices.

Troy Rillo, the Senior Managing Director of Cornell's investment manager, said that "We have supported GreenShift's growth for better than two years and we desire to continue to do so. We are pleased with GreenShift's progress - in particular its business model of using technology to attempt to defray risk for first generation ethanol producers. We haven't seen anyone attempting to do this to the extent of GreenShift."

Kreisler added that: "We are very grateful for the support that Cornell has given us in the past. They believed in and funded our business model when it was little more than an idea and we are thankful for their continued support as we execute on our restructuring plan and the sales and earnings growth of our core businesses."

disagree...think is about as good as it gets with Cornell...for one thing, they're agreeeing to stock from the CEO's personal stash, rather than convertibles, which would be highly discounted...

cornell has nothing to do with GSCR, GSCR will be a clean shell new ticker and have nothing to do with the other entities.. r/m news supposed to hit monday, so im in as of yesterday, just w/100k. think this will surprise us again.... but i do agree that cornell may destroy the other stocks so stay away imo GL

Big News Coming Soon! The Next two weeks are going to be huge for GSCR IMO! We are in on a stock that will change our lives possibly in the near future if all the chips fall into place. Check out this PR off of Wisebuys Website dated 6/22/07 the same date that Greenshift announced Seaway's Acquisition of GSCR. There is something huge about to happen here when you look at the recent events. I will buy more Monday that's for sure. This has all been planned out to a Tee.

GS Carbon Releases Shareholder Letter
Monday July 2, 8:00 am ET

NEW YORK--(BUSINESS WIRE)--GS Carbon Corporation (OTC Bulletin Board: GSCR - News) chairman and chief executive officer, Tom Scozzafava, issued the following letter to its shareholders today:

Dear Shareholders:

I am pleased to report today that the previously-announced transaction between Seaway Capital and GreenShift Corporation became effective June 30, 2007. As reported, the terms of the agreement called for Seaway Capital's acquisition of GreenShift's controlling stake in the form of common and preferred stock in return for the assumption certain legacy liabilities of GS Carbon.

The first order of business shall be the official name change of GS Carbon Corporation to Seaway Capital Corporation and the eventual ticker symbol change to reflect this name change. Neither of these events will impact the company's shareholders' number of shares held or the overall capital structure of the company.

Seaway Capital Partners, LLC (the predecessor to Seaway Capital Corporation and collectively, "Seaway Capital") was formed in 2002 as a money management and private equity and leveraged buyout company. Seaway Capital's (www.seawaycapital.com) business plan is to invest in majority and minority equity stakes and to enter into mezzanine-type debt agreements with various operating companies. Returns to Seaway Capital are intended to be in the form of the eventual share appreciation and dispossession of those equity stakes and income from loans made to businesses.

To this end, I anticipate Seaway Capital will shortly obtain a controlling equity interest in WiseBuys Stores, Inc., ("WiseBuys") a big box retail chain it founded in 2003 with former Ames Chairman and CEO, Joe Ettore, and former BJ Wholesale executive, Joe LaChausse.

WiseBuys (www.wisebuysstores.com) currently has five (5) locations representing approximately 230,000 square feet, and it has partnered with other retailers such as Payless ShoeSource, Inc. and KB Toys to expand rapidly in rural markets in primarily former Ames locations. WiseBuys and its in-store partners have generated store revenues of over $35 million since November 2003, and, after a brief pause, WiseBuys is now aggressively seeking growth through acquisitions and new store development. I am currently the Treasurer and CFO of WiseBuys Stores, Inc. The Seaway acquisition of WiseBuys will be subject to completion of audits of WiseBuys and is expected to close in July or early August 2007.

In addition, as reported in the news media WiseBuys has been in lengthy discussions with Hackett's (http://www.wisebuysstores.com/news/Adirondack_Daily_06-22-07.pdf) regarding a possible merger or acquisition. If such transaction were to be finalized, the combined company would have ten (10) locations and pro forma annual revenues of over $30 million. Hackett's is one of New York and the nation's oldest retail establishments with its roots dating back to 1830. Hackett's currently has five locations in northern New York.

Additionally, Seaway Capital is seeking equity and debt investments in other retail, restaurants, media, business services, manufacturing, and select technology companies.

About Seaway Capital

Seaway Capital was formed in 2002 and makes equity, equity-related, and debt investments in companies that require expansion capital and in companies pursuing acquisition strategies. Seaway Capital also seeks investments in leveraged buyouts and restructurings. Seaway Capital will consider investment opportunities in a number of different industries, including retail, restaurants, media, business services, and manufacturing. Seaway Capital will also consider select technology investments.

crazy how this is trading looks like the float is pretty big, but 8k filing says only 186mill O/S? nss positions? the stock has been slaughtered with selling from .065 so that could be the case.... if so they will soon have to cover and with cusip change/new ticker coming they will be forced to do it, that can happen anyday now. this could get interesting. anyone in this?

Im hearing a crazy huge short from a few rather reliable sources. we also now have a confirmed 186 mill O/S so obviously something is wrong, id say ftd transactions. then we also have merger news coming soon! NITE seems to be the one causing the problem, so whoever is shorting with NITE is in some trouble, but GL to you. I don't have a large position. not necessary on a squeeze of this nature if it happens. we can see multiple pennies easy once the cover starts but im not going to say wee or .10, .20 coming soon etc [Smile] ...

Great News this is going to fly!
GS Carbon Executes Agreement to Acquire Majority Stake of WiseBuys Stores, Inc.

2007-07-13 06:00 MT - News Release

NEW YORK -- (Business Wire)

GS Carbon (OTC Bulletin Board: GSCR) today announced it has recently executed a number of share purchase agreements to acquire preferred and common stock of WiseBuys Stores, Inc. that equate to an approximate 60% voting stake in the company. The transaction is contingent upon completion of audited financials for WiseBuys.

Specifically, the share purchase agreements call for: (i) the acquisition of approximately 1.4 million of WiseBuys Series A Preferred Stock for approximately $2.08 million; (ii) the acquisition of 330,000 shares of WiseBuys common stock for $165,000, and (iii) the contribution by GS Carbon CEO, Tom Scozzafava, of 660,000 shares of WiseBuys common stock for no proceeds. Once effective, the selling WiseBuys shareholders will receive aggregate notes issued by GS Carbon totaling about $2.25 million. WiseBuys Stores, Inc. currently has approximately 1.833 million common shares issued and outstanding and approximately 2.2 million Series A Preferred shares issued and outstanding.

Tom Scozzafava, GS Carbon CEO and WiseBuys Stores, Inc. CFO, stated, “Once the audited financials are completed and these agreements become effective, this will be the first step towards getting GS Carbon a significant control position in WiseBuys. Additional share purchases by GS Carbon of WiseBuys stock may be forthcoming as well. WiseBuys will then seek to grow organically and through acquisitions. As stated in the press, WiseBuys has been in discussions with Hacketts for a number of months regarding a merger or acquisition. We hope to bring this to closer in the near future.”

GS Carbon was recently acquired by Seaway Capital (www.seawaycapital.com), which was formed in 2002 as a merchant banking company and will control significant stakes in various operating companies. Shortly after the closing of the transaction, Seaway intends to merge or have acquired into GSCR its or its founder’s holdings including that of WiseBuys Stores, Inc., (“WiseBuys”), a big box retail chain it founded in 2003 with former Ames Chairman and CEO, Joe Ettore, and former BJ Wholesale executive, Joe LaChausse. WiseBuys (www.wisebuysstores.com) currently has five (5) locations representing approximately 230,000 square feet, and it has partnered with other retailers such as Payless ShoeSource, Inc. and KB Toys to expand rapidly in rural markets in primarily former Ames locations. WiseBuys has generated store revenues for itself and its partners of over $35 million since November 2003, and, after a brief pause, is now aggressively seeking growth through acquisitions and new store development.

Seaway Capital is seeking additional debt and equity investments in retail, restaurants, media, business services, manufacturing, and technology companies.

Post #of 9020

Was doing some research this morning on trying to find out what type of valuation Seaway Capital stock should have at a minimum based on the purchase of WISEBUY. The numbers are pretty incredible.

First we know Tom is the CEO of Seaway and also the CFO of WISEBUY! We know Seaway is buying 1.4 million preferred shares of WISEBUY for $2.08 million which puts a valuation of the preferred shares at $1.49 per share.

Second we know Tom is purchasing 330,000 shares of WISEBUY common stock for $165,000 which therefore prices those common stock shares at .50 per share. Further we also know Tom is cancelling 660,000 shares of WISEBUY with no proceeds. Currently WISEBUY has 1.833 million shares so after the buy and cancellation of Tom's shares we will own 330,000 shares of a common stock float of 843,000 shares. That gives us 39% controlling ownership of WISEBUY common stock! Tom also stated in the last press release their will be further consideration of addition common stock purchasing of WISEBUY!

Third, based on the purchase of the Preferred Stock of 1.4 million shares of the 2.2 million they have, Seaway Capital will own 63%, controlling interest, in WISEBUY with a value of $1.49 per shares.

Somewhere in all of these shares being purchased, I just have to say when the assets are on Seaway Capitals books, there is no way this stock should be trading at the levels it currently is with 186 million shares Issued and Oustanding! Should it be .50 or $5.00 who knows but I ain't no rocket scientist but is sure as hell is worth more than .25 per share!

Just alittle DD for everyone!

jmho

WiseBuys Stores, Inc. Repays New York Business Development Corporation Loan
Loan repayment represents approximately $1.245 million in bank debt reduction since formation

NEW YORK--(BUSINESS WIRE)--WiseBuys Stores, Inc. (“WiseBuys”) announced today that last week the company repaid in full its outstanding loan balances of the New York Business Development Corporation (“NYBDC” at www.nybdc.com). These loans had an original principal balance of $200,000 at the time of WiseBuys’ initial formation, and they represented the final senior loans at WiseBuys. Last year WiseBuys repaid additional senior loans from Key Bank, which were about $608,832 in original principal balance. Together, the entire senior balance of $808,832 was backed by the USDA’s Rural Development Loan Guarantee Program.

“We are pleased to report the repayment of these loans,” stated Thomas Scozzafava, a co-founder of WiseBuys and current CFO. “Together with the Key Bank loans, WiseBuys has managed to repay a significant portion of the initial debt resulting from the original formation of the company. I would like to thank Key Bank, the NYBDC, and the USDA Rural Development for their support of our company.”

In 2003 and 2004, WiseBuys also borrowed approximately $1.147 million from various county Industrial Development Agencies, of which principal of about $711,000 is outstanding today. In total, WiseBuys has repaid principal of approximately $1.245 million of bank and IDA loans. Scozzafava added, “It is our goal to continue to strengthen the company’s balance sheet to position the company for further growth opportunities. The weighted average interest rate of the remaining outstanding IDA loans is about 4.4%.”

Subject to completed audited financials, GS Carbon (OTCBB: GSCR) recently agreed to acquire a stake of approximately 60% of WiseBuys Stores, Inc.

WiseBuys Stores, Inc. Executes Agreement to Acquire Hacketts
9:38a ET July 20, 2007 (Business Wire)
WiseBuys Stores, Inc. ("WiseBuys") announced today that it has executed an agreement with its owners to acquire 100% of the stock of Patrick Hackett Hardware Company ("Hacketts"). Hacketts, which is one of the nation's oldest retailers, currently has stores in New York State in the villages of Canton, Ogdensburg, Massena, Potsdam, and Watertown. WiseBuys current locations include Canton, Gouverneur, Hamilton, Pulaski, and Tupper Lake - all also in New York State.

"We are pleased to announce this agreement to acquire Hacketts," stated Thomas Scozzafava, a co-founder of WiseBuys and current CFO. "WiseBuys and Hacketts combining into one entity is strategic for a number of reasons, including the sharing of managerial resources, increasing purchasing power, leveraging current advertising spending, and diversifying the combined company's merchandise mix. We anticipate taking the best from both companies and combining those qualities under one roof under the store brand 'Hacketts'," Mr. Scozzafava added.

The acquisition, which calls for a $1.5 million payment at closing and additional payments of $4.5 million over eight years, includes management agreements for the retention of the founding family members as well as Hacketts current CEO.

I read on Ihub that their TA is gagged and while seeing NITE dominating the game, I would not rather go in. however the story is really good.
with all money flow, it should be already few cents at least.

But, originally it was in the 700 mil range, so they retired a stack, and reissued some....we are still at basically half of the OS we had prior to the retiring a couple of weeks ago.

Hopefully the CUSIP change, et al, will generate a squeeze or some good activity this week....
