Nashville Records, Inc. Announces Rescission of Private Offering

NASHVILLE, Tenn.--(BUSINESS WIRE)--

Nashville Records, Inc. (PINK SHEETS: NSHV) investor relations has recently received calls from investors regarding decline in share price and apparent shares sold onto the market. In response, the company has examined all possible selling sources and has identified a breach of contract regarding a previously arranged 504-D issuance of shares. All shares issued from this transaction have been recalled and "Stop Transfer" orders have been issued to the Company's transfer agent.

While the shares were legitimately owned by the 504-D purchaser, they were never intended to become free trading and Nashville Records(TM) engaged attorneys to deem the entire contract null and void, and force the return of all shares back to the company. 504-D shares not yet sold into the market are to be returned immediately to the company treasury - all sold shares will have to be re-purchased on the open market and returned to the company treasury.

Between April 12, 2007 and May 1, 2007 the company entered the 504-D offering encompassing two issuances of shares and one transaction that had not resulted in funds being received by the Company.

Upon further review by the Company's securities attorney, an opinion letter was issued and sent to the various parties involved, their legal counsels, and the brokers or market makers who seemed to be trading in the shares.

The offering itself, which was conducted as an exempt intra-state offering in the state of Minnesota, was credible and legally sufficient and was handled by specialized securities attorneys, but it was the opinion of Nashville Records and its securities counsel that the follow-up redistribution of the shares to holders in another State was an unregistered underwriting that not only violated the spirit of the exemption, but State and Federal Securities laws as well.

While the opinion of counsel letter is far too voluminous to publish via a press release, it can be viewed as text on the Company's website, http://www.nashvillerecords.com.

A Minnesota securities attorney will be retained to seek a permanent injunction to halt trading of the tainted shares, possibly with the aid of the Minnesota Securities Department.

Although the company regrets this issuance, it is acting aggressively to find a swift resolution. It is important to company management that transparency with shareholders is maintained regarding evolutionary steps in our development. While the company was founded on expert talent from the music industry, the unique risks associated with being traded on the public market will be minimized in the future by engagement of legal and investment banking advise before actions of this nature are undertaken.

The company's reaction to the contractual breach will eventually result in the forced buyback and return of 25,226,189 shares to the Company treasury. One purchaser in the 504-D offering has voluntarily returned 2,083,333 shares that have been cancelled. The Company assumes that a large portion of the remaining shares may have been sold into market.

Still in and holding! 23M shares to go, yeah I'm still here. Legal float is around 50M shares, and 23M have been illegally sold, and now have to be legally bought back, and it's in a PR. This isn't just one of those things where an investor says the MMs are short, this is the real deal, IMO. Volume today 9M and it's up 177%, and that's with alot of flipping. Wait until tomorrow, that's when the action really gets going in my opinion, it's just now coming up on a lot of peoples radars with the huge volume and huge price increase.IMO

I just called David to get his impression on why the trading on NSHV has dramatically slowed this afternoon. After the flurry this AM, with 6M+ shares traded, very little activity has occurred in the past two hours. The following was his response, and is strictly David's opinion.............

David's opinion is that the information stipulated in this morning's PR is valid. In fact, Scottrade has contacted IR asking about two certificates, one for 500,000 shares, the other for 1M, that they are unable to return after having traded them at their client's request. IR has advised ST that those certs are part of the invalid 504D trades, and it is ST's responsibility to get them replaced with legitimate shares.

It is also interesting to note that TD Ameritrade was restricting online trading shortly after the PR was released, and the stock had only traded 1M shares at that time. David confirmed that 5M of the 504D shares are in Ameritrade's name, being held on their clients' behalf, and will need to be addressed.

I do not know at this time if Ameritrade is still restricting online trading. Can someone with a TD account let me know?

Also of note, David told me that another shareholder with a Scottrade account has called him, noting that ST has issued a margin call on the shareholder for his NSHV shares........more bogus 504D shares that he bought on margin?

It is also David's opinion that the recent slowdown in activity is the uncertainty by the MMs on how to address the PR, and are experiencing difficulties in matching up trades so that a fluid market, either up or down, can commence. It is obviously David's expectation that the proper direction for trades would be north-bound.

Talked with David DiRicco yesterday and he said there is 15 million float on the stock and 23 million have to be bought back [Smile]

My guess is the buyback hasn't even started yet. I think this may very well be only retail. A couple of good PR's and some buyback action should put this much higher IMO.

Ya I accidently sold wasnt paying attention I was trying to buy more. Good thing in the end of the day though I sold at .05....Did get back in though at.045. I think this is going a lot higher to. I hope there are some good pr's that come during this as well....We could really see it fly. Summer Lotto Ticket? very well could be and worth throwing a few bucks at it.

this just may be the stock that turns your week around. we should know pretty quick tomorrow. This is getting a lot of attention and everyone wants that lotto ticket. I think this is it.

Especially when the sell at the ask went through. I actually thought we would see high .05's or low .06's I am hoping tomorrow is the day. I followed the Jphc/Paiv/Pavc ordeal since I had serveral million in JPHC this looks like it can be the same type of thing, that went up over 170,000% from .0002 to .36 imagine if this done the same?

If my math is right up 5,000% in the past two days alone....This may even be bigger then the Jphc/Paiv/Pavc ordeal. Only time will tell, but I bet if that does happen ur trading week looks a lot better :-) .0009 to 1.53? That would be 170,000%......Now that is wishful thinking :-)

First of all, where did you get 5,000% up in 2 days?

Secondly, JPHC/PAIV was not 170,000%. It was never as low as .0002 or as high as .36 (which, incidentally would have been 180,000%, not 170,000%)

PAIV low point was .0007 and high was .285 (with one bad print at .35 when the ask was never over .285). That's a whopping 40,000%+, but quite a ways form 170,000%

Also, PAIV was a situation where people or brokers were being forced to buy back shares, and documented, actual people were verifying it. This is a case where a company PRs that someone sold fake shares and will have to buy them back. Unless you can get proof that someone is buying the shares back (and a company PR does NOT constitute proof here in penny land) you need to be really careful here.

Not to mention the fact that PRing a "huge illegal short position" is a nice way to get the attention of the SEC, and a long halt can freeze a lot of your money in a hurry, and you never know if/when you'll see it again.

See BCIT and BHUB for examples.

Good luck to anyone in it, but be very careful.

Hi pcola....My math was off a bit but the fact is the first trading day that jphc turned to paiv the stock was at .0002 per my etrade account. So if that was wrong I appologize, but I know that paiv was down over 99% on the first trading day because the restricted shares were sold by a lot of people.

You should be careful with any stock here.....Thats why its pennys and they are always a gamble. In this case the PR says::

"all sold shares will have to be re-purchased on the open market and returned to the company treasury"

Isnt that similar to what happened with paiv? or am I wrong on that? Paiv shares had to be purchased on the open market as well right? The company is not cancelling the shares, the people who sold them will have to purchase them back and return those shares to the company....Correct me if I am wrong, as I am not here to mislead others if that is the case I am reading this all wrong.

To answer were did I get the up 5000% in two days. Opened tuesday at .0009 closed today at .041 so I am sorry my math was on again that was only like 4,600%...

A couple of thing. Yes, the part you highlighted about people being forced to buy back is what happened with PAIV, but my point is, NEVER EVER EVER take the word of a pinksheet company as truth. In the PAIV situation, many of us knew first hand that people had sold restricted shares and had to buy them back, and many others relied on the fact that many people were postng about their experience. It may be difficult or impossible in this situation to prove that what the comany PR'd is actually true. If there is an offending party, I doubt they will be out there telling everyone that they have to buy thes shares back. And as far as what I've read, the offending part hasn't been named, so you couldn't even contact them to get a feel for their mood. Could be that everything they did was totally legit, the company may have misinterpreted terms of the contract, and the sellers will have no responsibility to buy back a single share.

that's why I am saying to be careful, in addition to the chance of a halt and essential 100% loss.

As far as your math, maybe I am wrong but I see .009 two days ago, which would be 460%, not 4600%. Let me know if I'm incorrect.

And JPHC WAS .0002, you're correct about that, but the day of the merger JPHC shares essentially ceased to exist, and APOA turned into PAIV, which bottomed out at .0007 I think. THe JPHC price had no bearing on anything.

Anyway, I'm just trying to show the other side of the coin, because greed/hype/momo can be an absolute killer to accounts if you don't play it correctly.

Scary huh, I work for a big advertising company and do math quite a bit....Guess my brain was on melt down after work....That extra 0 didnt help either :-)

I don't have a lot invested here (holds true for any of the pinkies I get into), but I can't see selling this for at least a week or two. Chances are high that the buyback's haven't even hit the market yet. I still think there is a lot of upside yet to be seen, however, I don't blame anyone who takes profits on the way up. It's going to take a few days for the volatility to subside.

Tommorrow should be a very nice day IMO. Between the share buyback, the momo, and the much anticipated news thats supposed to be released Tuesday, I say it easily closes over a nickel and possibally alot higher. Should be a fun week!

PCola, no bank in their right mind would give these guys a good interest rate on a 1.5 million dollar loan. They are a startup with a HUGE amount of risk. Would it be better if they diluted the stock? No thanks!

I think this shows that the owners believe they will be able to pay the loan off without a problem.

Fair enough. I do disagree with your last sentence though. It shows me nothing other than this was the best deal they could get. If a person with really poor credit gets a car loan at 20%, does it mean they are more likely to pay it off than if the loan was at 10%? I don't see any correlation between the two things.

I do agree with your initial point though, and the fact that it means less dilution (potentially), so I'll give you that.

Nashville Records, Inc. (PINK SHEETS: NSHV) is pleased to announce it is entering the final phases of negotiations with four key artists for its projects. Two artists will be for the USS New York project and two artists will be the very first announcements for the upcoming patriotic album. It sounds to me like NSHV management has all the right connections in in the music industry to get this thing going. Remember, the company came in under the radar, but they are moving EXTREMELY fast on their business plan. Although the recent run-up and buyback news brought some attention (myself included), I don't find it completely unreasonable to think that this company is still relatively unknown. This could bode well for those lucky enough to get in down here. We'll see!

NSHV is supposed to be updating investors with addtional information on obtaining the warrants. Today or early next week would be appropriate. It is also rumored that there will be a PR about the injunctions sometime next week.

As far as explosions go, I'm now a long on this, so I would prefer a nice, steady rise from here on out. However, I don't know if this is even possible while the company is a pinky. I do know that Gene and his management team are going at this with a full head of steam, and I'm placing my bet that the name Nashville Records will be well known in the music industry very soon.

People not long on the company should be careful in the short term. A lot of people are riding this hoping for positive news on the injunction. If it turns out to be negative, this could tank pretty easily.

I too heard that we should be hearing some injunction news this week so that should be exciting. I can care less though because they have been putting out so much positive news and the David is such an easy guy to talk to that I can honestly say I've never been more comfortable in a pinky before.

I spoke with Dave on Friday afternoon for the first time. I agree, he really is a nice guy. It's certainly refreshing to be able to call an investor relations guy who can actually answer your questions.

Anyone still watching this one? I sold half my shares while it was tanking, and held the rest in anticipation of warrants next year.

It's been a mess. The company went silent to work on some legal issues and to reorganize, but David has stated that they are now ready to resume following their business plan. Could see some nice gains here in the next few weeks depending on what news they have for us. Keep an eye on it.
