Spoke with ceo Scott Goldsmith...
I asked about the new companies filings and from what I believe, they could be produced in the short term and the times frame in the PR regarding closing of the deal is a worst case scenario.
The float he believes to be around 5 million.
I asked about the companies web site and he said he would give it to me. I asked why he didnt include it in the press release and he said he didnt want them getting numerous calls to potentially screw the deal up.This was an issue with the prior LOI.I said I didnt need the web site at this time.Besides, its all in chinese.
No guarantees the deal with get done , but he seems confident it will be done timely.
I threw around the 50 million share count guesstimate on where we would be when and if the deal closes and I believe it much lower than 50 million.
I also get the feeling that the company coming into the shell, put a non refundable deposit down which would be good if its true.

PVNC Just talked to Scott. The Co Paid A non refundable retainer. They are way past a LOI. Audits from China expected today. Advanced word from China is All is in order. I just talked to Scott. SEC filings should be updated today.
They have offered Shanghai Senyin Development Company a very attractive merger deal. They would be foolish to turn it down.
Scott will have the audited financials from China today or Monday. As long as everything looks good, this deal is done.
The non-refundable cash deposit shows that they are serious.

This is a great time to load the boat.. once the merger is done, this Should shoot up very well. Estimated time for merger is to be said around 3-4 weeks. Look at it this way, atleast the company is not throwing out a bunch of pointless PRs to boost the price up. Solid PRs is where this is at.
The problem with the pps going down is because too many are selling out of fear to either do other plays in the meantime or don't have patience to wait. If anything, this IS the time to load up, this stock should be a lot higher right now and over a dollar by the time the merger is complete. Potential to be the next cpsl.
As of now, any sellers in this stock should change their sell orders to a minimum of .10 cents so we can hold that number to keep going higher from here on out.

Spoke with the CEO yesterday and the final audited financials for 2006 are being looked at by the attorneys right now. The financials were all assessed but 2006 which are being looked at this week. That is the last step. We are only a few weeks away. Scott Goldsmith announced in the PR on March 22 that it would take b/w 45-60 days to consummate the deal. These attorneys and Shenyin want to get this deal done as it costs a lot of money to have attorneys working this deal in both China and Las Vegas.

I have reviewed the history of this company and it does not make much sense. there are more questions than answers and reminds me of a bunch of other that went the same way...down. Why would a company thats goals are to merge US insurance companies want to merge with a china company that could "help the company expand into global markets" when the first merger news that went south said "in negotiations to merge with opportunities involving technology." Sounds like they say what you want to hear.

George, from what I understand they cleaned up the shell for the original merger that fell through and this opportunity arose with the chinese paper company. If you have a clean shell with a good share structure that makes you attractive for a reverse merger.

Scott Goldsmith, CEO, also told me that you only have one chance to introduce a company in the U.S that has reversed merged. What he is doing b/w now and closing is working with institutional investors before the close of the deal so that big money is on board before the deal is closed. took most of my money out yesterday still watching but i smell some dilution here but that´s just a hunch, there is no new info on the share structure i´m looking for another entry once the volume comes back in

hey guys, just got off the phone with scott goldsmith. he says things are progressing nicely and his guess is the merger will be final within the next 2-3 weeks, if not sooner. he said shenyin is in daily contact with him and have already spent in excess of $300k towards getting the deal done, including sending pvnc some sort of retainer money. i'm sure they are not laying down that kind of cash just to back out of the deal later. he said the shenyin audits are pretty much done. mr. goldsmith says the deal is 99.9% complete. he also said shenyin is most likely going to have all their stock restricted for one year, which means no immediate dilution. great news! i also asked about the share structure, he confirmed what's in the ibox and also in their last filing: 100m a/s, 20m o/s, float approx. 5m. i did ask why the last r/m did not go through, and he said it was nothing on their end, that the other company basicly couldn't pull all their sh1t together to make the deal happen. i also asked would they be issuing any pr's to update the investment community on merger progress, he said no. he said basicly when the deal is done they will pr it, no advance warning. no fluffy pr's tells me they don't have an alterior agenda, which is good. was a very good conversation, very nice guy. i took my first position here right after the phone call and plan on accumulating more over the next week or two. looks like a 10 bagger to me. good luck all.

we are getting closer and closer to the merger and i can not stress to you that this will only get higher as time goes on. I dont want to hear shoulda woulda coulda when it gets going and ur fills are at .20 =) GL to all

We should hear something (hopefully) about the merger this week. Its been 53 days. They said 45-60 days. I hope this goes through. If it does we all be sitting pretty GL all!

I e-mailed Scott Goldsmith (CEO) and he informed me that he was moving on from the Chinese Co and into a bigger Domestic Company that he hopes will actually finalize a merger. SO it's good news and bad news.

It is suspect, but you can see from the charts and L2 that he isn't using these PR's for dumping purposes. If he wanted to print shares he would string us along with PR after PR, but he didn't. I want to believe he legitimately got screwed twice and hopefully the 3rd times the charm. I have talked to Scott numerous times on the phone and by e-mail which by the way he answers VERY fast and he sounds like a decent guy. He's looking to bank off these deals just like us. If there is only 1 honest guy in the OTC world I want to believe it's him.
