Reminds me of TMEG, but this has an even lower float...

12M O/S // 7M Float // Revenues $566,033 // Gross profit $110,151 // Current Assets vs. Current liabilites $1,026,025 vs. $676,716, 1.5 /1 quick ratio // Cash on hand $656,344.

I am first to say pennies don't move on fundementals, but good financials sure can't hurt. This looks like it could be a real company. If you don't believe that, then at least believe it shouldn't be trading at .01 or less. It's one of the better Form 10's I have ever seen for a penny stock. Closed at .009, I'm in it, any weakness in the PPS and I will double my position. If this doesn't run, and if this deserves to be at .01 or less, then their isn't ANY level or fair playing field left in pannyland.

This is what a penny player should look for :
Low O/S
Lower Float
Increased volumes
Declining price
Oversold condition
No history of dilution
(Grant it, there is an open SB-2 fo 27M, but it doesn't appear to be active, yet)
(Saw the increase in A/S, means nothing right now)

This will run before they dilute. If it doesn't, then I will own a WHOLE BUNCH of nothing, and have egg on my face.

Glad to see you in on this one will!

Thanks for pointing out the highlights of the financials. I agree, not many pennies have a quick ratio like that, some don't have current assets at all. I was just thinking about the low o/s and low PPS, and figured it would go from there, but glad to see the financials aren't bad either.

I agree, this one should go. If it doesn't, then we can share the egg on the face. [Smile]

They withdrew that SB-2. NO DILUTION PRESENT !!!

It just keeps getting better and better. That puts this right next to PERFECT !

Skip- another nice find.

will, nice follow up DD. Let me be among the first to say that I appreciate your willingness to hold yourself accountable. It's rare in the bulletin board world to find someone willing to take a stand on a pick and substantiate it with solid DD. I see to much gutless and hollow dissent lately.

I tried to bid whack it early in the day at .008 and never filled at .009- stupid me. If she doesn't go on Monday, I'll be taking another stab at it. Hope I won't be joining the egg on face crew!

Boy, this pup is a tough fill. They dropped the bid and ask for a while today, very few fills. I know some folks that were trying to buy within the spread, and no fillie...

This one will go, sooner or later. No one is paying attention to it now. But with this low of a float, the low PPS, and the decent 10Q, shouldn't be at this level for long. MM's will give it a ride, or some group will come along and run it at some point. I will take my profits either way...

I, too, went bargain shopping today. Some big trades went through today. Not sure if that was a load up, or what.

This thing flies to .012 on nothing, I am being patient with this one and loading on dips. Super low float and good financials, only a matter of time before it runs...

Something is not right here. Examine this stock and company :

According to the last From 10 filed:
12M shares, O/S
7M Float
Revenues $566,033
Gross profit $110,151
Current Assets vs. Current liabilites $1,026,025 vs. $676,716, 1.5 /1 quick ratio
Cash on hand $656,344

A low float penny company, with real revenues, and a profit, a positve quick ratio, cash on hand.

Someone isn't playing fair. I will buy every opportunity I get at .005 or under. This has winner written all over it.

The O/S is correct as of 11/30/06 at 12M.

The float has risen to 7M as of 11/30/06.

Next form 10 will update O/S. Still no dilutive filings, and no history of dilution is encouraging.

Good morning all. I was thinking that this one could be a huge runner but I have some questions about the information below that came from the last 10Q.

The convertable debentures total over 100mm. Have those shares hit the market? If not why is the price down so much? If they havent what will happen when they do?

The insiders hold over 7mm shares according to the form 3's filed which is a good thing and they appear to have a good product. Just wanting some ideas before I put some money in this.

Common Stock

On August 25, 2006 the Company's authorization to issued common stock was
increased from 50,000,000 shares to 500,000,000 shares at par value of $0.001

As of August 31, 2004 (post merger) the Company had 5,020,000 common shares
issued and outstanding.

In May 2005 the Company purchased equipment valued at $114,100 for 33,334 common
share and issued 122,834 common shares for services valued at $12,283.

On January 6, 2006 the Company issued 50,000 common shares for services valued
at $7,500.

On February 16, 2006 the company entered into a securities purchase agreement
for a total subscription amount of $2,000,000 that includes stock purchase
warrants and callable convertible debentures. A discount on convertible
debentures was recorded against additional paid in capital of $315,000 which
will be amortized over the life of the debentures. The total subscription
includes an aggregate of 2,142,858 five-year warrants exercisable for the same
number of common shares at $0.50 per share. An aggregate of 25,974,026 common
shares have been registered and are available for issue to potentially convert
the full $2,000,000.

On July 31, 2006 the company issued $500,000 in convertible debentures at a 40%
discount. A discount on convertible debentures was recorded against additional
paid in capital of $333,333 which will be amortized over the life of the
debentures. Common stock registered to convert the full $500,000 was calculated
at 69,444,444 shares using the current three day average price per share of
$0.012 less a 40% discount.

On May 31, 2006 the Company issued 290,000 common shares by converting $33,031
of debenture debt and issued 33,334 common shares for consulting services valued
at $3,333.

period ended November 30, 2006.

The Company issued 61,000 common shares for cash of $25,000 and the subscription
deposit of $36,000 received in May 2005 in a private placement.

The Company issued 683,534 common shares for services valued at $19,835.

You raise some good questions and warranted concerns regarding potential dilution. The company has issued SB-2's and SB-2A's to register these securities, but I also saw the RW filing withdrawing an SB-2. It is confusing and convoluded as to which, what SB-2 action has been withdrawn. I also noticed some preferred shares, but have not looked deep enough to find the conversion ratio. Here's their filings :

http://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001281984&type=&d ateb=&owner=include&start=0&count=40

Even with an additional 25M or 28M shares this is still a good play, but again it appears that SB-2, (SB-2A) has been withdrawn.

I am more focused on the financials. They are EXCELLENT for a penny stock. Again, I freely admit that financials do not drive pennies, but they can enhance the chances of a profitable trade.

"According to the last From 10 filed:
12M shares, O/S
7M Float
Revenues $566,033
Gross profit $110,151
Current Assets vs. Current liabilites $1,026,025 vs. $676,716, 1.5 /1 quick ratio
Cash on hand $656,344

A low float penny company, with real revenues, and a profit, a positve quick ratio, cash on hand."

Sorry to be redundant, but this is my focus.

Someone smarter than I am will have to figure out the mumbo jumbo of the SB-2's and the withdrawl. I'll accuumulate under .005. Even if it is being moderately diluted I like stocks with O/S or potential O/S of under 100M. If / when it is to be diluted, they will give it a decent run around the track, and recover their investments, (they = MM's).

It isn't your typical "MOMO" play, P&D type, were most enter late and get slaughtered anyway. It is a wait see, accuumulation play in hopes of either an MM managed run, a group running, and the very best scenarion, both ocurring at the same time. I knoaw for a fact that this has been ran by group previously, and they are in the habit of coming back to stocks they have had success with.

5-Day Avg. Volume 734820
20-Day Avg. Volume 620175
50-Day Avg. Volume 547966

I don't see any REAL dilution here, slow and steady REAL interest, maybe ?

This should run...but any stock with convertible debentures makes me nervous these days after seeing what happened to bany.

Posted by will on :

SEWC and BANY can hardly be compared.

I suggest reviewing the filings for BANY. There was a SB-2 for 2 BILLION filed by BANY, and it had 2 or 3 decent runs after that filing. SEWC has cancelled their SB-2. The shares supporting those debentures have to be registered.

There isn't any real comparison between the companies, that I can see. SEWC has more posisitves going for it than BANY has or will ever have.

Just my opinion.

Posted by tmanfromtexas on :

You make some good points Will. I agree that this stock under a penny with at the most appears to be 100mm shares possibly out and an actual product that is produced should be a slam dunk. If the stock gods are good to us maybe we can get some and have a runner. TMAN...

I agree, it is not going nowhere... [Razz]

Glad to see the increased interest in this one. I agree with will. This is a stock you buy when it dips and hang onto it for an MM or group run or both. Even if they dilute 100mil shares (hypothetically speaking), it will still have a lower o/s than 90% of the POS's down here, and has good financials to boot. I have flipped this one a couple of times, and will continue to do so until it plays itself out...

At November 30, 2006, there were 12,074,036 shares of the registrant's Common Stock outstanding.

7 mil float per bloomberg

12M O/S // 7M Float // Revenues $566,033 // Gross profit $110,151 // Current Assets vs. Current liabilites $1,026,025 vs. $676,716, 1.5 /1 quick ratio // Cash on hand $656,344.

This is what a penny player should look for :
Low O/S
Lower Float
Increased volumes
Declining price
Oversold condition
No history of dilution
(Saw the increase in A/S, means nothing right now)

why bother posting if you don't like the stock? what good does that do anyone? The only folks that do that are the ones that missed out on the run. They are all POS's, they wouldn't be down here if they were great companies. You said it wasn't going to do anything, and it ran 270%+ Nice call dollar...

Let's do it again, thank you, all for the same reasons:

According to the last From 10 filed:
12M shares, O/S
7M Float
Revenues $566,033
Gross profit $110,151
Current Assets vs. Current liabilites $1,026,025 vs. $676,716, 1.5 /1 quick ratio
Cash on hand $656,344

A low float penny company, with real revenues, and a profit, a positve quick ratio, cash on hand.

And, as will points out, it's still pretty sweet fundamentally. I like flipping this one, I'll keep doing it until it stops...

someone tried to get filled at the ask which was .004 at first, then went to .0045 and they only filled 10000 shares, ive watched level 2 on this for a while and mm's usually never paint this or mess with it, at least yet, lol.. its a very small float. IMO, they filled only 5000 at .004 and person upped it to .0045 and they still didnt fill it. mirrored it as one trade. regardless, there were no shares at .004 or .0045 imo for sale, and a false wall, never know though, im not an mm. who knows what tomorrow brings ??

because of the volatility.. scottrade sux.. i think they are the only one restricting it. you have to call your broker and place your buy order.. i had no probs buying online with amtd.

good luck

Just realized that for $3500 you can own 5% of the o/s and have a voting interest in the company.

We should file a joint SC-13G and take control, lol...

ya know? I've seen that proposed and bandied about... *would be* interesting to see that played out. Am not saying *do that,* but it would be interesting...

Posted by skip on :

I hear ya, got me thinking for sure.

This is one of the few actively trading, fully reporting stocks that it would actually be possible with. Of course the price would go up as shares are accumulated, but, 10 people put in $3000-$10000 and they could likely get a 51% voting interest, and effectively have elective power over the company. Heck, if a couple of us on this board filed a joint SC-13G we'd at least have a vote at the next shareholders meeting. Interesting to say the least...

Don't most companies have hostile takeover prevention policy/programs.

That's a good point. They have 189,000 preferred shares out that carry a higher voting power, I believe. So, that is sort of a "built-in" takeover protection. I wasn't able to view their articles of incorporation on the state of Nevada site, but I assume that's where a takeover policy would be if they have one. It's not in the 10Q/K, unless I overlooked it, which is entirely possible.

That said, a takeover policy still wouldn't prevent a few of us from pooling together 850,000 shares and having a 5% voting interest.

Pretty cool to wax about anyway...

It's been a great flipper for me Tex. Low float and low pps make it nice and bouncy.

As far as assets are concerned, they generate over $2,000,000 in revenues yearly and they have a pretty good quick ratio of 1.37 (1.1mil current assets/827k current liabilities), and over $500,000 cash on hand, so the balance sheet isn't bad. They do, however, operate at a loss, despite the revenues. They are in the sewing biz, and are losing money to foreign outsourcing and imports, so, long term investment is questionable. I don't play that way anyway, I am a bottom fisher/flipper, but this one is a real gem IMO. It's one of the few companies down here that doesn't have a bloated o/s, no revenues, and a crooked CEO; they actually are transparent. A rarity here.

As for the voting interest thing, I was just thinking aloud really, wouldn't be worth the headache unless I really wanted a piece here. I'm a bad man though, love 'em and leave 'em...

Thanks for giving me more today, MM's.

Rarely do I have the patience, opportunity, or desire, to "load up" on a stock. This, however, is the one stock that I will buy what I can when it's at this level. It will bounce.

These things have been reiterated over and over: 17.8mil o/s, .0034 PPS, little to no dilution, over $1mil in revenues the last 6 months, $500k cash on hand.

I really don't know of any other OTCBB stock with a combination like the above... anyone got another one? I would like to buy it. [Smile]

Admittedly, they are all POS's to a certain degree, but this one seems to have a little less of the S, in POS, than other OTCBB stocks do.

I am certainly surprised that it closed where it did with all the volume today.

I'm not sure why it sits at these levels considering it's balance sheet and low o/s.

I am certain it will have a nice run someday soon. If you bought at any price they flashed today, you should be fine...IMO

Second highest volume day in the last year for this one. Looks like there was a lot of buying today. Anyone who bought today should be good for AT LEAST a double from here. As we have said before, this *should* be trading over .03+, and that's based solely on it's cash value. Book value of this puppy is well above that. Considering P/E ratios (which is normally 10x book value, no?) this thing could easily be trading over a dime.

Nothing makes sense here in the wild west of stocks. What I have noticed with stocks like this (there are few), is that you shake your head for months, then one day, BAM!!

This is a prime example...

I'm pretty new at actually trading, but I have been watching, reading and learning for about a year and a half. I was in some renewable fuels plays, with little luck. I pulled most of my position in these stocks and wanted in on something with low float and at bottom. I got in today at .0035 and purchased most of the action today so far on SEWC. I really like what I see and think there will be a day soon we see this thing fly! Thanks Skip and others for some of the dd. Lets fly now!

yep, but only when shares are scarce and somebody wants in bad...

My broker usually takes about 50k of my shares per day for shorting, so I know there is some short interest here...

In my account activity log, I often show these transactions:

4/30/07 12:00 AM Margin STK SM -50,000 SEW CAL LOGO INC SEWC US

I asked my broker what that meant, and they told me that since I have a margin account, and I buy shares on margin, they can use my shares for shorting. Or, as they put it, "allowing other brokers to borrow my shares." Brokers all do this amongst each other and MM's, it's how the market stays liquid. You can bet that MM's didn't have the shares to fill those orders under .003 this morning, they had to get them from somewhere. People like you and me...

nice jonus. I got some at 4 just in case tomorrow she moves.

reminds me of the old sljb. when it was like .002-.005 everyday, then boom .05, then .10, then .20. and that stock was a scam with way more O/S. who knows... of course most of us are looking for a nice flip play. good pick guys.

Posted by skip on :

What a day today, extremely volatile. Someone is trying to accumalate shares under .005. It has bumped it's head there twice in the last week or so of trading. DOMS is now sitting out at .007, so that is a good sign.

I would like to see it break through that .005, once it's passed there, it could really go...

ARCA was all over the place. First looked like a scare to shake some shares. He kept down ticking the ask tic by tic.
Then when .0027 printed he then jumped to the bid and kept upticking it with a 99 count. ARCA kept bidding up till some one finally took out the 9999 at .0045. ARCA looked like a christmas tree most of the day was very strange trading day. Keep a close watch on this one. I suggest everyone get at least a starter here at this level. Because one of these day when we least expect it this one going to do a moon shot.

NITE's bs'ing around now. Doubt he has many shares. Past performance indicates that DOMS is in control here. I think NITE is just asleep at the wheel...

I am just glad to see this stock getting more attention, once people find out about it, they tend to buy it.

I'm not an expert at trading these sub pennies as many of you are, but, at looking at a float this low, I'm holding about 300,000 shares. If there are 10 others on here holding the same, we've got a significant amount of shares tied up at under .005. If no one is selling until its .007 or better, demand has got to make this thing take off soon doesn't it? I say we all buy all we can get under .005 and hold for at least .007 or .01, and this thing gets some push, it has to take off. Am I looking at this wrong?

thanks dollar and moremula. I "googled" it on yahoo and found the info I was asking for. TMAN...

Posted by skip on :

It's a filing that shows beneficial ownership of shares. If a person owns 5% or more of the outstanding shares, they are "required" to file a SC-13. This allows the company and the SEC to know who has a voting interest in the company.

With an o/s and price as low as SEWC has, I bet there are a few people that easily have 5%+ of this o/s. And, if that is the case, then there has been some naked short selling going on, because theoretically, that shouldn't be possible...

bear in mind, one would only need to own 885,000 shares to have 5% of the current o/s...

Posted by tmanfromtexas on :

I agree with you Skip that many folks probably own more than 5%. with 17mm shares o/s 5% would only be 850000 shares or 2400 bucks at todays prices.
I dont understand the NSS comment though. The volume hasnt been that much over the last few months or am I missing something? TMAN...

As of today I now own 3,785,010 shares at an average cost of .0036 Been sitting bid under three everyday for damn near four months now.

I will continue to sit on bid. Anything under three is a gift. I do not understand why this one trades so low like this but one thing I do know is that one day it will be trading in the penny's and I will be there making serious coin.

I was not at my trading desk today. My mother has been sick and I have been taking care of her. She lives in the country no broad band avalible. While she was napping I hooked my laptop up on the phone line to check my account. I saw that SEWC had an ask of .0029 So I immediatly put in an order for 500k . They only gave me 310k and I was also on the bid for 500k at .0026 .0027 and .0028 I noticed that a trade went through at .0028 for 500k but they never filled me at all.

They are very scarce with em way down here.

DOMS ARCA and Citigroup Global Markets Inc. Have been working this one for months now. I believe that our day is coming sooner than later.

Pipeline Posse
SewCal Logo / Web / Los Angeles / July 2006

Sew Cal Logo approached us with an interesting proposition. They had just bought the rights to the merchandising of Pipeline Posse, a famous Hawaiian surf crew, and they needed a website. They would trade us t-shirt printing in return. Having long been wanting to revive StolenShirts, and eyeing field-trips to Hawaii, we figured what the hell.

Being a huge David Carson/Raygun fan, i couldn't help but pay tribute to his style when creating the look and feel for the site.

Sure wish they would come out with some awsome news on some of their projects.

Contact with our target market has been initially established in several major surf publications through personal interviews with our athletes as well as editorials on The Pipeline Posse itself. Print and on-line advertising campaigns have commenced in both industry related magazines and websites. We have also published and activated PIPELINEPOSSE.COM, our website which features up to date information on the athletes, activities, photo and video galleries, an active news ****, related action sports links, and a fully developed online store. The secure site and shopping capability has been recently activated to accept credit cards and offer shipment of merchandise worldwide. A multi- faceted major advertising and marketing campaign is being budgeted and developed for launch in early 2007 and professional sales organizations are being interviewed and considered for representation and distribution of the brand both domestically and worldwide.

u own more than today's volume.. wow..

He also owns 21% of the o/s. 3.78mil out of 17.7mil...

I know another person that owns about 16% of the o/s.

Note that with a float of 13mil, these 2 folks own about 45% of the tradable float. Now, I am sure they aren't the only ones with significant holdings. Heck, even guys like me are holding 2-3%. And I know there are many others with few hundred thousand shares as well.

TMAN asks why I mention naked short selling. Well, my thought is that if there are only about 5-7mil shares tradable out there (assuming that the big holders aren't selling, and that is a high estimate) when we have 2mil trading days, shouldn't the price skyrocket, or plummet? Either the company is dumping (which I am sure that they are selling some, but not tons), or someone is not playing fair. DOMS always has plenty of shares to sell. Considering that the public is holding a considerable amount of the o/s, where is DOMS getting those shares?

SEWC is one of the few stocks out there with a low o/s, and a really low price, with virtually no dilution present. It could possibly be the stock to expose what really goes on in the penny markets...

This is just my opinion, and in any case, there is no debate that SEWC is very undervalued. It is the only penny I always have a position in...

Jonus, you have have some ballz coming out with your share count. i find this really interesting b/c i own 2.1 mill shares, looks like you have me beat, lol.. seems we own a substantial amt of the float looking at the last filing. I would never come clean on how many shares i own, but on this one i am intrigued, i'll risk it..

not sure if they have added shares to the OS. DOMS is really aggressive on this one, i would think dilution, but i notice how he swings from the ask to bid in a heartbeat. DOMS had the spread in a headlock today. might be some dilution before this roll-out, dont know. regardless, with this much of the float tied up it should fly on buying pressure, thats been my thought all along. and i really think skip is onto something, but never know. this is more than a flip for me, i want much higher.. well jonus, i am thinking we hear something soon too, this recent info makes things interesting. I hope your mom gets better btw.. PM me if you need to, about any questions regarding this.. be well.. I'll buy more too btw, lol

You two own 3.78 and 2.1 million shares each, respectively. That is a total of 5.88 million shares. That's 33% of the o/s and 44% of the reported float. That's pretty amazing.

SEWC is good, but not perfect. I mentioned that they don't have much dilution, and that's true, but they have some. They have a 26mil sb-2 out there from 5/06. At that time the o/s was 5.9mil. So, fully diluted, they would be at approximately 32mil. The o/s a year later (April) was 17.7mil. So, they diluted about 1mil shares per month over the year. I assume they are doing the same thing now. So, the o/s is likely around 20mil in my estimation, with a float of around 16mil. Again, a couple of traders here have 5.88 mil, just between two of them. That is a significant portion of the float. Someone else comes along and dumps $5-10k into this, and it's gone. Not sure where the market makers would get the shares to fill that kind of dollar volume?

I'm not trying to read too much into this, don't get me wrong. I understand the short selling is a part of a market maker's job, they have to keep the liquidity of the market. Moreover, I am just interested that a stock down here is cheap enough that folks can own a voting interest in the company for a few grand. That is pretty amazing to me. And, they aren't that bad of a company either, go check the Q, there are pretty significant revenues there.

This one has intrigued me for some time, very interested to see what happens with this one. Definitely a rarity.

Hope to see both of your SC-13 filings on pinksheets.com soon! [Smile]

Thanks Skip for the explanation of your idea of the nss. The total trade volume for the year according to the otcbb web site is 61,770,660 with sbsh and doms leading with 20mm shares traded each, and nite behind at 15mm. For the OS to trade 3 1/2 times nss could be the issue or dilution. Dont get me wrong, even if they doubled their OS to 34mm it is still a very low OS for an OB stock, but it still reduces the amount the stock is worth. I would love for it to be short selling but I guess we will know what the new share structure is when they file. Thanks again for all the information and for the record I am bring up the rear with a measley 200g shares. lol. TMAN...

If it doesn't, then I will own a WHOLE BUNCH of nothing, and have egg on my face.

tman you should do some DD, naked short is rampant on the penny, problem is too many BS companies and ceo's claim NSS, and its just to get people to buy there bloated stocks, LDHI for example.

plus you have amatuer investors that claim short, short squeeze all that bs, so no one believe in NSS.
no one knows how short a stock really is, no one knows if short squeeze coming. no one but few mm's. all those squeeze web sites are fos too imo.. but man i am telling you NSS is rampant imo.. just how i see it

I am still just exercising patience, it's obvious something is not right here, not sure what it is, though. Generally, when I think that, the stock takes off at some point and I think "I knew something wasn't right there..."

Cactus, that is why I have a hard time with NSS. stocks sitting at .0001 and people screaming its NSS. It cracks me up now but when I first started I believed it and cost me money as the stock would RS and leave me being the bagholder.
Now as far as just shorting a stock, I believe it happens but again (and I am not arguing) who would be crazy enough to short a stock at this level when .0000 is not far from here and the opposite is the sky limit? Also who can actually short an OB stock in the states? Why would the MM's do it? If no one is able to short these type of stocks, ie. no demand, no supply then where does that leave us. We know they upped the OS 10mm shares over the last 3 months. What is saying that they arent now? If they are then the stock will continue to fall and my money is falling with it. I just dont know. I keep adding at this level praying I am making a good decision. If they would give us some info it would be greatly appreciated. TMAN...

By my calcs, the dilution on file tops out the o/s at ~31mil fully diluted.

We were at 27mil last filing.

We just had 10mil volume in the last 2 days.

Close?

I think so...

man its different than some guy like you and me shorting from our home. look, heres some info. I have no idea if NSS is happening to this stock, and dont really want to get carried away with the subject at all, but every pennie investor needs to learn about it, unless they want to throw there $ down the toilet. I do know a broker that claims 80-85% of these pennies are riddled with NSS, and i believe him. actually its worth emailing this senator guy, at least he gets it. Like i said is SEWC NSS victim, who knows. no one knows for sure. there is always money to be made on the penny, but it helps to know what your up against... take care, and thats all i got on NSS, lol..btw i still like this pos SEWC, lol

Sen. Bennett Renews Call for Hearing into Stock Market Fraud

- Sen. Bennett Renews Call for Hearing into Stock Market Fraud
by Mark Faulk

In a speech on the floor of the U.S. Senate today, Senator Bob Bennett (R-UT) called for Senate Banking Committee Chairman Chris Dodd to conduct a hearing into stock market fraud, specifically addressing the issue of naked short selling. Sen. Bennett has been a long time proponent of stock market reform, and was instrumental in proposing a Senate Banking Committee hearing into naked short selling as early as late 2004, which were eventually shelved by then Banking Committee Chairman Sen. Richard Shelby (R-AL). He said that Sen. Dodd, who has entered the 2008 Presidential election, was willing to conduct a hearing into the issue:

“I think it is serious enough that we ought to have a hearing about this in the Banking Committee, and I have spoken to the Chairman of the Banking Committee, Senator Dodd, and asked him if it wouldn’t be possible for us to have much of a hearing at some point in the future, and he’s expressed a willingness to do that. I can understand, we can’t set a time for that right now. There are too many other things going on in the Banking Committee, but I’m delighted to know that he’s willing to cooperate with us in examining this. And I would like to suggest several things that I would like to discuss at that hearing.”

A source close to the issue said, “Senator Bennett has spent an enormous amount of time studying this problem, he’s intimately familiar with the abuses in the stock market. This speech is his opening salvo.” He went on to say that “We need an avalanche of letters and emails from every state in the Union going to every member of the U.S. Senate, urging Sen. Dodd, the chairman of the Banking Committee, to hold the hearing on Sen. Bennett’s recommendations.”

After first explaining the basic issue of naked short selling to his fellow Senators, Sen. Bennett then addressed the SEC and the creation of the DTCC, and their role in trade settlement, and how the need for a system to facilitate trade settlement led to the creation of the DTCC, or the Depository Trust and Clearing Corporation. He said that the while the DTCC is regulated by the S.E.C. that” I don’t think that last statement is true. I’m not sure that the S.E.C. has control over the DTCC. He then quoted from a Wall Street Journal article that said, “Almost all stock is now kept at the company central depository and never leaves there. Instead, a stock buyers’ brokerage account is electronically credited with the securities entitlement. This credit can, in turn, be sold to someone else.”

Then Sen. Bennett described how electronic settlement, which he called “replacing paper with electrons,” can “provide cover for naked shorting of the stock” because shareholders are given an electronic credit for the purchase instead of physical delivery of the shares. From there, he described how electronic trading, and the DTCC’s practice of keeping shares in what has become known as the “DTCC Borrow Pool,” invites manipulation of the system:

“So this happens: a short seller enters the market and says, “I want to short—I want to sell 1,000 shares of XYZ stock so at some point he has to produce 1,000 shares to cover his sale. How do you do that? You borrow the shares. And then you buy them back at some future time. All right. From whom do you borrow them? The DTCC. They have all of the shares on deposit. So you go to the DTCC and you say, I want to borrow 1,000 shares of XYZ stock. They say, fine, we have them on deposit and will lend them to you so you can use them for your ‘short’ sale. All right, everything’s fine. Except that, in this electronic age, it is possible for you to keep shuffling around the electronic impulses that represent the stock and never, ever, have to buy it back. Stop and think about that, Mr. President. That’s a pretty good business plan. You can sell as much as you want and never, ever, have to pay for it. You could go in, the stock trading at $5 a share. You go in and sell 1,000 shares. You paid $5,000 for selling 1,000 shares and you never have to buy them. Because you are constantly moving around the electronic impulses that represent those shares. You never have to cover.

Now, when you talk to the DTCC people they say ‘No, we always make sure that there is a delivery and if there’s not, it’s not our fault. It’s not our responsibility to police this, it is up to the brokerage house to do this.’ The S.E.C. has spent enough time looking at this and enough time talking to me that they issued to me a three-page letter outlining the steps they have taken to stop the practice of ‘naked short selling.’”

After talking about recent rules implemented by the S.E.C. in an effort to deal with the problem of naked short selling, he talked about another method of circumventing the rules, a scheme that is commonly referred to as “stock kiting,” where two brokers pass shares back and forth between themselves, with each one holding the shares for thirteen days, the limit before forced settlement of the trade, and then passing it back to the other broker, where, according to Sen. Bennett, “they ping-pong these back and forth as long as they want. So you can have a situation where people are selling shares that don’t exist, taking commissions on the sale, and the profits of the sale, and never ever having to produce the shares.”

Bennett also said “I think a Congressional hearing is a good place for those who are running the DTCC to explain to us how it really works. And I would like the S.E.C. to come in and give us their background and information as to how their rules are working to try to stop the naked short selling.”

He laid out a number of proposals in his speech, including “a rule that says that brokers cannot borrow for short sales more stock than is on deposit with the DTCC. I think that’s just obvious. If there are 3 million shares of XYZ company on deposit at the DTCC, people should not be able to short sell 4 million shares…So my first recommendation would be that the DTCC cannot make available loans for short sellers more stock than they have on deposit. Once they have reached the point that 100% of the shares they have on deposit have been loaned out, they can’t loan out anymore. I think that’s just an obvious, commonsense recommendation, but it doesn’t apply now.” He also said, “there ought to be a rule that says that a broker cannot be paid a commission on a short sale until the shares are delivered.”

"It does not involve very many people, but for the people—to the people who are involved, it, frankly, can be a matter of life and death. And there are enough of them starting businesses and creating entrepreneurial activities in the United States that we owe it to them to find out exactly what is going on with respect to this.

That’s why I’ve asked Chairman Dodd to consider a hearing on this matter, to let us hear from the S.E.C., to let us hear from the DTCC, to let us hear from those in the marketplace who have actual experience with this and see if the present S.E.C. rules are sufficient or if we need to do additional things around the lines of the two items that I have suggested.”

Our anonymous source, who has spent years behind the scenes working for stock market reform, stressed that the hearing could hinge on the level of response from those who have been affected by stock market fraud, saying, “There’s been no bill introduced, but Senator Bennett is prepared to introduce a bill if these issues are not resolved. We need a nationwide campaign to get people to write their senators urging them to tell Sen. Dodd to hold hearings into the issues that Sen. Bennett addressed in the U.S. Senate today.”

Well I got 1 order filled today and I'll keep buying if somebody else on here doesn't beat me to it. IMO even with dilution this has gotta end very soon and move upward.

well its either manipulation before mm runs the crap outta it, or the company doesnt mind converting this low with no pR or update, so... as buyers thin out, more people give up, as time goes by and they just want out. Summer doesnt help, its dead out there, compared to fall. GL

Saw this on the SEWC board on ihub. Pretty much says what we have been saying all along, plus some new developments. Anyone else get this email? Thoughts?

"This perhaps will be “The Greatest Stock Pick of 2007 and Beyond,” with forecasted gains representing several 1000% from the companies current share price. I urge you to read this newsletter in its entirety as the due diligence provided is incredible!

SEWCAL LOGO INC. – CATCH THE WAVE
Current Price: .003 cents – Target Price .07

INTRODUCTION

SewCal Logo Inc. (SEWC: OTCBB) is located in Los Angeles, California. It produces and manufactures custom sportswear and apparel and provides an in-house, full-service custom design center. It currently generates approximately 2 million dollars in annual revenues and carries $250,000 cash on the balance sheet. There are only 27,080,702 million shares outstanding. (*July 2007 SEC filing)

Amazingly, the company is yet undiscovered by the small cap investor masses and has a share price that has quietly traded sub-penny for almost a year with a current share price of only .003 and a market cap of only $82,000! (*July 2007 SEC filing.)

Few people are aware of the incredible developments that are occurring which could quickly catapult the share price to incredible highs within the next few weeks.

SEWCAL RAMPING UP

SewCal is quietly ramping up to launch a new branded line of Surf and Sports Wear clothing named Pipeline Posse to be released in Pacific Sunwear Inc. (NASDAQ: PSUN) and other retail stores worldwide this fall!

From their July SEC Filing: “A line of clothing has been developed and advertising and promotional campaigns are initiated and underway. This new segment of our business is expected to provide a significant increase in revenues resulting within the next 18 months… We have developed the necessary relationships, executed exclusive marketing and advertising programs with some of the top names in the Surfing World, designed an initial line of related surf and sports clothing, created and activated an on-line retail store for Pipeline Posse, and are planning a Summer - Fall 2007 launch of these products into selected retail stores… as a result of leasing an additional 10,000 square feet within our occupied facility as it became available when the former tenant moved out. This additional space, several offices and an inventory / shipping area, are devoted exclusively to our new brand and product development initiated to provide company growth in these new areas.” (*July 2007 SEC filing.)

Several popular small cap investor sites are quietly discussing the new launch and in fact one investor was able to attend the new Pipeline Posse, Project 1 movie premier in San Diego, California and speak with one of founding members of Pipeline regarding the new brand clothing launch. (*Search - Pipeline Posse – Project 1 Movie)

Member writes, “… Just wanted to give you an update on my visit to the Wavehouse on July 14th. Got to see the premier of the Pipeline Posse Project 1 movie, but importantly got a chance to talk to Jamie Sterling. With the new clothing launch coming this fall I wanted to know which stores the Pipeline Posse would be launched and I was excited to hear they would be in Pacific Sunwear. Pacific Sunwear carries many well known surf and skate brands including Roxy, Quiksilver, Hurley, Volcom, Element & Billabong and i believe Pipeline is going to be an incredible addition. We could see a big move in the weeks leading up to the new school year. Good luck to us and hold your shares!”

SURF APPAREL MARKET BOOMING!

So how big of a deal is the new product launch to current shareholders? As per the Surf Industry manufacturing Association, the surf and skate sector of the apparel industry has a 2007 market value of 7.5 billion dollars in sales. Pacific Sunwear trades on the NASDAQ for $18 per share and a market cap of 1.25 Billion dollars! Some of the other brands they carry like Billabong and Volcom have sales that exploded and market caps of 3.3 Billion and 900 Million, respectively.

Coincidently, SewCal is conveniently located in Southern California where a majority of the world’s largest Surf & Skate apparel manufactures are headquartered. As per their SEC filing, “We have developed the necessary relationships, executed exclusive marketing and advertising programs with some of the top names in the Surfing World!” Some of the World’s most popular surfers including Braden Dias, Jaime Sterling, Flynn Novak and Jason Frederico are actively involved in the launch and in fact just released a movie in July titled Project 1. (*Search Pipeline Posse – Project1) They are actively featured in popular skate and surf magazines worldwide and have recently been featured on MTV. (*Search Pipeline Posse – MTV)

On Wednesday, August 1, 2007, I contacted the company to inquire about the Pipeline Posse retail launch and they referred me to previously disclosed information, however they did say there would be a public update within the next few weeks. This update will likely be the catalyst which ignites a SEWC market buying frenzy.

SUMMARY

A majority of OTCBB shell companies with zero revenue trade with market caps of approximately $400,000 to $500,000. As it stands today, SEWC generates approximately $2 million in revenue and forecast “significant revenue growth within the next 18 months” yet they have a market cap of under $100,000! I firmly believe that once the small cap investor masses begin to discover SEWC, the company’s minimum market cap could reach approximately $500,000 to 1 million dollars or .02 to .04, possibly in a matter of days.

With the new Pipeline Posse product launch this fall and significant increases in revenue expected by the company, we could easily see the market cap soar to a minimum target of 2 million dollars or .07 cents per share, representing gains of over 2000% from the current trading level and hence my proclamation that this may in fact be “One of the Greatest Stock Pick of 2007 and beyond!”

*Please make sure you save and/or print this newsletter as a trade reminder for next week.

I have actively traded small-cap stocks for 7 years and have researched the small cap community for months to find the small cap company that I believe has the biggest potential to provide explosive gains for investors. As per this newsletter, and the due diligence provided, I firmly believe SEWC is an incredible opportunity. I urge you to do your due diligence and research the content of my newsletter using your favorite search engines. You will find that not only is the due diligence provided accurate, but that there are also other incredible company developments occurring that I have not presented. My mailing list has grown to approximately 400 traders from around the world. If you would like to be removed from my personal list, please simply reply to this email."

Could be convertible debentures? MM games? I think the company is done diluting (notice DOMS has not been on the ask in 2 weeks). If it's CD's, here is a great post from ihub that I found...

=-=-=-=-

If you took all penny stocks as a collective whole, you would find that 100% have added and/or will add shares to the market at some point in time through CDs, Employee Option Plans, S8s for payment of services etc. This afterall is why these stocks are trading for pennies and less. It's great to address these variables, but we also have to understand that if the variables themselves did not exist we would likely not have opportunities for "penny runners" such as the companies presented by members of this site.

We can discuss thousands of situations in which companies trading for pennies and less have made dramatic market moves of 100%, 1000% and more while haveing CDs, S8s, and employee incentive plans however, the potential for dramatic gains is the very basis as to why we invest in pennies.

What we need to look at when deciding whether a subpenny stock may or may not be worth a look is the period of time in which certain variable come together collectively to create a buying opportunity in which investors can expect and or anticipate a significant gain. Is there a significant development near term that will dramatically impact trading activity in such a way as to add considerable volume that may in fact create demand that will far outweigh the "current outstanding" share count and thus sending the share price up significantly. SEWC does "fit the bill" of ... (1) undervalued (2) have a small amount of outstanding shares (3) has great financials (4) has something significant that may soon be announced/acknowledged by the market and thus sending the share price up significantly from its current trading price.

(1) Undervalued - 2 million revenue/$100,000 market cap.
(2) Small Amount of shares -30 million out
(3) Incredible numbers - already established and anticipates generating
more revenue in next 18 months.
(4) Fall 2007 New Pipeline clothing Launch - The near term catalyst that is expected to ignite a buying frenzy within days/weeks.

Yep, their 10Q should be out soon. Wonder if there is any nice surprises there. I doubt we see much in the way of dilution but if there was I dont believe it to be much. TMAN...

Well well well. What do we get first. The dreaded E or the 10K? Anyone taking bets? TMAN...

Posted by skip on :

10K didn't come out until 12/13 last year, albeit late then, too.

We'll see...

Posted by skip on :

Filing is out. 43mil o/s, 32mil float. $1.9mil in revenues this year. Some dilution on the table in the form of debentures.

Pretty much the same story as before. Not much has changed, they generate revenues, have a real business, and are really quiet about it.

Been playing this one for a long time, but I think it's got some nice bounces left in it.

Posted by tmanfromtexas on :

Yeah, this one kills me skip. Look at STTC for instance. It has 10X the OS, has stated in a shareholders news letter that it will do a 1/10 reverse split, had one of their officers investigated and still is trading between .007 and .012. WTF??? I agree this one should bounce, I just wish they would do some PR work for shareholders so it would get on others radar. Oh well, I am in cheap so I guess I can wait around. GLTA. TMAN...

Yeah, it's funny how it works in the seedy underbelly of the penny stock world. lol.

SEWC is a great long term flipper. If one is patient, they can get some nice plays out of this. And it has a potential to possibly go big one day...

SEWC, back in today, i think its gonna be jumpy with the vol, but i still think they blow the doors off this one eventually.

Posted by JJMoneyman on :

I sold about 2/3 during the run so I'm still holding, but I'm waiting for a touch lower before I jump back in.

Posted by cactus33 on :

hmmm, maybe, but with the share structure and recent vol, I say it goes higher before lower...nothing is guaranteed though..

That dump today might also be a sign of things to come too.
I thought about it today but I have shares so I'm holding out. If it goes up I'll let loose of the rest of mine but if it hits 0008 I'll load up the boat.
