Homeland Integrated Security Systems Announces Share Retirement

Nov 30, 2006 08:31:36 (ET)

ASHEVILLE, NC, Nov 30, 2006 (MARKET WIRE via COMTEX) -- Homeland Integrated Security Systems, Inc. (PINKSHEETS: HISC) announced today that it has retired more than 30 million shares of stock previously held by Tri State Title and Escrow as collateral in the original agreement to purchase a controlling interest in Evans Systems, Inc. The shares were no longer required as the original agreement was superseded by one that did not require any escrowed shares.

"This retirement of shares reinforces our strategy to reduce the number of shares that are outstanding," stated Fred Wicks, CEO and President of Homeland Integrated Security Systems. "We have in place a long-term strategy to reduce the number of shares outstanding. However, I want to emphasize that it may take considerable time to achieve this goal through our buy-back strategy," Mr. Wicks said. Mr. Wicks also reiterated that there was no immediate plan to recapitalize the company.

In another announcement, the company corrected an earlier press release on October deliveries. "We had announced deliveries of 239 Cyber Trackers in October," stated Mr. Wicks. "This number was reduced when an order for 73 Cyber Trackers in the process of being delivered was placed on hold by the customer. We still anticipate delivering these units in 60 to 90 days."

HOMELAND INTEGRATED (U-HISC) - News Release
Homeland Integrated Security Systems Uses Cyber Tracker "Smart Box" Functionality on Cannon Pacific Order

2006-12-07 08:31 ET - News Release

ASHEVILLE, NC -- (MARKET WIRE) -- 12/07/06

Homeland Integrated Security Systems, Inc. (PINKSHEETS: HISC) announced today that the Company has installed its patent pending Cyber Tracker along with an I/O controller on four street sweeping trucks in San Diego, California. This order with Cannon Pacific is their second implementation of Cyber Trackers, but the first with the increased functionality. Cannon Pacific had previously installed 18 Cyber Trackers on their fleet of street sweepers to track the location of equipment.

The I/O controller allows the Cyber Tracker to not only locate the position of the street sweeper, but can also tell management when the brushes are actually down and in use for precise billing information. "Cannon's use of telemetry devices gives us essential management information that moves us beyond just GPS tracking," according to Steve King of Cannon Pacific.

"The addition of the I/O controller to the Cyber Tracker begins a new phase in our marketing efforts. Our customers can now look beyond the Cyber Tracker as a just a tracking device to a unit that has tracking plus the ability to transmit the data from anything that can be measured or monitored electronically," stated Ian Riley, CTO of Homeland Integrated Security Systems

"This sale represents a huge step forward in the development and demonstration of the complete Cyber Tracker Technology. We are all very excited at the prospect of introducing the Cyber Tracker technology to a variety of new markets as well as expanding on our current ones," according to Fred Wicks, President and CEO of Homeland Integrated Security Systems, Inc.

You guys need a chill pill. Try some elemental math. If the PPS rises .0001, the entire company (2 billion plus shares) rises $200,000.

How many shares did you say you own?

Posted by ed19363 on :

That aint rain. I've been on this thing for years. Rode it from .02 to .14 and made a nice chunk, only to see it fall off the earth.
And if you dont care about the PPS, what in h*** are you doing here?
I want to see it back up at .14 where it belongs if we can get the MMs to back off it a bit.

Posted by Firedog on :

I don't think that anyone here or I have said that they don't care about the PPS what do you think we have been discussing. Here is your math if PPS goes up so does your account. I was refuring to what the PPS does for the value of the company. Do you belive that the PPS really reflects the net value of a company here in this market? If so how can you explain the drop in PPS on record rev news which occures almost daily in these markets. I agree with you that if the MM would let this go we could see gains in PPS. Have a good weekend and good luck next week may we all be green.

Why do these companies think they need consulting firms. Just sell the product and rely on word of mouth. Unless your product stinks.

I do believe that HISC has no plans to go to the boards. That was the purpose of the EVSY dividend. Now EVSY reports no income for the last year or so, and is appears to be rapidly becoming nothing more than an empty shell. How it maintains .50 PPS is beyond me. Bottom line for me? If holding long, you have a long wait. Patience is a virtue.

Hey everyone,

Sorry it’s a little late, but I just got back from CES, had a Great Time! Enjoyed a wonderful dinner with the wife afterwards too…mostly to celebrate my confirmation of what I truly believe is going to be a very successful company and investment.

First off, I would like to thank the staff for taking some time out of their busy schedule in order to give us a more in-depth look at the Cyber tracker. They were excited to see me there as an investor and were glad to hear about the IHUB board. I gave them the link, so they'll know where to find some quick DD about their company.

The booth was about average size compared to the majority of the booths at the convention. It is about 10 x 20 ft and is located in the Sands complex by the Venetian. As you walk in the main entrance on the 2nd floor, it’s straight in and to the left. It wasn’t too difficult to find. The booth itself is very professional in appearance and there is plenty of foot traffic that goes by.

I could tell right off the bat that the people representing our company were courteous, professional, and very knowledgeable. Their presentations were detailed and to the point. But mostly, I was very impressed with the presentation given by Bryan Vest. He flawlessly gave me every detail I needed without hesitation. I found out later that he comes to HISS as a sales manager from Actsoft. This guy is a software genius!

I was also happy to hear that there is a live demonstration at the show. It is a live feed from the Cybertracker located at the booth, viewed on a very large flat screen Sony monitor. The Cybertracker is connected to a camera via its Ethernet port and updates continuously as you have seen on their website. If you haven’t seen it, here is the link.
http://www.hissusa.com/ces.html

The picture at the bottom of their site is a Cybertracker located at the office in North Carolina, hence the time zone at that location. There is an option to view the most recent 50 images if you choose. If you watched it earlier today, you may have seen me taking some notes and asking several questions. I was wearing a black polo shirt with the Sanswire logo on it. There is my GTE plug for today…sorry. hehehe.

As you have read in the product reports, the Cybertracker is just that. It is a combination of several devices. GPS tracking with push to talk 2-way communications, data retrieval, now add video feed. The device is truly amazing and they continue to research new options to constantly stay on the cutting edge and improve its capabilities. I was given a demonstration of the software and also a demo copy to take home with me. The software is customizable to your specific needs and is about $1.00 a day. (That is revenue folks…) Alarms and data can be sent to any wireless device and detailed specifics can be sent to Laptops, desktops, wireless and blackberry/ smart phones.

To give you an example of the constant research, I was glad to see that the team had already been searching the show for anything that may come close to competing with the Cybertracker. By the time I showed up today, they had already collected brochures from other companies at the show. The info gathered so far is nothing more than GPS devices, and specific GPS chips. I have yet to see anything that has the combination of features that our Cybertracker has. On-star is specific to emergencies and pre-installed in automobiles. If anyone can think of a competitor at the show, let me know, and I will personally go there to investigate. Not only that, I will share it with the employees of the company.

I heard Frank Moody is in Las Vegas, but I didn’t get the chance to meet him. I did, however, meet Adam Clough who is the VP of Corporate Development and Troy Van Dyke, VP of Product Development. Both of these individuals bring much quality and are very valuable members of the company.

Also at the booth are representatives from Big Apple. Look for up-listing off the PINK to happen shortly, as the SB-2 has been filed and we are currently awaiting the up-list. The plan calls for up-list to the NASDAQ small cap market. As with everything else… it does take a little time, but it will happen IMO. “This company does not belong on the pink sheets”. They know as well as I do, as well as all of you should realize, that we want off the PINKS! The company is beyond real, and will be doing very well in the near future. IMO, we are very much undervalued at .05 cents, what a joke when you consider what’s in store.

Anyway, I am including some of the pictures that were taken at the convention. I didn’t see any signs that didn’t allow cameras, but that wasn’t going to stop me anyway. LOL.
http://sanswired.myphotoalbum.com/albums.php

Also, one more thing before I put this report to rest, The rep from Kyocera is pictured talking to our reps. Just as several other company reps have visited our booth to see how their devices could become compatible with ours. From anything wireless to the possibility of solar batteries, these people come to us. Just something to think about… Here is something else to think about… Counting your cash.

That’s it from Las Vegas. At least for now.

Take Care,

Sans.

Homeland Integrated Security Systems, Inc. Clarifies Evans Systems,Inc. Changes in Letter to Shareholders

Mar 19, 2007 08:30:50 (ET)

ASHEVILLE, NC, Mar 19, 2007 (MARKET WIRE via COMTEX) -- Homeland Integrated Security Systems, Inc. (PINKSHEETS: HISC) announced today that the Company has provided clarification to a recent filing made by Evans Systems, Inc.'s new management team.

"I want to set the record straight about the recent activities regarding Evans Systems, Inc.," stated Fred Wicks, CEO and President of Homeland. "Our Board of Director's wants to clarify a Report on Form 8K recently filed by Evans Systems, Inc. which could be easily misinterpreted."

In a letter to the shareholders, posted on its website, www.hissusa.com , Mr. Wicks addresses the events following the settlement of its recent law suit with Big Apple Consulting, USA, Inc. As previously reported, Evans Systems Inc., and Homeland Integrated Security Systems were named as defendants in a law suit in which Big Apple Consulting, USA, Inc. was the plaintiff. At the time, Homeland's Board members were also Officers and Directors of Evans Systems and managed the company.

"We decided to negotiate an amicable settlement so that Homeland's management could concentrate on running our core business, selling Cyber Tracker solutions," stated Mr. Wicks. "We also thought it best for our shareholders not to spend additional monies in legal fees."

The letter clarifies how Big Apple Consulting transferred a controlling stock interest in Evans Systems to Frank Moody III, former CEO of Homeland, and appointed him an Officer and Board Member. Homeland's Officers and Directors were not consulted nor had any prior knowledge of this transfer to Moody.

Currently there exists a lawsuit between Homeland, its Directors individually, and Mr. Moody. Homeland has counterclaimed against Moody, and the case is pending in North Carolina Court.

"Pending the outcome of the lawsuit with Moody, we could not in good conscience concur with the appointment of Frank Moody to any position in Evans, especially as an Officer and/or Director," stated Mr. Wicks.

The letter also explains that Homeland's management had no idea, nor had any part in the private agreement between Big Apple, Moody, and other parties, as reported in the 8K, nor of any of the terms, including issuance of $4,000,000 in preferred shares to two parties to the private agreement. The CEO shareholder letter in its entirety is available on the Company's website at www.hissusa.com .

McCrary Trucking uses the Cyber Tracker to manage private dump truck operators on contract.

One hundred of the additional 200 units will be delivered in the next several weeks, with the remainder of the order shipping immediately thereafter. We are hopeful that the project will be replicated in other construction intensive areas around the country."

"We have really enjoyed our close working relationship with the team at McCrary Trucking," stated Fred Wicks, CEO and President of Homeland Integrated Security Systems. "The potential for expanding this application with McCrary Trucking to other geographic areas is extremely promising."

1 year from date issued. I don't remember the exact date off hand. Your broker should handle converting from restricted for you. Check with them to be sure. Anyway scottrade said they would. Not sure then how many days that takes them so you can actually trade them!

okay its 1 year, Thank you...

I see evans systems is .46 cents currently....

Yes, hoping they purchase a good company and it has some value in one year! One good thing about having to wait to sell......it'll be a long term capital gain! If it has any value!! LOL

Also remember, Evans has no affiliation with HISC any longer.

u think it may be worth something in a year? whats everyones thoughts, I may dump 1st day I am able too.....

Posted by binnocent on :

Value..... Depends. Its a shell right now. What will they buy? Hoping old Hisc CEO Moody has something in the works. He was good at pumping Hisc for awhile, so maybe he can get Evans running for us. He eventually ran Hisc almost into the ground, so I say its hit or miss! Only time will tell!! The thing we have to remember, Moody wants to make money. So chances are he'll get something going here. I just will not hold long at that point! Just my opinion.

Ok, I know.....enough about Evans here on the Hisc thread!

Homeland Integrated Security Systems Receives Regulatory Approvals onIts GSM Version of Cyber Tracker

Apr 19, 2007 09:45:23 (ET)

ASHEVILLE, NC, Apr 19, 2007 (MARKET WIRE via COMTEX) -- Homeland Integrated Security Systems, Inc. (PINKSHEETS: HISC) announced today that the Company has received final regulatory approvals on its patent-pending GSM Cyber Tracker. The required approvals from regulatory agencies include FCC, PTCRB, UL and MET Labs Certifications. According to the company, these approvals would allow Homeland to sell the GSM Cyber Tracker in most parts of the world with the exception of the European Union, which requires the additional CE certification. The company said that CE certification of the GSM Cyber Tracker is in process and expected shortly.

"All that remains for us to begin selling the GSM version in the United States are the final approvals from Cingular. We will supply them with fully certified units to complete their independent certification on their network," according to Ian Riley, CTO of Homeland Integrated Security Systems. "This is a monumental accomplishment resulting in a final product that far exceeds our expectations. It is the culmination of nearly two years of hard work by our strong team of professionals."

"The importance of the GSM unit to Homeland Integrated Security Systems is that our customers will benefit from our ability to provide a global footprint and several new features," stated Brian Riley, Chairman and COO of Homeland Integrated Security Systems. "We now have Cyber Trackers running in five different countries. With these approvals and the CE certification, the Cyber Tracker will be suitable for more that 170 countries worldwide."

"Adding the GSM Cyber Tracker to our product line helps us in several ways. First, it greatly expands the geographic markets that we can target," stated Fred Wicks, CEO and President of Homeland Integrated Security Systems. "In addition, it now allows us to use the global channels that we have already cultivated. This is another example of how this management team follows through and completes projects. Our goal is to build back investor confidence by demonstrating that we can accomplish what we say we are going to do."

With all of the consolidation of companies and the continued interested in expanding markets, technology such as this could lead to a significant edge. A large wireless company such as Cingular etc would benefit greatly from technology such as this. The PPS should make this company extremely appealing as well. IMHO

Does anyone think the potential would be this company being bought out?

OK - The company is reporting EXCELLENT PROFITS & SALES NUMBERS, REDUCED SHARES, & REDUCED OPERATING COSTS!! Sounds great to me... but what is up with the PPS being so low? Are people afraid to buy into this stock now?

WTF??

Actually it may be good that the PPS is low. Look at the buyback numbers. They wouldnt be buying back and retiring stock if the PPS were higher. There are still 2.03 BILLION shares in the float. We have a LOOOONG way to go.
