SCOTTSDALE, Ariz., Oct. 27 /PRNewswire-FirstCall/ -- Premier Organic Farms Group, Inc. announced today the signing of a Definitive Share Exchange Agreement to acquire 100% of the stock of Amstar International, Inc. (Amstar), a Houston, Texas based holding company primarily focused upon the financial and insurance industries. The acquisition results in Amstar's stockholders in control of 96.12% of the company post merger with each Amstar stockholder to receive one share for each share owned in the new company.

Closing is anticipated within the next thirty days and is subject to the conducting of a Fairness Hearing by a court of law in Nevada, its state of origin.

Amstar's major subsidiary is Amstar Mortgage Corporation, a national mortgage banking and brokering company with approximately 750 employees operating in 31 states and the District of Columbia with 146 retail branch offices as of July 13, 2006. Amstar Mortgage Corporation began operations in October 2002 with less than $300,000 in capital, but grew rapidly to close over 1.1 billion dollars in loans for calendar year 2004 and over 2.2 billion dollars in loans for the calendar year 2005. That puts POFG at 70,790,000 shares!!! This thing is about to break a $1, Yeeeehaaaaaawwwwww!!!

no, just the opposite. it is not currently publicly traded so there is no public stock price per say. But to have this page up could indicate it will be soon. There are a couple of other pages on their site that are under construction or "coming soon". this is IMO. and I am invested. I also worry about the too good to be true analysis, this is the pink sheets. Amstar looks legit to me, and from pofg sept.29 news.

That depends on what the profit margin is and how fast they will become a reporting company.

According to their website, they had about 58 million in revs for fiscal year 2005, but only 37 million in revs for 3 quarters of 2006 - which would seem to indicate this year will be worse than the previous year, unless Q4 is real big for them, as it can be for a lot of companies. Let's assume for 2006 they'll have 50 million in revs at a 10% profit margin (good standard to use if you have no idea). That's 5 million in profits for 2006.

$5,000,000 divided by 110,000,000 shares = .045 EPS.
With a conservative P/E of 10 that's .45.

That's assuming reduced revenues from the previous year and no future growth - in other words, that should be the MINIMUM valuation. I would expect this to go higher than that rather quickly, especially if the company plans to be reporting out of the gate or very soon thereafter. Nonreporting companies are usually heavily discounted for the added uncertainty.

Hm. Wish I had caught this one before the close of market...

We already have our first basher on IHub, even though the board was just started yesterday, LOL. It usually takes a while before the bashers move in, so my guess is one of the MMs is short. I made a post calling out this basher(which was deleted for some reason)and she replied within one minute of me posting. Now who hangs out on Ihub all day and night on a Saturday but a paid basher trying to manipulate Mondays action, LOL. These guys aren't even good at what they do, they could try being a little less obvious if you ask me.

In my second conversation the gentleman still could not confirm the PR.... but he did help me because he gave me corporates phone number....

I called corporate after hours they were closed, but somehow i managed to get somebody in the accounting department.


BELOW A SUMMARY OF MY CONVERSATION WITH THE ACCOUNTING DEPARTMENT REP.


First i asked him if Amstar was a private or public company... He said it was a private company, therefore it was not publicly traded.

I asked him if it was true that Amstar had signed a definate agreement to be merge with POFG...

and he said yes that they had signed that agreement today (FRIDAY.) He confirmed it....

I then asked him about the terms, but he said he couldn't disclose that information, but i was welcomed to call the CEO monday...

It was a short conversation, but he did infact CONFIRM the POFG was going to aquire Amstar....

Check out this chart, this thing was above $1 four months ago and the situation then was nowhere near as good as it is today.(for some reason stockcharts hasn't updated to represent the action from Friday)

Acquisitions and reverse mergers have always been good IMO. But let me ask you a question? Why does the courts have to approve this one, rather than the SEC, which normally analyzes such acquisitions. It looks to me like the SEC said No, and that's why they are going to court. Why would they go to court if there is a regulatory body that monitors such acquisitions? IMO beware until you get confirmation from the company being acquired.

I would not be surprise if it opens in the .20 this morning and there is a nice base there.... hopefully would not drop below that if it does open in that area...IMO

Subject: I spoke to the Amstar Mortgage International

I spoke to the Amstar Mortgage International IR Officer (Michael Mayland) and he confirmed to me that the Premier Organic Farms Group, Inc (POFG) press release was genuine. It is true that they have signed a a Definitive Share Exchange Agreement to acquire 100% of the stock of Amstar International, Inc. I could not post it on IHUB because I have limited posts per day and I ran out of my 15 freebee posts. He also said that closing is anticipated within the next thirty days and is subject to the conducting of a Fairness Hearing by a court of law in Nevada.
Before approval, the court or authorized governmental entity must hold a hearing to approve the fairness of the terms and conditions of the transaction.
A governmental entity must be expressly authorized by law to hold the hearing, although it is not necessary that the law require the hearing. The fairness hearing must be open to everyone who is proposed to be issued securities in the exchange. Its is just a formal procedure that has to be followed when there I an acquisition, as par the SEC regulation
I am just a curious investor and that’s why I had to rebut all you guys until I had a confirmation from Amstar, which I did this morning Monday, October 30, 2006.

(OTC Pink Sheets: POFG) announced terms of the Definitive Share Exchange Agreement to acquire 100% of the outstanding shares of common stock of Amstar International, Inc. This stock is toast...POFG shareholders will be screwed by 80:1 R/S prior to 1:1 stock swap with Amstar. Totally bogus and really going to hurt a lot of POFG shareholders who saw R/S as a way to get cheap shares of a good company.

I DID SCARE R/S.
R/S is BAD and very BAD !!!! You will lose all your money.

I think that this will pop tomorrow. I bought in at an average of about .044 and hope to get 30 to 40% out of it real quick. We will see

green... i can't be sure, but my estimates place the relative PPS vs. the R/S and earnings of incoming amstar to be around .03
not gonna go into it, cuz don't have time or patience to write it all out. but that's just my estimates. thus, be careful. it definitely may pop off a bounce and readying itself for some kind of reduced double-neck sell, but it should be about right where the pps is now or lower for the r/s to make sense.

well I got out yesterday when it didn't gap up in the morning. Took a 10% loss, but once again this thing is looking attractive. I will be back in at .02 or on a good run
