this is one i've been hanging onto for awhile now and the post i first started for the board back last spring was regarding the time frame this company is coming into... holidays, cnet, release of S-xgen... should be interesting to see how the public reacts to their product line and how the market responds. as for me, i'm very bullish on this play up until christmas-ish.

Yeah...surprised all the good news coming from this company has gone unnoticed on here. Another nice couple of PRs and up around 20% today to close at .0025. This was trading at .0015 less then a week ago and is rebounding very nicely. Still see .003's coming easily by weeks end if all goes right.

Not too long ago this was a pretty hot play and now sees to be on ignore, so if someone knows something I don't....please share! =)

i can't remember right now, but i believe the O/S : A/S count is somewhere in my original thread. if my hazey memory serves me right, it's somewhere in the 300 million range O/S but not sure. i spoke to the CEO last spring and was told that it is in their filing/s.
too lazy to look right now. they did go through a dilution period last spring as well, but it looks as if that's over (not to say they couldn't drop that dump again though).

The stock has shown to have some mysterious activity. A PR was released on 500 new S-XGEN sales and there wasn't much movemement. Many were anticipating a move upward but it has come down to possibly bounce off the 20MA. We will see.

I sold at my EXIT price. Made a good chunk from the bottom but won't hold like a pig. Continue to watch closely. With After hours trading this could bounce good tomorrow.

Before the close yesterday, Seamless Wi-Fi had another blockbuster release with the announcement that the Company had taken an order for an additional 500 units of their S-X Gen(TM) mobile personal computers from CBL Consulting. We were lucky enough to actually take one of these "Ultra Mobile" computers for a test drive at the recent Value Rich Small Cap trade show in Las Vegas, and after doing so, we can definitely see what all the hubbub is about.

We knew this was going to be a hot ticket when we saw pictures of the S-X Gen, but when you actually see what this product can do first hand - and it does just about everything (fully operational computer, game platform, cell phone, mp3 player, Wi-Fi enabled, full size keyboard - and at the same time come in such a small package, it is actually smaller than a six inch subway sandwich and fits comfortably in the vest pocket of a suit jacket), lets just say we are now counting the days until we never have to travel with a traditional lap top computer again!

And it looks like we aren't alone. In the past few weeks, the Company has announced pre-orders totaling 2,100 units. That's over $3m in orders, and the product isn't even officially available yet. On that front, management plans to be in Asia this month to finalize logistics for production of the S-X Gen. With the order book picking up, and the previously announced CNET advertising blitz and Consumer Electronics Show (CES) coming up soon, this is starting to look more like a solid long term play vs. just a short term trade opportunity.

In fact, this product could very likely become the next "must have" electronic platform for the business user, something akin to an ipod for the over 20 year old crowd. And we all know what the ipod has done for Apple. So while there has been plenty of good profit taking opportunities from our original profile price of around $0.0025, we are starting to think that holding some of this into the upcoming holiday season might just make a very nice stocking stuffer indeed.

3,000,000 / 2100 = $1428.57 per unit

However, we know that each unit is:

June 19 PR (pre-orders) ---> $535.50 ($595 - 10%)

August 23 PR ---> $799.00

So, more conserviative estimates would be 2,100 in orders:

= $1,123,500 ($535 per unit)
OR
= $1,677,900 ($799.00 per unit)
OR
= $1,906,800 ($908 per unit on http://www.amazon.com)

Of course, all of that assumes that there is no volume, corporate, or other discount provided.

Full-fledged UMPC it ain't, but now that we've got some more info on this flip-and-fold S-XGen handheld from Seamless WiFi, we're liking where this one is headed. Sure, the design is pretty frumpy, and we could do with a better screen-to-device ratio, but the Windows CE 5.0 unit runs a 520MHz Xscale processor, a 20GB HDD, 128MB of SDRAM, and a 4.25-inch screen at 470 x 270 pixels. As for connectivity, there's plenty to love, since the unit can handle 802.11b WiFi, tri-band GSM (900/1800/1900MHz), Bluetooth, Ethernet, USB OTG and even IrDA. There's also an SD card slot inside the 6.5 x 3.8 x 1.1-inch form factor and a purported 8 hours of battery life. The low screen res might make the rest of the frills a bit less exciting to work with, and Seamless WiFi claims that specifications might change without notice, but we're still looking forward to spying this one at CES and seeing just how close it comes to its all-inclusive dreams.

I was once told that Form 4 is another form of dilution? However, I don't see that to be the case when it's existing common shares that are purchased. I mean, they can't issue themselves 450,000 shares unless they've already been declared part of the AS, right?

Here's a good link to keep.. it will tell you what every form, that's filed, is all about. The one about form 3's and 4's are on page 25. The only thing is.. it doesn't change the Authorized or the O/S, just the float. So if there are 500 mill authorized, and 200mill in the outstanding. You can go through all the form 3's and 4's to see what was bought or sold, to figure out the float.

Maybe you're right! We get news and it's a little order for 100. Everything adds to the bottom line, but I wish it were another 1,000 (or 10,000) with cross selling of services!

On another board a poster claimed to have contacted the Transfer Agent and they won't release share count information.

On May 23, 2006 the registrant's common stock increased to 231,937,154

As of June 30, 2006: 344,927,154 (from most recent 10K)

That seems to be 100M jump in shares in one month. Maybe I'm wrong.

Now its been 6 months since June. I wonder how much VFIN has sold into the market?

Anyways still watching. Could run... maybe.

articles of incorporation with the state of Nevada, which shows only

The company plans to amend the previous resolution decreasing the authorized to
11,000,000 shares so no amendment to the Articles of Incorporation will have to
be filed with the state of Nevada.
