Tandberg Data ASA acquires Exabyte Corporation

Aug 30, 2006 (NORDIC BUSINESS REPORT via COMTEX News Network) --
Norwegian data storage solutions manufacturer Tandberg Data ASA said on Wednesday (30 August) that it had acquired the US data storage company Exabyte Corporation for USD28m.

The merged company, with expected revenues of USD215m for 2006, would be the second largest player in data storage, according to Tandberg Data.

To finance the acquisition Tandberg Data will issue a USD35m bond loan, which has been fully committed by Cyrus Capital.

One US dollar (USD) is worth approximately 0.54 British pounds (GBP).

Exabyte Enters Into Agreement for Business Combination With Tandberg Data ASA

BOULDER, Colo.--(BUSINESS WIRE)--Aug. 30, 2006--Exabyte Corporation (the Company) (OTCBB:EXBY - News), a leading innovator in tape backup, restore and archival systems, today announced that it has entered into an Asset Purchase Agreement (the Agreement) with Tandberg Data Corp. (Tandberg), a Delaware corporation and wholly-owned subsidiary of Tandberg Data ASA, a company organized under the laws of Norway and headquartered in Oslo, Norway (collectively Tandberg Data), whereby Tandberg will purchase substantially all of the assets of the Company in exchange for cash and the assumption of certain liabilities of the Company. The Agreement was approved by the Company's Independent Committee and ratified by its Board of Directors. The closing of the transaction is subject to the approval of Exabyte common shareholders at a shareholders' meeting that is expected to occur in October or November 2006. Under certain circumstances, the Agreement may be terminated by either party if the transaction is not completed by December 31, 2006.
ADVERTISEMENT

Under the terms of the Agreement, the total consideration is expected to be approximately $28,000,000, plus certain transaction fees. This amount will fluctuate based on the actual balance outstanding under the Company's loan agreement with Wells Fargo Business Credit, Inc. (Wells Fargo) which will be paid in full at closing. The cash payment to Exabyte at closing will be approximately $22,500,000, and will generally be equal to (1) the balance outstanding on the Wells Fargo loan, which holds a first priority security interest in the Company's assets, (2) the repayment obligations, as restructured, under the Company's 10% Secured Convertible Subordinated Notes (second priority security interest), and notes payable to Imation Corp. (third priority security interest), Hitachi, Ltd. and Solectron Corporation, and (3) Exabyte's transaction fees. It is a condition to the Agreement that the cash purchase proceeds to the Company be used to make these payments. In addition, Tandberg will assume certain liabilities of the Company, consisting of substantially all accounts payable and accrued expenses, warranty obligations and obligations under purchased contracts, and new or restructured notes payable issued to Imation Corp. and Hitachi, Ltd., among others.

In connection with the Agreement, Tandberg required the Company to enter into Restructuring Agreements or Amendments with the holders of its Convertible Notes, Hitachi, Ltd., Solectron Corporation and Imation Corp. that provide for reductions in the amounts currently due under various debt instruments, the issuance of new or restructured notes payable in certain circumstances, and the waiver of existing and future events of default, if any.

Following the closing of the acquisition, the Company will retain certain liabilities owed to creditors; however, Exabyte is not expected to have any significant assets remaining for the payment of these obligations. In addition, subsequent to closing there will be no assets available for distribution to holders of the Company's Series AA preferred stock or its common stock. Exabyte intends to liquidate and dissolve immediately after the closing of the transaction.

STOCKHOLM (Dow Jones)--Norwegian data storage company Tandberg Data ASA (TAD.OS) Wednesday said second quarter net losses widened to $9.2 million from $2.3 million a year ago.

Sales revenues rose to $30.6 million from $24.0 million, while operating losses widened to $6.8 million from $2.0 million.

This year it booked a $5 million restructuring expense in the second quarter, related to the acquisition U.S. company Exabyte Corp. (EXBY) for $28 million announced separately.

Tandberg Data said it is satisfied with the revenue realised in the second quarter. It expects further pressure on the margins in the following months, but expects to see improvement in the third and fourth quarter compared to the second quarter.

The continued increase of sales to OEM customers will also have an influence on margins forward.

The growth in the last three quarters proves that the volumes with the OEM´s are building up. These volumes are expected to increase further in the third quarter.

The OEM agreement for our new disk product is expected to start delivery in the fourth quarter, and to grow steadily.

Tandberg Data said it is committed to delivering on the strategy it has outlined going forward and the acquisition of Exabyte will enhance its ability to fulfil its customers requirements, particularly in the U.S. channel, it said.

well, this is the kinda buying pressure i'd like to see, but i'd like it even more if there were some upticks to go along with it..

well, earlier it had a ton of selling pressure, but that trend seemed to reverse once it hit .04x.045, and kinda get messy.. since it's little fake up to .06, it seems that people are more willing to go for it here, and less people are willing to sell, so maybe the selling pressure is done and it's shifted in favor of the buyers..

at least, that's what i'm hoping, as a buyer.

Or are you saying that it won't affect share price other than the fact that a more stable entity will now be in control?

yea, i noticed that a couple minutes ago.. doesn't sound very good afterall.
but who knows.
companies can have much worse problems and still make nice gains.

that's why i only bought 4k share of this. just in case it does do something good.

I agree.
A lot of times it seems that statements like these always go after that 'forward-looking' statement classification, and usually don't actually come through.

My advice is to wait until this stock finds bottom and stays there for a day or two, and then buy a little.
Then if news comes out that they break off the agreement, then go in for some bigger bucks.

I'm in a little at .05, and am gonna wait to avg down till later. Not gonna chase this thing down today.

Reading the PR...seems like there is really no reason that shares aren't being "sold" into the open market..."they" have nothing to loose...over 3m trades on a 17m float and it is going down?

i'm assuming that's 17mil, not billion..
if so, then about 20% of the entire ownership has shifted today.. and i'm thinking a lot of it has been for normal investors to people like us on all these boards chasing such bouncers.

i have a weird feeling about this stock that makes me think good things will happen in the coming week or two with it.

i'm curious about something.. why the heck is Tandberg gonna buy Exabyte?

I mean, it seems like Tandberg's just gonna dissolve the company and pay off some of the liabilities of the notes, and that they won't really benefit at all from the purchase of Exabyte.
Is Tandberg a competing company that just wants to buy them out and destroy the competition, or is something else going on?

I have to go along with Blackbeard on this one. First off, I do own this stock so take that for what it's worth. I called the IR number and got bounced around and then disconnected three times. I then called the Exabyte number and got Kelly Beaver's voicemail. He returned my call with in about 15 minutes-this was about an hour ago-and confirmed the same info. He said as of today that it did not look good for the "common shareholder". we went back and forth over a couple of issues but I did ask how the shareholder vote was relative if they (the shareholders) were simply voting themselves out of the picture. He said that in this type deal, there are normally a majority of shareholder vote already secured or anticipated. My final question was, "So is this fall in price justified?" and he replied that he thought it was, unfortunately. But hey, it's a penny and too often about perception and momentum so GLTA and do what you will. I'm hoping for a break even point.

A lot of shares traded today and I believe it will go up (how much , who knows, and are we at the bottom yet?)

DJ Imation: Exabyte Note Restructuring Won't Affect Results

Data-storage company Imation Corp. (IMN) said restructuring agreements concerning its holdings of Exabyte Corp. (EXBY) convertible notes won't materially affect Imation's financial results.

Tandberg Data ASA (TAA.OS) recently agreed to acquire Exabyte Corp. for $28 million, and as part of the deal, required Exabyte to restructure the notes, which are also held by Hitachi Ltd. (HIT) and Solectron Corp. (SLR).

According to Exabyte, the restructuring would reduce amounts currently due under various debt instruments, and require that new or restructured notes be issued, payable in certain circumstances, as well as the waiver of any existing and future events of default.

as a matter of truth, i'm no longer in this stock. made $14 off of it, amazingly not a loss, at least..

anyways, i really like how this looks for tomorrow.
as bad as the news is, it won't really truly effect this stock till the shareholders meet in september-october to decide and then only if the deal goes through.

this was looking really bad, as it had gotten down to hit the .0265 mark.. but the good stuff is that it came off of that and closed above that on decent volume to push it back up.

people for tomorrow will see it as a deal, possibly, and since there's no emergency to have caused this, i'm thinking that it might act like BLLD next few days (hopefully).. go check out the 5-day chart for that one and compare the price behaviors of each.

anyways, in case i don't make another appearance here again, i'd like to thank everyone that kept me company on today's rollercoaster here.

Exabyte sold for $28 million

Boulder’s Exabyte Corp., a struggling data storage company once described as the hottest high-tech company in northern Colorado, announced an agreement Wednesday to sell its assets to Tandberg Data ASA of Norway for $28 million.
The sale marks still another loss of a Colorado-based tech company. It comes on the heels of the sale of McData Corp., the last major player in the state’s celebrated data-storage industry.

McData was sold to Brocade Communications Systems Inc. for $713 million.

Kelly Beavers, an Exabyte co-founder and vice president of product marketing, said the current plan is for Tandberg to retain the north Boulder operation and offer jobs to Exabyte employees. Exabyte employs 170 worldwide, nearly 150 of whom are in Boulder.

The deal required Exabyte to restructure its debt agreements and for Tandberg to assume many liabilities. But Exabyte stockholders stand to lose everything.

Exabyte shares, traded on the over-the-counter bulletin board, dropped 75 percent to 3.5 cents Wednesday after the deal was announced.

Exabyte, co-founded in 1985 by former StorageTek executive and co-founder Juan Rodriguez, once was considered a dominant tape drive maker. But Exabyte started to fall on hard times in the late 1990s. Rodriguez, formerly chairman, went off the board several months ago although he is still listed as the company’s chief technologist.

"Spiritually, I think it’s been a pretty tough road for Exabyte," said Robert Amatruda, an analyst for the research group IDC. He noted that it’s difficult for people to "watch a homegrown company get snapped up, especially by a foreign entity."

But Amatruda said Exabyte found itself in an industry dominated by a few, larger companies. "It wasn’t indicative of their products, which were very well-designed."

He said he believes Exabyte management did everything it could in recent years to increase revenue and win new customers, "but the world of tape transitions happens slow." He said the deal gives Tandberg a "well-respected brand in the storage industry" and a U.S.-based distribution channel.

"I’m sure there will be ‘efficiencies,’ but at the end of the day, they want to grow their North American business," Amatruda said of the prospect of Tandberg retaining Exabyte employees.

Exabyte generated $21.6 million of revenues in its first quarter of 2006, while Tandberg Data had $30.5 million of revenues.
Beavers said most liabilities are being settled or assumed by Tandberg, with a "minor amount" still outstanding. But he added there is the possibility of continued negotiations.

Exabyte plans to liquidate its operations immediately after the transaction closes, though it’s possible some creditors may decide to litigate the issue.

Most investors already had given up on Exabyte. Even before the deal was announced, the stock had declined to less than 15 cents a share.

Beavers said employees were informed of the sale Wednesday morning, but it was still early to assess the mood.

He said he believes the sale could make customers more comfortable buying Exabyte tape backup systems, which typically are used by small to medium businesses. "I think resellers should find more confidence (now)," he said. "It’s more of a future than we had."

Examples: I posted about the gap-to-be-filled on FHAL (now CSHD) at whatever-decimal-point 13, and was jeered/questioned, etc... When it dropped, I had gotten beeped to a service call. Had I been able to trade when it fell to xx13.5--14? Boom! next uptick? I'm in... and it had a good run from there.

Other hand? I just spent nearly two hours spread over 4-5 weeks getting $400 on a geek play (MLNK/ARGA). Cost me $54 to get $400...but I hadda prove a point...point being? If traders make mistakes? No one sticks up for us, eh? we eat it... yet, when companies/brokers/dealers screw up? ohhhhh, too bad... here, let SEC tell NASD to just go ahead and suspend those buy-in provisions...

well, ha ha ha--got my dough and some buddies' dough, too

anyway, see my point? My risk-tolerance is different, but my message remains:

ALWAYS PROTECT CAPITAL

Its hard to believe that we the shareholders are holding all the shares that traded yesterday. and its even harder to believe that insiders and mm's plan to be left holding the bag. IMO this should bounce, how much and at what the low is is the question

It's not hard to understand. The insiders are taken care of. As someone in this thread already said they essentially already know how the vote is going to go. Meaning that 51% of the shareholders have been bought off. I smell lawsuit.

Tandberg buying Exabyte

Aug 31, 2006 (Daily Camera - McClatchy-Tribune Business News via COMTEX) -- Boulder-based Exabyte Corp. said Wednesday it agreed to be bought by Tandberg Data Corp. in an expected $28 million transaction.
If the deal is approved, the 21-year-old data storage company would join the ranks of a handful of longtime local industry players to recently get acquired.

Under terms of the agreement, Oslo, Norway-based Tandberg will acquire the assets of Exabyte, paying the company $22.5 million in cash and covering the balance of Exabyte's credit obligations.

Exabyte's local site is expected to remain operational and all of its employees will be offered jobs by Tandberg, Exabyte said. The company employs about 150 people in Boulder.

The deal comes nearly two months after Exabyte said it hired Denver-based St. Charles Capital to evaluate strategic alternatives. Exabyte later revealed its uncertainty to achieve profitability, that it defaulted on a line of credit to Wells Fargo and it owed Hitachi nearly $4.7 million, according to a Securities and Exchange Commission filing.

Getting acquired should give the company some new opportunities, and ease any trepidation for customers that thought it was too risky of a choice, said Kelly Beavers, Exabyte's vice president of product marketing.

"There really shouldn't be any more concern about Exabyte," he said. "Now our story is different. We're at least as stable and financially viable as anybody we compete with."

The companies' product lines -- and where those products are sold -- also are very different, creating very little overlap, said Bob Abraham, president of storage research firm Freeman Reports. Exabyte is strong domestically and Tandberg has strength internationally, he said.

"Strategically, it's definitely a positive move for both companies," Abraham said. "They complement each other's technologies very well."

Founded in 1985 by former employees of Storage Technology Corp., Exabyte (OTCBB: EXBY, 3.5 cents) burst out of the storage industry gates in 1987 with an 8-millimeter drive boasting a capacity of 2 gigabytes -- 10 times as much information as its nearest competitor.

During the next few years, the company expanded rapidly, growing to $310 million in sales and 1,200 employees in 1993. Product delays later hit the company hard, and layoffs and management changes ensued during the company's struggles.

With that news.. (a paragraph in yesterday's news).. if it DOES go over .04, it'll be a miracle.. whoever owns this when the deal is done.. well.. anyone remember the old K-Mart stock? totally worthless..There is an order of who or what gets paid in deals like this. Sadly enough, those with common shares are last on the list.

Even with the old K-mart stock though I was making quite a bit of money towards the end. It would rise and drop all the time even though it was totally a dead stock. You never know. some rumor could spread and it will surge and than drop right back.

I just tried to sell and was only able to unload 5000 shares of this at what I wanted to get so I will ride out these last 15,000 and see what happens.

I think * .04 is where alot of people got in and you will be hard pressed to see it rise much above that. But get your fingers ready. if it breaks 4 you may have a a very small window to sell if it hits 05 or 06
