Hey everyone, BLLD released some news earlier in the day that looked kinda bad, but not as bad as I think it should have been to cause such a fall in price.

Right now, it's at .033x.035 and it's RSI is just above 16.
It's 52-week high is $1.55, and it's hitting new 52-week lows everyday for the past few weeks.

Today's volume is huge, about 50-times the 20-day avg.


For anyone with more knowledge about looking at these bounce-plays, and analyzing what their PR said today (Bulldog Technologies Executes Amendment to February 2006 Convertible Note), then let us know so we have an idea for what to keep our eye on.

If thing does bounce anywhere near how much it's fallen in the past few weeks, this thing is a multi-bagger in the waiting.

This is the problem:

On August 24, 2006, the Company believed that a cash repayment of the principal payment due would not be in the best interest of the Company with respect of continuing operations. As a result, the Company was in default of the terms of the Notes. Rather than placing the Company in default of the Notes, the Note Holders agreed to restructure the terms of the Notes.

In connection with the Amendment, the Company will issue to the Note Holders a total of 4,480,000 shares of the Company's registered common stock in satisfaction of the August 24, 2006 principal payment. In addition, the Company will adjust the conversion price of both the Notes and the August 2005 Convertible Notes (the "August Notes") to a price equal to the lesser of (i) $0.05 per share or (ii) 75% of the average of the VWAP for each of the ten (10) trading days immediately prior to the applicable conversion date or principal repayment date.

ok, so that explains the massive peak in the volume that occured in the morning, as well as the really quick drop...

from here, though, do you think it has potential to make some gains, or is this one safe to say that it'll be a POS for awhile until they get all their financing straightened out?

My guess? POS. They are diluting because they have no cash, AND restructured strike prices that are NOT in their favor.

Only 4 million dilution ? 4 mill is less than 10% dilution to warrant a 50% fall. Or is there more dilution coming ?

the way i read things, it looks like the company doesn't have any cash to pay for anything, and a lot of their loans are coming due, so they're forced into some dilution to take care of it all in the short run..

now, i also read somewhere else with them that some of their products are supposed to making their debuts, or their prototypes will be coming into effect in the first few weeks of september, which could produce some good news, and maybe even revenues for the company, which could be very good for the price..

but i don't know. as far as i'm concerned, it's a good one to keep an eye on for any future news. anything good, and a lot of people will jump on it for the bargain that it is.

anyone else out there that knows more about this company, please correct my opinions if they're off-base. thanks.

this complete the information on the dilution going on

On February 24, 2006, the Company entered into an agreement with ten (10) investors (the "Note Holders") to sell an aggregate of $2,000,000 of the Notes which entitled the Note Holders to convert all or any part of the principal outstanding under the Notes into the Company's common stock at $1.00 per share, subject to adjustment according to the terms of the Notes agreement. The total principal of $2,000,000 is to be repaid in 14 monthly instalments of approximately $143,000 per month commencing on June 24, 2006. These repayments may be payable in cash or in shares of common stock at the market price, as further defined in the Notes agreement. All principal and interest on the February 2006 Notes shall be due on August 24, 2007. The Company paid the June 24, 2006 and July 24, 2006 principal instalments in cash. On August 24, 2006, the Company believed that a cash repayment of the principal payment due would not be in the best interest of the Company with respect of continuing operations. As a result, the Company was in default of the terms of the Notes. Rather than placing the Company in default of the Notes, the Note Holders agreed to restructure the terms of the Notes.

In connection with the Amendment, the Company will issue to the Note Holders a total of 4,480,000 shares of the Company's registered common stock in satisfaction of the August 24, 2006 principal payment. In addition, the Company will adjust the conversion price of both the Notes and the August 2005 Convertible Notes (the "August Notes") to a price equal to the lesser of (i) $0.05 per share or (ii) 75% of the average of the VWAP for each of the ten (10) trading days immediately prior to the applicable conversion date or principal repayment date.

$143000/4480000 = 0.032 so CD holder can sell until this price and make a profit anyway

next month the conversion price will be +- .024-026 (75% of actual price) - so he will receive +- 5750000

and so on ... = dilution limited only by AS (100m) - they can stop only paying cash (!)

guess it goes to show that even the biggest pos's can benefit the risk-averse.

but i'll try to stick to things that have more good news than bad news. and not dwell on these ugly companies.

I use that move to prevent the use of my bought shares to be used for short advantage. Also I never use the trailing stop cause the MM prefer to take those to fill gaps or drive the price down.

The answer is no. I don't like pharma stocks. But this one is testing support on the downward. If a FDA approval is really on its way you can sit and wait for it. I'm going to check it deep so it could be in my pref. ones.

Bulldog Technologies Winds Down Operations
THURSDAY, SEPTEMBER 21, 2006 8:46 PM


RICHMOND, BC, Sep 21, 2006 (MARKET WIRE via COMTEX) -- Bulldog Technologies Inc. (BLLD) , today announced that the Company's workforce of approximately 28 persons were laid-off on September 15, 2006 and that ongoing operations have ceased. In addition, Mr. Robin Wald, former Chief Technology Officer, resigned as a director of the Company and is no longer employed by Bulldog.

On September 24, 2006, the Company is required to make a repayment of principle to the Holders of the February 2006 Convertible Notes in the approximate amount of $143,000. On September 30, 2006, the Company's $750,000 Promissory Note will also be due. As a result of the Company's current financial position, it is unlikely that the Company will be able to meet its obligations. Therefore, the Company expects that it will be placed in default of the February 2006 Convertible Notes, the August 2005 Convertible Notes and the Promissory Note.
