Ask isn't being controlled by the Bid today. Good sign. Would be nice to close that spread a little so we could get some real volume going but that will probably come near EOD if this holds true to form.

Not bad at all.

Take a look at the chart with a one year timeframe.

We are in a definate uptrend that has been going since the begining of the year.

Our low resistance level right now seems about even with the current 50MA at .044 and our upper resistance point is .09. We've bounced off that twice now.

The RSI and MacD show a bullish turn and if we contiune next week the ADX should have a clear signal as well.

My guess is that we are going to rise over the next week to bounce off of .09 one more time. A drop down to the bottom resistance which should be around .055 at that point and then a breakout above .09 forthcoming.

This could change if they put out that financial update sooner than expected. I am thinking that PR (if it shows healthy improvement) is what is going to break the .09 wall.

Can you tell me why this has gone from subpennies to this recently? What is the big news

Posted by The Bigfoot on :

stock22,

This company manufactures cd cases. Not terribly exciting but they have a proven record of contacts and sales.

If you look at the two year chart you will see that around 2005 they started a long downtrend out of the .20-.30 cent range.

If I am correct, my take on it is that they expanded too quickly and couldn't keep up. They continued to have problems with two different loan attempts that went poorly.

There are two things driving this stock back up to previous levels.

#1) They are finally making forward movement financially and have though this tough period been able to continue production and win contracts.

#2) The share structure hasn't changed much. The owners of this company didn't dilute to fix their financial problems which is a huge plus in favor of the management team.

Bear in mind. In February the company did increase it's A/S count from 100 Mil to 1 Bil. However, there hasn't been dilution that I have seen and the O/S seems to be unchanged at under 50mil shares.

There is also a rumor of a 7 Mil short position that happened using 7 mil shares issued to secure a loan. If the rumor is true MLXO dropped dealings with the loan company and bought out those 7 Mil shares themselves to force the loan company to cover. (I don't know that this is true)

Look to the recent PR's and you will see that this company is getting back on track which should translate to a return of the pps to the 20-30 cent range.

Chart-wise we have broken our upper resistance barrier. IF we are able to maintain support and stay above .086/.088 range for the rest of today and tomorrow then it should become a weak line of support for us that can be used as a fallback should a reversal come before it drops further.

My thoughts?
No volume - back down.
some volume - stay above .08
good volume - oversold and pop above a dime

But you knew that already didn't you?

If we break 0.1, she'll go up quit rapidly.

We're awaiting news on :

- Wells Fargo
- Production
- return to OTCBB
- rumored surprise PR (even without it ...)

From HSM :

Let's not Forget that their are deals in the works right now also, A Merger with Sagoma Plastics, Michelex's only US Competitor!!! If the two companies Merge, look how HUGE that will be? And the Rumors flying around about other things? I know from Talking with Tom G. that he is Sick and tired of this Manipulative Penny Market, and as far as getting relisted on the OTCBB, that is only a stepping stone, I think Tom wants off the OTCBB just as fast as possible too and get listed on the AMEX or something where things like Naked Short-Selling, and this Manipulation so common on the OTCBB, is watched much more closely on the bigger boards like the AMEX, Michelex is a High enough Caliber Company to get on the AMEX, especially with a Merger with it's only competitor and some Bigtime Heavy Hitters Investing in this Diamond in the Ruff. When things like these begin to happen, forget the chart and the technicals! Throw them out the window because Mergers and big Investments change everything, I know from Talking with Tom that he has surrounded himself with some serious Professionals in the Market with the Full Intention of Getting Michelex up above all this Penny Market Manipaulation and in a place where they can Operate in Full Production and be a VERY Profitable company with the Stock trading at it's Fair Market value without having to worry about some offshore Hedgefund trying to drive the Share Price into the ground because it's trading on the Pink or OTCBB where this Manipulation runs Rampant. Remember, This company began in 1972 and has had 28 YEARS OF PROFIT!!! BEFORE BEING BROUGHT TO IT'S KNEES AND CLOSE TO BANKRUPTCY ALL BECAUSE OF TOXIC FINANCING FROM WELLS FARGO AND CORNELL CAPITAL!!! Now the Toxic SOB's are gone, and Michelex WILL RISE BACK TO WHERE IT SHOULD BE AND EVEN BIGGER THAN BEFORE WITH SOME HARD LEARNED LESSONS UNDER IT'S BELT. MLXO WILL BE TRADING IN THE $$$DOLLARS BEFORE YOU KNOW IT, I'D BET MY HOUSE ON IT.

Michelex Corp. (Pink Sheets:MLXO):

"Michelex" (or the "Company") a plastic manufacturing company and an audio record production group announced that it has completed the second and final part of refinancing to eliminate its obligation with Wells Fargo. The Company, through a deal signed with Utica Leaseco, LLC and Ihop Leasing, LLC d/b/a Omega Leasing, LLC, has paid $1,150,000.00 to Wells Fargo. Wells Fargo has agreed to give the Company until December 24, 2006 to pay the remaining $250,000.00 thus resulting in a total savings to the Company of $703,519.67.

The Company is in process of working to complete their audited financials by mid-September and the filings of the 2QSB's, the 10KSB and the SB-2's will all be filed simultaneously to get it re-listed on the OTCBB.

The Company reported that production in New York was running smoothly and sales are steadily increasing. It is still in negotiations with Sagoma Plastics with regard to the potential merger of the two companies.

bigfoot i think they are going to start filing the 10k and q's pretty soon..the financials are with the auditor so i think the mid sept deadline is a lock..i think we start toward .20 and maybe beyond..what i do know is the float is tiny...28mil of that 20mil of that is held 13mil is held by a group that is really long on this one. so figure the float to be around 8mil which explains why this trades somewhat rough...good luck to all

Michelex Corp. Revitalizes Its Music Division; Expanding Revenue Growth and Profit

MASSENA, N.Y., Aug 28, 2006 (PRIMEZONE via COMTEX) -- Michelex Corp. (Pink Sheets:MLXO) ("Michelex" or the "Company"), a plastic manufacturing company and an audio record production group, announced today that it has begun the process to revitalize and expand its music division.
Unbeknown to many, Michele Audio Corporation of America ("Michele"), a division of Michelex Corp., is the owner of over 9,000 copyrights, of which many albums are available on the market today. "STRADIVARI (Classical)," MICHELE RECORDS (Big Band Era and vintage jazz) and "COUNTRY HARVEST (rare and historical Country Recordings)," to name a few, are record labels owned by Michelex.

Thomas Gramuglia, Executive Producer and owner of Bop Talk Music, his publishing company, will focus on putting out new recordings on CD compiled from their vast catalog of unreleased masters. Revenues from this plan are projected to increase sales by $500,000.00 for the year 2007.

The Company recently learned that one of its major competitors on the plastics side has closed their doors and gone out of business. This puts the Company in an excellent position in the industry because there will be a need to fill an immediate void in the industry to the tune of over 100,000,000 CD jewel boxes, cassette boxes and DVD boxes -- all items that are currently being manufactured by Michelex Corp. in the USA.

The Company stated its arrangement with Utica Leasco that took out Wells Fargo for $1.2 million was debt financing. This traditional financing was a sale/leaseback of its equipment amortized over five (5) years with an option to purchase at the end of the lease.

The Company is in the process of completing the necessary financial statements that will enable it to have a 15(c)(2)(11) filed to quote its common stock on the OTC Bulletin Board.

Good deal!!!

Casviper,

Another answer to your question lies within this chart.

I don't have the fancy tools to draw on the chart but consider this. Within the last 6 months this stock has established 3 different support levels.

1)The first is right at the begining under .01
2)The second formed in April at .022
3)The final support level was created in July at .05

Now look at resistance levels.
We had a resistance level at .07 that was broken in July when our current support level was formed.

We have since tested the next resistance level at .09 a couple of times and nearly rose high enough to consider it broken in early August.

The steam is building. It will soon grow again as evidenced by the MacD and the Accumulation/Distribution below.

I'd love to break that .09 resistance and see where we can take it. I think it'll happen soon.
Just waiting for those financials and production updates that are due two weeks from now.

Michelex Corp. Revitalizes Its Music Division; Expanding Revenue Growth and Profit
Monday August 28, 11:22 am ET

MASSENA, N.Y., Aug. 28, 2006 (PRIMEZONE) -- Michelex Corp. (Other OTC:MLXO.PK - News) (``Michelex' or the ``Company'), a plastic manufacturing company and an audio record production group, announced today that it has begun the process to revitalize and expand its music division.

Unbeknown to many, Michele Audio Corporation of America (``Michele'), a division of Michelex Corp., is the owner of over 9,000 copyrights, of which many albums are available on the market today. ``STRADIVARI (Classical),' MICHELE RECORDS (Big Band Era and vintage jazz) and ``COUNTRY HARVEST (rare and historical Country Recordings),' to name a few, are record labels owned by Michele.

The Company is in the process of completing the necessary financial statements that will enable it to have a 15(c)(2)(11) filed to quote its common stock on the OTC Bulletin Board.

the reason we are where we are is liquidity..the float on this is very small. 28mil is the registered float which is tiny. take that and subtract about 15mil that is held tight...if you look at the way this trades you would see the struggle. There isn't much buying yet...Last week 800k shares were registered to sell by an old ir firm...they got restricted stock and the restriction fell off. That is where vfin comes into play. mm's are trying to get a inventory of shares. they aren't dropping this to much but aren't raising it up either. once the first 10k is filed this will start moving up. This stock will blow peoples mind...

no this the company is solid and management is excellent...this guy could have taken the easy road and screwed all the shareholders..instead he worked things out with the banks got new non dillutive financing and has operations up and running. now they are looking to get off the pink sheets...all of this was done with out screwing the shareholders..if people want to over look this stock at .05 that's great let them pay .15 or .50 or a dollar cause this will be there in a month..mark this post this stock will be one dollar at least in a month....why wouldn't they...they were over a dollar when they were on the otc...give it time.

Have you noticed that for the last week or so the bid and ask jiggle here and there but the spread always stays .003 to .004 apart?

You look at that and take it in with the RSI which is floating under 35 now and it is obvious (to me) that the MM's are accumulating shares here.

By the by, not saying history will repeat itself but the last time the RSI touched 30 before the take off it went up over 500%.

Just sayin....

Just a reminder of what we are waiting to hear about:

quote:

Thomas Gramuglia, Executive Producer and owner of Bop Talk Music, his publishing company, will focus on putting out new recordings on CD compiled from their vast catalog of unreleased masters. Revenues from this plan are projected to increase sales by $500,000.00 for the year 2007.

The Company announced that it has completed the second and final part of refinancing to eliminate its obligation with Wells Fargo.

The Company stated its arrangement with Utica Leasco that took out Wells Fargo for $1.2 million was debt financing. This traditional financing was a sale/leaseback of its equipment amortized over five (5) years with an option to purchase at the end of the lease.

The Company is in process of working to complete their audited financials by mid-September and the filings of the 2QSB's, the 10KSB and the SB-2's will all be filed simultaneously to enable it to have a 15(c)(2)(11) filed to quote its common stock on the OTC Bulletin Board.
get it re-listed on the OTCBB.

The Company reported that production in New York was running smoothly and sales are steadily increasing. It is still in negotiations with Sagoma Plastics with regard to the potential merger of the two companies.

We need those filings.

I know I am tired of waiting and I am guessing by the small amount of shares that were let go under support levels that others are as well.

Has anyone tried to email Michelex and ask when we can expect the filings to come? I will on Monday if no one else has.

Well,

I see three possibilities for this dip we are in.

1) The company is diluting shares some.

2) A group of folks have "lost the faith" and are cutting out.

3) The MM's know that something is coming soon and are taking us for a dip.

Hopefully the answer is behind door number 3.

Posted by The Bigfoot on :

I think it is mostly short-term holders who are disapointed that the filings haven't come when stated.

DDA and I have been nosing around on other threads a little to see what is up.

On Ihub there is some unconfirmed info that we should be getting a PR sometime today as to the status of MLXO. Seems they had run into a nut that needed to be discussed with the SEC to make sure they filed properly.

Also a report that some "restricted" shares were issued to pay the lawyer and such.

Again...All this is speculation on other threads. As far as I am concerned we are still waiting for the same thing. Filings to be updated and an announcement that they will be returning to the OTCBB. That'll send us climbing quick seeing as when they were on BB last they were trading in the .30 to .60 cent range with one good spike well over a dollar.

FWIW.

The Bigfoot

Posted by The Bigfoot on :

Well, no PR that I can find anywhere which puts into doubt everything that was said by posters on other boards.

I'd be surprised if "something" didn't get put out "sometime" this week but then again...I thought'd they'd be out by now too.

Regardless, upside is strong once the waiting is over so I can't and won't consider selling this stock until I am given a reason to by the company.

See you on the flip side,

The Bigfoot

Posted by DDA on :

Seems one guy called and got the message that it was Monday. Other source stated this week.

In regards to the extra shares : went to the lawyer and family (who borrowed money) - shares are restricted - O/S would still be around 100 million - float = around 30 million - say ... cheessseee

Posted by The Bigfoot on :

cheesseee pleeaasee! LOL

Thanks for the clarification DDA.

Posted by DDA on :

No problem.

I'm done adding. Price is around the 200MA and has that as support (and that's around my average price).

If you look at the volume, you'll see that we've been accumulating for a while now. Knowing that most of us are holding, if we get the OTCB news, the pps should automatically jump up.

Other thing : it seems (some sources on HSM and ihub have been posting on this) that there's other news in the making (some big deal). As with most pinks, you'll see that 'good' news is bundled and spread out during some days/weeks. My take : we'll get news on the move to the OTCB + there will be extra news to support the PPS.

Only thing we need is patience for the time being.

If you look at the spikes this one has made in the past, it will be rewarding once we kick off.

Big news?

That's the first I've heard of that but I'd love it if it were true. (Maybe the merger with Sagoma plastics???)

Remember what we are waiting on here folks.

Cas,

All I can say is I am going against the trading grain and believing that this news when published (gotta be any day now) will turn the short term trend and resume the long term growth trend. After all, it aint everyday you get to a higher board.

That said we NEED that news. If investors lose the faith than we could end up filling the gap and going back down to .022 area.

I don't think that is going to happen. .035-.04 seems to be as far as we go.

The tanking continues. Something isn't right. Could all the news that came out a while ago be pure BS. Is this company ready to go under?

Posted by The Bigfoot on :

No, I doubt that very much.

I have a feeling that a majority of the drop relates to folks who don't believe in averaging down, which is smart (though I made a different choice on this stock.)

They have taken their money out being disillusioned by the long wait for the expected PR and their money is on the sidelines until news actually comes out.

There may be some dillution going on as well, but it can't be much and the float is low enough it should be able to take it without adverse effects once trust is regained.

I look at the hints about "big news" with a lot of skepticism but I think the reporting is legit. It is too well PR'd not to be without a boat load of trouble coming from investors for the company. Also, this company has a reputation as one of the pinks that doesn't screw with their stock as a source of funding like others.

I won't say it isn't possible...this is pinky land after all... but it would go against all the work they have done in the last year keeping themselves reputable during financial hardship. Why would they toss that out the window now when they are coming back on line and have hopes of returning to their former status?

I am averaged at .05 and holding. I may add more to my position once the news comes out but will wait and see where the stock is at that point before I make that decision.

MM's have fenced this stock.

Notice how it is moving on 50k hits? MM's have few sells and few buys so they have put blocks down as fences and turned attention elsewhere. Once a few of those blocks get hurdled their attention will come back.

Not saying that means news is emminent but it does suggest that no one is currently interested in selling below current pps.

BTW, that 50k at .031 that moved the bid was a partial fill for me. Rest of the order will sit for the day but I kinda doubt it'll fill.

Michelex Corp. Announces Audited Financials Completed

MASSENA, N.Y., Oct 13, 2006 (PrimeZone Media Network via COMTEX) -- Michelex Corp. (Pink Sheets:MLXO) "Michelex" (or the "Company") a plastic manufacturing company and an audio record production group announced today that their Auditors, Seligson & Giannattasio, LLP have completed the company's audited financials for 2004 and 2005. This will enable the company to have the 15(c)(2)(11) filed to quote its common stock on the OTC Bulletin Board which is currently in process; however there can be no assurances as to when the 15 (c)(2)(11) will be approved or whether it will be approved at all.
Thomas Gramuglia, CEO of Michelex announced that since it restarted production on July 10th, the company has been successful in regaining market share. The Company's August sales were up 140% over July, and September sales were up 70% over August. The company anticipates that their operating margins will increase due to the declining costs of polystyrene, the raw material used in manufacturing its products, which is predicated to the oil industry cost per barrel.

The Company has leased another building in the Massena Industrial Park giving it an additional 20,000 square feet of warehousing space needed to accommodate the plastics manufacturing plant.

The Company also announced that one of its two retail websites (plastics) is operational and generating sales. (www.michelexmedia.com) The music retail website is near completion and expected to be on-line next week (www.hindsightrecords.com). This website will feature product from its music catalog including Big Band, Classical, Country, Comedy, Polka, Children's Music and will also offer special seasonal promotions of Christmas Music.

Just came out not too long ago. We should move this afternoon once people start seeing it.

VFIN and UBSS are the only two that moved down. Every one else still has their places in the 4's and 5's from before. We get a little volume and push past the ******* VFIN who has been the main a-hole on level 2's and we are thin all the way up to .05.

Just need to get the believers back!

this stock makes no sense. news out today should have put us in the green and we are still in the red. something is just not adding up.

Make your own choice.

I'm not terribly excited about the response today either but I am giving it time. We should see more once the Q's are available for review. I also am looking forward to the SEC decision. There is no reason so far to believe that they will be denied acceptance to the OTCBB. I just wish I knew how long it might take for that decision to be reached.

Have a good weekend.

Well I for one like the news today and bought. It looks like there's a big upside to this company. Sometimes it takes a day or two for ther to be a reaction. Hopefully that is the case here. I'm patient and think this stock will do fine. Bought it as a swing to possible longer term stock not a momo play.

Agreed Wally,

Thanks for reminding us of what this looks like to a new trader. You are right there is tons of upside here! Some of us were expecting news two weeks ago and have some pent up frustration. Now we are seeing forward movement and it should be only a matter of time before all those good things we have all been expecting start comming.

Go MLXO!!!

MLXO was a BB until 3/31/05. As I understood it (I will find the links later, I had them at one time), the delisting and migration into pinks was largely administrative, and not an intentional desire to conceal information- the typical reason a lot of companies switch from BB to Pinks (IMO). They tried to reverse tracks quickly at that time, but were busy with some contract deadlines and soliciting some investors, which probably slowed them down. PRs indicate they have been trying to get relisted on OTCBB since July.

More DD to follow. I got in at .03.

As an extra they were the victim of toxic financing by Wells Fargo. They succeeded in getting that solved.

Word on the street is filings have been sent in to get Edgared and any delay is in the hands of the SEC at this point.

As long as nothing is wrong with the filings decision about the move to the OTC should come out within a week of the filings.

If there is a problem with the re-enlistment forms the company has something like 60 days to remedy without needed to refile.

Here's to hoping we get some movement soon!

Hey guys,

Just thought I'd check in.

Take a look at the chart and play around with it for a while.

everything I'm seeing says we are just about to see a reversal here. If filings can time to it right and news on the re-listing comes shortly after than we are looking at a very solid increase.

Worst case I see coming is no news and a modest bounce off the .03 support.

We shall see.

.035 printed.

We have a new High of Week!

(Yeah, it was a paint of 850 shares 2 minutes before the bell but it does signal potential for a very good Friday session.)

Look at our candlesticks for the week...

Monday we have a small white candle
Tuesday and Wednesday we have Dragonfly Doji's
Thursday we end with a nice white candle with a small shadow.

Our MacD is on the rise and about to cross,

Our RSI is undersold with a stir of life

Our Full Stocastics crossed today and hint at a rise.

CMF is positive and growing

Center line of Bollinger bands sits at .04 same as the 200MA with a 50MA at .05.

With confirmation tomorrow the ADX and Aroon will begin to show as well.

All this needs confirmation that a trend is developing but if you like the chart, like the spread of the L2's, like the history of the stock, and think that we have news around the corner like I do...this would be a good time to get in.

Michelex Corp. Announces Audited Financials Completed

Michelex Corp. Are you smiling yet? No? Don't worry...you will.

Posted by The Bigfoot on :

Hmmm...looking back at the PR's it seems the 10K's were all that were necessary to file for the OTCBB. Now that those are out SEC can look into the request. Takes 3-60 days. 3 if nothing is wrong on the filing.

I thought I remembered a PR stating that more financials would be completed at the same time but as long as the major stuff is done I guess I'm happy.

Good Luck everybody!

Michelex Signs LOI to Acquire Ag Pro, Ltd and Enters the Bio-Diesel Market

MASSENA, N.Y., Nov 20, 2006 (PrimeZone Media Network via COMTEX) -- Michelex Corp. (Pink Sheets:MLXO) "Michelex" (or the "Company") a plastic manufacturing company and an audio record production group announced today that it has signed a Letter of Intent to acquire Ag Pro, Ltd, (www.agprosoy.com). Ag Pro, Ltd. owns and operates a soybean and oilseed crushing plant in Massena, New York. The plant processes soybeans into soy meal and crude soy oil. Its current crushing capacity is 150 tons of soybeans per day, which will be increased to 250 tons. The refinery has a capacity of 50 tons of oil per day. Ag Pro's state-of-the-art oil refinery is a physical refinery, rather than a chemical refinery like most others. It produces soy oil with zero trans-fats. Soy oil is also used to produce bio-diesel. Michelex plans to utilize the majority of the soy oil production for making bio-diesel. What is unique about Ag Pro, Ltd. is that its oil can be used as a high quality edible oil, or as a feed stock for bio-diesel depending upon market conditions. St. Lawrence County is well suited for the production of soy beans with its ample farm land. In full production, the crushing plant would need 100,000 acres in soy.
The estimated replacement cost of all Ag Pro, Ltd. assets is upwards of 12 million dollars. It is the intention of Michelex to construct a bio-diesel etherification plant next to Ag Pro, Ltd. in the Massena Industrial Park. The capacity will be a minimum of 10 million gallons per year. The newly proposed facility will process bio-diesel from a variety of oil feed stock. This versatility will not limit the production only to the crushing plant's soy oil output. The bio-diesel plant will be financed by the sale of Industrial Development Bonds. The St. Lawrence County IDA has written a letter of support for this project.

The acquisition is based on cash and stock considerations.

Thomas Gramuglia, President and CEO of Michelex stated that he "is very excited about the proposed acquisition of Ag Pro, Ltd. as my family has been in the crushing and refining business for edible oil in Italy since 1919. The Italian company has an outlet for sale of its olive oil here in the U.S. at www.oliverioil.com."

Michelex would also like to update its shareholders that the 10Qs for March, June and September 2006 are expect to be filed before the Thanksgiving holiday.

Press article about the acquisition.

Plastics firm to buy Ag Pro, produce fuel

Nov 21, 2006 (Watertown Daily Times - McClatchy-Tribune Business News via COMTEX) -- MASSENA -- Michelex Corp. plans to acquire its Industrial Park neighbor Ag Pro Ltd. to break into the alternative fuel business.
The plastics manufacturer will use stock and cash to purchase $12 million in assets from the soybean processor and construct an addition to the current Ag Pro building in the park, Michelex announced Monday.

The Ag Pro plant is capable of processing 150 tons of soybeans for animal feed each day. That capacity would be increased to 250 tons for biodiesel production and add as many as 50 jobs, Michelex President Thomas Gramuglia said, adding the real benefit would be to farmers.

"I thought that the farmers in St. Lawrence County really needed to have a cash crop," Mr. Gramuglia said. "There's a lot of farmland that's not utilized right now."

The 250 tons per day of soybeans is enough to produce about three million gallons of biodiesel each year. With soy currently fetching $7 a bushel, Mr. Gramuglia estimated the plant would have to tap 90,000 acres, worth about $280 per acre.

"To the individual farmers in St. Lawrence County, that means $20 million total per year," he said.

Michelex plans eventually to produce 10 million gallons of fuel each year, which would require some 833 tons of soybeans each day. Currently, there are an estimated 600 to 800 acres of soybean crop in the county, though agencies like Cornell Cooperative Extension have worked to spark interest in recent years.

The company recently filed the preliminary application needed to make loan arrangements through the St. Lawrence County Industrial Development Agency, which can offer development incentives like tax-exempt financing and lower interest rates.

"I think it's significant in that they're two local businesses merging together and putting together their resources to create more jobs," said Raymond H. Fountain, chief executive officer of the IDA, which has offered initial support for the acquisition.

Mr. Gramuglia said he intended to acquire Ag Pro by the end of the year and hopes to be producing the first fuel from the plant by mid-2007. The industrial park is already targeted to be the site for an ethanol fuel processor that hopes to produce five million gallons a year.

"There's a lot of attention already. We've talked to several firms over the last few months," Mr. Fountain said.

Among the key factors are numerous federal and state tax breaks extended to alternative-fuel entrepreneurs and Massena's low-cost power, which plays an important role in production, he said.

Ag Pro began production of soy-based animal feed in 2002 after two decades of planning. In 2003 the plant went on a several-month hiatus owing to low demand and high bean prices.

A contractor sued the company in state Supreme Court for about $100,000 in unpaid bills in 2004. A countersuit demanded $250,000 from J.E. Sheehan Contracting Corp., Potsdam, for incomplete work. In 2005, HSBC Bank, Buffalo, filed suit for more than $1.2 million in outstanding loan payments, but the plant has remained in production.

"We've been under mutual discussion for a number of months," Mr. Gramuglia said.

A representative of Ag Pro did not return calls seeking comment.

Michelex, a manufacturer and distributor CD and DVD packaging, recently emerged from some financial troubles of its own when it settled a $3 million outstanding loan lawsuit in April.

Posted by tompom on :

the 10q doesnīt look too impressive but nobody expected that anyway
however itīs a vital step toward the otcbb-listing
and future revenues are the key points for this stock now
letīs see what happens with this one

Posted by The Bigfoot on :

Agreed. There is a lot of uglyness in the 10Q's but anyone who didn't expect that of a company basically coming out of bankruptcy didn't know what they were getting into.

Here is what I like the most from the report:
(December 2005/ September 2006)

I like the growth in cash - 16,217, 41,633

Accounts receivable - 650,471, 744,005

and *prepaid-expenses* - 301,245, 340,765

*which is important given the past problems of meeting obligations.

I also really like the large reduction in longterm debt.

Long-term debt less current maturities December 2005 - 4,058,125 (current portion of long term debt December 2005 - 1,666,310)

Total long term debt December 2005 = $5,724,435

Long-term debt less current maturities September 2006 - 2,052,500

Current portion of long-term debt September 2006- 565,258

Total long-term debt September 2006 = $2,617,758

Taking $3,106,677 off your long term debt in 9 months is pretty damn good. Some of that is loan forgiveness. Some of it is restructured financing. But if they can increase revenues which they do seem to be doing it creates a hole that is much easier to get out of.

Now we need a sign for the OTCBB exchange. All financials are current.

1.00 is very possible by mid jan maybe sooner...when they announce the investment bank that is backing this deal that is when this stock will move..then ag pro get aquired and the details are out on that. then the application to the county...then an update on sagoma aqusition which may happen by mid jan. approval of the bonds for 10million dollars by mid jan..the def 14c out by mid jan...the 15c filing this month. not to mention the democrates are in office so alternative fuels will be big and are just getting started. once they aquire ag pro there will be major newspapers and online article the loi got 3 articles when they start to build the bio disiel plant in new york the (mecca of the financial industry) buyers will scoop up this stock. plus remember that the float is 45 mil of which half is held by some solid investors...

SB-2 filed.

Reading through it now.

Posted by The Bigfoot on :

This is going to take a while...

Posted by The Bigfoot on :

Honestly, there isn't much new in the SB-2 but it does further us down the path towards moving up to the OTCBB.

The paragraph below I thought worth highlighting.

quote:
In July 2006, the Company entered into a Securities Purchase Agreement with several investors whereby the Company would issue an aggregate of $1,200,000 in 6% convertible secured notes and warrants to purchase up to 10,000,000 shares of the Company’s common stock. The notes are due on July 28, 2009 and may be converted into common stock at any time prior to maturity at the option of the holder. The loan may be converted at a conversion price which is the lesser of $.20 or a discounted average trading price of the shares (the discount being dependent on the meeting of certain registration conditions). The holder is limited in the conversions prior to maturity date to the greater of $60,000 per calendar month or the average daily dollar volume calculated during the ten business days prior to conversion. In addition, the agreement puts limitations on certain types of transactions. In July 2006, the Company closed on the first portion of the notes aggregating $400,000. The Company will receive an additional $400,000 upon the filing of this Registration Statement and an additional $400,000 immediately after effectiveness.

We're all over the board today.

Maybe some folks only looked far enough to see the 30mil share estimation and thought it was dilution without understanding the deal?

No clue. The loan is a good thing IMO. This is funding we are tking about which is a good thing, right? We need capital to get all these ideas off the ground. Plus, it gets us one step closer to being fully reported and back on the OTCBB.

Less than that DDA. For the first 50k we were holding strong at .039!

If anybody is trying to play the bottom on this stock they are safe only so long as pressure stays off. When momo hits this stock moves fast and strong and those who weren't prepared are going to get royally screwed!

Yeah! Just saw that one myself.

Good deal. Shows Michelex ain't just blowing smoke. Also shows evidence that the possible merger with Sagoma Plastics is proceeding seriously.

this stock will be huge in the weeks and months to come

Posted by The Bigfoot on :

It all hinges on the bonds. If Sunrise Securities gets them the funds and they are approved by St. Lawrence IDA....

It won't matter if the move to the OTC is sucessful. This stock will make a big move with or without it.

nothing will really happen until 2007. michelex is in a decent posistion they should be getting ready to apply for the otc and should lower the authorized those things will help. also ag pro should be aquired soon and then there will be the application for the bonds...not bad...so the next two weeks shouldn't be that great but 07 should have us looking better. we should hear something about paying off wells fargo..they have untill the 24th paying them off is a big step...

From HSM - Trader wants to the float count. I ansered. Don't know if you want, but if you like to :

Hey guys I was wondering if you would be so kind to send how many shares you hold in this company to an email adress i set up...mlxoshareholders*yahoo.com
I want to get a sense of what the true float is. Once this info is compiled it will be shared with everyone that summits the info..please give the share number and just ur first name if you want to include your handle that is completely up to you...I will then send out the number of shares held and the number of shareholders that are holding them..I will not include peoples names...i only will use them so that i can keep everyone straight...I also will use the emails as a way to keep people updated with whatever i hear..understand this is completely voluntary and i have no intention of sharing each others info with anyone...i really think we are close and would like to know the real float per se..also i am not one to have that type of info posted on message boards as u may see on other boards where shareholder put what they are holding so everyone can see. i don't like that..if you do this please be hones this will be held in confidence...take care guy once again the email is

I just found out that we have a judgement against MLXO. I guess it explains the fall in stock price. I think this is about over. I can't see how this company will be able to raise capital to buy the ethonel company.

via COMTEX

MASSENA, N.Y., Jan 25, 2007 (*********wire via COMTEX News Network) --

Michelex Corp. (Pink Sheets:MLXO) ("Michelex" or the "Company"), a plastic manufacturing company with its offices in Utah, and an audio record production group located in New York announced today that it has signed an Exclusive Investment Banking agreement with JH Darbie, located 99 Wall Street New York, to arrange financing for up to $5 million, in order to consummate the purchase of the AGPro soybean crushing and soybean oil refining assets located at Massena, New York in St. Lawrence County. Thomas Gramuglia, Chief Executive Officer of Michelex also commented from its head quarters in Utah; "Sales in our plastics business continue to ramp up nicely now that we have eliminated our debt to Wells Fargo Business Credit. We are also excited about our Plastics' Business Outlook for 2007, and share JH Darbie's enthusiasm for value driven opportunities."

Will be watching news. Big deal if they can pull off the acquisition.

Stock didn't trade to my expectations for last three months though so it is no longer in my reliable file.

GLTA! You got some real posibilities here and you may see me here again soon enough.

(Pink Sheets:MLXO) "Michelex" (or the "Company"), a plastic manufacturing company with its offices in Utah, and an audio record production group, announced today that sales have almost more than doubled for the 1st quarter 2007 in comparison to 1st quarter 2006. Last year the sales for January, February and March were $432,974.00 and in the same time frame for 2007, sales were $833,520.00. The Company would like to reassure its investors that it is still moving forward with the potential acquisition with AgPro. Thomas Gramuglia, CEO of Michelex, recently returned from an overseas trip in which the company is in process of soliciting bids on equipment for the Biodiesel Production Plant which would yield a capacity of 200 tons per day.
