Very nice. Expansion is key and having multiple distribution centers is the way to do it. I remember last year how people were complaining about their dvds arriving slow, its cuz there were very few distribution centers. GZFX is on the right track by opening new centers to speed up the process and compete with netflix/BB. Opening one in Texas is great, especially since GZFX will be in CC next month in Texas.

I don't care what any bashers say, this stock is excellent for long term. Sure you won't make a quick buck tomorrow on this, but in the long term, this is solid.

Think about it: DVDs, Games, Books, Music soon, 8 distribution centers so far, 627 Circuit City stores...need i say anymore?

If you go to the Circuit City web site and find gzfx, you will see that the next two dist. centers are located in the states of Washinton and northern Indiana. This Co. is growing and the next 6 months will tell the tale, your either in or out, if your out then why not go somewhere else where your really needed, like another site. LMAO.. I don't understand why habitual bashers are not weeded out. I'm in the red on this one, but i still believe, and if i'm wrong, then i'm wrong, no one else.

Increasing growth will require the Company in the future to make more significant capital investment in library content, distribution infrastructure and technology. The Company's current capacity will allow it to service approximately 15,000 monthly subscribers before significant investment would be required . The Company currently monitors its monthly growth rate to ensure it properly anticipates the timing of making additional investment in library content, distribution infrastructure and technology. The Company currently has five distribution centers, located in Southern California, Colorado, Kentucky, Maryland, and Massachusetts. If the subscriber base grows, the Company may seek opening additional distribution centers.

And here folks is your 25 billion Authorized shares...

To obtain funding for our ongoing operations, we entered into a Securities Purchase Agreement with Golden Gate Investors, Inc. ("Golden Gate") on November 11, 2004 for the sale of (i) $150,000 in convertible debentures and (ii) warrants to buy 15,000,000 shares of our common stock. In January 2006, we entered into an amendment of the Securities Purchase Agreement with Golden Gate in which the debenture was increased to $300,000 and we issued an additional 15,000,000 warrants to purchase shares of common stock. This prospectus relates to the resale of the common stock underlying these convertible debentures and warrants. The investors provided us with an aggregate of $300,000 as follows:

4
- $100,000 was disbursed to us in November 2004;

- $50,000 has been retained for services provided to our company by various professionals, which was disbursed upon effectiveness of the prior registration statement; and

- $150,000 was disbursed in January 2006.

As of March 20, 2005, $203,391 of the convertible debenture was still outstanding and 20,339,100 shares of common stock were still issuable upon exercise of the warrants.

The debentures bear interest at 4 3/4%, mature three years from the date of issuance, and are convertible into our common stock, at the selling stockholder's option. The convertible debentures are convertible into the number of our shares of common stock equal to the dollar amount of the debentures being converted multiplied by 110, less the product of the conversion formula multiplied by 100 times the dollar amount of the debenture being converted, which is divided by the conversion formula. The conversion formula for the convertible debentures is the lesser of (i) $0.20, (ii) eighty two percent of the average of the thee lowest volume weighted average prices during the twenty (20) trading days prior to the conversion or
(iii) eighty two percent of the volume weighted average price on the trading day prior to the conversion. Accordingly, there is in fact no limit on the number of shares into which the debenture may be converted. However, in the event that our market price is less than $.005, we will have the option to prepay the debenture at 150% rather than have the debenture converted. If we elect to prepay the debenture, Golden Gate may withdraw its conversion notice. In addition, the selling stockholder is obligated to exercise the warrant concurrently with the submission of a conversion notice by the selling stockholder.

The warrant is exercisable into 20,339,100 shares of common stock at an exercise price of $1.09 per share. As a result, if Golden Gate elects to convert a portion of the convertible debenture, it must also exercise a pro-rata portion of the warrant at the same time regardless of the fact that the warrant is exercisable at $1.09 per share and our market price as of March 20, 2006 is $.01.

For example, if Golden Gate elects to convert $2,500 of the convertible debenture, this would result in the issuance of 47,659,408 shares of common stock based on a current conversion price of $0057. However, Golden Gate will not be entitled to convert the convertible debenture unless it also exercises the a pro rata portion of the warrant. In this situation, Golden Gate will be required to exercise approximately 248,137 warrants at an exercise price of $1.09 resulting in $270,469 in funding for our company.

This next bit is a smart move so they aren't the victims of a hostile take over by GGI...

The selling stockholder has contractually agreed to restrict its ability to convert or exercise its warrants and receive shares of our common stock such that the number of shares of common stock held by them and their affiliates after such conversion or exercise does not exceed 9.9% of the then issued and outstanding shares of common stock.

Effective Number of Percentage of
% Below Price Per Conversion of Shares Outstanding
Market Share Price Issuable Stock

25% $.0053 $.0042 5,306,568,043 58.24%
50% $.0035 $.0028 7,970,021,614 67.68%
75% $.0018 $.0014 15,960,382,329 80.75

Now I'm sure you all see why holding this stock for very long is unwise...

You are dead on. I spend more time filtering through the trash here then reading insightful postings. A couple of posters here have been bashing each other and posting at a rate of 10 a day (for a year and a half) with little contribution. It would be almost funny how juvenile some posters are, except for the fact that it affects all of us.

Yes, i didn't start this thread for such childish behavior. I started it to show the progress GZFX is having with the CC National rollout. I you guys want to continue insulting each other, please start a new thread for that.

BOULDER, CO and FRANKLIN, KY -- (MARKET WIRE) -- 07/14/06 -- GameZnFlix (OTCBB: GZFX) and ClickCaster today announce a cooperative agreement to provide access to video and audio content via podcasts, web streaming and direct downloads.

In addition to managing content via ClickCaster's integrated web-based podcatcher, ClickCaster will also provide podcast advertising and social networking capabilities to GameZnFlix's growing gaming community.

Both companies expect to have the new service options available within the next few months. Content will be made available via ClickCaster's podcast directory at www.clickcaster.com as well as via the GnF Network page at www.gameznflix.com.

Not ot sure but, GZFX could have a turn around story right here.

I hope they are trying to seperate themselves from Netflix, and others.

If they can establish a name for themselves and reach a new demographic, all the worries about this being a POS could extinguish. Good entry point will pick some up come monday, EASY percentage from these levels!!!lol

Good luck to all.

This should open Monday with some sorta gap up, depending on how the investing community feels about the pr will be the determining factor, personaly i like it, they are progressing in every step they take. I do own a few shares and am here till the end, what ever that is, all or nothing. I'm not pumping, just stating a fact. lol. jp. [Smile]

After looking at this ClickCaster, I fail to see how this is going to benefit GZFX at all..
It appears to be free podcasts of stuff nobody will watch.
This apparent partnership is of no importance at all.. in fact it is a let down...
GZFX needs to agressively attain market share...
Free podcasts of the like seen on ClickCaster is not the way to do it...
No uptrend from this.
Possibly a small gap, depending on how well the hypesters do this weekend.

Posted by liberty01 on :

1 bright point here; i would like to get in this stock, i agree free is not profitable, but more accessible to another demographic by doing this, yes. Good in one sense bad in another, but optimism would lead to believe more partnerships to come and building of market share one way or another for these guys!! JMHO,

i personally look forward to monday and also look for good run by end of month!!! They are no longer a business development company, they are real so take it how you see it.

Good luck to all!!

I see a probable close in the 4’s today. And that is not a good think for this stock, considering the latest PR that was posted. That PR did nothing for the stock price. I hate to keep kicking a dead horse here but it is quite obvious that this stock is just not going to come back. I mean, what will this company have to do to generate an uptrend in the stock price. Speculation about this and that along with plenty full PR’s just isn’t getting it anymore. I remember the good ol days when a PR would come out and the PPS would jump 20%. Those days are gone and apparently so is GNF.

People made a ton of money on this 2 years ago when it was PGHI. No one wants to admit it but it seems you don't make money in sub pennies thinking long term.People bought PGHI at .0001 or even gzfx at .03 and if they were lucky sold at .16 or .18
I'm just starting to learn this.I guess there are rare exceptions and everyone hopes the one they own is the exception. Most long term people are bag holders. Same thing happened with QBID.

My guess is that once ggi sells all there shares that they where given (4 billion) we will start to move up, right? GnF authorized ggi shares when the o/s was around 1,096,001,665.Now the o/s is at 4,305,595,218 that leaves 791 million more to dilute.Thats not that bad with the right news at the right time (monday- mornings) we may see .025 - .03. Does this sound about right?

Posted by Rex A Million on :

can someone clear up the confusion I'm in? after gzfx increased their a/s to 25 BILLION someone had told me the o/s was now close to 9 billion. why do people think the o/s is only 4.3 billion?

the one thing that stands out in my mind is the release of the cc news and that was going to be the news of the century blowing this stock up to $1 or better. it was on its way until the company sold into the run, so help me again with why this latest news will spark a run?

The OS has more than quadrupled in the last year.
The AS has increased by a factor of 12.5 in the last year.
This is part of the reason for the flop when CC rollout was announced.
Only part.
You have to factor in the fact that the ihub board is leaking insider info weeks.. sometimes months before every PR.. hence killing any momentum.
Add to that the fact that the actual deal with CC isn't all that great.. It's not turning out like any of us hoped.

GameZnFlix, Inc. Announces Investment in London International Television Ltd to Create "The Business Channel"
Tuesday July 25, 7:30 am ET

LONDON--(MARKET WIRE)--Jul 25, 2006 -- GameZnFlix (OTC BB:GZFX.OB - News) and London International Television Ltd today announced an investment by GameZnFlix in LITV for the purpose of creating the "The Business Channel" to be broadcast on digital satellite later in 2006. GameZnFlix intends to purchase a 25% interest in LITV with the payment of $2,000,000 over the next year. In addition, GameZnFlix may invest up to an additional $10,000,000 to $25,000,000 within 12 months.

"We're excited about our investment in LITV and the opportunity to extend our company into the United Kingdom. Our relationship with LITV over the past few years has allowed both companies the chance to know and understand each other. This is another step in our business model of providing movies and games to our members through our core business model (postal delivery), but additionally of moving towards on-demand and other media," notes John Fleming, GameZnFlix CEO.

The two companies intend to produce a new channel to be aired in the United Kingdom. Focusing on the needs of British business owners and entrepreneurs to be better informed about the business of doing business, The Business Channel will be the leading component of a venture into this media space that the two companies believe is poorly served by mainstream and financial broadcast channels.

"Having had an interest in the growth and development of GameZnFlix during the last three years, I am delighted now that this new relationship continues to grow. The agreement with GameZnFlix will provide LITV with the opportunity to expand and direct its operations into a new arena, providing its present and future clients worldwide, a new route to the UK B2B and B2C markets, including a new dedicated broadcast and IPTV channel combined with other web-based commercial features," adds LITV's Martin Everard.

About London International Television Ltd

London International Television Limited (LITV) provides corporations with the opportunity to harness the power of television in a secure and controlled way, specializing in the production of documentary style corporate profiles into B2B and consumer markets in Europe, the Middle East, South East Asia, Pacific rim countries and North and South America.

Lost a hell of a lot more than you. [Smile]

Actually they seem to be doing good for a sub-penny. Most are continuously falling into the hole with no plans to ever come out. Most of the losses in this are due to advertising. With a business like this, once it gets going, those advertisements are no longer necessary and the funds are still coming in. I've dealt with similar businesses, the initial investment sucks. But hey, who am i trying to convince? It's gonna take years for a bag holder to see any profits. Maybe some news will get us back up and me out till it stabilizes [Smile]
