TLW, I assume you are referring to the 8K Filed today also, to secure financing. It is quite lengthy, because of all the parties involved. I agree there is potential for future dilution, but nothing to be very concerened about in the immediate future. Who knows, the money they secured now could make them more than needed to retire the future dilution before it becomes real. Have to spend some to get some.

Been in and out and back in again. Not sitting on a lot, but feeling pretty good with the O/S staying relatively low, and the improvement in gross profit. Plus it has been beat up by the MM's price wise, so we should get a Form 10 bounce of some magnitude.

Looking at the charts...it seems that this usually moves a week or 2 AFTER a PR or filing...and then does quite well...again indicating the "MM's" control...

But the way the market and these pennies have acted as of late...who the heck knows...

Looking forward to what this will do...

yea.. it seems like they only like to fill this every 10 minutes or so.. maybe the MMs are calling eachother in between those 10 minutes to plan how they want to move it....

but probably not..

but it definately is a hard fill right now.

maybe if people see it actually hit that price, then there'll be some more added buying pressure into it..
the .01 mark has been the ceiling for a little while now, and i think once that breaks, a lot more people will be willing to jump in.

I remember we were fighting so hard to buy under 2 cents a few months back. I'll see if I can free up some cash and hit the ask myself. I still think it is way undervalued. 2 cents is still a steal IMO.

I think another problem is that the actual Q filing isn't out on Yahoo yet, whereas the 8-K is. people are seeing the potential long-term share structure problem and not seeing the Q with the gross profit figures. The company owes us a PR to toot their own horn on the very good news.

Technically speaking there wasn't any gap. Had a 33% 10K bounce, and is now being manipulated again, or yet. Patience. This is too good of a company to tank. The 52M O/S, the increase in gross profit will carry to higher prices. Anything under .009 is a gift.

What?

The 10K was excellent. Obviously the expense and/or clean up of debt/liabilities chewed up a lot of that gross profit. If they just maintain and hold that kind of gross profit it will do fine. If they continue to grow revenues and gross profit you will see a net profit next Form 10.
The long term debt from the 8K is an issue, but not one that should affect the PPS in the short term. Remember, pennies are not a long term investment. Play or gamble to your comfort level, take profits, rebuy when it retraces. Eat it up a bite at a time.

I agree it will do fine if they maintain and hold, but that's the in the long run. While I now know pennies are not a long term investment, I'm looking at short term right now and the bottom line on the 10K is a loss. I can tell you that in high dollar stocks this would not be viewed as excellent, since there is a loss, irregardless of the increase in gross profits. So, please teach me in pennyland, how this is excellent. I'm not trying to be a smarta$$, I just want to understand. I'm trying to figure the potential here and at what price I should realisticaly set for my exit point. Heck, I even bought more this morning at .009 for the short term. Thanks in advance for your help.

I agree, this is clearly MM manipulation based on the volume being 4x the 90 day average and buys/sells was 4/1. Since we ended down %11 there really can't be any other explanation.

Volume was up over 1000% today, IVGA was #7 most active. Once the MMs are done playing around this thing should make some nice gains.

Increased revenue and gross profit reflect IGIA's focus on selling its products directly to consumers through responses to its television infomercials. IGIA significantly increased purchases of television advertising to generate the fiscal 2006 results. IGIA aired product infomercials on major television networks and cable stations nationwide, including CNBC, USA Network, COURT TV, SCI FI Channel and TV Guide Channel, achieving potential viewership at times exceeding 89 million households. Media advertising expense for fiscal 2006 was $11,178,572, compared to $613,867 for fiscal 2005.

For fiscal 2006, IGIA's net loss was $17,158,737 or $0.92 per share, compared to $16,197,364 or $0.90 per share in fiscal 2005. The B/A is currently .0061/.01, if the spread remains this high the news will not have any effect. This news simply summarizes the 10K that was out Tuesday after the close. Looking at Wednesday's volume IMO our only hope for upward movement is the spread of the news to attract attention/volume and squeeze the spread.

Last run in Sept. 2005 lasted for 2 weeks,
it hit the high of 0.15. Check the chart out.
Make sure you have a good exit plan and take
profits at 3 to 5 levels. The MMs will run
it sooner or later, they just try to get
more cheap shares at bottom. Yesterday's
sellers were the victims of 8K filing,
as explained by Will that there will be no
immediate impact on pps. The MMs took
advantage of the confusing and pulled
the pps down to collect cheap shares from
stop-loss orders and panic sellers. Thanks
to Will's suggestion -- just get more when
the MMs take down the pps, I got to add
more cheap shares, too. MMs can not play
their tricks on IGAI anymore, the investors
will find out her true potential.

well.. i feel foolish with this one.. i sold earlier for a 20 dollar profit at .01.. if i would have waited and sold now at .0165, that would be an extra 650 bucks for me..

but after having this stock as a major loss for so long, i was over-eager to get out.

and i also sold off some other that i had bought at .0169 for a loss at .014.. that's the one i feel more foolish about..
but whatever..

i'm proud of this stock.. congrats to everyone remaining in it!

Current market cap, even after this 100%+ run is only $754,000 [Eek!] Yahoo has them valued at $1.62M, so just by that comparison, you get a fair value of $0.0312. Of course pennies don't trade in that real world stuff.

Ronny Popiel and the boys over at Ronco have a market cap of $4.7M on about 2.5 times more sales. They trade at $2.25, but only have about 2M shares o/s. So to get to that valuation, IGAI should be trading at around $.09.

So today, $.02, out a little bit, $.09

this stock has always been that way. Many months back the b/a would be 0.018/0.019 and we could not buy at 2 cents.

No..it's just the way that the MM's filled her order...sometimes when you place a "limit" order you will get filled in partials...let's say you order 100 at .01..you might get 50 at .01, 25 at .009 and 25 at .011...added together it equals you order..or at least very close...

Watching over the passed few months...every time he would step in.."he" would take it "down or up..."he" would sit on the bid with about 200-400 at a time...seldom did I notice "him" sell any...watch if it starts to "go down He will "pop" in with a large number...to stop the drop...and then if it starts to go up..he will "pop" up from the .04 with a large number...I could be wrong...but it is how i was seeing it...

under 0.01. I got to add 42K at 0.009, too.
Because the 8K filing did scare a lot of
people, so this run will be much slower than
I had expected.

Agree for the most part...and yeah the free shares are nice...but I am to the point of "selling" now and taking the "profits" from the free shares...grabbing some other stocks and making $ off of that...until this goes above .02...i think .02 will be the point that this begins to move...good...

I find it best for me to not moan and graon over the MMs games. My shares are for sale, just the MMs need to come up to my level to get them.

My L2 at Scottrade shows ETRD at 83 on the bid, and DOMS at 75 on the ask. I've refreshed it and the 83 stays there....but other sources say the bid is 62.

It looks like the MMs got a big plan
for IGAI, and they need tons of cheap
shares. They may just walk up and down
between 0.009 and 0.0065 to get more
shares for the next few days.
BTW. Last run failed because the MMs
did not have enough shares. So a big
pr will not work, unless the MMs are
ready.

you mean months right.. come next quarter.. if these projections continue. then it will be able to significantly reduce losses. right now at 0.0075 and stuff, its worthless, but revenue structure is impressive, although they need to go through costly media based promotions. they need to get more through online access stuff too like podcast ads.. well. lets see.. I will hold this till next quarter. might flip once in a while but 2 months is not that far. come august new financials shall be released!

shares at the bottom level. As suggested
by Will, grab more -- if the MMs are
collecting.

BTW. One sell of 220K brought 0.0085 down to 0.0070 --
so break your orders in segments smaller
than 60K. Many traders are trying to get
a quick profit, so it may take a few more
days to consolidate at this level.

my girlfriend's an esthitician (facials/skin-care specialist) and she said she's never heard of the product, the company or anything it sells. she's been in the business for 5+ years. that's not to say she won't hear of it in the future if this company really gets their distro together, but as of now, it (according to her) isn't known of by retailers or sought after by the public in the current marketplace.

Of all the indicators...I use MACD most often...

I am sure that some will disagree with me...but these pennies are controlled by the MM's plain and simple...it's obvious in most all of the penny stocks that I have watched...

I use candles for high dollar stocks, but they sure don't work on these. I've seen dojis with confirmation on the next day and seen these things drop like a rock the next week. I wish there was something out there that could give us an edge.

but the "charts" seem to work a little better in the winter months..i have know idea why...

Maybe the MM's play the charts, during the winter...short the stock and try to make up for it during the summer...???

After a few more days of consolidation
at the bottom level, IGAI will run like
SHCM, which runs without a PR today. They
have the same pattern of accumulation
history. Just hold your shares tight, the
MMs will raise the pps to unload their
inventory. IMO.

Good News: All sellers at this level are
almost gone. We got only a small sale of 11K
shares this morning. It does not make sense for
the MMs to hold IGAI at this level, if
they could not collect any more shares.

imho, needs more volume and momo. could be a great play right now, but still a lot more risk than i'm willing to negotiate through at this point.
i'm currently not in it but am keeping a close eye on it.
it only did 914,611 shares on .007 PPS. that's only $6,402 all day.
MMs might still working to accumulate at these levels so it MIGHT be a little bit before they let it run. definitely gonna need more solid PR either way.
i posted recently on the igia topic regarding my girlfriend having been in skin care as an esthetician for years and having never once heard of their newest product "instant cover" or the company on the whole.
if these guys could get a famous spokesperson and get their product onto QVC... now that would be another story.
still waiting for something to make me go 'wow'

thats something igai never does.

company is doin the best in this qtr

this stock is very underrated 0.0062

should have been 0.04 or 0.05 imo

Doubt you will see a big run to .04 / .05 off this PR. Keep it realistic, feel fortunate and blessed if this news gives the PPS a double. On the other hand though, we do have to keep the low O/S of 52M in mind. A HUGE volume day, (25M+), could send it flying.

i dont agree with u on this . this stock even after good financial year , 2 prs is much below the price when the financials came out

went up to 0.015 and fell back to 0.0062 . look at the past of this stock after 2 weeks of financials stock rises ( i mean a good rise )

So, you are predicting what?

.04 , .05 or .10 like you did in an earlier post.

If you see it pass .02 tomorrow it will be a miracle.

At best it will bump its head on .011, hang at .012, and not come close to seeing .02 tomorrow. It would take MEGA volume to move this past .02. On 6/16 it had 27M+ volume and hit .017 for a little more than 100%. This being the second news, and MAYBE the second run it will take that volume and more to surpass that .017.

You may disagree all you like, but tomorrow will see if .015 is closer to reality than .04 , .05 , or .10.

Last run was aborted by the MMs, because
they wanted more shares at the bottom level.
27 M shares were trapped between 0.008 to
0.015. Many day traders expected it to run,
and when the MMs decided to abort it, they
gave up their shares for little or no profit;

So it totally depends on the MMs. They will
never forget a run, but they want to maximize

and trap millions of shares. Just be prepared.
I am prepared to give those MMs 18 more months.

lose a chance to make a big run. In the mean
time I will just keep on collecting my cheap
shares, too. LOL.

I have all the time in the world. With free shares and my last purchase at .0063. I am averaged in well below .005.

Do I think it will see .04 / .05 some day? Definately, but it won't be tomorrow unless they trade the whole O/S plus some.

Everyone wants instant gratification with IGAI. It will run when "they" are ready to run it. All the PPS prediction and speculation in the world isn't going to move it. It will take the MM's and volume to run it.

But just a little gratification for this one would be nice, wouldn't you agree? I tell you, once this thing jumps, like a large number on this thread are anticipating, I'm done with the pennies. I get quicker gratification shorting the bigger stocks than this. I've done pretty well the past two months, but had to try the pennies. There's no way I would put large chunks of money in the pennies. Anyway, it's been fun trading them, NOT! [Smile]

The MMs love to stay at the bottom
level for a little bit longer, so
they can collect more cheap shares while
building up good chart to attract more
investors. They do every thing according
to their plan, like how to open and close,
and make the chart look bullish, etc. Just
trust the MMs' ability to raise the pps so
they can unload their inventory. All you
need to do is hold your shares tight and
set your targers.

I think there is huge potential with a little more patience. I've held since Feb now and have my prices set and ready to go when the buyers come in.

I know what you're saying, I'm waiting for this puppy to go back up to .012, so I can sell and double up on my buy when drops down to the .007 or lower range again. Figure I'll play their game, sell for modest gains or double, and buy back in when it drops. That way I'll keep increasing my positions and when this does take off I'll have brick load of shares.

I, for one, sell at the ask. I also currently have many more shares now than when I 1st bought back in February. I also on flip a portion of my shares at a time, very rarely will I flip my entire position. Most of my sales have also been on days when we had higher than normal volume.

If I haven't had sold, and rebought then I hould be down to about 25% of my intial investment, not good. Instead I am on free shares and have an even bigger position, seems good to me.

I also (most of the time) buy at the ask.

I believe it will run higher once the powers that be want to run it higher.

With the amount of shares of IGAI I now own X 0.09 I could become a very, very happy person for quite a while. Should I go ahead and set a stop order at this price? Any predictions (or expections) as to how high this thing could go? 52W High: 0.2000 (12/14/2005)

I understand that this questions might be better served at one of the "for newbie treads", but I am talking about IGAI....

My problem is going to be knowing when to let go. I've read that you should take the money, run and never look back, well I have looked back at some of my last trades and come to the conclusion that I should have hung in there a little longer. What factors should I use to determine when it might be time to jump ship? Volume?

Hope I do not sound too stupid....I am sounding stupid! I do not know any better, really.

Any input would be greatly appreciated.

I look back at everything, but the thing is don't get hung up on woulda, coulda, shoulda.

Be happy with any profit. Period. Any green is better than red.

I don't know about setting a sale order at 0.09. It would suck if you are watching it and it peaks at 0.0885, then starts to falls. I set exits points, but if they don't reach my points, and I see the PPS start to fall, I sell, then later I might rebuy once it stops falling and starts to climb again, wether it is the same day or weeks later. For example, I sold out of RSHN (it did not hit my exit point, but it did start to fall), but recently rebought since it stopped its descent and is now reclimbing. Took a long while, but better to rebuy in the low 20s then have rebought the same day or week even as I sold last time.

(MMs) don't use fundamental and technical analysis. However, what they do realize is a lot of dumb money does use this newest niche charting or TA (Technical Analysis) to run a stock either up or down. To the MMs this is like taking candy from a baby. Simply they will paint the tape and use whatever tactic to affect the charting bands. Thus the public and dumb money they will have eating out of their hands. Effectively the MMs can show a strong stock growing weak by manipulating the close price in order to generate selling volume, delaying trading time to manipulate trading activities, or even stalling the ask without honoring orders to hold a stock price.

My investment is down so much in this that it isn't worth selling plus as soon as I sell it will go up. I sold PAPO yesterday morning (after holding for over 3 months) and it has gone up over 30% since I sold it.

Gotta admit..this was very disappointing..I really thought that it would do something...

I have held thru Filings, News, PPS drops looking for the bounce...all of it and NOTHIN'

I had a boat load of free shares (do to the flippin')and have been gradually selling them off...I am down to 1/5th of what I had...Granted..I made some great $ on this..but the past few weeks...blah...

The MM's on this one have played and one...(kinda) but they have probably made even the really good day traders afraid of it...

I'll probably keep the shares that I have...and when and if this thing ever goes over .019...I may buy more for a ride...

shares. After IGAI reports their first

to 1.00 -- this would be 500X. Yes,
MMs could do it, and they might do it.

cool running, IGAI went from a POS to I just loaded up with more at .0049. LOL

I tried .0045, never filled. If / when they run this everyone will be raving and cheering.

Sure, there's money to be made elsewhere, but if you traded this as 10/13 suggested you'd be on free parking, and could afford patience. With about 50M O/S this will run.

I will not give over .0045, Jim, but that is me. After today's volume with the price decline it will be closer and more likely to run. Rememeber we are in the grips of a Summer market. MM's are being more aggressive in taking down and holding down low float stocks. I am not yet convinced that .0045 is bottom even. IGAI is oversold, but not dramaticly oversold. Lately I have been seeing stock's RSI at 25 or lower before a run. (DNAG today, as an example).

I've been in this stock for a while and that's the question of the year. I've gotten to the point where I expect nothing to happen and hope for the best. It's just like the old roulette wheel, one of these spins (days) it's going to hit my number.

JimSC, in theory the Q should be out by Friday or Monday (although last year it was the 22nd of July before they got it filed). One would expect a continuation of the post-bankruptcy information that was shared in the most recent filings. The PPS reacted favorably to the actual PR with the numbers in (which came out 3 business days after the SEC filing). The two PR's on actual products since them had a minimal effect to the upside. Volume picked up today and I'm thinking maybe a move to .01 is possible by the middle to late next week. With fantastic news, the L2's are thin enought o run past .05. Let's hope the MM's get screwed this time around. They have had control of this one for too long [Frown]

they released news on June 15 stating their revenue increased by 63% and the stock only ran to .017. So dont you think its a little far fetched to think it could run to a dollar on only quarterly earnings. it would volume which this stock doesnt have.

Several places. I use Microcaptrade (about $100 per month), alphatrade is $50ish per month, google search and check them out. Most of them have free trials. Microcaptrade is ok, they have news and filters, but L2s can stick sometimes.

Well checking in the past when a million plus shares were traded in one block, the PPS rose towards the end of the day. Unfortunately this did not happen today. I tried to buy back in today after the 2.25 million trade, but they did not fill me.

It is reassuring though that what they did give me was enough to move this thing up. Any real volume at all would send this on a fast move in the right direction. I am now waiting until they bring it back down again to hopefully buy more..

I think it will at least go back to the right below .02 range which is an easy 3x from here so IMO this is nicely discounted right now. Beyond that it will depend what the news is and how much they can continue to increase revenues. If they can lower their costs and actually begin turning bottom line profit this thing will be a multi-multi bag from where we are rigth now.

I think Monday I'm gonna give them the shares I bought 10 days ago or so. I'll just load up a sale for my free ones and call it a day. This one has become too troublesome for me to flip.

I've been doing very well with jumping in on high volume stocks that the MMs having been pulling way down, and jumping off an hour or so later.

I am a bit concerned over the CDs (I think it was IGAI?--I'll have to check my notes) and the non-responsive T/A. Hopefully my free shares will do wonders one day.

I probably won't post till it gets exciting agin (over 2 cents).

The CDs were discussed at length on another board and if I recall correctly there is a fair amount of time before they become due. The fact that I was no able to get too many shares at this price reflects that they are not currently being converted, IMHO of course. In the mean time I do think we should at least see a double from these levels as soon as there is a little pressure, only problem is i have no idea when that will be which is why I can understand many getting impatient with this one.

On July 7, 2006, IGIA, Inc. (the "Registrant") was served with a Summons and Complaint filed in Los Angeles County Superior Court, Los Angeles, California by a major carrier. The Complaint seeks payment by the Registrant of $783,344.86 plus $195,836.22 of collection costs and an unspecified amount of interest thereon as compensation for the breach of a contract between the major carrier and Brass Logistics, LLP, a party related to the Registrant. The Complaint alleges that Brass Logistics, LLP shipped packages using the services of the major carrier and failed to pay for the services. The Complaint further alleges that shipments contained products sold by the Registrant and therefore benefited the Registrant.

The Registrant believes that it has adequately reflected in its consolidated financial statements as of its fiscal year ended February 28, 2006, the cost of fulfillment services rendered by Brass Logistics, LLP that are the subject of the Complaint. The Registrant is reviewing the matter and currently plans to answer the Complaint and defend the action.

In addition to the foregoing, in February 2006, Shopflash, Inc., a wholly owned subsidiary of the Registrant, began working with a media placement agent for direct response sales campaigns regarding two household products that Shopflash, Inc. has sold. The media placement agent placed the Shopflash, Inc. advertisements on television and the Internet and provided additional campaign support that allowed Shopflash, Inc. to further develop the campaigns. According to the agreement between the parties, the media placement agent receives fees and has a security interest in goods and proceeds related to the campaigns. The media placement agent has demanded that Shopflash, Inc. repay all amounts outstanding, which are approximately $1.3 million, and has acted to exercise contractual rights to assume control over the sales campaigns. As a result, Shopflash, Inc. has discontinued its participation in the two sales campaigns and is in discussions with the media placement agent regarding further resolution of the outstanding issues, however on July 11, 2006, the media placement agent imposed a deadline of July 12, 2006 for negotiating a potential settlement offer by Shopflash that was then under discussion. That deadline passed without concluding negotiations, however discussions are continuing. The Registrant believes its liability to the media placement agent is adequately reflected in its consolidated financial statements. The Registrant's household product line contributed the majority of its revenues for fiscal year ended February 28, 2006 and the sales campaigns regarding the two products have been significant contributors to that product line. Last forms filed showed substantial numbers already. If business continues the way it has this stock will have no problems with .02.

At this point I am just going to say it is due to a lack of interested because the dilution would have to be very severe to hold this down by just looking at the valuation. Look at the market cap, its insane that a company which has millions in revenue has a cap of 300k IMHO. This will go at some point...

Three positive PR's in the last few weeks. Income up according to the last Form 10 filed. Sub bankruptcy behind them. Approximately 50M O/S. Obligated to mention an 8K regarding legal action by a third party customer, might just be the conveniant EXCUSE for the take down in PPS. With all the positive this stock has, if they drop it on the news I will definately buy more at .0045 or less. I really don't expect to have an opportunity at .0045 or less though.
It will go, it isn't a question of "if" it is only a "when" now. PATIENCE !

Not really, I've increased my position at .0049 and .005 a short time back, but I'm just going to hold on to this until this takes off. I'm in no hurry, I'm making most of my money shorting the $10 and over stocks, as well as playing Puts in the options market. When I have some more gambling money available for my penny stocks account, I may buy more if it continues to drop.

what a strange stock because now it appears to be moving back down and all this movement today was based off of a bunch of 5k (25 dollars) trades with a few larger ones thrown in. What the hell?

hmmmm... not quite dead yet, someone is still throwing money at this one today and the MMs are shifting around a bit. It just good to see someone buying as opposed to the usual dilution causing downward pressure. Still a lot of super small orders went through in the L2s which makes me again wonder what exactly is going on, unless it was just one order broken into many as shares became available.

Comparison of the Three Months Ended May 31, 2006 to the Three Months Ended May 31, 2005

Results of Operations

Revenue

We sell a variety of consumer products and houseware products directly to individual customers and to retailers. We use direct response television advertising extensively to promote sales. Our net sales for the three months ended May 31, 2006 were $3,458,885 compared to net sales of $1,825,208 for the three months ended May 31, 2005, an increase of $1,633,677, or 89.5%.

We are currently focusing on generating revenue by selling our products directly to consumers through their responses to our television and Internet advertising. We are advertising our products that have indicated encouraging levels of consumer acceptance. Our direct response sales operation requires that we use cash to purchase, up to two weeks in advance, television advertising time to run our infomercials and to purchase, up to eight weeks in advance, products that we sell. We used cash realized from sales of our Callable Secured Convertible Notes and credit made available to us by a media placement agent to, among other things, significantly increase our purchases of television advertising time and product needed to fulfill customer orders.

The increase in net sales for the three-month period ended May 31, 2006 as compared to May 31, 2005 reflects the significant increases in our direct response television advertising and better availability of product and fulfillment services. Although our net sales increased, our sales and cash flows were constrained by a lack of cash needed to purchase and ship product to customers in a timely and consistent manner and by a disruption to operations caused by changes in providers of services for customer order fulfillment and credit card processing. We began the three-month period ended May 31, 2006 with negative working capital of $21.9 million and $7,877 in cash. We engaged Parcel Corporation of America ("PCA") for customer order fulfillment and a media placement agent in connection with a houseware products sales campaign we initiated. Shortly after integrating our operating activities with PCA and launching the campaign, PCA advised us the logistics company they used to ship our products went bankrupt and that PCA also was ceasing operations within two weeks. While getting established with a new service provider, we noted an unusually high level number of calls from customers concerned about their order status and PCA's inability to effectively handle matters. In addition, our credit card merchant banks also noted an elevated level customer inquires and chargeback requests. As a result, the credit card merchant banks increased the amount of cash they withheld from customer orders and placed in rolling reserves and they delayed releases of funds to us. As a result, we did not have sufficient cash to obtain all of the product needed to fulfill customer orders on hand which led to order cancellations.

The direct response sales campaigns that use the credit terms provided by a media placement agent contributed the majority of our revenues for the three-month period ended May 31, 2006. The media placement agent has demanded that we repay all amounts outstanding, which are approximately $1.3 million, and has acted to exercise contractual rights to assume control over the sales campaigns. As a result, we have discontinued participation in the two sales campaigns and we are focusing on selling our core personal care products. We currently have limited working capital and access to credit that we need to purchase television air time and products. Until such time as we obtain additional working capital and credit availability, we expect our purchases and direct response revenues to be substantially lower and comprised primarily of personal care products.

Our revenues for the three months ended May 31, 2005 consisted primarily of sales of a vacuum cleaner under the Singer Lazer Storm brand name according to an April 2003 license agreement with The Singer Company, B.V. that was mutually terminated on September 29, 2005.

Gross Profit

Our gross profit was $2,689,377 for the three months ended May 31, 2006 versus our gross profit of $1,128,711 for the three months ended May 31, 2005, an increase of $1,560,666. The increase in gross profit for the three-month period ended May 31, 2006 is primarily the result of increased revenue and gross profit margins of products sold.

Our gross profit percentage for quarter ended May 31, 2006 was 77.8%, as compared to 61.8% for the quarter ended May 31, 2005. Gross profit percentage for the three month periods ended May 31, 2006 was higher due to the relatively higher gross profit percentages we realized on our direct response sales that have comprised the majority of our net sales this fiscal year. For the comparable period in the prior fiscal year, we realized low gross margins from our sales of our excess inventory to specialty retailers at reduced prices, including sales of products at below our cost. In addition, our gross profits in those periods were reduced for the write down of inventory to estimated market value, when such value was below cost.

Operating expenses

Operating expenses for the three months ended May 31, 2006 were $6,000,192 an increase of $2,946,205 from $3,053,987, or 96.5% as compared to the three months ended May 31, 2005. For the three months ended May 31, 2006, operating expense was 173.5% of net sales as compared to 167.3% for the comparable period in 2005. The increase in operating expenses is primarily the result of increased media advertising and increased customer order fulfillment services as a result of higher sales volume..

We increased in our media advertising spending in the three-month period ended May 31, 2006 by $2,466,644, respectively, as compared to similar period in the prior fiscal year. We air our television infomercials to sell our products directly to consumers and to increase awareness of the products we sell to retailers. Media advertising requires us to make upfront purchases that we were able significantly increase this fiscal year by using credit made available by a media placement agent and proceeds from sales of our Callable Secured Convertible Notes.

We spent $479,561 or 26.4% more on other selling, general and administrative expenses, including related party, in the three months ended May 31, 2006 as compared to the three months ended May 31, 2005. The increased spending is primarily attributable to increased sales. Other selling, general and administrative expense declined as percentage of sales. We have implemented a lower operating cost structure as part of our business restructuring that has led to reduced personnel, warehouse operations costs, and other general and administrative expenses.

Interest expense and other income / expense

We incurred net interest expense of $395,844 and $165,946 in three months ended May 31, 2006 and 2005, respectively, an increase of $229,898. Interest expense for the three months ended May 31, 2006 consisted primarily of $337,105 in amortization of the discount related to the beneficial conversion feature and amortization of the related issue costs and $24,172 in interest on notes payable to related parties. The Notes Interest expense for the three months ended May 31, 2005 consisted primarily of $123,099 in amortization of the discount related to the beneficial conversion feature, coupon interest and amortization of the related issue costs and $12,587 in interest on notes payable to related parties.

Reorganization items

Pursuant to the March 28, 2006 Notice of Effective Date of the Plan that was filed with the Bankruptcy Court Tactica eliminated $14,853,421 of pre-petition liabilities and paid a total of $775,000 in cash to the creditors and 5,555,033 shares of IGIA common stock that were valued at $83,397 as of the Effective Date, thereby realizing a net gain of $13,989,024. In the three month periods ended May 31, 2006 and 2005, Tactica incurred professional fees of $0 and $519,728, respectively, in connection with its business restructuring and reorganization under chapter 11. In addition, Tactica incurred a $218,643 charge in the three months ended May 31, 2005 for a settlement agreement reached with Innotrac.

Net Income and Loss

Our net income for the three months ended May 31, 2006 was $16,377,174 in contrast to a net loss of $2,879,886 for the three months ended May 31, 2005. Our net income for the three months ended May 31, 2006 resulted primarily from the $6,091,309 unrealized gain on adjustment of derivative and warrant liability to the fair value of the IGIA securities underlying the Callable Secured Convertible Notes discussed above, $13,989,024 in income from extinquishment of pre-petition liabilities in connection with Tactica's business restructuring and reorganization under chapter 11. The net loss for the three month period ended May 31, 2005 includes $738,371 of net expenses incurred in connection with Tactica's business restructuring and reorganization under chapter 11.

Our net income per common share was ($0.44) (basic) and ($0.22) (diluted) for the three months ended May 31, 2006 as compared to our ($0.16) net loss per common share (basic and diluted) for the three months ended May 31, 2005.

The weighted average number of outstanding shares was 37,431,619 (basic) and 73,100,465 (diluted) for the three-month period ended May 31, 2006 as compared to 18,002,933 (basic and diluted) for the three-month period ended May 31, 2005.

Liquidity and Capital Resources

Overview

As of May 31, 2006, we had a $11.2 million working capital deficit and negative net worth of $14.6 million. As of February 28, 2006, we had a $21.9 million working capital deficit and negative net worth of $31.2 million. Our cash position at May 31, 2006 was $137,774 as compared to $7,887 as of February 28, 2006.

For the three months ended May 31, 2006, we generated a net cash flow deficit from operating activities of $916,403 consisting primarily of a net income of $16,377,914, adjusted primarily for total non-cash additions to net income of $20,483,381 and decreases in prepaid advertising of $771,919, accounts receivable of $454,929, other assets of $292,818, accounts payable and accrued expenses of $83,014 and an increase in customer pre-payments of $1,820,596. Our accounts receivable is comprised primarily of funds held aside by the credit card processor we use for processing customer payments of direct response sales. A substantial amount of cash from orders placed by customers and sales has been held back by the credit card merchant banks to establish rolling reserves for the customer payment processing they do for us. As a result, we did not have sufficient cash to obtain all of the product needed to fulfill customer orders on hand and pay for order fulfillment costs.

There was $19,494 of investing activities during the three months ended May 31, 2006 that consisted primarily of office equipment purchases. We expect capital expenditures to continue to be nominal for fiscal 2007. These anticipated expenditures are for continued investments in property and equipment used in our business.

Cash provided by financing activities totaled $1,065,784 consisting mainly of proceeds from related party loans and a $250,000 loan from a third party that were used to purchase product for sale.

Acquisition of Tactica

The June 11, 2004 reverse merger between us and Tactica gave us access to public markets for financing and enabled Tactica to convert approximately $3.6 million of accounts payable into Series E Convertible Preferred Stock. Despite the transaction with Helen of Troy Limited that eliminated approximately $17 million in secured debt owed by Tactica and our reverse merger, we were not able to raise sufficient additional working capital. As a result of the foregoing factors, Tactica did not have an available source of working capital to satisfy a demand by Innotrac Corporation ("Innotrac"), Tactica's provider of inventory warehousing and customer order fulfillment services, that Tactica immediately pay all amounts allegedly due to Innotrac and continue its normal operation of business.

Tactica's Chapter 11 Reorganization

On January 13, 2006, the Bankruptcy Court issued a confirmation order approving the Revised First Amended Plan of Reorganization Proposed by Tactica and IGIA (the "Plan") that provides for Tactica's exit from bankruptcy. On March 28, 2006, a Notice of Effective Date of the Plan was filed with the Bankruptcy Court. Upon being declared effective, the Plan eliminated $14,853,421 of Tactica's pre-petition liabilities. The plan calls for Tactica's pre-petition creditors to receive distributions of the following assets: (i) $2,175,000 cash paid by Tactica's former shareholders; (ii) $700,000 cash paid by Tactica; (iii) $75,000 cash paid by IGIA, Tactica, and the Board Members; (iv) up to $275,000 cash paid by Innotrac; (v) the rights and proceeds in connection with avoidance and other actions including uncollected pre-petition invoices payable by a Tactica customer; and (vi) 5,555,033 newly issued shares of IGIA common stock that was in number equal to 10% of the outstanding shares of common stock as of the Plan's effective date and is exempted from the registration requirements of
Section 5 of the Securities Act of 1933, as amended and State registration requirements by virtue of Section 1145 of the Bankruptcy Code and applicable non-bankruptcy law. Certain Tactica post-petition creditors have submitted claims to the Bankruptcy Court for post-petition administrative expenses. Tactica is reviewing the administrative expense claims to determine whether to seek possible settlements and payment schedules or a resolution by the Bankruptcy Court.

Financings

To provide funds for Tactica's continued ordinary course operations and working capital needs, Tactica entered into a Credit Agreement with Tactica Funding 1, LLC ("Tactica Funding" and a related party) on December 8, 2004, under which Tactica Funding agreed to a debtor in possession loan up to an aggregate principal amount of $300,000 (the "Loan"). The Loan bears interest at a rate of 9% per annum. The entire principal was due and payable on May 31, 2006. As Security for the Loan, Tactica granted to Tactica Funding a first priority security interest in substantially all of the assets of Tactica, except as to permitted liens for which the Tactica Funding security interest is junior and subordinate, including certain carve out expenses that Tactica incurred for professional fees and other bankruptcy case matters. Mr. Sivan is a member and Mr. Ramchandani is a manager and a member of Tactica Funding 1, LLC. As of May 31, 2006, the Company owed $300,000 of note principal, which is included in Notes Payable - related parties, and unpaid interest of $13,832.

To obtain additional funding for the purpose of providing a loan to Tactica, in the form of debtor in possession financing and exit financing in the context of Tactica's chapter 11 case, we entered into a Securities Purchase Agreements with New Millennium Capital Partners II, LLC, AJW Qualified Partners, LLC, AJW Offshore, Ltd. and AJW Partners, LLC on March 23, 2005 and June 7, 2006 for the sale of (i) $3,760,000 in callable secured convertible notes and (ii) warrants to buy 56,000,000 shares of our common stock. Our registration statement for the common stock issuable pursuant to $3,000,000 in Callable Secured Convertible Notes was declared effective by the SEC on December 22, 2005. We have received a total of approximately $3,427,000 in net proceeds after deducting approximately $333,000 of expenses and prepaid interest pursuant to the Securities Purchase Agreements. The funds from the sale of the Callable Secured Convertible Notes were used for business development purposes, working capital needs, pre-payment of interest, payment of consulting, accounting and legal fees and borrowing repayment.

The $3,000,000 in Callable Secured Convertible Notes bear interest at 8%, mature three years from the date of issuance, and are convertible into our common stock, at the investors' option, at the lower of (i) $0.04 or (ii) 50% of the average of the three lowest intraday trading prices for the common stock on a principal market for the 20 trading days before but not including the conversion date. The $760,000 in Callable Secured Convertible Notes bear interest at 6%, mature three years from the date of issuance, and are convertible into our common stock, at the Investors' option, at a conversion price equal to the lower of (i) $0.04 or (ii) 35% of the average of the three lowest intraday trading prices for our common stock during the 20 trading days before, but not including, the conversion date. The full principal amount of the Callable Secured Convertible Notes is due upon default under the terms of secured convertible notes. The 6,000,000 in warrants are exercisable until five years from the date of issuance at a purchase price of $0.03 per share and the 50,000,000 in warrants are exercisable until seven years from the date of issuance at a purchase price of $0.009. In addition, the conversion price of the secured convertible notes and the exercise price of the warrants will be adjusted in the event that we issue common stock at a price below the fixed conversion price, below market price, with the exception of any securities issued in connection with the Securities Purchase Agreement. The conversion price of the callable secured convertible notes and the exercise price of the warrants may be adjusted in certain circumstances such as if we pay a stock dividend, subdivide or combine outstanding shares of common stock into a greater or lesser number of shares, or take such other actions as would otherwise result in dilution of the selling stockholder's position. The selling stockholders have contractually agreed to restrict their ability to convert or exercise their warrants and receive shares of our common stock such that the number of shares of common stock held by them and their affiliates after such conversion or exercise does not exceed 4.99% of the then issued and outstanding shares of common stock. In addition, we have granted the investors a security interest in substantially all of our assets and intellectual property and registration rights. The Company is obligated to file a registration statement to register the common stock issuable upon conversion of the $760,000 in Callable Secured Convertible Notes and 50,000,000 warrants.

From time to time, Mr. Sivan and Mr. Ramchandani have paid certain advertising expenses on our behalf and have advanced us funds for working capital purposes in the form of unsecured promissory notes, accruing interest at 8% per annum. As of May 31, 2006, the balance due to Mr. Sivan and Mr. Ramchandani collectively was $1,365,270, including accrued interest. On March 13, 2006, APA International LLC advanced $150,000 to the Company for working capital purposes in the form of an unsecured promissory note, accruing interest at 8% per annum. As of May 31, 2006, the balance due to APA International LLC was $289,997, including accrued interest. Mr. Sivan, Mr. Ramchandani and a significant shareholder own APA International LLC.

In February 2006, Shopflash, Inc., our wholly owned subsidiary began working with a media placement agent for direct response sales campaigns regarding two household products that Shopflash, Inc. has sold. The media placement agent placed the Shopflash, Inc. advertisements on television and the Internet and provided additional campaign support that has allowed Shopflash, Inc. to further develop the campaigns. According to our agreement, the media placement agent receives fees and has a security interest in goods and proceeds related to the campaigns. The media placement agent has demanded that Shopflash, Inc. repay all amounts outstanding, which are approximately $1.3 million, and has acted to exercise contractual rights to assume control over the sales campaigns. As a result, Shopflash, Inc. has discontinued its participation in the two sales campaigns and is in discussions with the media placement agent regarding further resolution of the outstanding issues, however on July 11, 2006, the media placement agent imposed a deadline of July 12, 2006 for negotiating a potential settlement offer by Shopflash that was then under discussion. That deadline passed without concluding negotiations, however discussions are continuing. We believe our liability to the media placement agent is adequately reflected in our consolidated financial statements. Our household product line contributed the majority of our revenues for the three-month period ended May 31, 2006 and fiscal year ended February 28, 2006 and the sales campaigns regarding the two products have been significant contributors to that product line. As of May 31, 2006, we owed $1,036,759 to the media placement agent.

On April 4, 2006, we entered into a loan agreement to borrow up to $250,000 for purchases of product for sale in our direct response operations.

We used proceeds from the above financings to fund Tactica's Plan, including fees paid to professionals involved with the bankruptcy proceedings, and to expand our business of selling products to consumers through direct response advertising. Despite our financing and operating activities and Tactica's emergence from bankruptcy on March 28, 2006, we continue to have a significant working capital deficit. Our current liabilities include significant obligations to providers of shipping and customer order fulfillment services, a media placement agent, state sales tax agencies and customers for payments made to us.

We are reducing cash required for operations by reducing operating costs by decreasing purchases of media and products, reducing staff levels and deferring management's salaries. In addition, we are working to manage our current liabilities while we continue to make changes in operations to improve our cash flow and liquidity position.

Our ability to achieve sustained profitability is dependent on several factors, including but not limited to, our ability to: generate liquidity from operations; satisfy our ongoing operating costs on a timely basis; and to resolve all of our post-petition administrative costs. We still need additional investments in order to continue operations to cash flow break even. Additional investments are being sought, but we cannot guarantee that we will be able to obtain such investments. Financing transactions may include the issuance of equity or debt securities, obtaining credit facilities, or other financing mechanisms. However, the trading price of our common stock and the downturn in the U.S. stock and debt markets make it more difficult to obtain financing through the issuance of equity or debt securities. Even if we are able to raise the funds required, it is possible that we could incur unexpected costs and expenses, fail to collect significant amounts owed to us, or experience unexpected cash requirements that would force us to seek alternative financing. Further, if we issue additional equity or debt securities, stockholders may experience additional dilution or the new equity securities may have rights, preferences or privileges senior to those of existing holders of our common stock. If additional financing is not available or is not available on acceptable terms, we will have to curtail our operations again, attempt to further restructure financial obligations and/or seek a strategic merger, acquisition or a sale of assets.

The independent auditor's report on the Company's February 28, 2006 financial statements included in this Annual Report states that the Company's recurring losses raise substantial doubts about the Company's ability to continue as a going concern.

The effect of inflation on our revenue and operating results was not significant. Our operations are located in North America and there are no seasonal aspects that would have a material effect on our financial condition or results of operations.

Revenue

We sell a variety of consumer products and houseware products directly to individual customers and to retailers. We use direct response television advertising extensively to promote sales. Our net sales for the three months ended May 31, 2006 were $3,458,885 compared to net sales of $1,825,208 for the three months ended May 31, 2005, an increase of $1,633,677, or 89.5%.

Gross Profit

Our gross profit was $2,689,377 for the three months ended May 31, 2006 versus our gross profit of $1,128,711 for the three months ended May 31, 2005, an increase of $1,560,666. All this news doesn't mean anything, I read good things in this 10Q and bad things. If it was all positive news, I believe it would have jumped big time today, but it didn't, instead it dropped. It just goes to show you who controls the PPS and it doesn't matter what PR or news comes out, when the MM's deem it time for it to take off, it will. However, I'm not sure the wait is worth it anymore. I'm seriously thinking of getting out on the next short run to .006 or so, playing something more productive and getting back in after it drops to .002.

Mid-April IGAI traded at .02. Go back and review the Form 10's effective the quarter before that date, and any filed since. What has changed? The immediate response and most obvious anyone might answer is the O/S. Grant it, that is true, but look at the revenues, profits, and stronger position with the sub BK behind them. I think you can easily make a case for a conservative true value of .02 yet. Nothing has changed that drastically, everything about doubled in proportion.

I recall the 10K being published and received by the SEC on 6/13/06. Then on 6/15/06, IGAI PR'd a synopsis of the 10K, highligting revenues, gross profits, positives... On 6/13 IGAI traded in the .007's and closed at .009, (they took it down intraday on a good 10K), on 6/14, we had a high of .012 with a close in the .008's, on 6/15, we saw another bashing to close in the .006's, and finally on 6/19, we were rewarded with a substantial pop to .017, (an 88% gain from the .009). This gave opportunity to sell make $, and have free shares, if you played it that way.
Now on 7/25/06 - 7/26, we see the same intial pattern ocurr at about 50% the PPS. I am averaged in at .0042. So, I would be more than pleased with not even an identical % gain of 88%, but 75% would be more than handsome on the amount of shares I have managed to collect. a PPS of .0075 / .008, isn't out of the question. IMO, this could trade easily back to .01, and .02, a conservative possibility. I expect it to act somewhat like CBCL. If you're not familar with CBCL, it was dragged as low as .0025, before it was ran to 6 times that low. IGAI won't see .0025, I believe the worse was today with the .0034, and 5 or 6 times that isn't too bad if you are holding freebies and/or cheapies.

I have no idea what it will do now. I only knew it fit my model, and MM's where collecting like crazy from .017 down.
I'm finished with it. Could have made more, but I am very pleased with NITE and UBSS, they did good for me. I had .02 as the top, and it went past that, so now I know NOTHING.

Troy, read my post regarding the last 10Q's and the behavior of the stock. I mentioned it a couple times here on this thread. You can be too chart smart sometime. Volume / PPS variance is where it's at, with good form 10's and MM take downs in the face of positives. There is a pattern here. Read the filings, PR's and look at the chart, you'll see it.

Troy, read my post regarding the last 10Q's and the behavior of the stock. I mentioned it a couple times here on this thread. You can be too chart smart sometime. Volume / PPS variance is where it's at, with good form 10's and MM take downs in the face of positives. There is a pattern here. Read the filings, PR's and look at the chart, you'll see it.

I think the heads up came in June when they tanked it the .006's and ran it to .017, and gave you opportunity to be sitting on free parking. This might look like an overnight sensation, but it was months in the making.

It's a tough one Doniboy. It churned and turned for a long time. It is difficult to believe in these pos pennies when they are being manipulated and beat to death. I feel foolish right now because I didn't believe it go past .02, but I took what I thought was top.

Doni, don't be to hard on yourself... this one has been tough to sit on. Most thought bottom was at .01, then at .006, but it finally bottomed at .0035. Many bailed on this and those who didn't at least considered it at some point or another.

This is funny, I had IGAI on my watch list for about 3 months now, and I forgot all about it. today I look back and its up about 1100% at its highest.

Damn, oh well, you win most and loose some hope you all who missed PAIV in its initial run didn't miss this. I say it will run to 10 cents beforee the big shake.

The media placement agent has demanded that we repay all amounts outstanding, which are approximately $1.3 million, and has acted to exercise contractual rights to assume control over the sales campaigns.

been watching this for weeks, kind of studying it's trading pattern, waiting for a time to get in. opened my streamer this morning and was shocked! watched this all day long with funds tied up (as I'm sure some others did too). actually first saw it when it was up around 380% and thought it was too risky. ha! oh well, at least I know what a 1400% run looks like throughout the day on the L2... [Smile]

AHH! Good old IGAI, lost, but not forgotten by many.

Not looking to get back in, YET. It sure is shaping up nicely though. Might bounce off of .01 or so, but isn't near ready again.

I'll be watching. in the meantime, you might like ILST. Posted the bottom at .012, hope some of you caught it there. I believe it has some left in it, with faith and patience it might make some $, check out the thread.

To obtain funding for the purpose of payment of general corporate and operating expenses IGIA, Inc. (the "Company") entered into a Securities Purchase Agreement (the "Agreement") with New Millennium Capital Partners II, LLC, AJW Qualified Partners, LLC, AJW Offshore, Ltd. and AJW Partners, LLC (collectively, the "Investors") on July 27, 2006 for the sale of (i) $500,000 in callable secured convertible notes (the "Notes") and (ii) stock purchase warrants (the "Warrants") to buy 75,000,000 shares of our common stock.

On July 27, 2006, the Investors purchased the $500,000 in Notes and received Warrants to purchase an aggregate of 75,000,000 shares of our common stock. The Company received net proceeds of $89,933.79, after deducting expenses of $15,066.21, and $395,000 was placed in escrow to be distributed to the Company in equal payment over the subsequent four months.

The Notes bear interest at 6%, mature three years from the date of issuance, and are convertible into our common stock, at the Investors' option, at a conversion price equal to the lower of (i) $0.04 or (ii) 25% of the average of the three lowest intraday trading prices for our common stock during the 20 trading days before, but not including, the conversion date. As of July 26, 2006, the average of the three lowest intraday trading prices for our common stock during the preceding 20 trading days as reported on the Over-The-Counter Bulletin Board was $0.0042 and, therefore, the conversion price for the secured convertible notes was $0.00105. Based on this conversion price, the $500,000 Notes, excluding interest, were convertible into 476,190,476 shares of our common stock.

We may prepay the Notes in the event that no event of default exists, there are a sufficient number of shares available for conversion of the callable secured convertible notes and the market price is at or below $.06 per share. The full principal amount of the Notes is due upon default under the terms of Notes. In addition, we have granted the Investors a security interest in substantially all of our assets and intellectual property as well as registration rights.

The Warrants are exercisable until seven years from the date of issuance at a purchase price of $0.009 per share. In addition, the exercise price of the Warrants is adjusted in the event we issue common stock at a price below market.

The Investors have contractually agreed to restrict their ability to convert the Notes and exercise the Warrants and receive shares of our common stock such that the number of shares of the Company common stock held by them and their affiliates after such conversion or exercise does not exceed 4.99% of the Company's then issued and outstanding shares of common stock.

In addition, in connection with the foregoing financing, the Company has agreed to amend the terms of the $760,000 in notes issued to the Investors on June 7, 2006 to provide that the notes are convertible into our common stock, at the Investors' option, at a conversion price equal to the lower of (i) $0.04 or (ii) 25% of the average of the three lowest intraday trading prices for our common stock during the 20 trading days before, but not including, the conversion date. The notes when issued were convertible into our common stock at a conversion price equal to the lower of (i) $0.04 or (ii) 35% of the average of the lowest intraday trading prices for our common stock during the 20 days before, but not including, the conversion date.
