The company also sells as OEM for branded names such as Craftsman (SHLD), Genie and Shell.

The Agreement and Plan of Merger provides for the merger of a wholly owned subsidiary of UniverCell into Daytonabrands. As a result of the merger, the shareholders of Daytonabrands will receive shares of UniverCell common stock for their Daytonabrands shares.

The proposed merger is subject to certain customary conditions, including UniverCell and Daytonabrands receiving shareholder and regulatory approval.

yes...I agree, it dipped more than I thought it might. But then again, people have been waiting quite some time to unload this after over five months of waiting. I was tempted to sell it all, but I'm still holding out for now because I still think the best is yet to come. When the merger is completed (according to the PR by the end of this month) we should see another big spike...followed perhaps by an equally big dip...

We currently have no operations. During the last quarter of 2005 we entered into a letter of intent with Daytona Brands to acquire that corporation in a reverse merger. We are expecting to enter into a definitive merger agreement with the company by the end of the second quarter of 2006. There is a possibility that we will not enter into a definitive agreement if the parties choose to discontinue negotiations. If that occurs, we will continue to seek a merger candidate as long as we have the financial means to continue operating. The proposed merger is subject to certain customary conditions, including UniverCell and Recall receiving shareholder and regulatory approval.

The following discussion should be read in conjunction with the condensed consolidated Financial Statements and the Notes thereto for the three months ended March 31, 2006 and March 31, 2005.

RESULTS OF OPERATIONS

Since we have discontinued all operations, the period-to-period comparisons of financial results are not meaningful and are not any indication of future performance. On March 9, 2005, we sold all of our remaining assets, consisting primarily of a single subsidiary. Since all of the debt formerly carried on our balance sheet was debt of that subsidiary, we recorded a gain on disposal of our discontinued operations of $376,705 for the three months ended March 31, 2005.

LIQUIDITY AND CAPITAL RESOURCES

To date, we have financed our operations primarily through a combination of a loan from our principal stockholder, private placements of equity and our operating income.

Our $0 in current assets represents the amount we have after we have received loans to pay expenses for this quarter from our principal stockholder and CEO. With current liabilities of nearly $276,000 our ability to meet our obligations as they come due will depend almost entirely on the willingness of our principal stockholder to advance the funds necessary to continue to operate and seek a merger candidate.

Yo Buck!! How are you, dude?!?! Damn, I go out for a few hours and it looks like all hell broke loose...... Par for the course when I play a stock! Um, er - I held - I SHOULD have PLAYED it, even for 3 or 4 little gains - now I'm down $1,200 but was up $900 this morning.... What's wrong with this picture? I bought another 100,000 yesterday just before the damn bell at .02 - and of COURSE it dropped to .0195 right afterwards! Oh well.... It's gambling.

Doing good Love...Got in this POS yesterday at .018 put in a sell for .022 right after I bought, and then cancelled it right before the open...DUMB...I thought it was going to go a little higher and I got greedy. Went away for a few and came back to this...sold for a small loss and I'm not looking back. Good to see you are still around...

Watched this sucker drop to .016 and bounce back up to .018 twice and on the third time when i bought at .016 and tryed to flip it it hit a new low of the day. sold for a small loss. commissions killed me!

Well I think the only good news (for me) on this one is that I got in and can get out commision free! Hey Army Sarge, who do you trade with? USAA gave me 25 free trades when I signed up, maybe worth looking at if you use USAA. I am only hanging with them for the 25 freebies and then back to lowtrades.

Very disappointed after that GREAT News. Couldn't hold .02 or above - even for a lousy DAY!?!?!?!??? Weird. It should have gone to .03+ on that news....... Maybe people are skeptical that it may not finalize? If it does finalize - we should see .15 imho - but who knows.....

well, things have really quieted down here today. Volume is back to a slow dribble vs. a stream.

Here's the bottom line:

If the merger does get finalized this month, or shortly thereafter, I would say that you all will be happy to have picked up every share that you could, because it should pay off big time.

If not, though, prepare to be in this stock for a while, and prepare for it to go down. Remember that we were waiting for over five months for the definitive merger agreement to be signed. And remember that last year's merger agreement with Recall Mail/Bigstring fell though after similar hype. Investor patience among those who have been in this stock for a while is really wearing thin at this point.

The good thing is that there probably isn't a lot of downside at these levels. .014 - .015 isn't a bad price, esp. if the merger happens. I don't see us dipping too steeply here for a while. Lack of volume here and the fact that a lot of people are in this over .015 means to me that a lot of people will be holding in anticipation of the news. And there is a lot of upside to this stock, as gains could be very large indeed if the merger is finalized. 1000%+ gains are certainly not out of the question, in my opinion.

In any case, good luck to all of you guys who are staying in, esp. those of you stationed overseas, etc! Let's hope we're all seeing green (in a good way) very very soon! [Smile]

(j) Conversion of Shares of UniverCell Common Stock; Conversion or Cancellation of DAYTONA BRANDS Shares; Change of Name. At the Effective Time of the Merger:

(i) Each share of UniverCell Common Stock issued and outstanding immediately before the Effective Time of the Merger (other than shares held by any Person who is a Dissenting Shareholder) shall, by virtue of the Merger, be converted into and represent one-twenty-fifth (1/25) of one (1) share of UniverCell Common Stock.

(ii) Each Person who is a DAYTONA BRANDS Shareholder immediately before the Effective Time of the Merger (other than any Person who is a Dissenting Shareholder) shall, by virtue of the Merger be entitled to receive one hundred twenty five and 3,418/10,000 (125.3418) shares (the “Conversion Number”), of UniverCell Common Stock (the “UniverCell Shares”) in exchange for each issued and outstanding share of DAYTONA BRANDS Common Stock (collectively, the “DAYTONA BRANDS Shares”) held by the DAYTONA BRANDS Shareholder immediately prior to the Effective Time of the Merger. Each of the DAYTONA BRANDS Shares that, immediately prior to the Effective Time of the Merger, is held by DAYTONA BRANDS as treasury stock shall by virtue of the Merger be canceled and retired without payment of any consideration.

(iii) Each share of common stock of the Merger Subsidiary issued and outstanding immediately before the Effective Time of the Merger shall, by virtue of the Merger, be converted into and represent one hundred twenty five and 3,418/10,000 (125.3418) shares of DAYTONA BRANDS Common Stock.

(iv) No fractional UniverCell Shares shall be issued in the Merger.

(v) The name of UniverCell shall be changed to DAYTONA BRANDS Corporation.

(k) Exchange of Certificates for UniverCell Shares.

(i) As promptly as practicable after the Effective Time of the Merger, DAYTONA BRANDS shall cause to be mailed to each DAYTONA BRANDS Shareholder a form of letter of transmittal (“Letter of Transmittal”). After the Effective Time of the Merger, each DAYTONA BRANDS Shareholder, upon surrender to UniverCell of a DAYTONA BRANDS stock certificate or certificates, together with the completed and duly executed Letter of Transmittal, and each UniverCell Shareholder, upon surrender to UniverCell of a UniverCell a stock certificate of certificates, will be entitled to receive a certificate or certificates evidencing the number of shares of UniverCell Shares into which his, her or its shares of DAYTONA BRANDS Common Stock have been converted in connection with the Merger. Until so surrendered, each DAYTONA BRANDS stock certificate shall, after the Effective Time of the Merger, represent for all purposes, only the right to receive UniverCell Shares as provided herein.

(ii) If any portion of UniverCell Shares are to be issued to a Person other than the registered holder of shares of DAYTONA BRANDS Common Stock or UniverCell Common Stock formerly represented by the certificate or certificates surrendered, it shall be a condition to issuance of the new certificates that the certificate or certificates so surrendered shall be properly endorsed or otherwise be in proper form for transfer and that the Person requesting such new certificates shall pay to UniverCell any transfer or other Taxes required as a result of such issuance to a Person other than the registered holder of such shares of DAYTONA BRANDS Common Stock or UniverCell Common Stock or establish to the satisfaction of UniverCell that such Tax has been paid or is not payable.

(iii) No dividends or other distributions with respect to the UniverCell Shares shall be paid to a DAYTONA BRANDS Shareholder until the certificate(s) representing the DAYTONA BRANDS Shareholder’s shares of DAYTONA BRANDS Common Stock are surrendered as provided in this Section 1(k). Upon such surrender, there shall be paid, without interest, to the Person in whose name the certificates representing the UniverCell Shares into which such shares of DAYTONA BRANDS Common Stock were converted are registered, all dividends and other distributions payable in respect of such securities on a date subsequent to, and in respect of a record date after, the Effective Time, less the amount of withholding Taxes which may be required thereon.

(iv) If any certificate shall have been lost, stolen or destroyed, then upon the making of an affidavit of that fact by the Person claiming such certificate to be lost, stolen or destroyed and, if required by UniverCell, the posting by such Person of a bond in such reasonable amount as UniverCell may direct as indemnity against any claim that may be made against it with respect to such certificate, UniverCell shall issue in exchange for such lost, stolen or destroyed certificate the consideration provided for, and in accordance with the procedures set forth, in this Section 1(k) and, if applicable, any unpaid dividends and distributions with respect to UniverCell Shares deliverable in respect thereof pursuant to this Agreement.

(l) Adjustments. If at any time during the period between the date of this Agreement and the Effective Time, any change in the outstanding shares of capital stock of UniverCell or DAYTONA BRANDS shall occur by reason of any reclassification, recapitalization, stock split or combination, exchange or readjustment of shares, or any stock dividend thereon with a record date during such period or any similar event, this Section 1 shall be appropriately adjusted; provided, however, that DAYTONA BRANDS shall be permitted up through the Effective Time to issue additional shares of DAYTONA BRANDS Common Stock in connection with the private placement thereof; provided, further, that in no event shall the shares of DAYTONA BRANDS Common Stock outstanding at the Effective Time exceed 30,000,000 shares.

(m) No Further Transfer of Shares. At and after the Effective Time, there shall be no transfers of shares of DAYTONA BRANDS Common Stock that were outstanding immediately prior to the Effective Time on the stock transfer books of DAYTONA BRANDS. If, after the Effective Time, certificates are presented to DAYTONA BRANDS for transfer, such certificates shall be canceled and exchanged for the UniverCell Shares as provided in this Section 1.

This is a GOOD R/S, not a bad one! What it means Sarge is we may see $1.00+ a share again like 4 years ago... (Remember though, you'll have only 1/25th of the shares you have now. ie: is you have 250,000, you'll have 10,000.00

I may keep this quite a while..... I guess the Symbol change will be in a few weeks and then I think the RS happens at the same time....So if you have sell orders in - they'll be canceled so you have to re-set them under the new symbol and prices you want!

Good Luck all - I'm leaving on a Cruise tomorrow -Hope I come back to .15 a share BEFORE the RS! HeeHee
