[Big Grin] Tricell Achieves Record Revenues for 2005

STAFFORDSHIRE, England, April 24, 2006 /PRNewswire-FirstCall via COMTEX News Network/ --
Tricell, Inc. (OTC Bulletin Board: TCLL), generated record revenues for the year ended December 31, 2005, of $662,903,832, compared to revenue for 2004 of $13,898,503. Tricell's previous revenue mark of $412,586,977 was set in 2002 prior to the decrease in trading activity as a result of VAT uncertainty. Trading operations recommenced in full in February 2005 when Tricell secured a 2,000,000 pounds Sterling line of credit. Because of the significant cost of this line of credit, Tricell discontinued its use in the fourth quarter of 2005, at which point we began financing all capital trading operations from revenues generated. Our June 30, 2005 acquisition of Ace Telecom Limited also contributed significantly to our revenue generation.

Similar to the increase in revenue, Tricell's gross profit for 2005 increased to $7,127,442 from $472,748 in 2004, and Tricell had a pre tax income of $158,583 in 2005 as compared to pre tax loss of $7,739,514 in 2004. Tricell had net income of $67,544 for the year ended 2005, as compared to net loss of $7,524,165 for 2004.

Net income for 2005 was lower than normal operations will provide as we utilized the line of credit to recommence trading. However, now that trading activities are funded with operating cash flow, Tricell hopes to reach profit margins of at least 1% of our revenues during 2006, which is customary for the mobile phone trading operations.

As a result of cost saving measures implemented, Tricell's selling, general and administrative expenses decreased to $5,913,036 for the year ended December 31, 2005, as compared to $8,029,391 for the year ended December 31, 2004.

We hope to conclude our acquisitions of N2J, which should further increase our revenues as we move forward."

The company is based in England. 2 Subsid of theirs went through the equivalent of a CHapter 11 that turned into a Chapter 13. In England they have something called a VAT the monies from there was used to pay off the debt $1.7 Mil of the 2 Subs. This in essence increased the bottom line for the company by that $1.7Mil.

According to their 10K the O/S is actually 10,045,8877. Their revenue is huge. With the debt from the Subs no longer holding them down they could get back to where they were in 2004. Their were trading over $1.

This could be a real gem.

Maybe their low mc is because their gross profit margin is only 1%. They are profitable however and have only diluted shares from 2004 to 2005 by approximately 5.3mm shares. Maybe one to radar. TMAN...

The 10K is pretty thorough and you can read how they were able to survive the VAT debacle. And yes Dig7, those numbers are real. I remember seeing their name plastered all over football fields and jerseys, they sponsored one of the professional UK teams (soccer for the folks across the pond).

their balance sheet is only going to get better. It didn't reflect the increase in net assets after liquidating the 2 POS units.

As a result of this liquidation, as of January 28, 2006, the assets and liabilities of Tricell UK and Tricell Int. will be removed from Tricell’s consolidated financial statements. The overall effect on the Tricell’s financial statements is that Tricell’s net assets will increase by £1,978,817 or (equals $3,509,036 as of January 28, 2006), which includes the £1,000,000 VAT receivable (equals $1,773,300 as of January 28, 2006). Tricell’s Form 10-K for the fiscal year ended December 31, 2005 will include the estimated deficiencies of £1,002,132 (equals $1,777,081 as of January 28, 2006); however, as of January 28, 2006, all liabilities of Tricell UK and Tricell Int. will be removed from Tricell’s financial statements, and Tricell’s net assets will increase by £1,002,132 (equals $1,777,081 as of January 28, 2006)

I'm long so I'll be here a while. There is some serious upside potential. The company is making money and not a diluting POS like a lot of other penny stocks. The main problem here is lack of exposure. They are working on starting an IR campaign soon.

Tricell Signs Letter of Intent to Acquire N2J

STAFFORDSHIRE, England, April 25, 2006 /PRNewswire-FirstCall via COMTEX/ -- Tricell, Inc. (OTC Bulletin Board: TCLL) announces that it signed a Letter of Intent ("LOI"), pursuant to which it has agreed to acquire N2J Limited, a United Kingdom limited company ("N2J"). The letter of intent was executed by Tricell, N2J and the N2J Shareholders on April 14, 2006, and requires that a definitive acquisition agreement be executed and submitted for approval by Tricell's shareholders at the 2006 annual meeting. The LOI was filed, and is available for review, as an exhibit to Tricell's Form 10-K for the year ended 2005.
Tricell believes the acquisition of N2J will not only allow Tricell to increase revenues by expanding Tricell's exporting capabilities from the United Kingdom, which is N2J's trading niche, but more importantly increase its profit margin since N2J's export trading operations allows for a higher profit margin than Tricell's operations. On June 30, 2005, the N2J Shareholders sold Tricell all of the stock of Ace Telecom Limited, the operations of which have since become critical to Tricell's operations. The N2J Shareholders also serve as officers and directors of Tricell.

According to the terms of the LOI, Tricell will acquire 100% of N2J from the N2J Shareholders in exchange for 160 million shares of Tricell's common stock issuable on the closing date and 50 million shares issuable, subject to vesting requirements, on January 1, 2007, for total consideration of 210 million shares (the "Shares"). However, all of the Shares are subject to earn out provisions, requiring that N2J achieve $18 million in profits. If N2J does not achieve total net profits of $18 million, a proportionate number of the Shares will be canceled.

In the event N2J's operations yield monthly profit of $1.5 million, the N2J Shareholders will have the option to put, or sell ("Put Options"), to Tricell 120 million of the Shares ("Put Shares"). The remaining 90 million Shares ("non-Put Shares") will vest in four equal annual installments, beginning on January 1, 2007 and ending on January 1, 2010. The non-Put Shares will only vest if the N2J Shareholders remain employed by Tricell at the time of vesting. The Put Options provide each N2J Shareholder the unilateral option to put to Tricell 3.75 million shares each month, at $0.11 per share, for a period of 8 months following the execution of the SPA ("Put Option Period"), for a total monthly repurchase of 15 million shares by Tricell.

Tricell and N2J are currently negotiating the final terms of a definitive acquisition agreement, and conducting due diligence in anticipation of the acquisition.

this is nuts. We haven't had a PR in months and now get back to back ones.

First great financials for 2005 and now they look to have at least $1.5 million in profits each month.

A lot of stocks at this price are lucky to bring in that much in revenues.

Add to that the Bellwether Report issued today. It's so funny. You look at the stocks they cover, they had 6 or so today they issued preliminary coverage on. All of them are Nasdaq National Market stocks, trading $15, $25, etc. SO there's Level 3 Communications, and Ballard Power, and Cnet Networks, and SanDisk, etc. And here they have this one stock right smack in the middle--TRICELL!!! That is just amazing--our little tricell... wow...Looks like TCLL is starting to garner some attention from folks not looking to flip for 3 cents. Now you have the N2J PR. SHould be a real fun spring here.

Filed an 8k for formality. It is interesting that these otcbb's are doing that more and more. I spoke with the CEO of STTC.ob 2 weeks ago and he said that the SEC is getting a little pizzy about pr's without 8K's AND vice versa. Good for the little folks I guess. TMAN...

The reason why this stock trades so cheap is because it cost them everything to make that 665 million in revenue. That will be a huge task to cut cost whoever is supposed to do that. In all my years i have never seen a company spend that much to make that much in revenue somebody is not doing their job right in my opinion.
