("JUPITER" or the "Company") (OTC: JPHC) today announces confirmation that the Company is in substantive discussions and negotiations with a prospective acquiror/merger candidate. At this stage, the Company is not able to announce any specific terms that may be included in an acquisition transaction, if negotiations are successful, but management believes that the parties to the negotiations anticipate finalizing a preliminary agreement.
As previously announced the Company's Board of Directors has authorized its management to commence preparations to develop a plan to become a target for acquisition or merger by a suitable strategic buyer. That planning continues and the Company's efforts in developing and subsequently executing that plan have begun to produce results such as attracting a suitable buyer.
The Company recently had begun discussions with more than one interested party and within the last several days the Company's efforts has focused on one potential candidate and those discussions have become more substantive in nature. As developments progress and the details of a transaction emerge, the Company will make appropriate announcements and disclosures that are required.
Key items such as the execution of definitive documents and the finalization of the previously announced independent valuation report are some of the items that are required for the negotiations to result in preliminary and final agreements.
Management of JUPITER is encouraged by the level of negotiations and the serious intent of both parties to move forward. Management looks forward to the execution of the steps ahead to achieve success. Although management is encouraged at this stage of the discussions, no assurances can be given that an acquisition or merger transaction will be agreed to by the parties or that such a transaction will be approved by our shareholders, if required.

Co. needs to move beyond 'preliminaries' and do something tangible. Perhaps breakout will happen but demand and confidence in this issue is going to need to increase big-time for such a thing to happen.

Jmoove, let us know if you get through at 0003! It may be tough but there is a chance. I think CWFG is gonna go soon, but not before JPHC. Im feeling a run either by the end of this week or early next. We are right near the 30 day mark for the spin off and divy news so that should boost this up really soon IMO. Good luck guys.

There are a couple other threads on JPHC posted by matto and myself, but i like this title better..
I picked up 6.5 mil shares at 3 a couple weeks ago.. heavy volume the last few days, and the dividend announcement is going to be some time this week. should run up a little with that news.
major resistance at 5, but if we ever break through that, it should run up to .001 with little problem

see what i mean about 5's.. it's like a gigantic wall.. BA went to 3/5, couple trades at 5, then back to 4.. now only one MM at 4. Oh well.. when we get the news that JPHC is going to be bought out for 5 cents (GWGO) we'll have our moment in the spotlight..

how is this dead money? High volume, upticking for the past 4 days, close to 52 week low and 2 different pieces of news coming up. The spinoff news as well as the merger/Buy out news. Or are you referring "fundamentals" that we all know are so very important in sub-penny land.

when this runs it goes multi-day, i would say .0010-.0015 is not out of the question on the right news. look what it did back in Sept. 05, from the same pps levels, same chart pattern, EXACTLY the same pattern and in 5 or 6 trading days it went to .0022

I have a question about JPHCs "day high" on both ETrade and Small Cap Center (3/3/06)...Both sites show the "high" at .004 and the "low" at .0004. I am quite new at this, but not so new that I think this stock was trading at some point today at .004. Could someone please shed some light on the subject? THanks for any help.
