BDW Holdings Ltd. Reaches Agreement With Magellan Energy 12/14/2005 10:40:43 AM ORLANDO, FL, Dec 14, 2005 (MARKET WIRE via COMTEX) -- BDW Holdings, Ltd. Its worth watching! This I know! If they take this above .08 then the deal with TWOG is worth less than owning these shares outright! This stock moves on almost no volume and they already hold more oil than TWOG, so its not so far fetched to think that this could happen.

Don't like it don't buy it! There a lot of oil on the table here and I have followed this stock for months! Take a look at the volume chart well your at it! Then buy all means do what you feel is in your own best interest!

as of 7/29/05 they had 4,382 shares out after a 1000 for 1 R/S wich means the pre split count was the same as what was stated in their last 10QSB filed 7/7/2000 wich would inicate to me that the pending R/S will happen AFTER they aquire the TWOG stock, currently 80+ million out, wich would give them a post R/S count of 800,000+. what will happen when they announce the split date? price moving up now, very low float currently so any action should move this pretty quick, maybe a good swing trade but it seems to me the stock to buy if you want to hold is TWOG, do the math, much more upside with TWOG especialy if this ( BDWH ) runs up over .05 TWOG should follow penny for penny!.value of this company seems to be very high with a very low stock price, post split market cap could be under 5 million with lots of room to move up!. what i dont like is they have not filed a 10Q in 5 years but they do say they will be getting back on track wich is good. just my thinking on this do as you wish and good luck!!

Yes TWOG would seem to be the better buy at this current time, but 2 months is a very long time in penny world and I'll put my money on the low floater that holds more of the marbles at the moment!

if you are right then they will have 43 shares out at 2-3$? a share plus the newly aquired TWOG shares would give them 80+ million shares out at 2-3$? would give a market cap of 160 to 240 million or more! if this happens the way you think the price will surely fall unless they can show big earnings and cash flow to support the high M/C

It says in the PR that TWOG holders will get shares of the NEW International Energy company which tells me right there that its post split. Now lets look at the split! If BDWH splits at lets say $.03 that would make it $3.00 you would get 1-35 for your TWOG shares in the new company, but if BDWH goes up to lets say .085 then you would get 1-100 for your TWOG shares. TWOG has a much higher O/S and is harder to move up in price, but BDWH has an extreamly low float, that is about to get 100x lower and will be easy to move up! Of course I'm speculating, but I see BDWH moving up to offset the exchange rate that will be paid to TWOG holders. This would in turn keep the O/S of the new company down.

one of my brockers give the bid ask! Its still .02x.03 and moved from .01x.02 to the current level on only 31.000 shares! I personaly hope it stays down till the AM as I have funds clearing in the AM!

looking into both companies reveals that both seem to have aquired an interest in the same russian private oil producer, both state they would be looking to increase production from current levels to 1,000,000 barrels a month but neither stated what the current levels were, niether stock is moving much on this news and niether company seems to have much in the way of tangible assets. TWOG does not report and BDWH has not filed in 5 years. my prior posts about the value of the new company should be disreguarded. i have only done a small amount of research so far and do not yet see clearly if there is any real value here. PR needs to be clarified wich will probably happen at some point, to many open issues here. niether company is very transparent. think hard before jumping in.

thanks but i never call the company or IR for DD, lots of ways to check out a company on the net. info from the company or IR is always public info and biased, as it should be. but this makes these sources unreliable as a guage of company value. as a matter of law they cannot tell you anything that is not public knowledge. and hints are worthless most times.

I'm buying BDWH because they are very thinly traded. Having only 1m A/S and less than that in the float! With BDWH at .05 you will get a few more shares from a buy of TWOG but you will be waiting 2 months as well. Seems to me that all the upcoming news of which I expect barrels, will be directed at BDWH because that is the company that will be left standing. If BDWH shares go above .085 then both TWOG shares and BDWH shares would have the same value going into the split! So I'm speculating that BDWH is my better buy, and so far today I seem to be correct in my speculation!

nope DQ its not that simple!
lets say BDWH splits right now at .05, that would give it a PPS of 5.00 after 1-100 split
now take the .085 guaranteed by BDWH for your share of twog and divide it into 5.00 and you have a 1-58 split of your TWOG shares
so while you will get a value of .085 for each share of TWOG, BDWH should be a higher PPS stock, which in the end gives you less shares at a higher PPS of the new International Energy company.
Its a bit complicated and has some time before it all plays out.

You may be right Thorn about the already ran part, and you are correct about me already being in. I was also buying in the AM on Friday, with the belief that it was going to react the way it did in late trading. I've not said this was a safe bet one time since the start of this thread and I was surely speculating all the way here, but I read something into the situation created when they, said they were going to do the 1-100 split, because I have followed TWOG and BDWH since the last run, and I knew that they both had a piece of the same deal, so when I saw the the TWOG buy-out news at .085 and then the split to bring up the PPS of BDWH it clicked. BDWH would buy TWOG and I posted something to that effect on Wednesday here, and started buying as a result. Remember at that time the shares in both companies were right around the same price, but very little buying made BDWH go to .055 on Wednesday, then news came on Thursday and TWOG took off in the AM but BDWH sat flat. I said a few times during Thursday that I felt BDWH was going to make a move, but knowone listened and I sat off it waiting for funds to clear and started buying again on Friday AM, knowing that it would move on very few shares and it did once again. The way this deal is set up, one stock controls the value of the other. If BDWH goes up you will get less of a percentage of it with your TWOG shares, and when it goes down you get more for your TWOG shares. The funny part is that 100's of players can see TWOG because of the .085 buyout, but almost none see BDWH as a play. My feeling was and still is, why not own what will be the mother company ahead of the pack. Why would BDWH not go up with such a deal on the table, and if BDWH already has a larger stake in the oil (30%) before they buy TWOG with (20%) which will give them 50%, at around the same PPS with only 1m A/S, why not take the more valuable one now. I'm still not saying buy this stock, but I report what I see and thats how I see it!

When Rick was pumping this thing I was trying for days to get in at .025. LOL. Now it's trading at .01. It's still the same company that it was on Monday when it was trading over .08.

This is stock is nuts. That's why I like it. The wide spread is what makes it interesting. This is definitely not a "safe" stock that's going to stay within a 20% trading range all week. Play with this one at your own risk. I'm in and wondering if I should get more.

I can't say for certain about .02 but it looks like we are seeing consistent buying pressure so far today.
If the ask starts moving up, it is possible.

It looks a lot like dilution when you see sells going through at a price below where anyone could have bought shares in a long long time.
BUT if you watch carefully, the orders that keep dragging it down are 100 and 150 dollar orders. I don't think BDWH really needs $100 that badly.
IMO it is MM's trying to get cheap shares before the next big spike.

Maybe I am reading the Pr wrong. But from what I understand TWOG will forward split at today's price at about 8to1, BDWH will R/S at 100 to 1. I would be buying TWOG at todays prices, unless I calculated wrong. But if I think this deal might fall through, I might jump on BDWH at these prices.

So it would seem there would be a r/s followed by the creation of the new company/stock. Then the shares of the new company would replace TWOG shares. Hopefully this wont involve restricted shares as payment. Seem's like TWOG then would be the play.

I interpret this PR. the same way ,they leave a little question in the way they write it. I just took TWOG value at .01 and figured a buy out at .085 to be 8.5 to 1. thus equal to a forward split.

I think we're going to be holding this one for awhile, Prefect. But that's fine, go back and read the first couple pages of this thread. I'm pretty optimistic about this one. And remember, BDWH was trading at .02 (that's only 1 zero before the 2!) on December 14th. The 19th it went over .08 (that's 40 times where we're at right now!!!!)
