Market is overreacting on this one. The possibility of BK was always there with the $17 Billion debt, why should it react now? Going to $1 very soon. WILL NOT FILE BK!! Should get a boost at the announcement of a new CEO very soon and also look for some variation on the previous ruling in the verdict of the appeal-Either more time to pay the $312 Million or pay a lesser amount. Even if the judge rules COMPLETELY against CPNL, they have the money to pay the amount by Jan 22. ALSO, look for an appeal to get of the Pink Sheets. I wouldn't be surprised if this trades near $2 by Jan. ALL IMO

SAN FRANCISCO, Dec 12 (Reuters) - Calpine Corp. (CPNL.PK: Quote, Profile, Research) on Monday picked Robert May, who helped steer recoveries at HealthSouth Corp. (HLSH.PK: Quote, Profile, Research) and Charter Communications Inc. (CHTR.O: Quote, Profile, Research), to be chief executive officer of the independent power producer.

Peter Cartwright, who founded the company in 1984, was removed as chairman and chief executive by the board of directors two weeks ago after a Delaware judge ruled that Calpine had improperly used proceeds from asset sales to purchase natural gas to fuel its power plants.

The ouster of Cartwright and Chief Financial Officer Robert Kelly raised concerns that California-based Calpine was on the brink of bankruptcy. It is not yet clear if the company will seek such protection as it labors under $17 billion in debt.

May said Calpine needed "to reduce our debt levels, improve our balance sheet and align our business strategy and operational structure with the current economic climate and energy market conditions."

May will also become a director of Calpine.

Kenneth Derr, former chief executive at Chevron Corp.(CVX.N: Quote, Profile, Research) and acting Calpine CEO after Cartwright left, said Calpine needed the kind of improvements May had engineered in previous posts.

May helped guide health-care provider HealthSouth through an accounting scandal and led a turnaround at debt-plagued cable television company Charter Communications as interim CEO.

The immediate challenge for Calpine is the legal battle now underway in Delaware.

Calpine has said repeatedly that it may be unable to meet a Jan. 22 deadline set by the Delaware Chancery Court to repay noteholders about $312 million it spent to buy gas for its plants.

The company has said that bankruptcy may be an option if the order is upheld.

Wilmington Trust, trustee for certain noteholders, wants to accelerate Calpine's repayment to no later than Jan. 3.

The Delaware Supreme Court is due to hear oral arguments on the case on Dec. 15.

Calpine said in an appeal to the court, filed after the close of business on Friday, that the Chancery Court took an overly narrow view of certain terms of the company's second lien notes, leading to its ruling that Calpine had to repay the asset sale proceeds.

Wilmington Trust, in its appeal, said the Chancery Court abused its discretion in giving Calpine until Jan. 22 to make the repayment.

expect more ups as ceo's plan becomes more clear, bridge-financing announced, and i hear stuff about higher exchange return soon too (don't know much detail about that one).

1 or 2 ol' hedge funds can push this to $1+ fairly swiftly. negative analysts of last week changing their tune this week. HealthSouth investors following their general over to the CPNL camp. This is a reversal in grand fashion.

I bought this too early, at 55 cents per share, when it was still CPN.

The day it went that low, it had 4 times the volume of anything else on the major boards - somewhere in the 80-100 million shares range if I recall right. It had been held by mutual funds tracking the S&P, so when S&P replaced it, those funds had to sell it. *HAD* to sell it.

That's why & when I bought this stock. They didn't necessarily want to sell this, but they had to. At whatever price. I thought it was way oversold and jumped in.

Then it went down, down, down. I almost lost hope. I'm glad to see there are others who believe that Calpine can come back. This newbie is hoping for a return to $1 in the not-too-distant future!

Look at these Wilders... still spread pretty far, but starting to come together. The slow stochs are just now crossing and beginning to diverge positive.

My speculation is that Wed And Thursday will be two more white candles, and then Friday it runs up and closes down on profit taking before the weekend! Just my .02 though!

Patience..I was in HLSH from before the crash and picked up more at .3...it didn't go up right away...it was only after May and Co anounced bridge financing and that they would not immediately go broke that the pop from .3 to $2 happened...give the guy a few days...this will certainly not go down alot here in the next day or two...

May is a real pro. He did a great job straightening out the mess at Healthsouth and charting a fiscally responsible plan for the future. I don't think he would get involved here unless he thought he could do the same...He is not a guy who spews a lot of bs..you won't see a bunch of fluff prs...but when he does speak you can trust his words...
At least that was my experience with him at HS and I sold out there at $5.35 taking a nice profit from his labors.

the bet you make here is that tomorrow's ruling goes our way..if so BOOM...if not we will remain in a trading range of say .25-.4 and you should watch carefully for talk of chapter 11 or 13...imo

it might be tough metal1, I agree...however it is one of the largest power generators in the country and as such will not be a company folks are willing to just throw away...or see go bankrupt easily...if there is a way to keep it afloat look for everyone..including possibly government intervention..to try and keep this a float...

there is no way the government would get involved in this. if they went bankrupt, they would just get new financing and issue new stock. the current equity holders would get nothing(like K-mart). the company may even have to liquidate because they mentioned that most of their debt is secured by most of the companies assets so there is really nothing left for equity holders. should be interesting trading in the meantime though.

Calpine had previously said that it was not sure it could repay the money by the deadline and was at risk of bankruptcy. But the company's lawyers said on Thursday that Calpine could make good on the repayment and was also seeking to raise new funds.

"(Calpine) is in the process of attempting to enter into financing transactions," said Robert Haney, an attorney for Calpine, at an appeals hearing before the court. "Obviously it's easier to do that in the longer term."

The court statement by the Calpine attorney "suggests that the new management is not as inclined to file for bankruptcy," said Jon Cartwright, an analyst at BOSC Inc.

The court heard arguments from Calpine, one of the biggest U.S. power generators, and Wilmington Trust (WL.N: Quote, Profile, Research) , as trustees for Calpine's first and second lien note holders.

Calpine is appealing a Delaware Court of Chancery ruling that it violated terms of its debt by using $312 million in asset sale proceeds to buy gas for fuel, saying it should be reversed because the court misinterpreted the terms.

The Chancery Court ordered Calpine to repay the money to the bank account from which it came in the first place, an account intended to be used only for the repayment of debt and the purchase of certain kinds of designated assets.

Wilmington is asking the Supreme Court to uphold the Chancery Court's ruling and to accelerate Calpine's repayment to January 3.

Wilmington agreed last week to hold off forcing Calpine to repay $3 billion in second-lien notes until the appeal is decided and a repayment deadline is confirmed.

Wilmington said it wants the money sooner rather than later because then, "they won't be able to use the monies in that account for any other reason," attorney Laurence Greenwald said in court.

The Supreme Court, after an hour-long hearing, adjourned and said it expected to rule on the appeals promptly.

Even before the hearing, though, analysts said it did not matter in the long run if the court cut Calpine's time to repay the money.

"The tightening of the time frame ... (is) clearly important but ... I don't think that time frame of 20 days is really going to be that meaningful," said Caesar Silvestro, an analyst at Samco Capital Markets.

NEW YORK -(Dow Jones)- Bear Stearns Cos (BSC). (BSC) is forging ahead with its energy-trading joint venture with Calpine Corp. (CPNL) (CPNL), a Bear Stearns executive said.

Houston-based Calpine this month replaced its senior management amid continuing financial difficulties and forecasts from some industry analysts that it could file for bankruptcy protection. "We are continuing to move ahead with launching the joint venture," Bear Chief Financial Officer Samuel Molinaro said in a conference call with investors Thursday. "We have licenses in place.... We are ready to launch activities in the next 30 to 60 days."

Bear Stearns, based in New York, is largely providing credit and capital to help Calpine reduce its collateral requirements when trading natural gas and electricity and reassure power and gas customers that it won't default on trades. Bear is providing a $350 million credit facility through the venture to Calpine.





The firms announced the creation of CalBear Energy LP., to be wholly owned by Calpine, in September.

Bear Stearns officials have said the venture should help it expand business with hedge funds and other trading and banking clients interested in the power and gas markets.

Calpine's new management team "seem committed" to the venture, Molinaro said, though he added the executives "clearly have challenges."

A Delaware judge ordered Calpine in November to replace $312 million in cash from the sale of a gas-producing subsidiary. The cash had been posted as collateral for certain Calpine bonds.

I use the following criteria to select
a stock that will likely run in 3 weeks:
1. The O/S is under 300mm shares;
2. The pps has recently been pulled down at
least 50% by the MMs to collect cheap shares;
3. The stock has a history of runs and jumped
at least 50% during the runs;
If you find such a stock and the pps stays at
bottom for a week or longer, get in at bottom
and set a targer of 35%, I am 80% confident
you will get hit and win the game in 3 weeks.
CPNL has met all the requirents, watch it.

Calpine, struggling under a $17 billion debt burden and weak power markets in the wake of the California energy crisis and the collapse of Enron, has warned in recent weeks bankruptcy was an option.

Looks like a stall here. I got out but, if anything else goes on with it. I'll be the first one to jump back on.

The MACD is going up and is oversold so....Like I have said. I'm watching it closely. It moves nice.

activities. It shows some pr may come out and
CPNL will jumped to 0.75 level. My chart shows
it will likely make a bottom counce. Another
one is JKRI, the buying pressure is very
high. I used the same method
to idntiry SYCI, it jumped 420% last week.
Just watch it.

The simple facts are:
1. The MMs have accumulated tons of cheap shares;
2. All the sellers are gone;
3. ALL the bargain hunters are coming;
4. The MMs have total control of the PPS.

The result is a bottom bounce. Just watch
it -- don't do anything.

Just check the charts of CPNL, JKRI, and
SYCI --- they are so similar. In fact, they
are designed for a bottom bounce.

Since they have collected enough cheap shares,
they want to raise the pps and unload them to
the investors. We call it a run. Normally, a
run requires a trigger event, such as a pr or
good 10-Q. Another method is to pull the pps
even lower to build up buying pressure, this
was done to CPNL last Friday. To make sure
this is the case, we need to check the level
2 data, which confirmed that the buying
pressure has been increased, 14 buys vs.
6 sells, among the last 20 trades in
Friday afternoon. Thus, I concluded
that the MMs' next thing to do, or agenda,
is a run. Just wait and see.

OK I don't know what direction this stock is going in BUT I do know that there are some high rollers playing it. I bought almost 20k shares last week at almost 7k. The buys coming in from last week up to now have been outrageous! some spending 20k on up! I'm going to hang around for a bit and see what happens
