Raven Moon's Board Approves 5-for-1 Forward Split to Reward Shareholders Who Hold and Acquire Stock in the Last Month of 2005 12/1/05
ORLANDO, Fla., Dec 01, 2005 /PRNewswire-FirstCall via COMTEX/ -- Raven Moon Entertainment, Inc. (OTC Bulletin Board: RVMN) announced today that its Board of Directors and majority stockholders approved a forward stock split on a 5-for-1 share basis. The record date for the forward split is December 31, 2005. The effective date will be January 30, 2006.
As a result of the forward stock split, every one outstanding share of the company's common stock will be exchanged for five new shares of common stock. Common stockholders are not required to take any action related to the forward split.
"The forward split will increase the holdings of our shareholders, including all those current and new shareholders who have exercised their 100- for-1 warrants before December 31, 2005," said Joey DiFrancesco, Chairman and CEO of Raven Moon. "We have been making good progress in executing our strategy of increasing the visibility of GINA D'S KIDS CLUB(R), which will increase demand for toys and other products based on the show's characters. Building a following is a lengthy process but we have come a long way since the show first aired in September 2004. We have produced 24 episodes of the show and expanded our market reach to include 227 stations that carry the show. Earlier this month, we signed an agreement with WPBT/Channel 2 in Miami to become public television's exclusive presenting station for our show. Further, American Public Television (APT) has offered the series for distribution, with a targeted June 2006 release. there is no logical reason to F/S at these levels. why increase the float by 5x while cutting an already very low price by 1/5!. they did a 1 for 1000 R/S in july!! now have 517 million shares out. if it splits at 0005 it will be at 0001 post split with 2.5+ billion out! they will be selling huge numbers of shares at that level witch will increase the float by hundreds of millions if not billions of shares!, maybe a good day trade but a real gamble to hold! JMO!

i must say...absolutely awesome....i've been watching these forums for several weeks now...brand new trader here...last week i opened a scottrade acct...and yesterday bought into these RVMN people with $500 at .0005....and went out at .0026 and came away with over $2000 might not soundlike alot but alot to me it is...i know it nots the norm...but i have to thank you all for keeping me hyped...awesome awesome awesome...can't wait till the next trip

I dunno. I mean, I see a possible pennant forming from Thursday to today. Each redraw of the pennant show the low side of the flag getting lower, so it looks like the downtrend will continue.
However, it is a pennant, which means if it breaks to the upside of the pennant, it's a buy again! Upside of the flag looks like .0017.
It's already broken to the downside several times today so I'm not counting on the run continuing.

I hope everyone is making some good bank on this one. It will go up prob in volume and pps gradually for this month. But please do not hold past Dec cause this company is just useing you right now to raise money. This is why they are telling people a month in advance that they are going to have forward split. What they do is give you the forward split but then after that your shares drop to .0001. This company can't function on its own which is not a good sign. So buy up now but be careful later, just looking out for my fellow investors. I took this out of there SEC filings as of November 21st, 2005.
At September 30, 2005 the Company has $76,263 in cash, total assets of $153,339. At September 30, 2005 Raven Moon's total liabilities totaled $2,025,135. These circumstances raise substantial doubt about the Company's ability to continue as a going concern. Hey, I just realized that the SEC rule of daytrading doesn't apply to me - I don't have a margin account! I've only a cash account currently! So, if I play this in halves - half of my money on this run, sell at a comfy high, wiat for a dip, buy back in and sell again - I can do this without being penalized. I make less each leg, but at least don't have to wait for 3 days and possibly miss another pullback and run until funds clear! Hmmm.....

Raven Moon’s Basic Strategy
RVMN’s basic strategy is patterned after the strategy that worked so well with “Barney.” Barney episodes were sent at no charge to TV stations nationwide. Once the number of Barney episodes reached a sufficient number, the stations aired one episode each day, & kept on repeating the sequence each time all of the episodes had been aired. If you have children or grandchildren, like me, you probably were exposed to Barney and the catchy song associated with those episodes.
I have been told that the various entities involved in the success of Barney inked license arrangements that generated at retail, about $5 billion in the five years beginning after the exposure on TV had been in progress for several months. RVMN is in the process of duplicating that amazing success. Will RVMN enjoy the same outstanding result? My personal opinion, prejudiced as it is, is that RVMN certainly has a very good chance of succeeding in that effort.
RVMN’s Progress Status
RVMN has already created 24 Gina D's Kid Club episodes, & has provided them to television stations. In June 2006 stations will be airing 30 episodes 5 days a week with an additional 10 episodes planned for the 2007 television season. Once a total of 40 episodes are completed and given to the television stations, the licensing and merchandising efforts will be greatly accelerated. Some of my readers have asked why RVMN is not yet making an effort to get the major retail chains to buy all of the many products that it has created. Incidentally, a selection of a few of those products are featured in "Gina D's Online Store" at RVMN's new web site. I asked Joey & here is his answer:
"Because retailers will not give a product a second chance if the product does not sell off the shelf, the key for revenue success in this industry is television saturation. If the programs that we produce receive viewer saturation similar to 'Barney' or 'Sesame Street,' & build a following of young viewers who will create a demand for the product, then the company stands a good chance of cashing in on a piece of this billion dollar licensing & merchandising industry.

My Opinion
My opinion, again pointing out that I am prejudiced in favor of RVMN, is that Joey is correctly engaged in a carefully planned long-term strategy. As Joey has many times explained, if a company that has a great product sells it to the retail market prior to having generated a strong interest on the part of that product’s key audience, it is unlikely that the product will be bought in high volume by members of that key audience. I feel that RVMN's strategy to create a strong interest on the part of its key audience has begun & is on track.
I suggest that you investigate this situation on your own – do some homework. Maybe so. BUT Alot of good companys started out slow too. Whenever I research this company the 1 thing that comes too my mind is the MR Rogers Neiborhood Show. That started out slow Back in the Day But it lasted 30 yrs.

I'm going to forget about today. Today's an extremely boring, unactive day not only for RVMN but for all the rest of my holdings. Monday's right around the corner. I just need to get today, Saturday and Sunday over with and Monday will be with us again in no time. It's a sunny day here in L.A. so I think I'm just going to drive to Santa Monica or Beverly Hills, go enjoy the sun and check out some girls. Hmm. What they did in the past may seem that way, but wht they are doing now and in the future tells a different story. I am concerned about the O/S also but the forward will work that out. They just received finacing from one of there past creditors and they pretty much have alot of Faith in Rvmn in repaying them.I beleive what they say is that Rvmn never defaulted on a loan before. Hmmm. Sounds good to me. 40 new epsiodes, more tv stations comming on in different locations, Positive outlook ahead.
Atleast they were NEVER late with there 10k's and Q reports and lead there investors on with hopeless promises. Thats what is Important to me.

Lmao. Trying to entaganize me into doing the DD on your behalf is not going to work here. I know what I'm doing and I feel comfortable in doing it as well. These stocks are penny stocks for a reason! There is no 1 company that is listed on the OTC that dosn't belong there for some reson or the other. It's all about what they are doing NOW and in the furure that counts. Not what they did in the past.
This company is actually producing something that is tangilable and marketable and MAYBE Profitable in the long haul. Not many companys here are doing that, excpecialy if they do not file on time.

The forward split scam is becoming more common. This is how it works.
The stock ruins its reputation on r/s'd paid pump and dump websites and pr's that never come to past while shareholders get so burnt that they avoid the stock like the plague.
So the company comes up with a scheme to get new investors into the stock by either giving a forward split or restricted shares of some other scam company that will never unrestrict the stock.
By getting these new investors into the stock the company has new pumpers on the board to push the stock on others. They want out so they pump it as it will run soon. All the while the company is dumping shares faster then they can be bought. With this the PPS continues down with promises of thing to come. The key is getting the new shareholders to pump the message. That is the purpose of the forward split, period. Why else do a r/s then a year later do a f/s.

Doesn't look like RVMN is going to rally anytime soon, does it? I hope it does by the end of this month or else I'll just sell for a loss. The 5 for 1 forward split most likely would not be beneficial in any way especially when the price of this stock goes back down to $0.0001 for a long long time. It probably will stay at that price for half a year then RVMN will surprise all the shareholders with a 100,000 to 1 reverse split or something close.

Your fooling yourself there. I have been in this market for a long time now and seen it all. And this board along moved a stocks pps 1000% back in April of this year when a poster came over and convince this board to follow him in a move on the stock. Of course he burnt the board after that and no one trusted him again. You would be very surprised what a message board does on a pinksheet or otcbb. They are here for a reason.
And I know for a fact there are many more paid pumpers on the boards then you think. Just look at there profile and most will have links to there websites until the Admin finds it anyway.
But I would think first about calling someone an idiot when you don't know the facts.

OK, I've been wathcing this stock for a couple of weeks, and today I jumped in and made a few bucks with its nice little run. I would like to know some more about the company. Why did it's value drop so much since last January, and what is the upside? Also, what can be the short term affects of the reverse split?

I hope so, because you do know that Gina D is the daughter of the 2 idiots that run this company and being they've been paying Gina D in millions of shares (per their filing), I some how doubt the star of this show will be changed. I had to LMAO when I saw that they paid more for Gina D's car then they made in revenues in their latest filing, $725 a month. Doesn't that give you some sorta hint as to where your money is going.
PS I just checked their filings! They just filed ANOTHER S-8 for 800,000,000 more shares! Dam looks like some one is getting paid. It's to compensate the employees of RVMN for work well done lol. And there's only 2 full time employees (per their filing). That's 2 s-8's in 2 weeks for a total of 1,200,000,000 and ya think this this is going somewhere? I'm going to take my daughter to see Gina D and the Transistor Sisters - In Search of the Golden Record when it comes out. My daughter is 9 but I'm the one who's going to enjoy this RVMN movie from beginning to end. I'll tell my kid, because I own 25 million shares of RVMN, I made this movie possible for you!

You guys should take reading lessons. 1. The RECORD date for the 5-1 split is December 31. 2. The AWARD date for the split is January 30, 2006. 3. The shares will not show up in your accounts until at least January 30, and more probably January 31. 4. If you have taken advantage of the warrants, those shares will be restricted for one year, and not tradable until one year from the date you exercised the warrant.
5. You all need to relax, because these things dont happen overnight.

Okay, one more time. If you dont understand this, I suggest you invest in CDs.
Warrants are agreements to sell shares of stock to you at a pre-determined price. It has nothing to do with the shares you already own. Warrant shares will be restricted for one year.
After the closing date for the 5-1 split, which was December 31, 2005, you may do anything you want with the shares you now own, and you will still get more shares on January 30, 2006. The split will be based on the amount of shares you held on Dec 31. Sell, hold, burn them, do what you want, on Jan 30, 2006 you will STILL get more shares.
The 100-1 warrants and the 5-1 split have ABSOLUTELY NOTHING TO DO WITH EACH OTHER !!!! They are totally separate deals.
I know there are some rookies here, but dammit if you want to play the market you better know what you're buying. There are numerous places online that will explain stock terms. I suggest you study some of them so you know what you're doing. Otherwise, please send all your money to me so I can invest it and make some. You may as well, because if you dont know the difference between a warrant and common stock, you got a problem.

Hell, no....I fully expect the opening price on Feb. 1 to be either .0001 or .0002. Remember, after the 5-1 split shares are distributed on Jan 30, the PPS gets divided by 5. So if the price on Jan. 30 is .0006, divide that by 5, you come up with .0001 plus a little. And right now, the PPS is sitting right around .0006, with little movement.
