Well, needless to say, I'm a little peeved.

Ameritrade has informed me that the ex-dividend date is August 1st. For those like me who have no idea what that means, he said that we had to have held JPHC up to August 1st in order to recieve the dividend.

I don't think that this can be right. There was nothing in the PRs that stated this... only that July 8th (I think it was) was the divvy date. Any ownwer of shares as of that date should recieve the dividend.

I understand now the system, it was my fault for being ignorant of all this and not calling my brokerage to see what the details are. In any case, here it was Ameritrade has to say about dividends:

When is my dividend due?

There are typically three dates referenced with the payment of a dividend; the ex-dividend date, the record date, and the payable date.

The Ex-Dividend Date is the most significant date to keep in mind. The ex-dividend date is the first day a stock trades without a declared dividend. The price of the stock is adjusted prior to market open on the ex-dividend date to reflect the price without the value of the dividend. Shares that are purchased on or after the ex-dividend date are purchased at this lower price and, therefore, are not entitled to the dividend payment. Shareholders who sell their shares prior to the ex-dividend date sell the shares with the dividend still attached; in other words, they sell the security and the expected dividend.

Therefore, if one buys shares prior to the ex-dividend date and holds the shares until after market open on the ex-dividend date, they will receive the dividend.

The Record Date is a common term generally referred to in press releases and other news stories. The date of record is a date used by Corporations and Transfer Agents for corporate bookkeeping. The record date does not determine who is entitled to the dividend; it merely indicates to whom the transfer agent will need to deliver the shares. If a person holds shares on the record date but sells the shares prior to the ex-dividend date, they will need to deliver the dividend with the shares. Dividends are attached to shares, not people, so if shares are sold prior to the ex-dividend date, the dividend goes with the shares.

The Payable Date refers to the day the company or paying agent will pay out the dividend. This typically occurs after market close on the payable date. The payable date is generally after the ex-dividend date on cash dividends and prior to the ex-dividend date of stock splits and spin-offs.

Please keep in mind there are different types of dividends, and the cash dividend is the most common. However, stock splits, stock distributions, and spin-offs are all considered dividends and, therefore, similar principles apply. Although most securities follow the rule of ex-dividend date, this may vary with each exchange. As a result, we suggest you request information on a specific security to ensure accurate information.

Are you saying that ...
July 8 was the "record date"
Aug 1 was the "ex-dividend date"
Oct 8 was the "payable date"

and therefore one needed to buy before July 8 close and hold through Aug 1 close to receive the dividend?

If this is true this is a real bummer for those who sold before aug1. There was nothing in the PRs about this. In fact, let me quote, "All shareholders of record as of the July 8, 2005 record date are entitled to receive the dividend."

I tried asking the Ameritrade rep about where he found his info on the ex-dividend date, but the answer I got led me nowhere. It is possible that their information is wrong. Has anyone called the number yet? If not, I'll call at 4:30 EST

The only thing that makes me feel a little hopeful is that Zygore hasn't received anything yet either.

What are restricted shares? Are we able to sell as soon as we get the dividend in restricted Shares?. If we don't get our dividend this week I would have to say it might be a scam to raise the price of the stock up. Good luck everyone when you receive your restricted shares!!! Hot pick for Wed will be IDVL.

Well, restricted stock kind of means a lot of things. I'm not sure if it's restricted for us, or they are issuing shares that to them are restricted.

They'll be Rule 144 shares which generally means they'll carry a minimum of a one year "holding period" before you can trade them. After the one year, there's a hefty fee and a cumbersome process to go through to get the restriction lifted and then you can only sell a certain percentage of them. I believe after 2 years, if the issuing company is current in all it's filings, the restriction is lifted entirely and they become free trading. Go here for more information:

Restricted shares are subject to Rule 144. That's actually what they're called, Rule 144 shares. They have a minimum holding period of one year and even after that it can be a royal pain in the azz to get the restriction lifted and in a lot of cases it can cost more to lift the restriction than the shares are worth. Here's a small blurb from the SEC site:

"What Are the Conditions of Rule 144?
If you want to sell your restricted or control securities to the public, you can follow the conditions set forth in Rule 144. The rule is not the exclusive means for selling restricted or control securities, but provides a "safe harbor" exemption to sellers. The rule's five conditions are summarized below:

Holding Period. Before you may sell restricted securities in the marketplace, you must hold them for at least one year."

After one year you can sell them by wading through miles of red tape. After 2 years they become free trading. Here's the statement from the SEC's site:

"If you are not an affiliate of the issuer and have held restricted securities for two years, you can sell them without regard to the above conditions."

As long as they're the same class of stock as regular common, which they should be, they would be subject to any dividends, splits, etc. that apply to unrestricted shares. If by chance there is a forward split though, your new shares would also be restricted and subject to the same holding period requirements.

You never know. These shares were basically free and so now they're just a forced long term hold. In one year and 9 months vxbx could be worth 5 bucks... and you would have been glad to hold. If it doesn't do so well, you probably won't know until at least 9 months have past anyway, at which point you can choose to go through the red tape and sell.
