IDS Worldwide, Inc. Updates HLS Division Buyout Offers

IDS Worldwide, Inc. - Addresses Shareholder Questions on HLS Offers

ORLANDO, FL, Oct 07, 2005 (MARKET WIRE via COMTEX) -- IDS Worldwide, Inc. (OTC: IDWS) today clarified some shareholders confusion over the two buyout offers for the Company's Homeland Security Division.

The value of "each" of the Buyout Offers as presented to IDS are in the $35-40 Million range depending on various closing contingencies. There was some investor confusion that both offers combined were in the $35-40 Million range and this is actually the value of each individual buyout offer.

IDS further wishes to clarify that the HLS buyout offers do not include the purchase of the Company's Biometric Security Technology. However, a technology license for these products are being discussed for additional compensation over and above the buyout offers for the HLS division.

IDS Board of Directors has requested both bidders to turn in their final offers by close of business October 7, 2005. IDS received an offer from a third bidder after yesterday's press release but the offer did not meet the value of the two offers previously under review. IDS Board of Directors will review both final offers during the weekend and the Board of Directors will accept the higher of the two final offers. This deal is expected to close in the coming week regardless of which offer is accepted.

www.MarketGainer.com: Market Gainer Issues Profile for IDS Worldwide Solutions

Oct 10, 2005 (M2 PRESSWIRE via COMTEX) -- MarketGainer.com strives to find dynamic issues that are unknown but because of their technology, approach, executive team, recent discoveries or other key factors, could advance in the market. MarketGainer.com has identified the following company based on these criteria. IDS Worldwide Solutions (OTCPK: IDWS), a company that has over a decade of experience in the design and implementation of custom software solutions both for small companies and large scale global corporations.

IDS Worldwide Solutions is continuing to prosper as the share value is up over 6% on 614 000 shares trading hands in the marketplace. The company's share price made solid leaps forward every day of last week and the same trend is being passed on to the start of this week. The share value is currently positioned at $.24, an increase of 5 cents from the closing price on Friday. The rise in the company's stock is evident today as a result of this morning's press release by IDS Worldwide Solutions announcing that none of IDS Office Towers or Manufacturing Facilities incurred any damage from this past weekend's earthquakes in the Pakistan and India regions.

The earthquake, measuring 7.6, has been deemed as the country's worst natural disaster. The company's operations are not adversley effected in spite of the recent tragedy in the region.

IDS also announced today the Board of Directors is continuing its discussions regarding the issuance of a special dividend payout to the common stockholders of IDS Worldwide, Inc. from the proceeds of the sale of IDS Homeland Security Division. IDS will discuss dividend options with Legal and Tax Counsel today. IDS believes a special dividend to common stockholders is the best way to increase shareholder value. The exact special dividend value has not been calculated but will range from $.37 to $.87 per common share. IDS will announce the completion of the Division sale and dividend plans after its meetings with counsel.

IDS saw its share price rise in substantial fashion last week because of news regarding the two buyout offers for the company's Homeland Security Division. IDS requested both bidders to turn in their final offers by close of business October 7, 2005. The company will accept the higher of the two offers currently on the table. This deal is expected to close in the coming week regardless of which offer is accepted.

Market Gainer will monitor the financial developments pertaining to this global company as it looks to come to a decision on the buyout offer and the special dividend payout to its common stockholders from proceeds of the aforementioned sale of its Homeland Security Division. IDS could receive another wave of investor interest upon the release of more news in the coming weeks.

Posted by HossTrader on :

Right, that means shareholders will get shares in the spin-off as well.

Posted by explorer186 on :

I suspect we'll be getting a lot of volume EOD. Volume now 1.7 mil.

Posted by HossTrader on :

bingo, back at .4

Posted by Phoenixx on :

Man, I knew yesterday that the .24 price was too good to last..course I also didnt expect a $1 dividend either..thought somewhere between .37 and .84 or whatever the old PR said.

Posted by explorer186 on :

Yep the news was definitely better than expected. Now come on, break that HOD! Volume really rolling in now.

Posted by chanhous on :

A triple whammy here. Have 85000 shares.

1. Will get dividend of approximately .80 per share.

2. Will keep all shares in IDWS.

3. Will get 85000 additional shares in 995ad spinoff.

Does this sound too good to be true. Yes, and in my opinion that is the reason why this stock is still so undervalued. But this company has been coming through so far. I'll close my eyes a little more "I believe" "I believe" This might be the once in a lifetime opportunity we are all searching for.

chanhous you summed it up nicely

Finally broke 0.40

Posted by Phoenixx on :

Hold on a second. I might be blind, but what PR specificially mentions a buck a share??

Posted by Phoenixx on :

Ok, I just re-read the last PR. 100% proceeds going to the OS...If the OS is 50M, shouldnt it be 80 cents a share? Still not a bad deal..

Posted by explorer186 on :

$40 mil proceeds/40 mil OS = $1/share. It might be a tiny bit bellow $1, but who cares!

Posted by explorer186 on :

Ahhhh... I would have liked a 0.40+ close

Posted by chanhous on :

We'll probably gap up tomorrow. I think we'll see .65 by EOD tomorrow and over $1 within 2 weeks. IMHO

Posted by Wallace#1 on :

No complaints! From .38 it is bound to go up more based upon the statement of all the money from the sale going into a dividend. "I" expect it to be around .80+or-. And you will still end up keeping the stock if you stay for the div. Remember, that is strictly opinion. Still holding 30K shs from .161.

Yummy yummy yummy I got IDWS in my tummy

Posted by explorer186 on :

Not many stocks pay out cash dividends, and rarely any stocks pay 210+% cash dividends. We got a real winner here.

Posted by explorer186 on :

Repost of my post: IDWS is said to have a 2.5 million float. The company isn’t satisfied with the share price, so it has opted to use many tactics to get the share price up, including buybacks, change of CUSIP number (new one already issued) and, more recently, the issuance of dividends (both cash and stock of the coming 995ad.com spin-off.) The company has already withdrawn the certificates of its restricted stock so they can’t be borrowed for shorting, and a mandatory call of the certificates of the free-trading shares is in progress. I’m not sure if that will actually work as the company intended, but I’m sure other factors will. EPS is 0.21-0.23, and the stock price is still bellow 10% of what it should be. Revenue is still growing, and its holdings are selling for big money. This company has achieved multi-million dollar positive cash flow. The just announced cash dividend will definitely give this stock a big boost; rarely stocks issue a 210+% cash dividend. Right now I view IDWS as having potential that is rare to come by, especially in the penny markets.

Trades are going thru at .36 & .37
This is a very informative post by someone on another board. The point is, don't let MM's scare you into thinking this stock isn't breaking out cause it is!!!

"The seller [in the spread, wanting .38] capitulates and lets it go at .36 / and the MM sells it to someone waiting in the spread at .37

The guy sitting at .35 is wondering when he'll get filled [never]
And the guy at .39 is wondering if he should drop his price -"

It's up to us now. Don't give up the divy AND YOUR SHARES for a quick buck now imo. That would be short sighted and counter productive for all of us."

Just talked to trader desk. I am correct that MM's do not want to see over $.50 and higher because it is harder to manipulate with only 2500 blocks...:)So we will see some resistance here but if it hits $.51 BID game over.

We definitely need more volume, but to be honest, I am not worried about the pps right now if the dividend pans out like they say it will.

I put in about .3 a share, if I get even .7 a share dividend, then I am sitting on a nice profit with all my shares now "free"

On top of that, that profit is in the form of a dividend not a short term gain, so it will be taxed at 15%, not my income tax rate letting me keep more of the profit than had I simply sold at .7

Weird. Now on a dip at 0.42 and volume is nearing half the float at 1 million. Could be filling the gap.

Called company girl told me IDS counsel waiting for NASDAQ to clarify ex-dividend rule. There is one rule requiring 10 day advance notice for reporting companies. IDS does not want to give that long a period just checking to see if it applies to pinks.

Repost on IDWS: Cash is king. Buybacks and cash dividends are what the markets are intended for. Both pump an influx of cash onto the market, which keep the market healthy and growing. A stock dividend is less desirable not only because it puts a strain on the market, but also because a cash dividends attract more shareholders because they are a guaranteed dollar value. You can't simply dump $40 million worth of shares onto the market and expect each shareholder to receive $1 per share; no way, especially during this tough time. Be happy all you'll lose is the tax percentage. A lot of corporations are starting to make big bucks, and I hope they share the profits with the rest of us; it will be the fair thing to do. IDWS should be commended for what it is doing, and hopefully it is an example to the other sucessful companies.

IDS also previously announced that the Board of Directors has decided to use 100% of the proceeds from the buyout for a one time special dividend paid to common stockholders of IDS Worldwide, Inc. stock after various closing costs. IDS has been able to determine the one time special dividend value to be higher than the previously announced range of $.37 to $.87. Certain final closing agreements have now upgraded the range of the one time special dividend value to the shareholders to $.87 and $1.01 per common stock share of IDS Worldwide, Inc. IDS hopes to conclude in the next 48 hours discussion with Tax counsel to determine the exact dividend after closing costs and corporate tax considerations. In any event the value will be at least $.87 per common stock share.

Finally, IDS counsel has informed the Company that under Rule 10b-17 there is a 10 day window prior to "any dividend record date." Therefore, after the one time special dividend value is determined after tax questions completed in the next 48 hours the ex-dividend date will be set and any investors buying the stock up to the ex-dividend date will be eligible to receive the full value of the one time special dividend.

IDS is not issuing any additional shares of IDS Common Stock in connection to this transaction so there will be no dilution to common stock holders of IDS Worldwide, Inc. IDS has not concluded the negotiations for licensing the technology of the Company's various Biometric Technologies and this will not delay the closing but will conclude as a separate transaction.

Basically, the MMs will only fill "guaranteed" at the ask, which right now is .62.
Now I say "guaranteed" because sometimes you can get filled somewhere between the bid/ask or even at the bid but your chances are much, much lower.

Occasionally it's even hard to get filled at the ask if the MMs are in a short squeeze.

Your order should have filled now.

EDIT: Basically with a limit order, you're saying "fill me at my price or LESS"

2nd edit: That's why market orders are so dangerous. Because you fill at whatever the ask is, and the MMs can partially fill you at the ask, move the ask up, partially fill you again, move the ask up, etc etc. Also the same in reverse when selling. Scottrade wont even allow market orders on pinks/pennies, and other stocks under $1

Posted by explorer186 on :

Man no kidding, and high class bashers at that. Looks like they shorted a lot more today, which would explain the increase in volume yet little movement of the share price. Expect them to start popping up here soon. Man....

Posted by Wallace#1 on :

What are the "bashers" saying? Certainly another opinion with merit should be entertained.

Posted by explorer186 on :

Why entertain for the sake of distraction, which is what the bashers are after

Posted by chanhous on :

That's the problem Wallace. They're not "saying" anything. They're just posting, every other post, just screaming "scam" "fraud" etc. No facts to back up anything. Just innuendo and scare tactics. In other words, classic bashers.

Posted by explorer186 on :

Yep they're real scared. The IHub board is now full with bashers. Obviously some people are betting against the company going ahead with the dividend, and are containing the price with shorted shares. Can't wait to see them proved wrong.

Posted by Wallace#1 on :

I would still be interested in what they are saying in their posts. Apparently Downs has had a brush with the law? Why hide potential input? All information is important when it comes to making a stock decision.

Posted by explorer186 on :

Who the F cares what the bashers have to say (except you Wallace)? You want their 100% negative opinions go to the IHub or RB boards. Let's keep this a for-IDWS thread, and not an anti-IDWS thread.

Posted by Wallace#1 on :

Don't be a fool, explorer. To shut your eyes to valid information is just asking for trouble. That's what happened to cult members on the CMKX threads. They got sucked up in their dreams and hopes and lost almost all if not all. Now, I am willing to bet I own more of this stock than you and would want to hear the bad with the good. I have 30K shares that I bought at .161 do you?

PS: And please do not refer to me as a "basher" or even begin to make such an absurd implication!
Thank you.

All I'm saying here we focus on the relevant. You want to focus on the irrelevant, go to RB and IHub. Do you have a problem reaching them?

Posted by explorer186 on :

Ummmmmmmmmmm keep calm... Ummmmmmmmmmm keep calm...

Posted by Wallace#1 on :

Yes, I do have a problem reaching them, since I never have visited there. Second, all valid information is relevant. If it is truth, it must be part of the consideration in buying, selling and/or holding. Now, if you want me to bash, I will bash an ignorant attitude toward investing. What the hell do you know about relevant or irrelevant when it might be factual....and, therefore, pertinent. You obviously do not want to hear it. That is ignorant.

Posted by explorer186 on :

Anyone who thinks information from bashers is valid is questionable. Why you are so eager for their skewed views I find very curious. Also what's up with the BS you have trouble reaching them; here: http://ragingbull.lycos.com/mboard/and http://www.investorshub.com/boards/default.asp Go seek your truth!

explorer,

Thanks for posting the IH and RB sites.

If you were standing on the edge of a cliff and someone told you it was cracking or might be cracking, would you refuse look down, around or even bother to check it out? That is comparable to what you are doing by refusing to consider the possible validity of other information. As a minimum, it would afford you the opportunity to search it out for yourself and make a better and more educated decision.

I have never visited RB or IH and had long ago forgotten their full names and sites. Since you are a relatively new member you might be well advised not to post their sites. Maybe you will listen to me with reference to that? If not, just keep posting them.

Posted by explorer186 on :

Come on BuyTex you know that isn't true. I recall a thread on bashers where we posted together before that, and maybe the GRYF and some other threads.

Thanks for the luck. Traded great today. It's a spectacular stock I got to tell you; EPS 0.21-0.23 and dividends up to your ears. You in BuyTex?

Posted by Wallace#1 on :

"EPS 0.21-0.23"

explorer,

Please tell me where you got the above information. You posted that as a fact and I assume you know that EPS means Earnings Per Share.

Posted by explorer186 on :

Wallace think of it this way. The RB and IHub threads of for worst-case scenario views and this thread are for best-case scenario views. I say that in the hopes that will happen, which I doubt. Frankly, I just would like this to be a rally thread.

Posted by explorer186 on :

BuyTex you don't know how relieved I am to hear you've let go of your grudge against me. Heck it was a misunderstanding in the first place. BTW good point and I agree.

What do you think of IDWS?

Posted by HossTrader on :

Wow, go out for a few hours and this thread explodes! LOL

I haven't been to the other boards, at least to read about this stock. In general there tends to be more BS on them, pumpers and bashers.

BUT, I would love to hear any valid problems that might be out there. The only down side to this situation is if there were fraud involved. But how someone could know that at this point, I have no idea. It is a risk with every penny stock on the market.

Now, if the company is true to it's word. It looks really good. I mean, you can buy a stock at .5 and get a .8-1.0 cash dividend. Nice gain, and it is taxed as a dividend (15%), not a short term capital gain (regular income tax rate). You even have the shares left over for whatever they will be worth after the post dividend sell off and the eventual spin off dividends for the other company they are letting go.

Now, I have seen the eps estimate in another pr. I will try to find it and post it.

Is it legit? I hope so! I haven't read any of the "bashers", if there is a history of fraud, then it is a concern, but this would be pretty damn blatant as they were very specific about the size of the dividend.

Once again, do your dd, roll the dice, or go try another table. There is a lot of money to be made and lost in the market and a lot of stocks to do both with.

I am rolling with this one for now. [Smile]

Hoss exactly. This is a pinky, and it's pretty much taking the company's word for it. In this case, I like the story very much. Not many stocks issue a 200% cash dividend. Thanks for posting that, and I will look into it for myself. And if true, it is relevant. But I would confirm that it is the same guy. And I would run the check myself, a post on a bulletin board does not equate to a fact, no matter how real it looks.

Thanks for the info!

That info is nothing new to me. It has been used by bashers for months now, and the price has kept going up during that time. I'm sure most know about it, since most shareholders use RB and IHub.

explorer,

Since you knew about it for months now, you damn well should have brought it up. To not do so was a disservice to all posters and readers on this thread. It is a question of trust....now, both your's and Downs'.

Hoss,

If you can track down any confirmation, please post it here. It would be meaningful.

PS: On the Hot Stocks thread, it was brought to my attention that the word "value", not "cash" was used in connection with the dividend language. Don't know if that's meaningful, but should be considered.

Email from Patrick Downs CEO:

My email reply from Patrick this morning:

IDS has no desire or obligation to tip it's hand to the various factions, day traders, hedge funds, shorters that have been manipulating IDS share price. IDS has chosen to release the exact details to shareholders of record. IDS legal and tax counsel hopefully today or at latest tomorrow morning will arrive at the exact dividend payout and ex-dividend date.

Wallace, we are on the pinks after all. We can do as much DD as possible, but the bottom line is we either trust the company or we don't - based on the company's own word. I know that sounds silly to simply accept that, but that is the arena we have chosen to play in. I originally bought this stock at .28 a couple of months ago or so ago and since then have seen it drop to .10 and then come back to its current level. I have held steady the whole time. I have read every single post on every bulletin board about this Company. I watched every interview. I tried to get my hands on financials. I held because IDWS has done, to the best of my knowledge, everything they said they are going to do so far. In other words, I have chosen to trust this Company and if I lose - so be it - its my own fault for playing pinks.

On the other hand, many folks have chosen not to trust. That is fine too, its simply their opinion because no one has publicized any negative factual information. They haven't done or said anything to make me change my mind.

Another category altogether are bashers. These are folks who haven't chosen not to trust - rather bashers have a stake in seeing pps fall (probably because they shorted, imo). They have an agenda to bring this Company down and are simply using distraction, innuendo, etc. to confuse and dissuade. The other boards have been taken over by bashers with an agenda - not to share information.

Thanks for the reference to the EPS projection. Although not a fact, it is a positive note.

Called Co this morn. Left msg at Downs' extension. Questions: 1. Cash Div or some other form of div.? 2. Expound on question of prev. litigation?

Also called Scott, Pres. He said he could give out no info. Only from Downs. Pushed rather hard for question of cash div. Specifically asked is it strictly a cash div or some other form, such as a spin off of some "rinky-dink" operation? He said he understood where coming from, but only Downs can respond by email.

Am not crazy about Pres response. Told him it is an important question for shareholders to know and is just a matter of a simple word such as "cash".

What's with this "rinky-dink" BS. This company is in high-tech top-notch businesses and you're calling them "rinky-dink." If you have problem buddy seeing what this company is worth, get the F outa here. BTW the CEO is the public face of a company, not the president.

Come on guys, don't let emotions get a hold. You're in or your're out. Simple.

explorer,

Thanks for the educational refreshment. Thing is, I learned the differences between CEO and COO, Chairman and Pres. 40+ years ago, well prior to getting my MBA in Corporate Management.

As far as "rinky-dink" is concerned, you may think it is BS, but it would not be the first time someone snookered stockholders by using the word "value" as opposed to something specific such as "cash". It is easy to place an arbitrary value on a part of the operation in the range of .87 to 1.01 and then spin it off in the form of a "value" dividend, instead of "cash". However, it is a BIG difference.

Suggest you not step on my toes any more!

PS: And please refrain from distorting my comments. I did not call or suggest the company was/is a "rinky-dink" operation.

I think that's Wallace's whole point, tic_toc. He's interested in the cash dividend. He's not trading via emotion -- he wants to find out all the facts. I'm sure if he gets answers he doesnt like, he'll be out.

And telling people to "get the F out" is not constructive or un-emotional, especially when that person brings a lot of experience to the table.

"I'm sure if he gets answers he doesnt like, he'll be out."

Phoenixx,

You are absolutely correct. If that is anything other than a total cash dividend, I will bail out and advise anyone else to do likewise.

IF tyco is the buyer and we get stock in them, that's not such a bad thing. If some other company that we never heard of or a Pakistan company, I agree with wallace we need to run for the hills.

Look, explorer, I am not trying to burst your bubble. Others are in this stock as well as you and I. All are entitled to as much information that can be gathered. Remember, I have a good piece of change tied up in IDWS and want it to go well too.

IDS Worldwide, Inc. Updates Special Dividend Payment Decision
10/17/05

IDS Worldwide, Inc. Updating Special Common Stock Dividend and
Ex-Dividend Date

ORLANDO, FL, Oct 17, 2005 (MARKET WIRE via COMTEX) --
IDS Worldwide, Inc. (OTC: IDWS) today updated the Company's previous Press Release that it has concluded the negotiations for the buyout of the Company's Homeland Security Division (HLS) with the closing deal determined to be now valued at $41,500,000 before certain closing costs.

IDS also previously announced that the Board of Directors has decided to use 100% of the proceeds from the buyout for a one-time special dividend paid to common stockholders of IDS Worldwide, Inc. stock after various closing costs. IDS has been advised by Counsel that audits for the breakout of the Homeland Security Division (HLS) must be completed to determine the exact dividend after closing costs and corporate tax considerations for the one-time special dividend payment to the common stockholders of IDS Worldwide, Inc. These steps are required since IDS Worldwide, Inc., under the negotiated buyout terms, is not selling the entire HLS division and the IDS will maintain ownership in the new entity.

IDS auditors of its overseas HLS Division operations are scheduled to be completed this week and then will be combined and audited by US Tax Counsel. US Tax Counsel will take approximately 10 days for this review. Certain final closing agreements have now upgraded the range of the one-time special dividend value to the shareholders to $.87 and $1.01 per common stock share of IDS Worldwide, Inc.

Finally, IDS counsel has informed the Company that under Rule 10b-17 there is a 10-day window prior to "any dividend record date." Therefore, any investors buying the stock up to the ex-dividend date will be eligible to receive the full value of the one-time special dividend. Due to tax considerations faced both by the Company and individual common shareholders, IDS Board of directors has decided to solicit shareholder input thru a shareholder vote subsequent to the completed breakout audit of the Homeland Security Division (HLS) regarding the timing of the payment of the special one-time dividend payout and the structure of said payout. All shareholders will receive the proper documents via mail from IDS Worldwide, Inc. though the Company's Transfer Agent. IDS feels it is more equitable to allow all shareholders to determine and assess the tax implications and timing of the one-time special dividend that will affect each shareholder.

I tried to get a fill at .32, and they skipped over me today.

I still see a little weakness and think it may test the mid 20's. Todays news scared some people into selling because it clearly states that they have to give 10 days notice before the payout date. So many people IMHO decided to sell out to play other stocks.

This one is a gauranteed 200% gainer just from the dividend. I am hoping to catch a runner or two and then buy into this around .27-.30.

Very good point. We can profit from catching it real low now rather than getting in when it starts going back up. I'd like to beat the news [Smile]
