I will be posting carry-over information on this from the old thread. For now, we have confirmed that the CEO has received the audited financials from Spector & Wong, and that the PR releasing the numbers has been prepared for release Monday.

I repeat -- Monday morning has been comfirmed for the release of PR containing audited financial information. The move to OTC is well underway as I have confirmed with Peter Wilke, the attorney doing the filing and DD.

This will be hot in the weeks and months to come, and we are all expecting a little love come MOnday morning.

More to come...

The IGTN website briefly posted the PR meant for Monday's release this morning -- all typed up and ready to go. It was a mistake, and they pulled it off. But we in this thread now know without a doubt that MOnday's PR has been typed and is all but certain to come first thing.

This information is "ours only" because of the level of dd and watchful eye we keep on this company. Other boards and other threads have no clue that this information was ever made public -- even for a brief period.

So we have a bit of an upper hand going on here. Pays to be watchful and thank the contriutors of excellent DD.

By the way -- the CEO confirmed by radio interview today the the results would be posted Monday, so we only have an upper hand in conforming that fact. Nothing below board going on here.

After the pps gets to .10 (end of this month imo)
what is next? maybe .15-.18 by the end of the year. 2006 will be the break out year, could we see a $1.00!

The sky is the limit once we get to OTC -- especially with OxyAlert coming online later this year. I wold expect a really good Q4-10Q and a Q1-10Q that would knock your socks off.

Still, I am expecting a big bump when the results com Monday and a bigger bump when we move to OTC.

Today is lucky because so many people thought the results would be out this week, but even though they are done Scott was wise in waiting until Monday to release them so we can get the most run for our money.

The CEO said no more dilution, and I trust him on that. You can contact the company if you're unsure. Next week get ready for the big short squeeze. Been on the SHO list 85+ days now. I wish I can buy more of this stock here.

NAKED SHORTS SCARE

September 15, 2005 -- Traders in Nasdaq stocks are racing to beat a rumored regulatory deadline to close out their positions — or take huge losses as clearing firms do it for them.

Stock traders told The Post that Nasdaq stocks including Baidu.com, the Chinese Internet portal, and Foxhollow Technology Corp. experienced sharp spikes in stock price and volume recently as short-sellers scrambled to cover their positions.

On Sept. 6, Baidu closed at $77.80; Tuesday, it closed at $113.59. On Sept. 6, Foxhollow was $43.91; on the Sept. 9, it closed at $47.96.

Naked short sales are trades executed without borrowing stock beforehand. Naked short sellers can overwhelm an orderly trading market, since unlike traditional short sellers, there is technically no limit to how much stock can be sold short illegally.

Naked shorting was always a violation of established trading practice, and in January the National Association of Securities Dealers instituted a rule — Regulation SHO — to eliminate the practice.

A day trader active in numerous Nasdaq stocks, including Baidu and Foxhollow, said a rumor of mandatory buy-ins had been circulating on Internet bulletin boards for days.
The Post reported recently that the NASD and numerous state securities regulators, led by Ralph Lambiase of Connecticut's Division of Securities and Business Investments, have vowed to increase scrutiny of naked short sales.

A buy-in is the worst possible development for a short-seller, since he has to accept any price given.
"Ninety-five percent of those rumors are fiction put out by people long on the stock, but price and volume action don't lie," said this trader. "Any stock for sale was gobbled up, regardless of price."

The NASD circulates a daily list of stocks — termed the Threshold List — from the New York Stock Exchange and Nasdaq with a certain percentage of their trading volume failing to match up.

Tom Ronk, the chief executive of **********, which offers software to take advantage of so-called short squeezes, said stocks with large naked short positions for two weeks often start to increase in price.

He said after 15 days on the Regulation SHO list, firms must buy in their clients or face fines or the suspension of their licenses.

As an example, Ronk pointed to Catuity Inc., which had been added to the NASD's Naked Short List on May 2 at $4.53 and jumped to $22.58 by May 9, closing yesterday at $15.40.

I like this quote from the future PR:

"Attorney, Peter Wilke, is now compiling the audits and documentation for SEC filings, and will submit the documents to the SEC this month. Further, he will focus on moving IGTN to the OTCBB quickly and smoothly. The entire audit will be made available upon approval of the SEC filings via various trading websites and the SEC."

Posted by mrgr8avill on :

They've got the patents, they've got zero debt and storng cash reserves. They've got good sales and new products coming on line. Scott doesn't need to dilute - the money is coming in.

Besides, you can't be diluting anything now in the period between when audits are done and move to OTC is complete -- you would be shooting yourself in the foot, and this is strong enough that ther eis no reason in the world for Scott to be doing that.

Nope, this one looks real, and is surely set to be one of the few Pink Cinderella stories. Glad I can be a part of it.

AND LET ME SAY from my personal experience that it is GREAT to be a part of a company with a CEO like Scott. He is professional, accessible, and has proven himself to me to be honest and forthcoming every time I have dealt with him.

Posted by mrgr8avill on :

Exp -- yeah I have confirmed most of that with Pete directly. He has been on this case for a few eeks now, and things should go pretty smoothly. It is good news to me that the auditors were Spector & Wong -- they have a great rep.

Not infrared, but shows that mammography is getting away from film and moving to digital...on the front page of yahoo news

Study: New Mammograms Good for Young Women By MARILYNN MARCHIONE, AP Medical Writer
19 minutes ago

Mammograms that use digital imaging to help doctors spot cancer are better than standard X-rays for young women and those with dense breasts, but others can skip the extra cost and get the old-fashioned kind, a landmark study concludes.

It involved more than 40,000 women and was the largest ever done to compare mammography screening techniques.

For most women who get mammograms — those past menopause with fatty breasts — "there's no reason to seek digital ... film is just as good," said the lead researcher, Dr. Etta Pisano, chief of breast imaging at the University of North Carolina at Chapel Hill.

However, doctors still expect digital mammograms to become more common because of their many advantages, including that they can be stored on a computer and sent electronically whenever a woman moves or a new doctor needs to see them.

"Everything is going filmless. If there's no disadvantage to digital mammography, I would presume over time it will replace film screening," said Dr. Kathy Brandt, chief of breast imaging at the Mayo Clinic in Rochester, Minn., who had no role in the study.

The study involved 42,760 women in the United States and Canada and was done by the American College of Radiology Imaging Network. It was funded by the National Cancer Institute.

Results were reported Friday at a medical meeting and released online by the New England Journal of Medicine, which will publish them in its Oct. 27 edition.

Mammograms cut the risk of dying of breast cancer by up to 35 percent among women 50 and older, but only by 15 to 20 percent among younger women, who tend to have dense breasts that standard film X-rays have trouble penetrating.

Digital mammograms produce images on a computer screen, where they can be enhanced or magnified to reveal lurking signs of cancer. Doctors have hoped that this would improve mammography's usefulness for younger women.

The study aimed to learn whether they are more accurate; that is, whether they correctly detected cancer and didn't give too many false alarms.

Each participant received both types of mammograms. Results were reviewed independently by two radiologists, and biopsies settled whether suspicious findings were cancer. Follow-up exams were done a year later to see how many cancers had been missed the first time around.

A total of 335 breast cancers were found. Both types of mammograms missed about 30 percent of them.

Digital mammograms proved 15 percent more accurate than standard film X-rays among women under 50, in whom breast cancer is relatively uncommon. Among women with dense breasts and those not yet in menopause, digital mammograms were 11 percent and 15 percent better, respectively.

For all other women, the techniques were equivalent. Pisano said the results should help prioritize who gets the more expensive tests.

"We don't have enough digital mammography for everyone to get it and some women won't benefit from it anyway," Pisano said.

Only 8 percent of mammography equipment today is digital, largely because of cost. Medicare pays an average of $85.65 for a standard film mammogram and $135.29 for a digital one.

Robert Smith, director of screening at the American Cancer Society, said no woman should delay getting a mammogram if a digital one is not available. The society recommends annual mammograms starting at age 40; the federal government advises them every one to two years for women in their 40s and then annually starting at age 50.

As for the study results, "we'd always like a newer technology to do better in every way," but improving mammograms for certain groups of women is still a gain, he said.

In the study, about two-thirds of women either had dense breasts, were under 50 or had not reached menopause. That led Dr. Daniel Sullivan, who heads cancer imaging at the cancer institute, to conclude "it may not be completely representative of the general population" because most mammograms are done on women over 50 who have fatty breasts.

Most women under 50 have dense breasts but only one-fourth of those over 50 do, said Edward Hendrick, director of breast imaging research at Northwestern Memorial Hospital in Chicago and one of the study's authors.

Digital machines sell for $400,000 to $500,000 compared with $75,000 to $125,000 for the standard equipment, said Vince Polkus, a products manager for GE Healthcare, one of four companies whose equipment was used in the study. Savings in film and storage space and the increased efficiency of the newer machines make up for some of the additional cost, he said.

Researchers expect to complete a cost-benefit analysis of digital versus film mammograms in about two months, Pisano said.

Thanks Jmoove, good to be back after I lost most of my money on other stuff. That 4400 share order is ALL THE MONEY I HAVE LEFT so hopefully this baby rocks and gets me off the bench back into the lineup.

THat would be nice, need the money. My orders end in two weeks and I still don't have a job. And my civillian employer has no intention of hiring me back.

Posted by MillerTIME on :

What we might be seeing here is strong short covering....there have been massive trades going accross all day....i think ive counted probably 4-7 of them....

now the trades are 150K shares all the way up to 500K....

trades ranging from $6,000 up to $22,000....i highly doubt individuals are buying/selling 22K at a time in a pink sheet stock....i have been trading here for a quick some time, and when you see trades like this, it usually means the shorts are covering their shares

Posted by prefect on :

Is shorting a pink reserved for the privileged only?

Individuals like myself can't short a pink, correct?

Posted by Jmoove on :

individual traders cant short a stock with this low of price, but the brokerage houses, mms can

Hey MT -- Good point & glad to see you here! When I said I thought the results would be out Thursday, I was pretty close -- he got them Wednesday just like he said he would, but just couldn't type up the PR in time. Now with the article out and the PR waiting to be released Monday morning, there is no doubt that we will see a little love then. I feel much better about that "dinner" now [Smile]

I am thinking we might see some spec filling s the day progresses, but it being Friday you never know. I sure want to be watching the charts come Monday though!

hmmm no wonder my order filled...

Posted by mrgr8avill on :

You are lucky to get filled today Pre -- wish I had more money to spend [Smile]

Posted by mrgr8avill on :

MT's point makes a great deal of sense. Scott is a couple of weeks late with the audit based on his first projections. He has told me that every delay is in wirting and had nothing to do with him. BUT, I bet there are some who thought that he was BS-ing and that we would soon be at .015 again. The way this thing shakes makes me wonder about that. Oh well, we only have a few more weeks to be worried about crap like that before we are on a much more stable board.

So if shorts are being covered now, will there still be a short squeeze when the move to the BB occurs?

Posted by explorer186 on :

It's unlikely they'll cover all of their shorts. In fact, at this price they might even become more short due to the increased buying.

Uhh.. guess my sell order for 2.00 won't hit today. Seriously though, can I ask a dumb question? If the shorts are being covered now, why is it going down instead of up? Seems like it should be heading north with the MMs buying.. no?

Posted by Jmoove on :

bc there is no news to go on, that the generalpublic knows of, the mms can scare some shares down simply by lowering the ask allowing them to cover at a low price, also retail mms etrd, tdcm, are selling shares to nite and co

ex. etrd drops to 39 on the ask,big orders fill at nites bid of 385, without any buys etrd them moves off the ask

That's just why it sucks -- they take it down to scare people into selling, and then buy for themselves -- does not raise the bid. It has been REALLY HARD to fill at the low levels they take it down to.

Posted by HILANDER on :

MM's could be just buying at the bid, walking it down to help each other out. IF, they are really covering shorts.

I've even stepped over them before when they are down like this and they fill below me. Ba$tard$

Thin Future was trying to quote me -- aqnd Future -- it points to covering, in that MMs are buying shares for themselves instead of letting retail buyers have them. Good sign IMO

The only reason some investors sold today was because they expected the pr leak to have a huge effect. When it didn't do what they expected, they went off chasing other stocks. For no other reason. What these investors need to realize is that the last time we came out in IBD, the followingek had a monumental ride up. Nothing fundamentally has changed, things only improved. Good luck finding more value in another 3-4 cent stock! I expect great September.

Digital mammography was on my local news this evening. Interesting.... The article on Yahoo states mammography tests missed 30% of the time. InfraredMed's product is now looking good with only a 20% miss rate. Hopefully, the acquisition takes place.

Man there is so much value in this company that I can't believe we're at this price. Over 100% of the float has now traded above 4 cents. This is one stock I would like to accumulate as much as possible here. Heck with us being on the SHO list for over 85 days now and us moving to the BB this month, I doubt this price will last long.

Is anyone here registered on the Investors Paradise forums? There's a thread on IGTN, and they need some serious updates about the Chris Evans fiasco. Their last thread was on 9-12. And I think that quite a few of you would be better at explaining the results to them, than me.

Ingen Technologies Prepares to Strengthen Market Value for Its Shareholders and Investors
CALIMESA, Calif.-- Ingen Technologies (OTC: IGTN), a medical device manufacturer for physicians and consumer markets, announced today the finalization of Agreements with C-TradeUSA, Inc. "The Company continues to demonstrate strong product sales and earnings; and is now focused on strengthening market value for its shareholders and Investors Relations," said Scott Sand, CEO & Chairman. Sand further stated, "With our audits complete and law firm prepared to qualify IGTN as a reporting company on the OTC:BB, the deal with C-TradeUSA brings in $2M in funding and incorporates a trading program that will prevent the day-traders from shorting our stock, as well as enhance a more effective program for trading."

In a mutual effort between C-TradeUSA and the Company to increase market value, the Company retired 15M free trading shares last week with Executive Registrar and Transfer, Inc., the Transfer Agent for the Company and is preparing to qualify for the OTC:BB this month. "The cooperation of the Company and the implementation of our program will strengthen the share value and make it very difficult for any future shorting of the stock," said Nick Kontonicolas, CEO of C-TradeUSA.

The Company is now strongly focused on improving market value for its shareholders and future investors.

About Ingen Technologies

Ingen Technologies (OTC: IGTN), in business since 1999, is a medical device manufacturer and service provider for medical and consumer markets both domestic and abroad. Currently increasing revenues are generated from the Company's Secure Balance(TM) program; a medical product line for physicians and hospitals that provide patient services for Balance & Fall Prevention programs. The OxyALERT(TM) is another product line that has an issued US Patent and is a proprietary technology. This product is the second generation development of the Company's initial BAFI(TM) product; a medical safety device that provides wireless and remote monitoring of oxygen delivery systems for patients and small aircraft. Using the same patented and proprietary technology, the Company has the GasAlert(TM) product; a device that interfaces between any gas line and accessory, such as a water heater, dryer, stove or heater, to detect leaks. This is a mass consumer item expected to go to market in 2005.

"Our team of professionals developed the Secure Balance(TM) medical products for the growing elderly population. People experiencing vertigo, dizziness and other balance problems can be examined, diagnosed and treated with use of the Secure Balance(TM) products. These products are superior to any of our competition and they allow effective medical product availability to seniors, and at the same time the increasing senior population allows for a steady growth in sales and profits," said Scott Sand, CEO & Chairman of Ingen Technologies.

When a shorter moving average like the 50-day crosses above a longer one like the 200-day it is a major buy signal. In Japan this signal is called a "Golden Cross." ..
The reverse is called a "Dead Cross" and it is a sell signal. Using moving average crossovers takes the subjective part of chart reading, as this is just pure math in determining the trend. When the 50-day crosses above the 200-day it's a signal to go long

Ingen Technologies Prepares to Move to OTCBB
PR Newswire - September 19, 2005 10:01

Increased Profits and Decreased Losses

CALIMESA, Calif., Sept 19, 2005 /PRNewswire-FirstCall via COMTEX/ -- Ingen Technologies, Inc. (OTC: IGTN), a medical device manufacturer of OxyAlert(TM), OxyView(TM), Secure Balance(TM), and Pure Produce(TM), announces that the SEC Filings to become a reporting company and move to the OTCBB has commenced.

"The meeting this past Wednesday with the auditors, Spector & Wong, resulted in the completion of the audits and commencement with the SEC Filings and move to the OTCBB." Said Thomas Neavitt, CFO and Corporate Secretary.

"IGTN is a start-up company with promising success. The purpose of this audit is not only to disclose the numeric results, but to indicate that we have completed a major milestone in moving forward with becoming a reporting company and moving to the OTCBB. I currently receive every week hundreds of shareholder emails complimenting Ingen's success and the satisfaction they have with the results of their investment and direction the company is moving. It is unusual to find a newly formed public company with patented and proprietary products, earnings and profits in such a short time period. This is a great indication of strong growth and future shareholder value," said Scott Sand, CEO & Chairman.

The year ending May 31, 2004 resulted with sales of $901,542 and a gross profit of $410,509. The total net loss after taxes was ($357,601). Paid in capital was $4,783,471. There was $5,664,634 invested into Research & Development for Secure Balance(TM), OxyAlert(TM) and OxyView(TM). This investment resulted as a NOL (net operating loss) and/or Accumulated Deficit according to standard accounting principals. The NOL can be carried from one year to the other and used to offset taxes.

The year ending May 31, 2005 resulted with sales of $794,314 with a gross profit of $497,749. The total net loss after taxes was only ($11,113). Paid in capital was $4,890,671. There was $5,708,891 accumulated for invested into Research & Development for Secure Balance(TM), OxyAlert(TM) and OxyView(TM). This investment resulted as a NOL (net operating loss) and/or Accumulated Deficit according to standard accounting principals. The NOL can be carried from one year to the other and used to offset taxes.

To date, the company has $575,000 in cash reserves, with an increase in sales for the third and fourth quarter-2005.

"In summary, the company continues to show an increase in profits and margins, with a decrease in losses; and continues to move forward with the introduction of new medical products. We can expect to have a bonanza year in 2006 with the introduction of OxyView(TM) in the first quarter-2006, the introduction of OxyAlert in the second quarter-2006 and the increase in sales of our Secure Balance(TM) systems due to a smart and aggressive advertising campaign," said Chris Wirth, Director.

Attorney, Peter Wilke, is now compiling the audits and documentation for SEC filings, and will submit the documents to the SEC this month. Further, he will focus on moving IGTN to the OTCBB quickly and smoothly. The entire audit will be made available upon approval of the SEC filings via various trading websites and the SEC.

WOW!!! IGTN had a 50% profit margin in fiscal year ending May 31, 2005, and the profit is bigger than the previous year's, although sales were less. Now with the advertisements the company is making in TV, and medical magazines, sales should shoot up significantly. 1000 sales of secure balance translate into $53 million in sales.

Has anyone calculated what the PPS should be based on the numbers in the audit?

Posted by Jmoove on :

honestly the numbers in the audit (besides profit margin) are pretty useless as a prediction of pps in the short-medium range (6mo -1 yr). Id like to hold this until christmas or maybe until the end of the next fiscal year before i consider selling

I wish the share price will stay here for a couple of weeks, but I doubt it with only a 120 million float

all i know is that i bought my first shares since .0039 just now at .027 and this thing better start moving this week because im down a very hefty amount everywhere else.

Posted by stockvaper on :

The value of this company is in the patents they purchased recently and the new products they are just begining to market nationally; (i.e in the near future), not the historical numbers in the audit IMO. Looking into the rear view mirror is a very limited view. Looking at the audited numbers only subtantiates managements claims that the company is profitable.

Posted by Ric on :

What manipulation? I called this last week. It is called profit taking. Where smart investors take profit on a run and when the stock retraces then they buy back in. All quick runs normally retrace to some extent. If there is really good news then it will move up again after the retrace. This blaming the MM's for a normal market move happens all the time and shouldn't. I don't know why people insist on screaming manipulation just because they didn't sell high and buy back low.

RSI just crossed back under 50 with MACD turning south. Normally means its got a ways to go before starting back up. But this stock has great support and even better news so it may not be very long.

Posted by Nasdaq on :

I agree with JMOOVE about the manipulation. It is not a shake-out or profit-taken(sorry, Ric), it is firmly manipulated by MMs, otherwise there is no reason for those weird low prices getting on and on.
Maybe we should lower our expectation or at least extend waiting period for this baby to become dime-stock.
I am still confident that it is just a matter of time!!!

Posted by explorer186 on :

Heck anything under 4 is an extremely attractive buy for me

Posted by Ric on :

Well as I stated, I called this back on the 6th. This was way overbought and market pressure pointed to a downturn. The only reason it didn't turn hard was because of the support it has. All indicators showed it was time to take profit and wait for it to drop and buy back in.

I agree that it will go back up but the TA calls for it to continue down some more and that has nothing to do with manipulation. What you call wierd lows is the support this stock has slowing down the normal trend. It may even be getting ready to turn now because of the support. Look for volume increase. But this is a great pick though. I have already made some great profits on it and will make some more when I buy back in soon.

block trades are usually one of two things, increased interest by brokerage houses/large individual investors or, mms trading between eachother in blocks (1 for 1), the trades we saw at points today were in the 250k-600k with some mirrors (mms matching (usually their own) buy and sell orders)

It is starting to sound like the classic P&D here. A penny makes the announcement that is great news, it runs then the pump begins. When the stock retraces like it should do then the pumpers start blaming everyone else all the while trying to convince others to hold instead of taking profit. Not saying it is but starting to sound like it. Just look at CNES, ICAN, QBID, and many many others. Same excuses and blames.

Wow GVMOORE, I would be a little more diversified if I were you. You can never be sure of what will happen. I once took profits from IGTN, and put them in BCIT. The same day BCIT got suspended by the SEC. I only got into BCIT because of the unbelievable dip, although I thought it was way too dangerous to get into before that. Greed at times overcomes reason I guess.

I am not in the least bit worried. I'm not sure it was realistic for us to expect to see this sky rocket today. After all this company is not just another shooting star. I think that the premature PR last week created some confusion. My prediction is that if you were not in at the end of today its going to be increasingly more difficult to get in. I'm not pumping this but this kind of business structure, plan, product and leadership is not often found in the Pinks. Please do not panic and sell prematurely, this stock and company will continue a steady rise based on its own merrits. Look at the after hours activity!

That link is showing it at .04 right now. Let's see.. ..029 at the close, .0375 on my streamer, and .04 at moneycentral. I'd love to know which one is right! But I'm starting to get a warm fuzzy feeling here.

While I'm hoping this will go up, this has had a major run in anticipation of news. I believe that the news is already in the price of this stock and while it will go again I fear that it may not be for awhile (2-3 weeks possibly). I hope that I'm wrong but if I'm not I'll hold until such time.

The supposed MM signals between each other are:

100 > I need shares
200 > I need shares badly but don’t take it down to get them
300 > Take the price down to get shares....
400 > Trade it sideways based on Supply and Demand
500 > Gap one-way or the other, usually to the direction
of the 500 trade. Sometimes -if in the middle -keep the price right
where it is.
1000 > Don't let it run
2100 > Let it run
2500 > What ever

The fundamentals of this company hasn't changed a bit since we began this thread. It still has great products to sell, and expected earning from the various venues are still out there. Furthermore this company is in the process of moving to OTCBB.

I too am frustrated that pps has fallen so drastically, however I remain hopeful that it can bounce back up just as fast. Let's just hold tight on to our shares, and look forward to days when, this stocks moves in pennies.. not fractions...

Oh, yeah my shares arent going anywhere, lol. No way.

yes there are sellers taking profit, however, mms also know that these prs arent as great as wed like, which makes it easier to shake shares, IMO this will be well above our .05 high of this run within the next few months, i sold enough a while ago to pay for my original investment and pay for me to buy back in when i have seen the opportunity, so what I have in this is a longerterm hold, as has been said MANY times before the fundamentals havent changed, what needs to change is more action less fluff and release the info that we need to hear to put minds at ease. Say out loud NO DILUTION is going to come, publish the O/S, tell us first quarter revs (which should be out at the beginning of next month. If this is going co is going to claim to be a real player it needs to act like one. I like much of what they have done lately, hence, why ive bought more, but I can understand why people may sell and why mms see the opportunity to cover at a low price - the prs and the market are letting them.

most intraday resistance can be determined by l2's and volume levels at certain price levels

today we opened at 295, much of the volume yesterday was above 28, and the next level l2 is 34 on the ask so any mm at 28 wont find strength in numbers in terms of share or price level support

Just spoke with Scott for about 15 minutes.

1. C-Trade deal is still being discussed because they've added to the transaction.
2. He will most likely release a PR in the first couple weeks of October highlighting developments (revs, etc.) in the first quarter of 2005. (june - sept)
3. I expressed concern about the pps decline. He realizes that the swings in PPS are there, but he said he hasnt really looked at the stock lately and doesnt really care. I then asked if that meant he doesnt care about PPS in general. He was quick to respond that he does care, as he owns 40 mill in shares, BUT the reason he doesnt really care now is because by their own appraisals and projections the stock price at current co growth rate (im guessing he is referring to the sales in the first Q and the growth in the past year, and the projected sales and orders for products) that he has a "price target of $3.00-$5.00 within 2 years" with the current share structure plan. When he refers to the "improving shareholder value" he is referring to a longer timeframe than most of you are thinking of. (1-2 years)

For those of you who read my posts I dont bull&*$, there is money at stake, lots of it, both for me and for alot of people on this board and elsewhere. I feel much better after talking with him again, and I think all of you should feel encouraged to call and speak with him (his number is listed on the co website).

no r/s i dont think (CEO doesnt want to cut his shares), i would expect f/s if anything, but not for a long time

My convo got around pretty quickly on the net I see lol, im glad Scott was a bit candid with me, he hasnt given a projection or his feelings on the pps before, except for the pr with the CFO talking about shareholder value

Posted by stockvaper on :

It sounds like Scott is expecting sales around $ 100 - $ 300 million in a couple of years. With a 50% gross margin (or so that they reported prior to this) that would give them the net sales per share to make the PPS worth $ 2.50 - $ 5.00. That makes my 1/2 million shares look pretty sweet.

New day!!! anyone have the bid ask

Here is an email from scott to all.

Roselily,

My advice is to stay away from any "message boards"; as they are used as bait by various day-traders and market makers who make money on naked shorting of the stock.

I have NO control over the direction of the stock. However, the above day-traders can create emotional reaction and cause shareholders to sell their positions.

Let's dissect this situation:

1. Ingen Technologies commences business in 1999 as a PRIVATE company, incorporated in Nevada, after thorough research on OxyAlert and OxyView. We invest well over several million dollars to actually build and place over 200 production models of OxyAlert (formerly known as BAFI). Inclusive of extensive research, patent searches and patents.

2. Spector & Wong (Auditors) keep very accurate records of all financial activity (Filing all tax returns with State and Federal Agencies from 1999 through the current), and the management continue to invest their own money towards R&D and operational expenses.

3. In 2002, Ingen decides to create Secure Balance, as a means to increase actual sales and earnings in order to "think ahead", and continue to feed R&D and operational expenses. Again, the management INVEST their own money and launch a national sales campaign with Secure Balance. There are sales in 2002, 2003, 2004 and 2005.

4. In 2004, Ingen decides to go PUBLIC, and merges with a public shell (Creative Recycling Technologies, Inc. - OTC:CRTZ, a Public Georgia Corporation). The merger requires that Ingen pays off various debts associated with CRTZ in the amount of $277,000. AGAIN, the management pay off the debts with their own money, thus keep tangible assets and earnings untouched for the sake of stronger financials for SEC Filing. In addition, after the debts are paid off, CRTZ now owns 100% of Ingen Technologies, Inc. (the Nevada Corp), and management approves to rename CRTZ to IGTN, and also rename the Georgia Corp to Ingen Technologies, Inc.

5. In 2005, IGTN, now a public company OTC:IGTN:PK engages Spector & Wong to perform the audits, engages attorney Richard Weed as council to assist with the corporation reorganization, and engages attorney Peter J. Wilke to perform the SEC filings, and move to the OTCBB.

6. During this process, the Company continues to provide up-to-date news to shareholders and investors. The PR's include exact information (as received by the auditors and legal council) so as the investor and/or shareholder can actually verify the same, easily.

7. In 2005, Ingen completes the audits; showing increased profits and no debt. (2005 was lower in revenues than 2004, but profits were higher in 2005 !!!).

In summary, IGTN and its' Management have delivered a "Profitable" company with proprietary patented medical products (with management investing their personal money); as well as invested over $150,000 in accounting/legal costs for SEC filings and continues to move forward in SEC Filings and move to the OTC:BB.

I, personally, do not pay any attention to "message boards", nor do I watch the stock from a day-to-day basis. You should consider that very few PINK SHEET companies are in our position, nor do they offer such frequent news to its' audience. The day-traders, market makers and shorter's are paid to twist, distort and take out of context any/all published news. Further, if you called the auditors, lawyers, advertising agencies, Investor Relations Firms, and many other entities engaged by IGTN of which we have published their names, address and telephone numbers, you would find that the naked-shorters (i.e., the predators on the message boards who continue to scare everyone with deceit) will be out of business very soon; as you will find that Mr. Pete Wilke will submit the SEC Filings within the next 2 weeks. IGTN will be a REPORTING company soon, and this will force the "shorter's" to cover their positions. IGTN will be on the OTC:BB very soon, and within the next 2 years we should be listed and trading well over $5 per share.

If you are in this for the short term, I sympathize.

PLEASE POST THIS, AS I STAND STRONG AND CONFIDENT !

Regards,

This has been a good run, out at .046 for the second time.

I posted I had a bad feeling about all the commotion sen it before. Happy I got out before the big drop the last two days.

I don't kow about of all you, but when have you seen a CEO write to someone and tell them to "Post this" and in the first lines say, "My advice is to stay away from any "message boards"; as they are used as bait by various day-traders and market makers who make money on naked shorting of the stock."

I have made money twice on this stock and for me is time to move on, will keep an eye on it, but personally I don't like the above paragraph.

I couldn't agree more with the man. I bought this stock at an average pps under .0039. I could take profits and run, but to me that would be like bulldozing down an apple orchard to get the apples this year. This stock will make me a lot more money if I just leave it to sow a few more years. [Wink]

I sent Scott an email last night asking him about what I felt was the discrepancy between the 2005 numbers alluded to in a June press release (700k in the first two quarters) and the numbers recently reported (less than that) for the entire year of 2005. In other words, I was concerned that we as investors had somehow been misled. Here is his very prompt response and I would highly recommend that all concerned investors READ IT at once. This guy and his company are for real, people. If you're nervous, just chill. Put the bashers on ignore cuz they're all full of ****e anyway. The PPS WILL rebound. If it goes down further, just pick up more shares if you can. This is a temporary situation and if you have the guts and the foresight to take advantage of this manipulated panic then you will be thanking yourself later! Anyway, here's what SCOTT WRITES A FEW HOURS AGO...

Stephen,

Income is based on Secure Balance orders. Please see attached sample sheet "quote". We have accepted orders, however some hospitals and medical facilities have signed invoices with delivery schedules into next year, as they are building special facilities for the equipment. we cannot accept advanced payment for a $53,000 medical diagnostic system until delivery is accepted. This is very standard in the medical equipment industry. For example, Siemens or GE Medical will sell MRI systems and carry the invoices for 2 years until delivery is met !

My advice is to stay away from any "message boards"; as they are used as bait by various day-traders and market makers who make money on naked shorting of the stock.

2500 > What ever

forget rumors with these stocks.Just go by hard facts from the company. There are many pumpers on these boards that will tell you a great pr is comming that you should buy now and you will make lots of money. These pumpers just want you to buy so these go up and they will sell and you will be left holding the bag.Don't get caught up in the rumors,if the company comes out with a great pr like a contract or good earnings there will be plenty of time to get in.Rumors will make it go up for the moment but will come right back down.We all dream about the stock that runs like Taser guns or Ebay but in reality 5 years from now many of these companies will not even be around and your portfolios of yesterday won't be worth the paper it's written on.

As I had stated last week, we would see the .018's before before we climb uphill. I can't say this the bottom yet, let me do some DD and I'll let you all know.

Off-topic

So far this week I was correct about AMNI upclimb
EYII as stated on that board will see low 7's maybe 6's. Buy Friday and Monday that will the low's before it's next run.

CESY - well I stated it would run to .0034, steady with low volume at .0028. Started the week at .0029

I had bought AMEP at .023 avg, someone told me to sell last big drop, glad I didn't.

Posted by abefroman on :

I will say that there are some (JMoove) who do provide good insight on charts. In the end though, no one is forcing anyone to buy squat.

You should always do you own DD. Sorry for starting this mess. Never meant too. What I was saying was, I was mad I didn't do DD prior to buying. I was in this a month ago and made some good bank. I thought it was on the track to .5 and I got greedy, but bought in at the wrong price. Hopefully I have not harmed anyone's reputation - I don't have enought clout or knowledge to do so.

As I stated before, don't like the idea of a CEO writing to someone and telling them to publish on a Message board.

In Pennyland everything goes, I seen stocks that have no product and skyrocket to the moon. Others with good revenues and products get manipulated by MM's.

Just remember AMEP went from .015 to .033 then it bottom out to .019 people got scared and jump off board !!

Look at it now .05 and rising. I didn't see a memo or e-mail from the CEO and telling someone to post on a board. If the stock merits a rise in PPS there is no need to pump it, MM's know their business.

Has anyone tried to put a higher bid in at the last second to get a good closing price... what would happen with 20 sec or 10 cents left you put in a bid for .04 or so. If igtn tomorrow then did put out good news it might help get the ball moving again!!! If 5 of us did it then they would have to give it to us and others would not have time to send it down, plus vol has not been high at close the last few days

seems like everyone is selling.

During this 6 days dip, 185M were traded.
Tomorrow morning we will have the last disappointers, who I will catch at 0.014, than I hope we slowly going up to 0.08 for the next week.

There is a big difference between the profit takers and panic sellers. Till 0.04 we had profit takers an below that the panic sellers.

Posted by pensandoenti67 on :

Agree with the post above. Panic will make people sale, I think this has tow more trading days of big dumping back to .009-.012

see the mac: volume (red), how are they paying for the move to OTCBB?

http://stockcharts.com/def/servlet/SC.web?c=IGTN,uu[m,a]daclyyay[db][pb50!b200!f][vc60][iut!Ub14!La12,26,9]&pref=G

That's my point to buy, I still see the mac way down and it has at least 3 more days before it stops dropping. I say by Thursday of next week we will see a move up. I am sure we will see an even penny by Monday, then Tuesday afternoon a turn around.

Question:

How can a stock going to OTCBB soon drop from .049 to .017 in a week???? Same goes for HISC moving to OTCBB and droping from .12 to .05 in three weeks.

MM's are doing their thing, stocks are a game of ups and downs. Buy low, sell high !! Always !!

We must learn that, don't fall in love with a stock. Look at AMNI, good news, audit out, support Katrina, name change to Homeland Security, no debt and MM's keeping it down. Chart is ready for it to run big Next week.

See it's chart... You can probably recover your money from here and get back in IGTN next week when it finds it's bottom. With more money, at least that is what I'm doing.

Just got e-mail from CEO

Can't devulge anything here unfortunitly, although i believe this statement won't get me into to much trouble:

"I'll tell you....the shorters did a great job scaring everyone ! They will make a killing when we announce the following items over the next several
weeks:"

I'll tell you this much from the e-mail that i just received and they won't say anything in a e-mail that they have not put out to the public but everything that i felt about this company was on target, if my other stocks were not down (HISC) etc., i would've taken some profits there and buy another 500,000 shares, not that i'm down on HISC but in any case e-mail the CEO with questions of your own to get the answers rather then listen to posters here.
A lot of times on these message boards when a share price goes one way or the other you have people that will jump in and fan the fire for their own gain.
From my expierence for what it's worth, once they got the ball rolling some of you guys got set-up.

Who Ever you are,

Welcome to the Company. My crystal ball is broken...and I will not offer projected revenues until we are a Reporting Company on the OTCBB....coming very soon !

I own 26,600,000 Preferred Class-A Restricted shares, and 13,000,000 Common Restricted shares. I will use my own Preferred Shares to raise $4M under an SB-1 and/or Reg-A Registration so as not to dilute the share structure or shareholders.

The most recent trading activity will flush out the short termers, and next month we will flush out the day-traders and naked shorters. Any future PR's will be drafted by a professional consultant and reviewed by legal council; as well as hold direct and substantial material information. It is no longer necessary to continue the type of PR program we have demonstrated in the past.

I'll tell you....the shorters did a great job scaring everyone ! They will make a killing when we announce the following items over the next several
weeks:

1. SEC Filings
2. Move to the OTCBB
3. LOI with C-TradeUSA for the Pure Produce and Contracts in New Jersey.
4. Certified Financial Analyst report from Empire Research
Associates/William Walling Jr.
5. The acquisition of InfraredMed, Inc.
6. The completion of OxyView and Distribution of OxyView.

.....and many many more GREAT THINGS !

Mr. Sand

I hold over 1.4M shares of IGTN and i'm very excited to be a shareholder going into 2006, if you could, would you answer some questions that i have as far as my investment in your company .
My first question to you is; what are the revenue projections for calendar year 2006, also speaking of the year 2006, any plans to possibly start fiscal year on January 1st. so i don't get to confused when talking about 1st. Qtr2006 in mid-summer 2005?
My second question deals with OTCBB, how soon or should i say whats the soonest we would have a pr releaseing that we are on OTCBB, is it possible in the next 4 weeks or so?
My third and final question is how many shares of IGTN do you own and i know you can't answer this directly but do you plan anymore purchases of IGTN in the near future and if you do you should state that in a press release as all investors appreciate a CEO who puts his money where his mouth is so to speak, that would be great news for existing share holders.

Thanks in advance.

Listen to this post...

'Scott is pissed at the shorts so he is planning on giving the SEC the audit Wednesday but not tell anyone until Friday or Monday. With it taking a min of 3 days to get on the ob. this might really kill the shorts and the mm's alike. The first PR they will get is "today we are going ob." Awesome Scott learns the games quickly.'

From the last email I received from Scott this could be this plan??

The most recent trading activity will flush out the short termers, and next month we will flush out the day-traders and naked shorters. Any future PR's will be drafted by a professional consultant and reviewed by legal council; as well as hold direct and substantial material information. The CEO stated there will be no more dilution. Now I think he meant of the float. I think he is issuing restricted shares for acquisitions, but who cares; the acquisition of InfraredMed will at least instantly double the value of this company.

You know.. this is the kind of RUMOR that really annoys me. 'BUT NOT TELL ANYONE'??? Comeon' now! Either he's saying, or SOMEONE is saying go tell everyone!! OR someone is pulling a bs move. I'm heavily invested in this one, and this crappola is WAY past annoying. Let's stop with the rumors and keep to the facts. If other forums want to bs, let them. I joined this particular forum because you all seemed one heck of alot more knowledgeable and STUCK TO FACTS. Sorry for the ranting, but holy moly!

From RB...

Well got back after a week and wow, where did all the bashers come from? Also, I did talk with company contacts on Friday! They all laughed at what was being said about the company on the threads and they noted that the share price is certainly a laugh to what this coming week will show regarding the financials. I asked them about the increase rumors of shares and they again laughed and said the financials would neet to be corrected if they did! There has been no change in anything and that the proof will be in the filings. Sorry I did not have an opportunity to add during the bashing and sell off! Good luck all and Dogcatcher make your company contact and you too will see our investment here will be very, very rewarding! jmho

Posted by Kenjr24 on :

So what are we going to open at anyone want to guess??

Posted by Kenjr24 on :

From RB

blanket, according to my conversation on Friday, last Monday's press release will be the last for a few days due to the instructions given the company officials from their attorney's of a "quiet period" required due to the filings being completed. Next news will be that the filings are submitted and approved and it is then we will be able to see the details. Those filings will be this week is what the rumor mill states. jmho

The day of reckoning for these sockcutter' market makers is near.

OTCBB submission to SEC and goodbye holding us down.

Everyone should begin emailing the SEC about these mirror trades.
for instance:
95,000 @ 11:33:46 AM at .027
95,000 @ 11:33:46 AM at .0245

They can only do it so long.
Then they'll have to let it go.

There is a ton of resistance between here and .035. We're gonna need a few more really good days to get back in the .05's or a couple of PR's a move to OTCBB or something on that level. Otherwise, I expect us to top at .028/.030 before a dip back down to the low 20's. Just my opinion.

I have to admit, I'm a little concerned about this stock. I'm still in, but am quite down even after averaging down. I understand why FOT and JMOOVE, ppl like that have moved away. I think you guys are probably still in but have somewhat left the thread because of its decline and lack of activity. What do you guys think though? They have told us that we should move to the BB here in October, is that still realistic in your view. Will this really make a pps difference? What are your thoughts on how she stands now?

Posted by Jmoove on :

im still around, i still like the co., a few days ago I decided just to not look at the pps anymore day-to-day it was killing me :-) Once they announce first quarter revs and projections we should be all set

Question...

Will the change to OTCBB mean a dip in price or a pop?

I ask that, because isn't the news about otcbb already built into the PPS now?

I ask this... while I am still long. Seems to me this company is going in the right direction and should have a good amount of growth in the future.

I gotta think if nothing else... Scott should be able to flip this company for a nice profit.

It probably isn't built into the price too much yet as this is a pink. A lot of people won't believe it until it actually happens. Then there are also all the investors that won't touch a stock on the pinks anyways. Big money could follow the jump to the bb. I hope so at least!

My unsophisticated analysis

The stock currently has a market cap of about 9.5 million. To support such a cap in the long term it needs to post annual profits of about 1 million. At the types of gross margins that IGTN appears to be running (in the 40% range) this means that we need to increase sales in the order of $2.5 million/year, or for SecureBalance alone, about one order per week. I am not particularly worried (at this price) about receiving value for the money. Nor to I think that the market cap has much room to go down, whether you R/S'ed, or no matter what you did. At least, any significant blip downward is practically guaranteed to rebound, since the fundamentals appear to be there.

Secondly, what can you presently buy for $9.5 million on the markets? Check it out. It is generally a pretty gruesome assemblage of prospects. Overvalued or undervalued are not only in reference to earnings, but also in reference to peers. There are lots of less attractive companies going for higher $$$, but (as far as I can find) no superior prospects (especially in the medical equipment field) going for fewer $$$.

We know that the audit results will appear on Edgar, sometime. Does not particularly matter when. As soon as these results appear a large risk factor disappears and the stock becomes more attractive.

If ANY of the hype is realized, the stock will quickly realize a market cap several times the present value.

I tend to see the market as a game of not losing. If you play and do not lose, then eventually you will win. Consequently I look at a stock like this and ask myself, what would cause me to lose? Basically the only things that would cause me to lose at the moment are outright criminal fraud - and I do not see the tell-tale signs of such a fraud from management. I don't like all that I see with IGTN, but I rarely do with any company. I like most of it, and see no evil intent even in the things that I dislike.

Okay, then.. I don't think that I will lose my shirt. And is there a CHANCE that I will win? Certainly there are several chances, as this board points out with great regularity.

The question then is whether I have the patience to watch the thing bobble up and down for as long as it takes to "score" on one or more of the potential up-side items. Patience I have... this thing has NO momentum at the moment, so day by day we just sit and watch it bobble. However, I would be relatively confident in saying that management wants to see that momentum back, and is "stashing" news until the audit results come out on Edgar. That's the way the game is played. Once the results do appear, I would lay a bet that we see about three substantive PR's over the following couple of weeks, and that we see some significant momentum re-develop.

In other words, we are not currently losing money. We may have lost a bunch in the drop from 0.05, but that is water under the bridge. That was then, this is now. Since hitting 0.020, we have just been bobbling in a range of about +/- 0.004, and will continue to bobble until new momentum develops. This present period costs us nothing, and the next run may be substantive. Consequently, I have just taken a chill pill. I am not stressing over R/S'es, filings, or anything else... it is purely a wait-and-see time, with very little chance of a down-side break, and a very large chance of an up-side break.

The more you stress over these things, the more chance you will psych yourselves out. Do your analysis in whatever way you see fit, make your decisions, whether to sell or to hold/accumulate, then stop analyzing. Unless there is any substantive new development that would cause you to re-evaluate, re-hashing just makes you second-guess yourselves and tends to be driven by nerves rather than by objective analysis. In this game your nerves are NOT your friend, and when there are naked shorts still out there, your nerves will be relentlessly used against you - bit by bit, day by day, until you cave in.

Longs need to keep emotion firmly out of the equation with IGTN--I hold a decent little position all under .015 and regret I didn't pick-up some more around that vicinity the last time it dipped. Investing is pro-active and if you believe in IGTN and intend on holding long why not add to your position? Sure MMs are going to do what they do but if you believe in this issue why sit on your hands. Why worry about the short or mid-term if you are indeed a long? IME Long-term benefits of this stock seem very promising but it does require a logical unfolding of business plan with growing revenues and investor patience. People shouldn't panic over supposed 'missing PRs' what this issue needs is some number support and it sounds like they are cooking as we speak.

Guys we've been on the SHO list 98 days now. The pressure on the shorters is mounting. If filing to move on to the BB does create a short squeeze, there will be no mention of the filing. Be prepared to hear all sorts of things intended to scare you out of your shares.

If no news soon there is also a gap at 005 dare they take it down that far to fill it before it zooms?

Sawdust why even say that? The only people hoping this goes down like that are the 99 day shorts. I would like to see them take it down to 0.015, just for the amusement of seeing them handle that situation. I haven't flipped one share yet, and I don't plan on to anytime soon.

Kenjr - The attorney, Peter Wilke got hit by a car (Pete was walking) driven by a teenager on a cell phone 3 weeks ago. Spent some time in the hospital for 5 broken ribs. Mr. Wilke is back on his feet and able to walk a few minutes at a time now. He is almost done with the filing, waiting for Scott/ shareholders to confirm what, if any, changes to the share structure are going to be done. I feel that Scott Sand is an intelligent, honest and open CEO that is driven to succeed with the best interest of the shareholders in mind. I am very comfortable with my investment. I might have to sell some shares to pay for that oil pan though, since I've been out of work for over a year

why -me - Answers to your Qs:

1. Numbers look great, increasing revs (up about 40-50% Q over Q) and cash balance (up about 15-25% Q over Q). He gets about a 70% gross margin.

2. R/S is not out of the question and might be put in front of the shareholders for a vote soon. Scott says the new SEC formula for calculating pps will actually increase the shareholders position value. For example, if there was a 1:5 R/S, you would have 20% of the shares in number, but the actual pps would be slightly higher(he didn't know the exact factor, but indicated it was about 1-2% higher) than 5 times the pre split pps. He realizes that shareholders are spooked by the idea and will consider any and all arguments for or against the R/S.

I hope this is helpful.

According to some, no R/S will take before the move the BB, because if they do it before, they will have to redo everything. So you still have the benefit of the short squeeze.

Wait a second! Consider this: A short squeeze takes us to 0.50, and a reverse split positions us over $2, a good position for a move to a higher exchange!

No reason too... but it still can be voted on so he can do it when it is best like when they are 20 cents to get to the dollars mark

Posted by pennys4themoney on :

On Octboer 4th I had sent an e-mail to Scott Sand regarding the news about moving over to the otcbb by the end of September and why it didn't happen. By my surprise I got an e-mail back shortly after from him.
He writes in his e-mail: As is the time clock of our auditors, our attorney Pete Wilke is not that far behind in filing. He is only days away. Once approved by the SEC, we can go forward with the move to the OTCBB. Patience is a virtue. Thank you for your support. Regards,
Scott Sand. I have been following this since January of this year and bought a half a million shares when it was at 0.0043. I sold it when it hit 0.05. I have already made a nice return kept it and re-invested into a million shares, and still have alot left over. I feel that Ingen Technologies will be a great investment for anyone in the long term and short term.
A great stock to get into while it is at a low again. Great VALUE right now for the return to come.

Posted by Jmoove on :

in my opinion r/s makes no sense: (an email i sent to Scott)

Ive emailed a few times before inquiring about a r/s.
It seems that a r/s may be in the works; 1 for 5 is
the rumoured ratio. I have a few concerns about this.
First, Please release your Q1 numbers before doing a
r/s (June through Sept.) I think that you will see
that investors are downright anxious to see the hard
numbers before putting anymore money into this.
Second, complete the move to the OTCBB ASAP,
confidence in management's ability to complete the
change-over is dwindling, and shorts are still ruling
the market. Finally, if both of the above things are
done I believe that the pps and investor confidence
will dramatically increase, thus eliminating the need
for a r/s to up the pps. At the current o/s level I
know both you and I believe this stock will be trading
at 3-5.00 in the next two years; a r/s is not needed
to attain this goal! Please do not do a r/s and
announce your intentions through a PR of no longer
going forward with a r/s. I know you are unconcerned
with the pps and trading of your stock right now,
however, the Pink Sheets are full of scams most
traders and investors view a r/s as a confirmation of
a scam (dilution machine) and WILL simply pass your
Co. off as another "pinkie" if you are not upfront
with us about your intentions. Again, I urge you to
not go through with the r/s and to announce: 1. Your
intentions as to r/s through a PR, 2. The 1st quarter
numbers, and 3. Complete the move to the OTCBB ASAP. I
think the above will solve many concerns of investors
and complete the steps needed to achieve that
"dramatic increase in shareholder value" that you
refer to in your PR's.
Thank You,

dalton: I know. This is my "long term" penny, as dumb as that sounds. I'm in for quite a bit of shares from .000x to .03x so I can't even figure out if I'm ahead or behind right now. Sometimes though it amazes me at how STUPID these companies are and why they don't release PR's more often. Why do they move so slow without updating anyone is beyond me.

Can we all pool together, buy 51% of the company and elect JMOOVE FOR CEO?!?!?!??! WTF I want to smash my head into the wall after reading that Jmoove has to suggest THE ABSOLUTE OBVIOUS TO THE CEO.

Seriously someone work out the numbers, between all of us I'm sure we could pool in and get 51%.

Maybe someone should email him a few examples of stocks that went through the roof when they moved to the OTCBB...might make him realize that a r/s isnt needed to increase the pps.

Posted by explorer186 on :

I've emailed him about the extreme negative effects of a reverse split. I nearly pleaded with him to go against a R/S. However, we have to realize that Scott is viewing this as a chance to start over again, and he's between a rock and a hard spot in terms of the OS being very close to the AS while he's eager to make a lot of acquisitions. There will be a PR Friday discussing OxyView and OxyAlert status, shareholder meeting, timing of filings and OTCBB, and lastly but not least, various issues related to a R/S.

good lord been away for a few days.... Where did this reverse split notion come from???

Posted by whiteschmuck on :

I am down about 25% of my investment in IGTN at this time. However, I think we will see some good news on Friday that will erase that loss and show a nice profit.

News is coming Friday.

Numbers will be released. Income is up. Cash reserves are up.

Status of Oxyalert and OxyView will be discussed.

I am hopeful.

WOW FROM MOVING TO OTCBB, WE GO TO R/S. HOW FAST PENNY STOCKS CHANGE.

BUY LOW SELL HIGH. AS A STOCK STARTS TO GO DOWN SELL IT, BUY IT AGAIN IF IT STARTS TO CLIMB BACK UP. THIS WAY YOU MAKE MORE MONEY, KEEPING A PENNY STOCK WILL ONLY MAKE YOU LOSE ANY PROFITS, PLUS LOTS MORE.

MY RULE, IS 100% GAIN SELL HALF, IF PRICE BEGINS TO DROP SELL. ALWAYS AHEAD.

Guys, I was a depressed as many of you to read the developments as of late. However, lets wait until tomorrow or Friday at least when the news is sposed to be released. Maybe/Hopefully he wont do a split.. We still have a great company here. I'm down, didn't follow my normal rule because I have some faith in this company to sucseed, which is more than I would have for typical pinkies. Its going to be good, I'm still positive. I hope!

anything of a possible R/S or I'm out.

Posted by yourdiligence on :

I am also not in favor of R/S for whatever purported reason. There is no technical basis for that idea with IGTN and the real strength (long-term) does not necessarily come through acquisitions which often merely get companies into intractable indebtedness and raising odds of running out of money for current operations. IME An R/S is not justified--and IGTN management needs to quickly get back to certain level of fundamentals and like other have said--stick to plan and move to OTCBB ASAP and reveal some hard numbers so investors can truly be more in the KNOW and see actual rather than purported progress.

News for 'IGTN' - (Ingen Technologies, Inc. Announces Its Board Has Approved a 40-1 Reverse Stock Split - Shareholders to Vote at Special Meeting in October -)

CALIMESA, Calif., Oct 06, 2005 /PRNewswire-FirstCall via COMTEX/ -- The Board of Directors of Ingen Technologies, Inc. (OTC: IGTN) (the "Company" or
"Ingen")
has approved a resolution to authorize a 40-1 reverse stock split of its outstanding common and to decrease the number of authorized common shares to 100,000,000 from the present 500,000,000. Consequently, the number of common shares issued and outstanding would decrease from approximately 490,000,000 to 12,250,000. This resolution shall be presented for approval at a Special Shareholders' Meeting, presently scheduled for late October 2005, at which date the reverse stock split would become effective.

Commenting upon this action by the Board, Ingen CEO/Chairman Scott Sand
said:
"The reverse stock split proposal is part of an integrated plan to move Ingen forward in several ways. First, the reverse split will immediately establish Ingen's stock price at a much higher price level than currently. The advantages should be to facilitate external financings in the future to fund Ingen's expected revenue growth and to also reduce some of the price volatility our shares have recently experienced when selling in the $0.05 per share area. Second, a higher stock price is also more reflective of the fundamental corporate development that Ingen is, and will be, undergoing. Most notably over the near term, Ingen will seek to list its common shares for trading on the Over-The-Counter Bulletin Board. Pursuant to this objective, we will soon file with the S.E.C. to become a reporting company. Third, on the operational front, we expect two of our major products -- OxyView(TM) and OxyAlert(TM) -- to go into production by early 2006. This is a significantly positive event in the continuing progress of the Company."

About Ingen Technologies, Inc.

Ingen Technologies, Inc. is a public company trading under Nasdaq OTC: IGTN, which has been in business since 1999. IGTN is a medical device manufacturer and a growth-oriented company that owns US patent(s), trademarks, and proprietary medical products.

The Company's flagship product is OxyAlert(TM), a second-generation design of the Company's BAFI(TM) product line. Both of these products have been issued two US Patents: Patent No. 6,137,417 issued on October 24, 2000 and Patent No. 6,326,896 issued on December 4, 2001. Both of these products are low-oxygen safety warning devices used on remote oxygen cylinders for patients, commercial aircraft, military transport, and fire and safety equipment. OxyAlert(TM) technology encompasses the use of digital sensing and RF frequency transfer so that care givers can access a hand-held remote to monitor the actual oxygen level of any oxygen cylinder at a reasonable distance.

The newest product, OxyView(TM), has a patent pending, and is a pneumatic gauge that provides visual safety warning of oxygen flow to hospitalized patients. This product enhances the safety, assurance and accuracy of hospitalized patients being administered oxygen from any source. OxyView(TM) is a lightweight pneumatic gauge that is attached to the oxygen tubing just below the neck. It informs the nursing staff of oxygen flow rate near the patient. It could quickly inform the hospital staff of any leak or inaccuracy between the delivery source and the patient.

The Secure Balance(TM) product is a private-label product that includes a vestibular function testing system and balance therapy system. The vestibular function testing system is manufactured by Interacoustics LTD. in Denmark and is referred to as the VNG. The balance therapy system is manufactured by SportKAT(R), Inc. in San Diego, California. The Secure Balance(TM) program provides equipment, education and training about balance and fall prevention to physicians and clinicians worldwide.

The Pure Produce(TM) product is a continuing research & development program currently under design. This program uses hydroponics technology to grow various plants without the use of soil, fertilizer and water consumption. The Company anticipates entering the nutriceutical and pharmaceutical markets over the next two years.

"Our team of professionals has developed our medical products for the ever-increasing elderly population. Our products are superior to any of our competition and they allow for effective medical product availability to seniors, and at the same time the increasing senior population allows for a steady growth in sales and profits," said Scott Sand, CEO & Chairman of Ingen Technologies.

Send Scott this message:

Dear Mr. Scott Sand

Thank you for your quick reply, but with upcomming R/S issue many shareholders are in deep trouble.
So am I. CEO's talking about building up shareholders value in combination with a reverse split.
That make they think shareholders are stupid donkeys, because the company turns to be profitable on behalf of the
shareholders and investors. The confidence IGTN build up, dissappeared immediately, with the R/S announcement.
So IGTN will always stay on the SHO list. If your company is really intended to build up shareholders value,
IGTN should announce a sharebuyback program. IGTN spoiled all credits of shareholders and we are realy angry.
As most CEO's are complaining that their shares are shorted, you give those guys a great day. I hope you change your
intentions and give us at least the benifit of a shortsqeeze.
If you have some spare time, please take a look on this site: http://www.allstocks.com/stockmessageboard/ubb/ultimatebb.php/ubb/get_topic/f/8/t/016128/p/16.html

who is the majority owner, doesn't the CEO has the majority. Recall the PR saying no R/S everything for the Audit was coming off by selling his shares.

51% of share holders have the decision.

Good luck, I'm out, after the big decrease after the R/S. I'll buy about 60 days later. Look at Telelatinos... same thins repeats itself.

Greetings. I'm new to the board, but previously bought 400k shares. Can anyone help me with my math on the following excerpt from the PR?

has approved a resolution to authorize a 40-1 reverse stock split of its outstanding common and to decrease the number of authorized common shares to 100,000,000 from the present 500,000,000. Consequently, the number of common shares issued and outstanding would decrease from approximately 490,000,000 to 12,250,000.

How can authorized common shares reduce by 400 million shares, but the outstanding shares issued would reduce by 477 million? What am I missing?

This doen't mean this will hapeen here, but just sharing my observations. If the R/S does occur this is what I have normally seen, it's about buying low

Another example of a stock that drop after the R/S then gone way up... OSFT

see chart:

TTNJ dropped like a rock after n R/S, found a bottom at 0.02. The rocket is taking off right now - it just broke through 0.02. Could easily go up several 100%, IMO.

futurama, if the R/S does happen give it sometime to drop like crazy after RS then buy low. That's what I'm doing.

A good company that does r/s will drop, but rebound like crazy.

I'm out, but will wait for the r/s (if it occurs) then buy low low, this will skyrocket, in a few weeks.

IGTN the split sucks, but the fact they are decreasing the AS is a good sign for the future share price. The company is looking to move to the NASDC small caps, and this might just be the way.

A CEO that writes to message boards is not a ood thing, been saying for a while. Thanks for the ride though, made some money. I have been honest on this stock, when I saw things I didn't like I put them out there for all to read and make your decision.

I think I made over 500% of my initial investment by buying and selling three times on IGTN.

I'll be back in a few weeks... sample TTNJ and OSFT look at them and you decide if you want to join IGTN in the future.

What can I say Jmoove. I know. The MM's now are going to take advantage of the situation, and get the panicy sold shares cheap. The price might rebound ultimately.

Posted by pensandoenti67 on :

give it a few weeks. It will rebound. If you stay yo may see a 90% drop in your IGTN value, then a big KABOOM.

In the long long run I think IGTN will be triple this price.

What happened to being listed on the otcbb? WTF? I was expecting to wake up one morning and read about the SEC filings that they were supposed to have done by the end of last month, but instead I wake up to this. This is such BS. Don't they get that r/s's are always bad? WTF? What happened to the CFO's remarks when he said the company would increase in value a 'hundred fold' over the next few months? If that was true what was the need for a F****** r/s? This is horrible. someone cheer me up

Took a few grand loss.
Anyone sticking around for the R/S good luck.

Probably going to take it easy w/ the pennies for now.

I wonder what Scott and his buddies are thinking now that their stock dropped from .054 to .0006 and it will be at .0001 at 4pm. Those idiots just ruined the company. Expect MONTHS of uphill climbing. Woopdi freakin doo, R/S, like IT EVER HELPED ANYONE OUT.

I really do stand by my comments of yesterday that the whole team over there is messed up in the head. JMOOVE, you wouldn't have done this to us!

How can you say .01 by end of day, when everyone is jumpng out.

Once the R/S occurs, expect another 75% loss, before it runs up.

Imagine 75% loss before R/S, and another 75% after R/S.. does that equal to 150%????????

I gave all a warning a CEO that writes to a message board member is not a good thing.

Good luck to all those in.

I'm sorry but Ingen has got to be retarded. In the pr they were complaining about the volatility of their stock when it's in the .05 range, now at this rate after the r/s the price will be .20... Big difference guys. I hope they have a thousand angry investors calling them right now.

Sitting here with my 140K mostly acc. at 0.04 and now we are talking about tough love for the shareholders "addicted" to greed.
I thought the talk was building shareholders value, and not R/S. Yeah, 5 bucks was the talk at the end of 2006. If a R/S is the tool, we still have some to go.

whaddaya think? R/S then share buyback? R/S then company buy-out? Just throwing stuff out, nonsense and all to initiate the brainstorming. What are the scenarios that could possibly turn this pps around and make us "be pleased?"

what the hell's he talking about? All the shareholders "addicted" to greed took profits already. They left the show a LONG time ago.

Wishful Thinking......I'm too far down on this one, I should of took a nice profit when I could. But wouldn't it be amazing if Scott announced this R/S, bought back 30% of outstanding shares then released a PR stating the buyback and no reverse split. I know, not likely.....but I can hope.

yeah, then sec filing after the buyback....now that would be the queen whammy of all whammies. The PR said "approved". Doesn't necessarily mean it will
go through.....but yeah, wishful thinking.

BTW... from what I read from today's PR, I think the R/S is still pending approval from special shareholder meeting.

Can anyone confirm?

Yeah you're right. What does this mean?

"This resolution shall be presented for approval at a Special Shareholders' Meeting, presently scheduled for late October 2005, at which date the reverse stock split would become effective."

The CEO is the majority shareholder (casting the majority of votes), so the shareholders meeting is just a formality.

I think it's a sure bet that it will be approved.

If by "addicted to greed" he means using money to buy groceries and pay rent every month, then I'm guilty. All of those greedy investors who wanted to make profit (you know... like more than your initial investment) should be punished. obviously. All longs should be happy with 75 percent loss out of the goodness of their souls

I will be waiting to buy after the reverse split and will take profit at every opportunity and buy on every dip not caring about the company as he has shown about not caring about the shareholders. People may say that is what a trader is suppose to do but if I have loyalty to a company, I give it my support, but not this one anymore. I am still ahead I bought my stock at .0029 but that is not the point, this is not the way to do business, R/S for profit (greed).
Greed maybe found at the CEO's backdoor, never mind I think he just went inside.

Does anyone think that maybe.. once he sees what happened to his stock, to the investors, that there is any chance at all that the reverse split might get vetoed?? Any chance? slim to none?

Posted by yourdiligence on :

Congratulations Mr. Sands you have now alienated your longs and tanked PPS--if R/S was vetoed it wouldn't make up for contempt shown by management for their shareholders. Whatever happened to credibility--why should we dream of getting greedy with a company run like IGTN? A half step forward only to blow off its foot in the next moment!

this isn't the 80's anymore. buy-n-hold is old school mentality. this is a learning experience for me to stick to my strategy.....plan your work, work your plan. buy low, sell high. get in, get out. profit is profit and in the worst case, cut your losses short.

after this stock, no more longs for me. straight flipping from here on out.

That is what his email to me said a PR on Friday. Today was THURSDAY. Not FRIDAY.

Scott, it's never a good idea to screw investors out of cash when you post your contact info. I'm thinking about TPing your offices and deficating on the hood of your car.

'Securities fraud...occurs when investors are enticed to part with their money based on untrue statements.' Some out there believe there is some indication (officially) or (unofficially) that the Sand claimed no R/S would even be considered not too mention statements about 'no dilution.' The constant communication from the CEO to investors could be a vital trail for those who feel there is a case to made against IGTN and management. I've personally learned through experience to be a cautious investor and have learned not to invest more than I can afford to lose. I do feel for those perhaps here and definitely at other boards who have lost their life savings and apparently in one case a paper-hit of 100k. Poor greedy fools...--NO simply people who believed too much in IGTN story that was rehashed again and again. I wouldn't be too surprised to see some of these individuals look seriously into exploring legal action. Whether you agree or disagree with their investment choices and too much concentration...I imagine some will simply be left with no choice but to look at their legal options. It might be all they're left with...at this juncture. "TOUGH LOVE" is often a two-way street [Wink]

Let's all keep working toward providing our fellow users here objective, even critical DD if warranted

I'm new to this board (and trading for that matter). Could it be that Scott Sand never had any intention of moving to the OTC, It just seems weird that for weeks now we have been hearing that all documents ready for filing but for some reason always delayed. This is just my humble opinion and hope that I'm wrong, but makes me wonder. I'm in for 20,000 shares at an average of $0.025, so this drop in pps really took a nice chunk out of my portfolio (which unfortunately is pretty meager).

Posted by yourdiligence on :

sleepingtiger,

Many of these pinks dangle the OTCBB carrot out but those that end up actually following through are at a premium. I think there are a number of reasons but I don't personally think highly of companies that R/S because in my experience they say everything is hunky-dory but numbers don't support it. I've taken a number of losses and have never seen the stock remotely 'recover.' It's interesting how they procrastinate filing + numbers. You're fortunate that your portfolio is 'meager' on this one...welcome to trading. Many honest investors got into IGTN because it seemed that this co. was serious about getting on OTCBB--now an R/S has been threatened to reward those who trusted those PRS...it's also ironic to see companies that haven't sold .25 of product in a given year have a 1,000,000 loss and the CEO, his immediate family and their hermit crab are netting 200k salaries. Junior high kids in business class could do better than a number of these CEOs--IMHO lol

Ingen Technologies Elects New Board Member
PR Newswire - October 7, 2005 10:00 AM (EDT)

--------------------------------------------------------------------------------
Jump to first matched term

- The Company Positions for Growth -

CALIMESA, Calif., Oct 07, 2005 /PRNewswire-FirstCall via COMTEX/ -- The Board of Directors of Ingen Technologies, Inc. (the "Company" or "Ingen") has elected Stephen O'Hara, MD as a member of the Board of Directors.

The Consumer's Research Council of America, an independent organization based in Washington, D.C. recently ranked Dr. Stephen O'Hara among the top two percent of clinical neurologists nationwide. Dr. O'Hara grew up on a family ranch in Montana where the values of hard work, respect and compassion were instilled in him from an early age. He attended Stanford University, which was named in 2005 by the authoritative Shanghai Index as the second leading university in the world. Dr. O'Hara graduated with a Bachelor's of Science degree in biology and performed honors research in the laboratory of Dr. Donald Kennedy, who subsequently served as President of Stanford University. Dr. O'Hara obtained his M.D. from Northwestern University where he became president of the Northwestern chapter of the American Medical Student Association, then proceeded to complete his residency in neurology at UCLA -- one of the top five medical schools according to U.S. News and World Report. Dr. O'Hara is board-certified in neurology through the American Board of Psychiatry and Neurology. Since completing his residency, Dr. O'Hara has continued to teach the residents in the neurology program at UCLA while maintaining a busy private practice in prestigious Century City with an emphasis on geriatric neurology and disorders of balance.

Commenting upon this action by the Board, Ingen CEO/Chairman Scott Sand said: "Dr. O'Hara provides additional strength and wisdom to our Board of Directors. I have known him for the past 4 years, and have worked with him directly on several occasions. He will be an asset to this company as we continue to grow in a positive direction."

Explorer186, you critized me when I was telling people to be real careful on this IGTN, I kept saying it doesn't sound right that a CEO could be writing to a message board, plus all the delays, seen it before many times.

I personally think you kept critizing me when I was telling the truth, it's not your fault of what happened with the R/S, drop in PPS, but you have to be more careful on what you say, none of of here control what the crooks of CEO's and the Rich MM's do.

I am asking a direct question, you kept posting e-mails from other boards saying this is great any day now, the CEO send this, Mr. Sand, Mr. sand.

Oh, yeah, my question, do you think that's right? That a CEO writes to message boards?

Thanks, I made money x 5 in this stock, but I told the thruth of been careful with this IGTN, while others kept saying stay all this is good. I think anyone that thinks a CEO writing to a message board is correct, needs to learn alot. On he first delay, I knew something was wrong and I posted that. WHAT A SCAM, I saw it when various people kept posting Mr. Sand send me a personal message.

MY advice to all, go with your gutt feeling and if you double or triple your money get out this is pennyland.

I am just upset that so many people lost money on a scam that was so obvious. Sad to say many so called experts so it coming and said nothing. I just hope at least a couple people listen to me and got out.

Truth, I have said others will rise, and still believe they will, the ones I have posted I'm still in and waiting for that pop.

But on something as obvious as IGTN I tried to warn all of you. I wish some did listen.

Good weekend.

pens just saw your address to me. I still think you're a suspicious character. When there was no indication of anything wrong, you kept insisting it will go down 70% or so; a well known bashing technique. As to your suggestions, they are correct but not necessarily absolute. If you have a real winner, and think it is going to go like BRVO, like we thought IGTN, always take some off the top and get more on bottoms, and keep the majority for the big reward.

As to your question, I think you mean: Is it right for the CEO to speak directly with shareholders? Sure it is, and shareholders should appreciate the fact they have access to the head of the company. Don't be a hypocrite and tell me you think all such companies are scams, because I know you're in AMNI. The CEO is the public face and it's justifiable he talks with his shareholders. I prefer a good IR handling regular shareholder concerns, but some of these companies would rather not take on the expense, which is understandable. The reason why I prefer IR is because (based on my experience) the CEO dissociated to shareholders sees will less likely to approach hard decisions that greatly affect shareholder value (i.e. a R/S) comfortably, since s/he sees shareholders in the abstract and not as "reasonable people" who are willing to "understand" and "absorb the punch" for the sake of the company.

Posted by Raykay on :

I'm pretty new at this-and I have a question about the R/S. Is the 40-1 split written in stone? Is it possible when this is presented at the stockholders meeting that the figure can be changed to, say, 10-1? Or even better, could the R/S be voted down some way?

Ingen Technologies Third-Quarter Report
10/10/05

- Approximately $500,000 in Sales -

CALIMESA, Calif., Oct 10, 2005 /PRNewswire-FirstCall via COMTEX/ --
Ingen Technologies, Inc. (OTC: IGTN), a medical device manufacturer of OxyAlert(TM), OxyView(TM), Secure Balance(TM), and Pure Produce(TM), announces that the third-quarter earnings and profits continue to increase.

The 3rd qtr-2005 total deposits were $1,274,903.50, with gross expenses of $779,421.76. At the end of the 3rd qtr-2005, IGTN cash reserves as of 08/31/05 were approximately $ 500,000. The deposits included Secure Balance(TM) sales of $497,342.63, and the sale of common stock of $777,560.87. The common stock was sold pursuant to a 504 Registration filed in Maryland and Texas. Expenses included large sums invested into R&D for the progression of OxyAlert(TM) and OxyView(TM), as well as a national advertising campaign for Secure Balance(TM).

Commenting upon this action, Ingen CEO/Chairman Scott Sand said: "The company is very focused and on-track. Attorney Pete Wilke (Good Standing Member of the California Bar Association) is very close to finalizing the SEC filings, and is prepared to move IGTN to the OTCBB once the SEC has approved the company as a reporting entity."

The Secure Balance(TM) sales indicate that IGTN is on target of reaching $2M in total sales of this product line by May 31, 2006. "With the effective national advertising campaign for Secure Balance(TM) it is very likely that we would exceed our target," said Chris Wirth, Director of IGTN.

The vestibular function testing system is manufactured by Interacoustics (LTD) in Denmark and is referred to as the VNG.

This program uses hydroponic and airoponic technology to grow various produce and other plants without the use of soil, fertilizer and water consumption. The Company anticipates entering the nutriceutical and pharmaceutical markets over the next two years.

"Our team of professionals continues to develop medical products for the ever-increasing elderly population. Our products offer cost-containment for Medicare costs, and are superior to any of our competition as they allow for effective medical product availability to seniors; and at the same time the increasing senior population allows for a steady growth in sales and profits," said Scott Sand, CEO & Chairman of Ingen Technologies.

I'm keeping IGTN on radar, I suspect after the R/S it will drop huge, then about 45-90 days it will find it's new botom then it will rebound big.

One Example I spoke about last week was TTNJ.

After the reverse split it went from .75 to .01 now it's rebounding upwards, this is the 3rd time I see that. I jumped on TTNJ las week at .023 it's now to .06, wil it even go half way up to .75?

I expect the same with IGTN after the R/S.

another sample is CESY it's now at .0023 there's not R/S but a proposed A/S increased big time, expect price to drop with that A/S, but then I expect a price increase big time.

IGTN will do the same, R/S are bad, but it's pennyland and they wil rebound, just gotta know when to get in and out.

About Ingen Technologies, Inc.

Ingen Technologies, Inc. is a public company trading under NASDAQ OTC:IGTN, which has been in business since 1999.

The vestibular function testing system is manufactured by Interacoustics (LTD) in Denmark and is referred to as the VNG.

I disagree with you, most stocks do most of their trading before lunch time. Stockbroker in the west coast get up early.

I think your post about the reason for slow volume was very lame.

I have seen your posting before, you can do better than that.

No one cares if it's the next Microsoft if the words "reverse split" are mentioned. No matter how good the company is, people let their emotions take over, they won't have their money tied up that long, or they have absolutely zero vision of the future. This is a good company. Sometimes an R/S is necessary evil for a company to progress. But, it's all a mute point because everyone that can, bails and the pps winds up in the gutter until things calm down after the split. I have no doubt they will vote yes on it. They need to restructure to move forward. I just hope they continue to grow the company and I can get out with a really nice profit sometime next year.

You are 100% right, if he company is good it will rebound, exactly what I have been saying above, however meantime, we wil see a major MAJOR drop, to include after the R/S, it's normal, it gives a chance for MM's and insiders to buy at BARGAIN below Bargain Prices.

Very true. This hasn't seen bottom yet. People who didn't bail just have to either suck it up and wait it out, or take a huge loss. Unfortunately, my dumbass got caught on this one but it wasn't the first, and probably won't be the last. Good thing about it though is I am confident enough to hold because it will absolutely be back up and then some eventually. Just have to take a patience pill on this one.

When is the R/S ?

If you are in from any price above .02 you are in a 70% loss right now, it all depends how muc you have invested.

follow what stockaholic says, either sitck with it and wait for at least 90 days. I think after the R/S it would take 90 days for it to rebound.

I had a stock about a 6 months ago, that the same occurred, I was at a 82% loss in less than 5 trading days, I had 250.00 dollars left I kept it and now it's at 2900.00 dollars.

Well I certainly hope that Mr. Sand is pleased with himself. And I also hope that what you said Pensandoenti, works for this stock too, after the R/S. I'm just too deep into this one to sell at this point. Thanks for the ray of hope though!

superbee that's what I have seen in other stocks. If you are in a big loss what more do you have to loose. I wouldn't give hi more than 500.oo more. If I had that much left, I might take it out and hope and pray to find a runner and recover some of you money. It's up to you.

superbee, keep an eye on CESY, there's a board meeting on the 15th of November, they are quadrupling the shares, I think and the feeling is that the price will be diveded by 4. Currently at .002

I am in at .0017 and wish I had sold at .003

However I am holding, I might be stubborn but have a good feeling for 2006 and CESY. If the price does drop I am buying enough until I have 5 million shares, and hold them until end of 2006.

As I said I'm stubbron with CESY and hope it pays off in 2006.

Keep and eye on, do not recomend buying now, but if it drops below .0008 I do...

Posted by pensandoenti67 on :

why is Mr. Sand in deep trouble

Posted by OnceApenny on :

When Sand announced the split the shares were around 4 to 5 cents X 40 would of put the stock at around $1.60 post split. This pricing would support the fact that the company could get interested financial partners to invest in the company. At the current price of .0065 it only relates to approximately 26 cents per share. A very hard price to get the financial partners to jump on board. It would be better for Sand at this time to denounce the split.

Posted by pensandoenti67 on :

Thanks onceapenny, can the R/S be changed let's say at x120, when is the conference or the voting on the r/s?

Posted by OnceApenny on :

Everything is possible. They made one mistake for announcing the R/S too soon. Now they started a PR blitz, and with every PR, the pps shoots down.
The only news shareholders are waiting for, is NO R/S.

Voting conference could take some months.

PR. An announcement declining the r/s want
repair the damage done for a long time. It's

News for 'IGTN' - (Ingen Technologies, Inc. Releases President's Letter to
Investors)

CALIMESA, Calif., Oct 12, 2005 /PRNewswire-FirstCall via COMTEX/ -- Ingen Technologies, Inc. (OTC: IGTN), a medical device manufacturer of OxyAlert(TM), OxyView(TM), Secure Balance(TM), and Pure Produce(TM), announces the release of the President's Letter To Investors.

Dear Shareholders and Members of the Investment Community:

As Chairman / CEO and founder of Ingen Technologies, Inc. ("Ingen" or the "Company"), it is important to have this opportunity to communicate with you, as several events have made it timely to do so.

In regards to the 40-1 Reverse Stock Split That Has Been Proposed By the
Board:
The Board of Directors ("Board") of Ingen recently voted unanimously to recommend to shareholders a 40-1 reverse stock split of its outstanding common shares. This would decrease the number of outstanding common shares from approximately 490,000,000 shares now to about 12,250,000. The Board also voted to decrease the number of authorized common shares from 500,000,000 presently to 100,000,000.

In addition, the Board (and our two preferred shareholders) has approved a resolution (contingent upon shareholder approval of the above actions with respect to the common shares) that modifies the rights and conditions of our preferred shares as well. This resolution provides that all preferred shares are convertible into common shares. It mandates a 3-1 reverse split of the preferred shares; from just under 40,000,000 issued preferred shares to approximately 13,333,000 issued preferred shares. It reduces the current convertability feature from one preferred share to ten common shares to a one-for-one ratio. It allows for one vote per share instead of 15 votes per share. The number of authorized convertible preferred shares remains at 40,000,000.

The Board's rationale is sound and was based on the following facts and considerations. During the last half of our 5/31/05 fiscal year, it became necessary to raise capital from external sources to provide the liquidity required to fund the costs to develop OxyView(TM) and OxyAlert(TM) until our new products start contributing cash flow in 2006 (calendar). We elected to sell stock to procure these funds, rather than issue debt, because it was less difficult to do and it avoided burdening our balance sheet. The accompanying consequence was to increase our common shares outstanding very substantially, which caused dilution to our earliest shareholders and contributed to a reduction in our share price.

Nonetheless, both the Board and I believe the implicit trade-off was necessary and that it will prove to have highly constructive long-term results for our shareholders for several reasons.

* The 40-1 reverse stock-split of our common shares changes our capital

structure which does not affect the operational fundamentals of the

Company, nor does it decrease in any way the proportionate ownership

percentage of each common shareholders investment. The proposed

changes in our preferred share structure is reflective of the Board's

desire to maintain fairness and a reasonable capital structure for the

benefit of all our shareholders as we continue to grow our business by

attempting to attract additional capital investment and increase our

sales and available product lines.

* When a stock's share price dips to very low levels (in absolute

terms), as ours has recently done, it is typical for investors to

anticipate that a reverse stock split might be forthcoming. This

discounting process by the stock market usually causes a decrease in

the price of the shares and may be beyond the power of management's to

counter. This process appears to have already happened to some extent

in the case of Ingen's share price.

* The 40-1 reverse common stock split (which we expect to be
approved)

should raise our share price to a much higher absolute level than it

has recently been trading; perhaps by as much as 40 times. It is

essential to have a higher per share price in order to be able to

obtain future financing from professional providers of funds and

institutional investors. This is an avenue that is seldom available

when a corporation's shares are selling for pennies (literally).

Further, the equity "cushion" that we have obtained could also become

the basis for subsequent issuance of debt -- which typically has the

lowest cost of capital.

* The resulting anticipated higher absolute stock price level should

reduce some of the extreme price volatility (as measured in percentage

terms) that our shares have experienced, especially recently when they

have been selling below $0.05 per share.

In short, we feel strongly that Ingen's decision to sell equity in FY2005, even though it made a subsequent reverse stock split virtually necessary, was a wise and constructive strategic choice for the Company. Our shareholders will be required to vote on the proposed 40-1 reverse stock split and we expect them to collectively affirm this step because of its overwhelming merit.

Special Shareholders' Meeting to Vote on 40-1 Reverse Proposal, et al

Date: Monday, October 31, 2005 Telephone: (909) 790-7180

Hour: 9:00 AM (Pacific Time)

Place: Ingen Technologies, Inc. Office

35193 Avenue A -- Suite C

Yucaipa, CA 92399

By law, given our particular circumstances, shareholders must vote to approve the Board's reverse stock split proposal and reduction in authorized common shares. Assuming approval, the reverse stock split and authorized share reduction and its effect on the share capitalization will become effective on the date of the vote.

Shareholders are cordially invited to attend this Special Shareholders' Meeting where they can vote, meet management, and ask questions.

Initial Discussions with Prospective Investment Bankers Are Encouraging

In order to fully fund our expanding product line, and its expected strong revenue growth over time, additional external capital will be required. We have had discussions with some prospective investment bankers. Although the Company does not yet have any firm financing commitment at this time, we are encouraged by their initial reactions and degree of interest, both of which are conditional upon the 40-1 reverse split, et al, occurring.

Production Scheduled For Two New Products in 1Q2006.

Ingen's core corporate competency is the marketing of sophisticated bio-medical equipment to niche markets. Therefore, it is of great importance to note that Ingen's two new products -- OxyView(TM) and OxyAlert(TM) -- are scheduled to go into production, by second parties, in early 2006 (calendar). This is a major forthcoming event for Ingen, as it should contribute to a significant increase in revenues and help to create a positive cash flow and increased share value.

It is my opinion that Ingen is on the cusp of posting positive and accelerating financial results, eventually leading to attractive gains in shareholder value. To those of you who are already shareholders, I want to thank you for the confidence you have expressed in the Company's outlook, and in me, by investing in Ingen shares. To those of you who are prospective investors, I encourage you to consider investing in our shares. I like to think that Ingen is a promising microcap company whose best days lie ahead. I look forward to the challenge of leading Ingen to capitalize on its appealing opportunities, fed by an aging and increasing population and serviced by our technologically advanced products, which have competitively attractive features.

Finally, our Investor relations program and resources have expanded so we encourage you to contact us at the number listed below to learn more about Ingen and to stay abreast of Ingen's developments.

Respectfully,

Scott R. Sand

The 40-1 reverse common stock split (which we expect to be
approved)

should raise our share price to a much higher absolute level than it has recently been trading; [Confused] perhaps by as much as 40 times [Confused] (A r/s at 40-1) should do that duh! [Smile]

See ya all, we wait for the major dip as stated by the company above, as I been saying if their products are for real, I say around Mid december-January it will have reach it's lowest. After the Reverse split I expect it to drop to very low numbers very low.

TTNJ prime example in at .023 look at it, had a R/S also.

I'm going to keep holding. For 2 reasons. 1st, that the loss would be huge if I sold now, and 2nd, I still think that the company has alot of potential. Sure, if it was at .05, the price after the split would be 2.00, BUT our overall total $$ would have been the same. And at 2.00, it definitely would have had more coverage and interest than a .05 stock, plus less stock outstanding. Bigger investors would have taken notice. It's still the same company with the same products. Ok, so we're po'd about the split. I know I am too, royally, but I think we hurt ourselves with the mass selling. I also thought his letter to the shareholders was well written. Ok, he stated the obvious on a few topics, but overall I think it was well said. I'm sure that 99.9% of you don't agree with me, but I just wanted to express my thoughts on the whole FUBAR'd situation.

I sold... after the REAL dip... IE: after the R/S... I'll buy back in for 3-4 times the number of shares.

Lost 3K on this.

able to recover our loss in 6 month or so.
A r/s can be good but most are not. A few
things don't add up. Earlier pr mention
GasAlert was to be released this yr. Nothing
futher has been mention about this product.
Sand tells investor by phone their will

Keep it on radar around December january

However there are plenty of stocks out there to recover your money, look at OXFV, I got in at .0023 with 3 million shares. I still have 1 million for the gap this morning.

Another possible big runner (rumored to be x10) is BIGN, not sure about it but worth doing more DD on it.

Good luck to all and see all of you December or 2006

PS got a postcard from Aruba, from the CEO of IGTN.

I too am holding my shares as the loss would be to great. As of today, I'm down 4k. My latest email to Scott has not been answered, maybe fellow board members can answer my questions. Last weeks press release stated:
"The deposits included Secure Balance(TM) sales of $497,342.63"

and then later added,
"The Secure Balance(TM) sales indicate that IGTN is on target of reaching $2M in total sales of this product line by May 31, 2006."

My question is.... if sales of Secure Balance are near 500k now, and total sales are expected to reach 2mil in the next 3 quarters, their not forecasting any growth are they? Plus no mention was made of their other products.

I really want to see the audited financials before I decide to do some tax loss selling. I'm hoping there is still potential, but the doubts are seeping in.

Posted by MoeMoney on :

Hello folks. I want to thank you for stating what has been not only my gut feeling but oddly enough the facts themselves about IGTN - And that is that this stock is a WINNER hands down.
My emotions have been thru the mill with this stock for months now. Talk to me about losses? I am down $80,000.00, but here is the silver lining. (And I owe it to you, my friends) For again stating the obvious about this company. This company bar none has one of the best track records for accuracy in reporting and growth that I have seen in a long time.
A year ago I made the same mistake and swore I would not repeat it. That mistake cost me three million bucks because I bought the bad hype from all the short sellers. I almost did it this time, but I am back in the game again.
At that time I was sitting on a half million shares of a company I KNEW would do great - sold it on panic at .19 and turned around two months later and saw it was over 3.25. So I told myself I would find another stock that would do the same for me...I did my research and BINGO - IGTN was the star. I lost hope. I have regained it.

PS. Another FANTASTIC stock right now is JPHC - Jupiter Holdings. It is in the same condition as IGTN, only it is much cheaper. It is rock solid but suffering from bad hype. And if you want to hear some real bad hype on JPHC - listen to what someone posted just as JPHC was doing and is doing now - moving to the Bulliten Boards.
The hype was (SELL FAST BEFORE THE MOVE TO THE OCC BULLITIN BOARDS). I Said to myself what? But I am somewhat gullable.

No more. No more gullable lil me. I will be rich inseated and hold fast to this winner for all its worth - and if it goes down I will buy in more and average down. I may have lost a few tens of thousands, but I would say that a few million will ease the pain.

Good luck to you all. Let me rephrase that. There is no LUCK involved in IGTN. Just common sense math.

PEACE AND LOVE AND PROSPERIT"Y TO YOU ALL>

I SEND MY LOVE.

bid/ask anyone??

Posted by MoeMoney on :

I thought I would chime in on this R/S issue also. I have been trading in stocks for over 20 years and have very rarely seen the confidence lost by the shareholders or potential shareholders be regained. In my humble opinion, R/S are only done by the pink sheet loosers. Sure it boosts the price temporarily, but then it ususually sinks once potential investors know they may suffer the same plight.
I was told never "marry" a company, but I married this one because I fell in love with it. Do I beleive in the company? Yes. I bought in at a rather steep price of over 3 cents a share. I practally put my life fortune into this company because of the faith I have in it.
But do the math. The price goes down, which is bad enough, but then to have the price rise 40 times what it would have had to to just break even....I would be heartbroken not to mention much worse finantially. I invested a lot of money into this company so that it could do the things it wanted to do to help raise share value. I did not invest money to have them play games with the pricetag.

I plead with you, Mr. CEO. Myself and a lot of other people have invested their hard earned dollars into this company believing in the same dream and promise it has for the future. Some like myself who are on disablility do not even work any more and will suffer greatly. Some who are retired will do the same.

I think the press on this can be nothing but bad. From all the press releases that were put out, IGTN had the assets to move to the Bulletin boards stocks. If it has the assets and the potential, people will buy the stock and it will go up in price.

Please make money the old fashioned way...to quote the commercial...."Earn it". The stock will rise if your earnings show good numbers. To falsely inflate the price to get to the Bullitein boards to me is just not worth it.

My final plea. Let the price rise on its own and when it is high enough to qualify for the boards, do the move then. When I practily sold the farm to buy this stock it was based upon your move to the Bullitin boards, etc. but never did I dream your company had to raise the price doing R/S to get there. If I had known I would have turned around and started running.
Too late for me now. I just hope this marriage does not cause me alimony payments the rest of my life.

Well said. If the company will do as well as they say it will then let the price rise naturally, not with an artificial r/s. I don't see how tricking the new exchange would work anyway since the market cap of the company after the r/s would be the same or worse anyway. It's just simply inconsistent to say that the value of the company will rise a hundred fold over the next few months (as the CFO is quoted as having said) and performing a r/s. I'm sorry to all including myself who have lost money on this. It's going to take a lot to regain it, for me after a 40/1 r/s it will take a price of 1.20 just break even. Will we ever get to that price now that the pps has dropped 80%?

I was told never "marry" a company, but I married this one because I fell in love with it. Do I beleive in the company? Yes. I bought in at a rather steep price of over 3 cents a share. I practally put my life fortune into this company because of the faith I have in it.
But do the math. The price goes down, which is bad enough, but then to have the price rise 40 times what it would have had to to just break even....I would be heartbroken not to mention much worse finantially. I invested a lot of money into this company so that it could do the things it wanted to do to help raise share value. I did not invest money to have them play games with the pricetag.

Very well said Moe and Aqua. I'd have to see .89/sh to break even too, so I can understand what you're saying.
I have a question though. Let's say that Mr CEO decided to not go forward with the R/S which is HIGHLY unlikely, do you really see this as going back up? Or do you think that the confidence is lost now? I honestly don't know what would happen. As good as the product is, and I DO believe in the company and the product, I think he forgot to take the paddles as he headed up the proverbial creek. I don't know if I can see a silver lining until 1, he's on the BB and 2, that the products make headlines. And then, if someone is doing his DD, and sees the R/S, will they buy the stock? Mannn I'm confused.

I'll say big one for you all. Thanks for all

News for 'IGTN' - (Ingen Technologies, Inc. Files 10-KSB on Edgar Next
Week)

CALIMESA, Calif., Oct 28, 2005 /PRNewswire-FirstCall via COMTEX/ -- Ingen Technologies, Inc. (OTC Bulletin Board: IGTN), a medical device manufacturer of OxyAlert(TM), OxyView(TM), and Secure Balance(TM), announces the SEC Filing schedule to become a reporting company and move to the OTCBB.

Ingen Technologies, Inc., merged into Creative Recycling Technologies, Inc (CRTZ), a Georgia corporation, in March of 2004. The company changed its name to Ingen Technologies, Inc. (OTC: IGTN) shortly thereafter. CRTZ commenced periodic reporting under the Securities Exchange Act of 1934 in 1996 and ceased reporting in 1998.

The Securities and Exchange Commission has been in contact with the company attorney, Peter Wilke and the company is prepared to bring the periodic reporting up to date.

Attorney Peter Wilke stated: "We have committed to filing our fiscal year 2005 (ending May 31, 2005) 10-KSB on EDGAR no later than November 4, 2005. We have stated that we will file our fiscal year 2004 10-KSB and first quarter of fiscal year 2006 10-QSB in November of this year. We have stated that we will provide a schedule for filing our quarterly reports for fiscal years 2004 and 2005 in December."

"The company continues to generate revenues with the Secure Balance(TM) products. We will have a working prototype of OxyView(TM) and OxyAlert(TM) next month, at such time we will commence tooling and preparation for production of these products. The first production models of OxyView(TM) and
OxyAlert(TM) will
be evaluated by the Food and Drug Administration for issuance of a 510(k) to allow the company to market the devices within interstate commerce. We look forward to a bright future and prosperous year ahead," said Scott Sand, CEO and Chairman of Ingen Technologies, Inc.

Is there anything we need to do if R/S is approved? Or the system will automatically R/S the shares and raised the price?

UPDATE!!!!!- From St*ck Sp*t

Yes I did go to the meeting today, and I was surpised with such a turnout (standing room only, if you got there late)
The CEO says reverse split was needed to fund production of the oxy-alert,oxy-view, and pure produce. He is going to use his shares to gain 8 million in funding
There will be a demonstration on th oxy products at the end of november.
They are gaining sales with secure balance, and stepping up advertising.
they were very confident with thier plans.(the pure produce facilities will be in so california)
He explained everything to the shareholders(he had all the votes that were mailed in, all the letters, all the signed documents)
Everybody voted, they tallied up the votes that were mailed, and the majority vote yes on all three issues.(to move the company forward)

He was confident that shareholder value will be restored.
He said infermed was still going to play a big part in IGTN'S future growth.

I asked him about your question about buying back shares ..he said after products come to market, that would be considered.
He wants to maintain a low float (to keep control of the daytraders and the MM'S)

He annouced a pr for tomorrow, at the meeting. And we will see IGTN on edger by friday.

I am only passing along what was presented in the meeting. so please don't kill the messenger.
I will hold my position. I was satified with the plan. the people who I met were very professional and focused.

I will pass on any information I can..I lost almost a full day of my business and the gasoline, because I wanted to see what was going on there today.

Thanks for the update Ranger. I look forward to reviewing the financials later this week. Two questions for the board.
1. R/S is immediate correct? So my brokerage account may be updated today?

2. If financials will be on Edgar, does that mean yahoo will pick them up and include them in their data?

Thanks.

Anyone know how this works as far as.. Say I want to buy it now, it's still at 5 shouldn't it be at 1 now?

Doesn't look like anythings changed yet.

MasterQuinn - I'm still trying to figure this out also. My brokerage account has not changed, same number of shares I had last week. Prior PR stated the R/S would take effect the same day. I'm just waiting and watching. At current price of .0048, new price should be about .1920 Good luck.

I care, but don't know. I thought that the split was effective on the day of the vote too. Has anyone called Scott? Any info when the R/S is going to occur?

Posted by Raykay on :

I sent an email requesting a date when change will become effective. The response was "working on it".
I am curious about the price per share. The share price has been increasing slightly. I wonder if this increase will be included in the new/adjusted price?

Posted by Superbee383 on :

I think it does. Whatever the price is on the close, the night before the split, is what's used.

It shows popping 40% today!

Wow... I'm trying to stay away from Pennies after this stock hurt me soooo bad.

I wanted to buy this the other day at 50 but I didn't want to get stuck in the split.. damn them.

I think this will run after split is done

Posted by stockaholic on :

I do too. I just hope it runs up to about $1.50

Posted by Eire on :

Stoc!

Have you always been so lucky to have a split reach $1.50

Boy..........not me since starting in the market a few months ago, I've been red on all my positions which is 3.

The thought that it would run to the $1.50 would be great!

The statement, the luck of the Irish, needs to be re written!!!

Posted by stockaholic on :

No, I'm exaggerating but stock always has a good run post split. I'm just looking to minimize my losses. Too stubborn to sell before. If I can get another few hundred after the split...then sell, all the better. I think $.50 or more may not be out of the question. I will definitely not be holding after that run though.
