OXFORD, Miss., Aug 25, 2005 (PRIMEZONE via COMTEX) -- Modern Technology Corp. (MOTG, Trade), a diversified technology development and acquisition company, announced meeting its revenue projections for mid-year 2005 and issues a general update on the company's progress and future.

Results to date:

In less than one year of executing its new, expanded business plan, the company has delivered to investors superb results. The company exceeded its 2004 projections by delivering to stockholders revenues of $10,000,000 and current assets of $7,000,000.

The company recently entered into a Letter of Intent to acquire InMarketing Group. This new subsidiary adds an estimated $11 Million in 2005 profitable revenues and a projected additional $13 Million in profitable revenues for 2006. InMarketing Group generated $8.7 Million in profitable revenues in 2004 and has generated $5.8 Million in the first half of 2005.

The company's pro forma 2004 revenues are therefore approximately $18,000,000 and is in range of its mid-year pro forma revenue projections of $25,000,000.

Dividends:

In 2004 the company paid a $383,697 cash dividend. The company has paid stock dividends in addition to cash dividends. In October of 2001, the company paid a stock dividend of 403,000 shares in our portfolio company, Scientio, as part of a spin-off transaction. As of June 30, 1999, the company distributed a stock dividend of 403,000 shares in our portfolio company, Coral Development Corp., as part of a spin-off transaction.

The company intends to pay dividends as appropriate and as part of its anticipated subsidiary spin-off strategy. As the company's subsidiaries mature and grow, a public spin-off transaction will be considered. Each stockholder in MOTG would receive stock in the new public spin-off company in addition to stock they already own in MOTG. Internal Cash Flow:

One of our assets is a Convertible Debenture in DeMarco Energy Systems, Inc. This debenture is planned to generate over $1.5 Million in cash for MOTG and our interests are further secured by the patents and rights to key geothermal technologies owned by DeMarco Energy Systems (Other OTC:DMES). (www.demarcoenergy.com). This asset serves as a mechanism for generating internal cash-flow as needed.

Future Growth:

In June 2005 the company announced a strategic alliance agreement with UTEK Corporation. This alliance provides the company with nascent, market-ready technologies. Not sure what the float is, if anyone can find that, I'd appreciate it.

O/s is only 15 mil, and the company as of last quarter has no debt. Assuming the last PR is correct, they're current assets stand at 7 mil and are looking to add.

I also like a company that is sound enough to pay off a nice dividend.

This could turn out to be really fantastic!

Looking at their sec filing sb-2 on 7/8 The have an A/S of 150m And an o/s of 15.1m(3/05) But, since then, they have registerd more shares to dilute the o/s up to 95,959,763 which assumes that all shares registered will be sold. Numbers should be verified now, to see where they are at.

The investor relations is extremely professional. Here is a response from the CEO about how aquisitions are funded without negative dilution:

My assistant asked that I email you.

We fund acquisitions with a time-based convertible. Shares are issued, of course, but over time.

We continually acquire new companies and strive to grow the ones we own.

Therefore, the capitalization under the shares issued should consistently grow.

Positive 'dilution' vs. negative.

Market cap is based on the current pps. You must have looked it up when the pps was .027.

I was watching the L2 on MOTG today and there were 95000 shares traded at low of .034 and high of .036, last price .036, when it almost instantly jumped to 2,194,700 shares traded low of .0285 high .036 and last price of .031.

What could that mean if anything?

This is a direct quote from him as of a week ago when I asked how they expect to have a high enough stock price to move to a national exchange in 18 months:


we judge this from our anticipated capitalization, assets, and revenues next year based on our current acquisition pipeline and internal growth.

We do not believe MOTG's stock price will be anywhere near where it is in the near future as our acquisitions and revenues are added to our filings.

Right now, there's a lot that is being prepared for filing that is quite positive.

Not sure, yesterday's shake could've freaked out a lot of people. I got out of this last week, but picked up some more yesterday at .03.

This is a stronge company with low debt and good revenues. Earnings report probably not until next month, but imo it's going to be nice. They seem to have their head on straight in terms of getting listed on the exchange.

Yeah I think it is cheap here too, if all goes as the company plans. Alot of volume today for this stock. I'm only in for 20k at .038. 350k of this would be great.

This took quite a jump today, Had some pretty good news and future predictions, This company has no debt and is supposed to be buying other company's for investments. You can't go wrong at these prices. Whats some other opinions on this stock? Tomorrow should be interesting.They predict $50'000'000 in revenue by the years end.

I just found this one. I wish I would have found it before today. WOW, what a gem, I broke my rainy day piggy bank to get as much as I could. ALl we need is the filing to confirm what they said and we will rock even harder. I think we will gap big tomorrow. .12 is possible. IMHO.

Question , does anyone know what happens when these pennies do hit the nasdaq as motg has stated they are aiming for. Is it the type of progression much like walmart in the past where as the price rises dramatically splits do occur, not necassarily hurting long term holders, only dampering somewhat huge earnings , or what, I guess I havent really traded a great stock with big market capabilities before, hopin for this one to become that one as I buy and sell it along the way, Im not a holder, to impatient for that, any opinions or thoughts greatly appreciated

I really don't think this one is to well known, YET. This one is a no brainer. Fiings soon, confirm the PR.s going to new exchange, what else can you ask for.

I own this one. Have for a few weeks. My favorite time to buy is when people are paying little attention. I agree, people will know more about this one real soon.

I agree. I got in here at .032 3 weeks ago, Im obviously green, but still holding, this is one very rare thing for me when it comes to pennies, but I am sure it will pay off. In my honest opinion, now is even a steal for an entry point
