peeps hate r/s in most cases; unless majority see business reason for r/s, will sell off once it's confirmed or even on a rumor...troll on another thread mentioned 400:1 r/s, could be planting a rumor.

however, I can't find it on NASD...still looking

good point...since I haven't been to confirm anything, I'm guessing there was talk of a r/s back in June that has since been shelved. Have NOT had time to follow the "14- pre-filing" trail...

Heres the full PR...

Nannaco, Inc. Announces Execution of Definitive Merger Agreement with Premier Developer and Manufacturer of Nutraceuticals

GIG HARBOR, Wash., Aug 9, 2005 (PRIMEZONE via COMTEX) -- Nannaco, Inc. (OTCBB:NNNC) ("Nannaco") announced that on July 21, 2005 it entered into a Definitive Merger Agreement with Amenni, Inc. ("Amenni") located in Ft. Lauderdale, Florida.
Amenni is a premier developer and manufacturer of Nutraceuticals. Amenni develops and manufactures joint-care nutraceutical products for dogs and horses. In addition to Ft. Lauderdale, Amenni has facilities located in London (United Kingdom), Dubai (United Arab Emirates) and Zurich (Switzerland).

Amenni has initially distributed these product lines through a distribution agreement with an internationally recognized pharmaceutical firm. Revenues in the first 12 months from this agreement exceeded $1 million, and the first product was launched in 10 countries. Amenni anticipates a roll-out to an additional 15-20 countries, including the U.S., within the next 12 months.

Amenni has also initiated the launch of its highly innovative Sports Patch into the U.S. OTC market. Its primary active ingredients have been developed in conjunction with its highly successful research into Veterinary Science.

The Sports Patch is targeting the fast-growing Sports Healthcare market and has shown significant benefits to aid the recovery from a sports injury. Joint and ligament injuries happen to all athletes. The Amenni Sports Patch applied immediately after injury helps with quicker recovery times. Currently, there are no direct competitors in the marketplace.

Amenni has already begun production of patches for a substantial U.S. client.

Amenni is developing additional products for distribution by this and other distribution partners. Furthermore, Amenni continues to develop nutraceutical products aimed at the human (as well as animal) marketplace. For 2004, Amenni has indicated that its combined revenues exceeded $3 million and anticipates strong growth in 2005.

On July 21, 2005, Nannaco entered into an agreement to merge a wholly owned subsidiary of Registrant with and into Amenni, and to rename Registrant "Amenni Inc." (the "reverse merger"). The agreement provides that all of the shares of common stock of Amenni, issued and outstanding at the time the merger becomes effective under applicable state law (the "Effective Time"), will be converted into common stock of Registrant such that the current holders of Amenni common stock will hold 97% of all shares of Registrant's common stock outstanding immediately after the closing of this merger transaction.

NOTE: Information contained in this press release, other than historical information, should be considered forward-looking in nature and is subject to various risks or uncertainties and assumptions. Should one or more of these risks or uncertainties materialize, or should underlying assumptions prove incorrect, actual results may vary materially from those anticipated, estimated or expected. Among the key factors that may have a direct bearing on the operating results, performance or financial condition are the company's ability to achieve and manage growth; the company's ability to attract and retain qualified personnel; the company's ability to secure necessary financing; potential litigation by shareholders and/or former or current advisors against the company; the company's success in securing third-party commitments, production agreements and/or licensing contracts; the company's ability to comply with federal, state and local government regulations and/or unforeseen changes in federal or and government regulation; and the company's ability to develop new services; and other factors discussed in Nannaco's filings with the Securities and Exchange Commission.

Trades have tripled today from yesterday!!! almost 600mil in volume today. I would love to see an afternoon run with all this activity!

Posted by cbrf2 on :

i agree, and the o/s is at 40 mil, so thats the same 40 mil being trading times 15! Now go up!

Posted by Pagan on :

Look for a possible uptrend into the close. If it does trend up, look for gap in the AM. With today's heavy volume, most who rode up yesterday will have taken their profits today(as witnessed by the heavy volume) and we seem to have stablized in the mid .004's. Maybe worth holding for a bit as long as you've already taken some profits off the table.

This is crazy, the 2nd day i missed out on this. i didnt figure it would run again. Tomorrow might drop, no way I would put my money in tomorrow its going to drop hard as a brick. Too risky. Question though, How much money to you guys usually spend on stocks like these :100,500,1000, or 10,000 dollars?

Posted by Zacktrade on :

Glad I could help out; to answer the question above, I typically get these picks either from doing lots of DD and seeing how the stock has reacted in the past or...my other source I'm not at liberty to disclose. I'm happy you all did so well today and yesterday. There was another stock this morning I posted at .18, but it seems that nobody payed attention(closed today at .34)

Check out my newest post for tomorrow's pick (CALB) , should be a big play.

NANNACO AUG 11,2005 announced today that it has entered the over-the-counter (``OTC'') pain-killer marketplace. Amenni will begin trials of their innovative ibuprofen patch.

Amenni believes that this new product will be of great benefit for those patients who have difficulty in taking pain-killers orally. Amenni's market research has indicated the Ibuprofen patch will fill a significant niche in the $1 billion + OTC pain-killer market.

Nannaco previously announced July 21, 2005 it entered into a Definitive Merger Agreement with Amenni. Amenni, with offices in Ft. Amenni anticipates a roll-out to the U.S. marketplace, as well as 14-19 additional countries, within the next 12 months.

For 2004, Amenni's combined revenues exceeded $3 million. Amenni anticipates generating more than $6 million in 2005.

Amenni has also initiated the launch of their highly innovative Sports Patch into the U.S. OTC market. Its primary active ingredients have been developed in conjunction with its highly successful research into Veterinary Science.

i dunno--just brainstormin' here...

!!!Folks--*magnetic* goes to some verifiable time-consuming work to keep us updated on splits. This is valuable info, as you can lose big by not knowing, or win big by being in the loop. Volunteers to help would be nice.!!!

Thing is Tex when these things start running a lot of people just buy and could care less about what the company is planning ie. R/S

will anybody be looking in the rear-view after the split?

For some reason I've been disregarding it.

I just wish I could justify my decision to disregard!!!

I hope it was'nt greed. LOL Sheeeez! did I really post that!

would'nt ya say that makes your statements and opinions suspect?

As in no credibility?

Everybody I know was aware of the R/S factor days ago...

The O/S is 368,234,290 according to my ameritrade apex account.

Why split?

Post split shares will only be 895,585 shares!

Thats why I am greedy on this one...

Besides, it actually is a real company with revenue and expanding growth..Check it out.

19-Aug-05

The Registrant [ NNNC ] disputes that it
is in default on the agreement and is
currently working to ADDRESS and, if
APPROPIATE, SETTLE the PURCHASERS CONCERNS.......
-------------------------------------------------
The dispute only involves $50k

Man, thats peanuts in this kind of dispute!

Once in awhile a no brainer comes along, well, NNNC is my pick for a no brainer..

It may drop some more, BUT, I
am fairly certain
we will see a hell of a re-bound next week!

VERY VERY seldom do I go in heavy with a OTCBB
For this one I have set aside $5000.00

I already hold 952,000 shrs at .0024 cost av.

Are they still planning on doing the reverse split? Just trying to catch up:)

Posted by Dustoff101 on :

Piggy, The way I see it, it depends on how they finaly wind up structuring the merger...

The company is getting alot of Buzz around the internet.......

This may wind up being one of those times when the R/S does'nt drop share value..

If the R/S comes at time when the stock
is beat up and way oversold, that could
be a very

strong positive...

Please understand, I am playing this thing as a long shot bet...

It is a high risk gamble, that does give us clues
as to the behavior of traders...

In other words, traders as well as high risk investors will chase this thing..

Volume is key, excitement is a must.

"GRANT AUTHORITY TO THE BOARD TO CONDUCT UP TO A ONE FOR 400 HUNDRED (1:400)
REVERSE SPLIT OF NANNACO'S ISSUED AND OUTSTANDING COMMON STOCK"

Nannaco's Board has determined that it would be in the Company's best interest in the near future to conduct a reverse split of its common stock on up to a 1-for-400 basis and has received the consent of holders in excess of a two-thirds majority of the voting capital stock to authorize the Board to conduct such a reverse split, in the Board's discretion.

A reverse split would reduce the amount of presently issued and outstanding shares of common stock into a smaller number of shares of identical common stock. This process would take up to four hundred shares of the presently issued and outstanding common stock on the effective date of the reverse split and convert those shares into one share of the post-reverse split common stock, as a matter of law.

The Board has indicated that fractional shares will not be issued. Instead, Nannaco will issue one full share of the post-reverse split common stock to any shareholder who would have been entitled to receive a fractional share as a result of the reverse split. Each shareholder will hold the same percentage of the outstanding common stock immediately following the reverse stock split as that shareholder held immediately prior to the stock split, except for minor adjustment as a result of the additional shares that will need to be issued as a result of the issuance of one share for a fractional share.
