Financial Snapshot

Tricell’s revenues have grown from £ 121.7 million in 2000 to £130.7 million in 2001 and to £431.4 million in 2002. Margins were and remain thin (Net profit before tax of £1 million in 2000 fell to £515,000 in 2001 before recovering strongly to £6 million in 2002) and trading can be volatile over the course of each year. However, the underlying growth of handsets and connections worldwide have helped Tricell enjoy strong performance despite estimates of the handset market declining in Western Europe in 2003 by about 10% in volume terms.

The business has always generated positive cash flow every year of its operations. The business is debt free.

Revenues

After a difficult 2003 and 2004 which saw revenue decrease from $700 million to US$100 M due to working capital constraints (caused by the withholding of VAT repayments by UK Customs & Excise to this sector), 2005 is now poised for a marked performance improvement.

UK Customs & Excise have implemented the processes and procedures they believed necessary and are no longer unduly withholding VAT repayments. Tricell anticipates its revenues will now return to US$500m-$700m.

I managed to buy 70,000 shares from .053 -.09

I kept having to change my limit order so it took alot of work to get those shares.. lol

I did sell onev to buy this and I used "unsettled funds" so I hope I hope this stock will still be up there in 3 days.. I always screw myself over using unsettled funds I hope it is different this time.

Hey Mike,

My sentiments exactly! I know $2 would be nice but I'd settle for $1. LOL

I bought 102K between .035-.06 and then another 13K @ .10 before the bell. Shares were crazy hard to buy. I kept having to cancel orders and replace them after only getting partials.

Even at the current price it seems like a steal.

100 million OS * $.10 gives us a $10,000,000 marketcap

They had sales over $50,000,000 in only one quarter and had a profit.

It appears that business is good and hopefully the CEO will issue some PR's soon.

I sold all my shares of this. The company is difficult to get a hold of and I'm a little ticked off that they didn't issue a PR about the 1st Quarter results. I still think it could have some huge gains but they need to do something to bring in investors.

They also listed the wrong number of outstanding shares on the 10Q. Here is the info I just received from their transfer agent.

At this price this is a steal. Do your DD... This looks like a great buying oppertunity. These shares are had to get since the float is so low

Look at their quarterly financial reports. The companys income is almost back at their 2002 levels. then look at the stock charts and see the share price for 2002!

This is a steal at this price...

The reason they reported a loss the past year is due to back VAT taxes that needed to be paid or somehting like that. Now that the VAT issue has been resolved the company is back to making profit. I think the share price will soon reflet a profitable company.

ok so a NT 10-Q was filled today... So the company has 5 calender days to release the 10-Q. This is normally bad news but have your read the reason why the company is late in the NT 10-Q???


"Our revenues increased significantly during the quarter ended June 30, 2005 as compared to the quarter ended June 30, 2004 as we restarted material trading operations in January 2005. "


This is going to be great guys! can your read it?? "revenues increased significantly"!!!!!!!!

The 80% it moved up today was the spread .05x.09

I expect the PPS to be at 0.40 as a minimum after the 10-Q! PPS should really be at $1..

Look at the two year charts. The company is basicly back at the same profit as when the stock was trading at $1.50. They ran into an issue with VAT (taxes) that they need to pay and thats why they have not been profitiable last year. Now they are back on track and soon the PPS will reflect that. There is no reason the Price will stay this low after the 10-Q comes out.

Because the float is so low these shares are hard to get. Everytime you buy this baby will uptick on you! Good luck to everyone and grab as many shares as you can!

It is amazing how undervalued this company is...

It is hard to buy or sell a stock with zero volume. What good is it if you can't sell it for a profit? The spread is so great that it is near impossible to make any $$$. It is good that they have increased sales but they are still churning debt as a whole.

I have to say this is one of the finest companies, if not the finest, in the pinks. Too bad the company doesn't bring attention to itself via PR's, and moving to the BB. However, its continually increasing debt must be a concern.

These shares are hard to get. This really is the BEST Company on the Pinkies... If you can you should get is as early as possible tomorrow morning. There is not telling how high this baby will go. I think it can hit the 0.50 levels. I look forward to tomorrow being a GREAT day!

No need to worry about the debt increasing this quarter. If you read it the 10-Q then you will see it is only to pay of creditors while they are waiting for their Value-Added Tax (VAT) refund which should be late 2005. After that I really can see this stock back to their normal levels of $1 or more!

Good luck and I would get into this if you can. It is so nice to see the company’s revenue increase so much!

FYI... I did call the company this morning. I am not sure what time it was over there in the UK when I called but the lady was really nice and they said they should give me a call either today or tomorrow. I told them "the 10Q looks great and I wanted to know if they plan on drawing any more attention to the company using PR's"

Does any one else have any other questions you would like me to ask them when they call me back?

You will probably never see a company this good on the pinks... never. This is not no mom and pop shop or some scam or P&D. This is a real company with big revenue numbers.

If they do call back I'd also like to know:

1) lack of visibility - they've had 40 some trading days since May where there was no volume on the stock whatsoever.

What are their intentions to increase visibility? Think about it - a company had TWO HUNDRED MILLION PLUS in revs for 3 months and nobody knows about it. Could you imagine this stock with a volume day of say, oh, 6-10M shares traded? wow...sounds like a nice dream, eh?

2) Why don't they respond to shareholders via their contact page on the company website? I've tried numerous times and have never received a reply. I was particularly concerned since I didn't receive my shareholder Proxy till after the annual meeting. Mail delay? dunno.

3) By increasing their cash position from $0 at the start of the year to $1.4M as of June 30, how much of the TELCO line do they need to continue to draw upon? It's the only reason they didn't post a profit this quarter (-$1.09M interest expense related to TELCO). Otherwise they would have posted + EPS $.01 for the quarter.

4) Is there any update regarding VAT payouts? They said in the shareholder proxy they were expecting developments before the end of the year -- well, it's almost september and still no word.

5) are they still projecting a billion dollars in sales this year, as they had touted last novemeber?

6) bottom line - increasing shareholder value as they touted in PR's last year and early this year has been a total failure. Nobody's buying (or really selling for that matter). Total volume in the last 4 months isn't too far over a million shares, which at these prices equates to a whopping $100,000 (ballpark) in trades..pretty lousy for a company that just had $220M sales in Q2. Tell Andre and his buddies to buy some shares down here. [Smile]

STAFFORDSHIRE, England, Sept. 7 /PRNewswire-FirstCall/ -- Following board level negotiations during the second quarter 2005, Tricell Distribution, Ltd., a wholly owned subsidiary of Tricell, Inc. (OTC Pink Sheets: TCLL - News), successfully executed two distribution contracts. Pursuant to the contracts, Tricell Distribution's Facility Management Division will distribute mobile telephones and accessories to end users. All mobile telephones sold include airtime packages. Tricell Distribution was awarded these contracts due to the combined experience and pro-active approach of Tricell's management team.

Well what do ya know... a PR. nice.

It'll be interesting to see what happens to profit margins. Right now they're claiming 1.6-1.8%. Take away the need for the TELCO credit, with the sales this company has, could pull $.02-.04 EPS by Q4. And none of that includes the reclaiming of the VAT, I think i read somewhere that's another $14M.

You realize right now with a price of .075 this company has a PSR around .025, based on appx $280,000,000 in sales (ttm) and a market cap of 7.3M. unbelievable.. I don't think i've ever seen a PSR that low before. Only a matter of time now. [Wink]

It's all about this,

In February 2005, the Advocate General of the United Kingdom (“AG”) overruled the United Kingdom Tribunal’s VAT interpretation, holding that VAT transactions are to be viewed as separate transactions, not one transaction encompassing numerous smaller transactions. VAT fraud concerns a series of consecutive activities, performed by a number of traders in a supply chain. It is an essential feature of the common system of VAT that VAT becomes chargeable on each transaction in a supply chain. The AG ruled that each transaction should be regarded on its

own merits, the character of a particular transaction in the chain cannot be altered by earlier or subsequent events and misconduct by certain traders should not be allowed to penalize traders who were not involved in misconduct, but happened to be in the supply chain. This interpretation has allowed us to once more confidently seek a VAT refund. However, the change in interpretation will not be permanent until the decision is backed by the European Court of Justice (“ECJ”). We anticipate the ECJ will issue its ruling in late 2005 or early 2006.

Port Vale are on the verge of finally settling their long-standing £92,000 sponsorship dispute with Tricell. Club chairman Bill Bratt has negotiated a deal which will see Vale paid in newly-issued shares in the mobile phone firm which is quoted on the OTC (Over The Counter) Market in the U.S.

The deal will allow Vale to cash in the shares after 12 months and settle an 18-month-old dispute.

Mr Bratt told shareholders at Monday's AGM that representatives of the group had approached him with a share offer.

Mr Bratt said: "I have come to an agreement that the club will have a trench of shares that will be floated in the new company."

He said the Valiants could sell the shares after 12 months, which would give them more than they were originally owed.

Tricell director John Sumnall said: "We were not responsible for the problems, but we wanted to resolve the issue quickly."

Meanwhile, Mr Bratt has also hit back at claims that the proposed £2.25 million city council loan for his club is a step towards ground-sharing with Stoke City. He said: "The council is not interested in taking over Port Vale. Also, this is not the thin end of the wedge towards a groundshare."

This is down to .07 and hasn't moved much in a while.

November's news was encouraging, 10Q showed about $350,000 net income, which is really more like breakeven when considering they had over 240 million in revenues.

I like it, the year prior they had an EPS of -.01, they broke even for FY2005. If they keep heading that direction, with 94 million shares outstanding, they don't have much ground to cover to hit +.01 EPS in 2006, which would mean a P/E of 7-8 if price holds steady. Call me a sucker, but I say this is undervalued at that level.

Ok, so it's not a quick gainer I'm looking at, but anyone else playing this semi-long-term? I picked up some to play the hunch...over time.

(OTC Pink Sheets: TCLL - News), today announces that the European Court of Justice ruled in favor of companies such as Tricell whose VAT refunds had been withheld by HM Revenue & Customs. This decision emanates from HM Revenue & Customs' prosecution of the Finance Bill of 2003 which made companies liable to the VAT debts of other firms who may have engaged in fraud. The ECJ ruled that a person who carries out an otherwise lawful transaction can not be affected by the fact that in the chain of supply of which that transaction forms part, another prior or subsequent transaction is compromised by value added tax fraud, without that person knowing or having any means of knowing of such fraud. HM Revenue & Customs' position was that this fraud, also referred to as "missing trader fraud," occurred when a business imported goods, in Tricell's case electronic commodities such as cellular telephones, then sold the goods to another business with VAT added to the sales price and the selling importer then did not pay the VAT withheld.

HM Revenue & Customs had withheld VAT refunds to importers who submitted proper refund requests, but who had the misfortune of buying or selling goods which some other business had not paid their separate independent VAT refund. Andre Salt, Tricell's CEO and Chairman of the Board, stated, "Tricell can now buy goods in the open market without fear of having VAT refunds withheld by Customs.

Andre Salt added, "We are very relieved and pleased with the ruling of the ECJ, Tricell will now pursue damages for lost profits, attorneys' fees expended, and other damages."

smallstuff, i'm in for more long term. cant daytrade this one. How often do you come across a non dilutive penny stock with revenues and earnings like this, and NOT have like a billion shares? So few... this one is worth holding at least 6 months or longer. What are you going to have--a billion dollar revenue company with EPS of around $.02-$.06 trading at a dime? cant stay here, good luck accumulating, i sure as heck am. And yes, talk about UNDERVALUED. Look at all the junk trading 10X what this one is at. Way way undervalued. I hope to see $.60-$.90 later this year. Company also wants off the pinks, so they should be able to reapply for otcbb as soon as they file the 10KSB, that will add visibility.

I agree gonefishin13, this has loads of potential and it doesn't take much to move this baby. With their earnings, they're headed in the right direction to get out of pinkyland (over time) imo, and I'll be happy to watch my little shares grow over the coming months.
