Casavant International Mining, Inc. Announces Spin-Out

LAS VEGAS, Dec 19, 2003 /PRNewswire via COMTEX/ -- On December 19, 2003 Casavant Mining Kimberlite International (Pink Sheets: CMKM) Board of Directors announces that the feasibility of a spin out of corporate zinc deposits at George Lake, Saskatchewan, currently held in its wholly owned subsidiary Casavant International Mining, Inc. (CIM), is being undertaken with a representative of Mirador Corporation (Pink Sheets: MRDR). This is subject to due diligence which is currently being undertaken by representatives from each company: CMKM, CIM and MRDR as to the feasibility of this share exchange.

The spin-out, in principle, has been approved by CMKM as announced by CMKM on December 8, 2003. If a CIM/MRDR exchange is approved, CIM will become a wholly owned subsidiary of MRDR which will undergo a name-change, an increase in authorized share capital, and new Board of Directors. The shareholders of CIM would each receive a share in MRDR in exchange for their shares in CIM. The effective exchange date is anticipated to be January 15, 2004.

Should the CIM/MRDR exchange fail to pass due diligence then an alternative exchange will be undertaken with a different suitor to achieve the same result for the CIM shareholders.

the news is out this morning. when this does happen i think that mrdr will plummet in value, as many cmkm shareholders will try to recoup part of their investment and sell millions of shares (if the price of mrdr is anywhere close to its current level when the transper happens).

I still have a long number and a question mark as the stock symbol in my portfolio. Wasn't it supposed to be CMI or something?

So this news out now is saying we're gonna get MRDR as those free shares?

in true tradition of the cmkm style there aren't any details. mrdr is another nevada corporation that was formed at the end of sept 03 and was on a no value flatline until the dec 19 pr when it jumped to just over .01 and has been falling ever since. i think it is another shell game scam, and has a casavant at the helm. a tidy little family operation. even the true believers in cmkm must be starting to wake up by now.

from the dec 19 press release and the kings of vague statements:

The shareholders of CIM would each receive a share in MRDR in exchange for their shares in CIM. The effective exchange date is anticipated to be January 15, 2004.

this could be a reverse split setup. note it says "a share.........for their shares".

mrdr is up 60% so far today, back over a penny. I think you all are correct in your assessment that this will plummet once eveyrone recieves their shares on the 1st of Feb. but until then the market is anticipating this therefore it may rise to over .02. I think we will recieve 1 mrdr for every 2 or three shares of cim. I personally will be selling right away and buying back in when it crashes.

i think the reverse split will be 1000:1 or 10000:1. i am thinking that most likely 1000:1 so the equivalent shareholder value will be below .0001. you will not get more for the discarded zinc play than the diamomd play is worth imho. as far as i can see, mrdr is just a little empty box to put yet a smaller empty box into. i think the only reason that mrdr, a casavant directed shell, even exhists is so there is a chance to make the family some money from public perception of the purported zinc play.

if anyone doesn't think location for a unverified low/medium grade zinc deposit has a meaningful impact on it's value, the mars rover is staking out some claims for me as we speak which i will be selling soon. the drills will be in the ground by spring.

i think the only way you will get a sell execution with cmkm is to pin it to the wall and empty your glock rapid fire.

actually, there is a member who is currently up in canada now doing his own diamond sniffing that sold some cmkm at .0001 i think as an experiment. might have been .00005. i cant remember exactly, but the commission was more than the sale if my memory serves me right. his handle is microdaytrader if you are interested in doing a search here. there were some hot and heavy exchanges of verbal karate for awhile inspired by cmkm threads. many good people posting here during that era have left or changed names.

cmkm is by far the most mystery laden play i have ever seen with crap like ancient chinese jade deals as part of the corporate plan. the company as i'm sure you know has retired shares to the treasury, but a huge daily volume is being sold at .0001 (anything .00005 and up rounds up to .0001) with a brief flurry in the .0002 range. so where are all of these shares coming from? i think most know the answer.

who knows. maybe they will have a pr that will make your lottery ticket at least worth what you paid for it. my guess is you will have a better chance of seeing diamonds by burying a piece of coal and waiting.

I don't know but I sold 1.5 mil shares at .0002 on Dec 15 and turned around on Dec 16 and bought 2.5 Mil.

So I feel the need to let you know my personal oppinion on CMKM.
Lets put it this way...
There are BETTER stocks out there to take the risk for.
By the way I own CMKM.
And I have also falow this for some time now.
I would say since Rick recomended this stock.
Hey...Rick is a very talented person but this stock has simply ...well you know what I mean ...I hope.

Maybe by the year 2020 if we are lucky...hey who knows we might get lucky and it will hit .001

i have 140 mil cmkm, sold 20 mil @ 0.0002 in two days after order, made $2000 from it. Last week, i sold another 50 mil just wait a day for execution. Well, i bought back 50 mil after made some profit from ivoc.

How come you guys have this problem? Anyway, everyone has different experience on it. Well, i think cmkm is a good buy though. If you don't want it, just sell it without any lose, may be just trading fee. But, if the company go north, then...huge profit. Why you guys just want to sell it with that small amount of shares? If i were you, i would invest $1000 on cmkm, is better than lottery, at least you have more chances than invest in lottery. i invest almost $12,000 in this company, because i believe what i believe.

You guys claiming you sold several million shares at .0002 are full of crap. We have several members here that have had MUCH smaller sells in for .0002 that have NEVER filled. And we are supposed to believe that you sold because you post what you claim is "proof"? Anyone can put any numbers they want in there. What kind of "proof" is that? Maybe I should have done as Joe Cool did and ignored your lies, but I don't want people to think that you actually could do what you claim to have done.

as i told, i bought in 20 mil on 12/3 and 12/4/03, and had sell order on 12/14/03. Well, just took a day to execute on 12/15/03. you can check back 12/15/03, executed in 2 blocks, 13698800 shares, and 6201200 shares. So, don't try to piss off and blame on the company.

I own this stock also. I broke my own trading rules when I bought this stock. I had the what if philosophy going through my mind. I have about 15mil. I loaded up on these shares in October before the date they said they would be drilling only to be a bit disappointed up til now. I have not tried to sell yet, but beginning to loose my hopes for this investment. At this point in time I am just forgeting about it and trying to focus on stocks that will make me money. Just got myself a nice double with IPTM recoverd most of my investment in CMKM. I have learned many lessons so far since I have been investing and CMKM appears to be one of them. High hopes and greed will do you in almost 90% of the time, works that way for me anyways.

You know one thing I don't understand is if CMKM is a scam, how would it really be worth it to the Casavant family to want to piss of so many investors like this. It seems to me like they would have to spend their lives hiding. Is it worth it for the money they scammed out of people? I personally do not think it would be.

DIANA , It depends on what the spread was between the bid and the ask was when it was trading at .0002 I have no idea, I know that someone here a few mounths ago said they were able to sell at .0001 I don't know maybe they were telling the truth? I know that the bid has been unpriced for quite a while.
