Advanced Cell Technology Licenses Non-Core Technology for $2.5 Million
Non-Dilutive Financing To Be Utilized to Support Clinical Activities Surrounding RPE Cells Program
WORCESTER, Mass., Dec 18, 2008 (BUSINESS WIRE) -- Advanced Cell Technology, Inc. (ACTC) announced today that it has entered into a license with Ireland-based Transition Holdings, Inc, for certain of its non-core technology. Under the agreement, Transition agreed to acquire a license to the technology for $2.5 million, which includes the extinguishment of $1.5 million of debt and an additional funding commitment of $1 million. The intellectual property does not relate to any of the Company's advanced clinical programs. The Company expects to apply the proceeds it receives in the future towards its retinal pigment epithelium (RPE) cells program.

"We are pleased to monetize this intellectual property in a way that raises non-dilutive capital for our shareholders," said William M. Caldwell IV, Chairman and CEO of Advanced Cell Technology, Inc. "During a period when the capital markets remain highly challenging, particularly for small companies, we have been able to advance our clinical programs through funding from strategic partners like CHA Biotech Co, Ltd. and by the licensing of intellectual property unrelated to our core platform technologies."

Functional Vasculature Generated From Advanced Cell Technology's Human Embryonic Stem Cells
Last Update: 1/5/2009 11:05:03 AM

Functional Vasculature Generated From Advanced Cell Technology's Human Embryonic Stem Cells
Hemangioblasts form multilayered blood vessels with functional smooth muscle a"EUR could provide an inexhaustible source of cells to treat vascular disease
WORCESTER, Mass., Jan 05, 2009 (BUSINESS WIRE) -- Advanced Cell Technology, Inc. ("ACT") (OTC: ACTC.PK) reported that it is feasible to differentiate human embryonic stem cells (hESCs) into functional human vasculature. The research, which appears in the January issue of the journal Regenerative Medicine, shows for the first time that human progenitor cells -known as hemangioblasts- have the potential for both endothelial cell (EC) and vascular smooth muscle cell (SMC) lineage differentiation. This dual potentiality is critical for the effective treatment of human vascular disease, especially the repair and formation of mature and larger-size (non-capillary) vessels.

"The cells participated in the formation of new blood vessels -both capillaries and larger vessels--and were capable of repairing damaged vessels in multiple vasculatures," said Robert Lanza, M.D., Chief Scientific Officer at ACT, and senior author of the study. "The cells restored blood flow in ischemic limbs to near normal levels. They also showed a similar regenerative capacity after myocardial infarction and participated in the repair of vascular injury in diabetic animals. The formation of mature and functional vasculature, except for capillary vessels, requires the interaction of endothelial and smooth muscle cells, the later playing a critical role in the structural and functional support of the vascular network. Thus, the ability to generate large numbers of these progenitor cells makes them an ideal source of cells for the treatment of human diseases caused by deficient vessel growth."

Although endothelial cells play an essential role in vasculogenesis and angiogenesis and form capillary vasculatures, they alone cannot complete the process of vessel growth and development. Vascular smooth muscle cells play a critical role in the support of the vascular network by stabilizing nascent endothelial vessels during vascular development and blood vessel growth. This outer layer of cells also protects the fragile channels from rupture and helps control blood flow.

Until now there was no evidence that blast cells (hemangioblasts) or their equivalents generated from hESCs possessed the ability to differentiate into smooth muscle cells. "The hESC-derived smooth muscle expressed SMC-specific markers (a-SM actin and calponin) and contracted upon stimulation with carbachol," stated Shi-Jiang Lu, first author of the paper. "When implanted in nude mice, the cells formed microvasculature with endothelial cells in Matrigel. The cells differentiated into both ECs and SMCs, and incorporated into blood vessels after injection into ischemic tissues, indicating that these cells are functional both in vitro and in vivo."

"We believe these cells could play an important future therapeutic role for patients with vascular disease," stated William M. Caldwell, CEO and Chairman of ACTC. "We are pleased to continue this work through our new joint venture with CHA Biotech Co, Ltd. (CHA). ACT scientists will work with the new company "Stem Cell & Regenerative Medicine International" to help translate this research into clinical therapies."

The paper's other researchers are Yordanka Ivanova, Qiang Feng, and Chenmei Luo.

Be cautious, they were talking about a R/S. Not sure if there still doing it, but they have 350 million shares out up from 42 million or so. I think they will dilute, and then hit the R/S. I’ve emailed the company many times asking them if they still plan on doing it with no response.

are you saying there are 350 outstanding shares? because this is what I have from cnbc.com

Shares Outstanding 102.3M

The O/S is 350m not 102m. Could be higher by now. Email the company to ask if they are still in the works. I can't get a response.

On a longer term basis, we have no expectation of generating any meaningful revenues from our product candidates for a substantial period of time and will rely on raising funds in capital transactions to finance our research and development programs. Our future cash requirements will depend on many factors, including the pace and scope of our research and development programs, the costs involved in filing, persecuting and enforcing patents, and other costs associated with commercializing our potential products. We intend to seek additional funding primarily through public or private financing transactions, and, to a lesser degree, new licensing or scientific collaborations, grants from governmental or other institutions, and other related transactions. If we are unable to raise additional funds, we will be forced to either scale back or business efforts or curtail our business activities entirely. We anticipate that our available cash and expected income will be sufficient to finance most of our current activities for at least four months from the date of the financial statements, although certain of these activities and related personnel may need to be reduced. We cannot assure you that public or private financing or grants will be available on acceptable terms, if at all. Good call on dilution invester.

Thanks. I'm trying to fine tune my calls and catalysts within a week or so. I call ACTC in 2006 but was in the middle of the Bush administration, thus no funding. I called stem cells 3 months ago "Obama" with huge runs in all of them. My only fear with this one was the dilution and the R/S call back in early 2008. I’m PISSED I missed the move from .02 where I almost purchased to the now .11. I has 100,000 in the order entry for many days but never pulled the trigger. Grrrrrrrrrrrrrrr.

I almost jumped on board at .09 the other day.

Not happy that I missed this one as well, been watching it off and on for the past few years.

Scared to touch it now though, with all that debt, and how high it has run-up so far.

Oh, you sure to be cut in half. Dilution, debit, and the R/S. That spells disaster. I was wrong in 2006 when I thought it was a buy, and thought the Bush administration would come around to funding in his second term. And I've been wrong the whole way up in 2008. LoL.

I'm amazed at this. I literally had 100,000 shares in the order entry for a week or more at .02 "2k worth" when it was between .015 and .025. That would be worth 29k right now. I'm pissed!!!!!

I just recieved an email today and I listed it below, what do you think about this stock. Is it worth getting in on at this point? I checked the stock out online and it is making gains. Is the email a scam or just some one trying to pump the stock? Or is it a hot pick to jump on?

HOT HOT STOCK! ! !

Below is the latest corporate update on one of the hottest stocks going! With this news ACTC has exploded today and it looks like it may see HUGE gains all the way through this summer. It is looking a lot like Geron Corp. another stem cell company that is currently trading at over $8.00 a share. With the new Obama administration coming into place companies like this will go through the roof in the very near future. Get in now while the price is still under a dollar, because it won't be there in the near future!

Advanced Cell Provides Corporate Update
11:25a ET January 23, 2009 (Business Wire)
Advanced Cell Technology, Inc. ("ACT") (OTC: ACTC) provided a corporate update today. The Company announced that it has accelerated its efforts to file an IND for its retinal pigment epithelium (RPE) cells program for the treatment of diseases of the eye in light of today's decision by the U.S. Food and Drug Administration to grant clearance for a stem cell company to begin trials for the world's first study of a human embryonic stem cell-based therapy for people. The Company is close to securing the necessary funding which would allow it to make the requisite filings during the summer of this year. An IND filing is required in order to commence clinical trials in humans.

"We believe the recent administration change has increased funding opportunities for technologies such as ours," said William M. Caldwell, CEO and Chairman of ACTC. "Today's decision to allow the world's first study of a human embryonic stem cell-based therapy for people perhaps reflects a new view towards stem cell-based therapies on the part of the FDA and government."

Advanced Cell Technology is currently focused on using its proprietary technologies to generate stable cell lines including retinal pigment epithelium (RPE) cells for the treatment of diseases of the eye, including macular degeneration, which represents a $28 billion dollar market. Age-related macular degeneration (AMD) affects more than 30 million people worldwide and is the leading cause of blindness in people over 60 years of age in the United States. AMD is a disorder that affects the macula of the eye that causes decreased visual acuity and possible loss of central vision. The prevalence of AMD begins to increase after the age of 50. Approximately 15% of people over 75 years of age have the condition.

ACT demonstrated the ability to rescue visual function in rats through implantations of RPE cells derived from human embryonic stem cells. In collaboration with Raymond Lund then at the Moran Eye Institute at the University of Utah and currently working at the Casey Eye Institute at the Oregon Health and Science University, the Company performed RPE transplantation into sub-retinal space of rats that naturally become blind in several weeks due to RPE degeneration and photoreceptor death. In the experiments conducted by the Company, the rats were injected with embryonic stem-RPE cells into the sub-retinal space of the eye at 21 days after their birth -- an age at which photoreceptor degeneration has not yet occurred. As control measures, some rats received injections of cell culture medium alone or were not injected at all. Subsequently, tests for visual function were performed at 60 and 90 days after birth -- times at which loss of photoreceptor cell has produced characteristic vision deficits. The results represented a major breakthrough. The injected RPE cells grew normally without forming teratomas. Soon, the rats were able to follow lights with their eyes and attained approximately 70% of the spatial acuity of a normal, healthy rat. Necropsy revealed that the eyes had grown layers of the retinal cells. The experiment demonstrated that animals receiving the human embryonic stem cell-derived RPE cells performed significantly better than medium-only treated (50% improvement), or untreated (100% improvement) controls in visual performance. In addition, the human embryonic stem cell-derived RPE cells did not appear to cause any side effects in the animals. The research was published in Cloning and Stem Cells and was also referenced in Scientific American.

One more note. I just looked at ACTC's stock history and noticed that on February 1st 2005 the stock jumped from .12 to $9.00 before settling at $6.50. Are we looking at another one of these kinds of jumps given the current status? Or is this a flash in the pan day for the stock? I a looking at buying a couple thousand dollars worth on Tuesday and want some opinions. THANKS!

ACTC had about 34 million O/S at that point. There approaching 400 million now. I'm not saying it won’t keep going, but it’s had a 1500% run in a few weeks with no pullback. They have huge debit, major dilution, and a pending R/S. All I'm saying is that is a recipe for disaster.

I'm still new to this and I do have some shares of ACTC but this is what I would say....First off I'd say read above me what Investor said because its something you should keep in the back of your mind. Second off I would say be aware of holding anything in this market because I'd have to say its def. a "trader's" market and not much of an "investor's" market....so with that being said don't expect to put 2k in ACTC and expect in 2 years it'll be work 200k..so takes gains whenever you can. I personally am riding on free shares with this one with a little profit so I try not to think about all that could go wrong/right with this one. And the last thing I would say....make your own decisions, don't let somebody on here or in an email make your decision. So if you think its wise to put 2k into ACTC and YOU think that ACTC will be the NEXT THING....then do it, but you should always have what you think is good entry and exit point....don't expect ACTC to go to $9.00 like the way it did before either tho.

good point, i am new at this too. i am lucky and bought in at .019, but only like 7,000 shares. I have almost sold 1000 times, but every time i am about to it goes up alot! i hope somone gives some imput on when they think this stock will start suckn again so i can get a lil profit off of it lol.. like (invester), he always seems to no what hes talkn about! so keep puttin in your advice! lol thanks

Posted by AJGrano on :

Jdizz, I'd suggest selling atleast 1.5-2k at .30 if you can today. That way you make a little profit and have 5-5.5k free shares so you can always cash out when you need the funds or feel you are making the right move to sell. I'd just say don't push your luck until AFTER you atleast SELL what you originally put in. and sell around 2k shares at this price you're making a few hundo. Just wouldn't want somebody not to sell some and get burned. Like I had a few thousand extra shares but I just wanted to make sure I atleast broke/even made some money. I just cant believe its ran like this. If it keeps going up I might just keep what I have and start flipping some so take some extra profits.

Posted by jdizz on :

ya i see what your sayn.. i might just end up doint that. thanks for the advice

damn, taking a beating so far down 22%. kinda expect that after being up 81% yesterday tho.

Posted by AJGrano on :

picked some more at .21 and just flipped at .26 for a nice little chunk of change!

Posted by jdizz on :

ya i cashed 3000 shares so i got a lil profit. i did it at the wrong time though lol i sold some at .23 and now its at .26.. o well

President Obama to reverse stem cell research funding restrictions

04:31 PM EST on Tuesday, January 27, 2009

Officials: Obama to reverse abortion policy

AP

Early next week, President Obama is planning on reversing the restrictions imposed by President Bush, which will allow federal funding of embryonic stem cell research.

This is major, new health news from the office of the president, for supporters of those asking for permission to use embryonic stem cells in clinical trials to treat human paralysis.

The first trial is already planned and will be small; only eight-to-ten people in a bio tech company in California. The patients will be paraplegics who can use their arms, but cannot walk. They will receive one injection within two weeks of their injury.

Dr. David Scadden, Harvard Stem Cell Institute, said “If we could have any evidence of activity, if they could now feel cold, or warm or touch, that would be a sign of success.”

This first test will show only if the cells are safe in humans. Animal research has been very successful. Scientists have helped paralyzed rats walk again by repairing damaged nerve endings in their spines.
