BTEM was above 1.50 just a couple of weeks ago. Went below .50, and has been climbing back up the last two days. Already up .10 today to .82, and it looks good from here.

I was going to post the chart, but my web browser kept closing...check it out!

Cryobanks International, Inc. Announces Letter of Intent for $9M Capital Infusion
Wednesday March 14, 8:00 am ET


ALTAMONTE SPRINGS, FL--(MARKET WIRE)--Mar 14, 2007 -- The Board of Directors of Cryobanks International, Inc. announced today that they have approved and signed a letter of intent for a $9.0 million financing, which will satisfy the last item needed to complete its merger into BioStem, Inc. (OTC BB:BTEM.OB - News). The merger is part of an Agreement and Plan of Merger initially filed by Cryobanks International and BioStem on November 28, 2005. The merger and capital infusion provides Cryobanks the necessary capital to further its international licensing model and bolster market presence as it relates to other existing lines of revenue.
ADVERTISEMENT


The Merger, which is contingent upon Cryobanks raising at least $10,000,000 pursuant to a private placement, has been extended to March 31, 2007. If the financing successfully closes, this will put Cryobanks substantially over the $10,000,000 financing condition, and BioStem and Cryobanks will proceed to close the merger as soon as possible.

Pursuant to the Letter of Intent, subject to completion of due diligence within thirty days, Samarium Technology Group, Ltd., a private investment fund with offices in Canada, BVI and Europe, agreed to purchase $9,000,000 of Class A Secured Convertible Debentures of Cryobanks, which are to bear interest at the rate of 10% per annum, are convertible into 7.5% of Cryobanks' outstanding common stock on a fully diluted basis, and are due and payable on December 31, 2008 (the "Debentures"). The Debentures automatically convert into registered shares of the Company's common stock upon the completion of the Merger and the subsequent effectiveness of a registration statement on Form S-4 registering the shares which the Debentures are convertible into (the "Effectiveness Date").

Pursuant to the Letter of Intent, Cryobanks is to receive $2,000,000 of the proceeds from the Debentures upon the execution of final documents regarding the transactions contemplated by the Letter of Intent (the "Closing"), with the remaining $7,000,000 payable on the Effectiveness Date.

The Letter of Intent calls for a registration statement to be filed within 60 days of the Closing and to obtain effectiveness of such Form S-4 registration statement within 150 days of the Closing. If the Form S-4 registration statement is not declared effective by the 150th day following the Closing, the Debentures shall bear interest at the rate of 15% per annum until paid in full, and Cryobanks shall commence monthly interest only payments starting the first day of the month following the expiration of such 150 day period.

The Letter of Intent also calls for Samarium to be able to elect two members to the Company's Board of Directors, following the increase in the Company's Board of Directors from three members to five members.

Samarium will also receive warrants in connection with the Closing, including a five year Class A Warrant to purchase up to 3.5% of Cryobanks' outstanding common stock on a fully diluted basis (which includes the shares issuable in connection with the conversion of the Debentures), with an exercise price equal to the conversion price of the Debentures; and a five year Class B Warrant to purchase up to 3.75% of Cryobanks' outstanding common stock on a fully diluted basis (which includes the shares issuable in connection with the conversion of the Debentures), with an exercise price equal to $0.001 per share.

The Letter of Intent additionally includes a closing fee equal to 13% of the proceeds received by Cryobanks, and a separate warrant to purchase 1.125% of Cryobanks' outstanding common stock on a fully diluted basis (which includes the shares issuable in connection with the conversion of the Debentures), on the same terms as the Samarium warrants payable to a consultant, as well as a $35,000 structuring fee payable to Samarium.

Finally, the Letter of Intent requires that all the current shareholders of Cryobanks agree to lockup the shares which they currently hold for one year from the effective date of the Merger, which lockup shall terminate as to 25% of the shares locked up by each shareholder on the 90th, 180th, 270th and 365th day following the Merger.

The Closing is anticipated to occur on or before April 15, 2007, of which there can be no assurance, subject to completion of due diligence by Samarium in its sole discretion. The provisions of the final Closing documents to be executed by Cryobanks and Samarium may or may not contain the terms and provisions described above and in the Letter of Intent.

Cryobanks International, Inc., which is to be acquired by BioStem, Inc. (OTCBB: BTEM), announced today that upon the completion of the $9.0 million dollar funding announced on March 14, 2007, they intend to file an application to list BioStem, Inc. on the American Stock Exchange.

Cryobanks has reviewed its balance sheet and financial condition and determined that in the event the Financing closes as anticipated, it will meet the required shareholder's equity listing criteria set by the American Stock Exchange. There can be no assurance, however, that the American Stock Exchange will ultimately accept the listing. Prior to completion of the merge and submission of formal requests to transfer to the AMEX, Cryobanks has informally consulted with one of the largest specialists on the AMEX to ensure the success of a proposed transfer. Should everything proceed as anticipated, the company will file the application simultaneous with the filing of the registration statement which is required to close the merger of BioStem and Cryobanks, with the hope that the AMEX listing will become effective upon the closing of the merger.

I think the company has very solid prospects, and I will continue to watch this one very closely.

Personally? I am watching for and expecting a pullback (like the one to 1.10 this morning) at some point again. Historically this stock goes up and down if you look at their yearly chart. This kind of news may keep it high, but I can't afford to lose profits at this point in my trading, so I jumped out yesterday to avoid a loss of any kind.

I think the merger will happen and I think they will uplist though...when is anyone's guess...

I only had one bad blip with it - naturally it was on the dip to the 1.60s. This morning I had more issues with the charts not wanting to change as you change LIIs

All seems to be working good now. I reported it to ChoiceTrade, and about 10 minutes later, it was fine again...

no , I currently have no realtime otc or pink level 2's on choicestreamer, they are just giving me the free trial thingy. its basically just realitme level I quotes and realtime time/sales.

I think this one has good potential - I rode it from .82 to 1.35 and it hasn't really stopped since except for a couple of good dips. They are supposed to be merging fairly soon....

I don't think it is as much an upswing as it is an uptrend (to me a swing is more short term). I'm still playing it for a short gainer though...

Thoughts anyone else?

I bought in at the low today. Uptrend is definitley the right word. Parents are being told to store their childrens umbilical cords for futre need. The future need of course has to do with the ongoing stem cell research and development. I think this one will keep going up over time, maybe not like it has this last couple of weeks, but belly buttons are in!

My Daughter was born in August of last year, I Laughed at the idea of paying 600-700 a year to save some blood. I just hope their are people that do it unlike me! "at least until this hits 3-4 dollars"

WASHINGTON, March 20 (Reuters) - Besides choosing a car seat and setting up a college fund, Claire Rhye had one more decision to make before her first child arrived: what to do with her baby's umbilical cord blood.

Once regarded as medical waste, umbilical cords and placentas are now sought for their potentially life-saving blood cells. Like other stem cells, they can treat some diseases and have the potential to cure many more.

But such advances present challenges for parents in the United States if they want to store the blood in private banks for their own children or donate it to public banks for others.

"It's been really difficult," said Rhye, a 29-year-old from Alexandria, Virginia, who is due to give birth this month. "The private banks do a very good job of marketing ... tugging at your heart strings every time."

Cord blood can treat leukemia and other blood disorders when bone marrow transplants are a poor option, as well as other genetic diseases. Patients receive the cells directly into the blood. Once in the bone marrow, they generate new blood.

"These are close to miraculous," said Dr. Joseph Antin, who oversees stem cell transplantation and a related donor program at Dana-Farber Cancer Institute in Boston.

But deciding what, if anything, to do with their baby's cord blood has many new parents wrestling with a complicated issue that many scientists and doctors are still debating.

"TAKING ADVANTAGE"

Alison Plotas of Rockville, Maryland, whose daughter was born last July, opted for a private bank after seeing several brochures. Her doctor encouraged it as long as she could afford it.

"It's nice insurance to have," said Plotas, 33, who has a family history of leukemia. "Now hopefully we won't have to use it."

More than 25 companies, including ViaCell Inc.'s (VIAC) ViaCord and Celgene Corp.'s (CELG) LifebankUSA, offer private storage. Privately-held Cord Blood Registry and other smaller outfits also sell the service.

The companies send parents a kit to bring when their baby is delivered. The obstetrician squeezes the blood into a container that is returned to the companies.

Health insurers do not cover the process, which costs between $1,700 to $2,500 up front plus annual fees from $115 to $200. Doctors also usually charge for collection.

But heavy marketing has some physicians concerned that parents are making emotional decisions to spend thousands of dollars without understanding cord blood's limits.

"The banks are to some degree taking advantage of a middle-class buyer. They don't actually educate you that the chances of using it are small," said the cancer institute's Antin.

Earlier this year, the American Academy of Pediatrics said parents should only bank if they have an older child with a condition that could benefit.

Because genetic diseases are already present in umbilical cord blood, the cells cannot help children who later develop that type of disease, although they could help family members.

Other limitations include the possibility that the sample is too small or that the cells lose their usefulness decades after birth when many diseases being studied now might strike.

"NOT MADE EASY FOR YOU"

Private banking did not offer enough guarantees for Rhye, who sought a lesser-known option -- donation to public banks that store blood for treatment and research.

"Donation for research now makes sense because otherwise how are you going to get those questions answered?" said Rhye, who has no family history of the diseases potentially cured by the cells.

Like regular blood donations, cord cells are screened for disease and cataloged for other patients or research.

More than 50,000 public samples are available for transplant, but federal officials are pushing for 150,000 through a new national registry. Several states, including Arizona and California, also promote giving.

While most experts agree more units are needed, especially among minorities, they say the 4 million U.S. babies born each year offer enough potential for public and private needs.

Even if more people donate, they add, current facilities could not handle a huge influx.

The process can be frustrating for the potential donor. Rhye found Cryobanks International, which is being acquired by BioStem Inc. (BTEME) and is one of the few banks offering free donation kits by mail. Most donations are made through hospital-linked banks without shipping options.

But she gave up hope of donating after her obstetrician's staff first told her she wasn't "allowed" to donate, then said they would charge her $200.

"You really have to want to do this because it's not made easy for you," Rhye said.

Still, a growing number of parents, like Alison Plotas, are not taking any chances.

Steven Grant, executive vice president of Cord Blood Registry, said his company has seen nearly 60 percent annual growth as more people choose private storage.

"You also don't know what can happen. A lot of diseases, most diseases are not genetically based," he said, citing anemia and brain injuries.

"It's like an expensive insurance policy, but right now I can't tell you what my insurance is against," Plotas said.

A really good trader taught me that you have to have confidence in your trades, or you might as well get out of the market. If you are losing money, paper trade for a bit until you see where you are making mistakes and/or gain confidence in what you are doing. I can say this because I lost a bucket load last year - more than I could afford to, but there is money to be made here if you can get everything moving in the right direction.

Even though I am down, I still have confidence in this stock.

Thanks for the good advice! I was doing pretty good in the market but recently it seems that everything i touch turns red. I'm just in a little slump right now and chalking it up as a good run of bad luck. I like to joke around about it. I did some DD on this one before i bought it and IMO it is a good stock. i have confidence in it. I figured it would rebound today after the dip yesterday. I think we'll see some green soon enough, this has the potential to be a good money maker.

I really don't believe this company is pumping in this situation. My gut says they are trying to keep the PPS up in anticipation of the merger announcement so the stock will go higher and possibility help their case to move exchanges.

If this were a pump and dump, they have had plenty of opportunity to dump from the mid .50s to over 2.30....JMHO....and I wouldn't still be here

that's a hard one to figure out chokten...part of it may be that they "paid" several places to put out the prs and some of the places were either late or early...or there could have also been an error on the "pr" place...who knows...but the fact that they were worded the same...not even changing any words makes me wonder if it wasn't the "pr" firm...IMO

Well..we know that the merger is still on...and the hopes of going to the AMEX is still there...
But they have extended the time from the end of March to June... whereby we amended the date Cryobanks was required to close the Merger by from March 31, 2007, to June 30, 2007. All other terms of the Merger Agreement remained the same as originally signed.

So it is still the same stock with the same goal....just delayed...

Audited Financials to Be Released

(Cryobanks), which has agreed to be acquired by BioStem, Inc., has supplied specifically requested corporate documents and information to Samarium Technology Group, Ltd. (STG), the private investment fund, in efforts to satisfy all requirements needed to complete the $9.0M capital infusion previously announced on March 15, 2007. Cryobanks International, Inc. Nears Completion of Due Diligence for $9.0 Million Financing
Cryobanks International, Inc. (CI) announced today that it has provided a substantial amount of documents and information to the $9.0 million investor as previously announced on March 15, 2007. The investor sent a list of due diligence questions to CI, and CI is hopeful that the investor will complete due diligence by mid May. The investor has indicated that a due diligence meeting at CI's offices in Altamonte Springs, Florida, will be scheduled within the first two weeks of May.

In the event the investor completes due diligence to its satisfaction, in its sole discretion, and the financing closes as agreed in the previously announced letter of intent, then CI will have satisfied the final remaining condition to the closing of the Agreement and Plan of Merger with BioStem, Inc. (OTCBB: BTEM). In such event, the merger would proceed to closing as contemplated in the Agreement and Plan of Merger. There can be no assurance that the investor will approve due diligence or close the financing.

BioStem, Inc. (OTCBB: BTEM) announced today that Cryobanks International, Inc. (Cryobanks), which has agreed to be acquired by BioStem, Inc., is preparing to launch a new umbilical cord blood bank in Bangkok, Thailand through its licensee, Cryobanks International, FCZ.

Equipment for the Bangkok facility will be arriving soon and doors are expected to open within the next 60 days.

"With the growing use of umbilical cord blood as a source of stem cells to treat a number of diseases, and with regenerative medicine becoming a possibility, we're beginning to see an increased interest in cord blood banking all over the world," said Dwight C. Brunoehler, President and C.E.O. of Cryobanks International. "We're pleased to offer our expertise and resources in helping to make cord blood banking available worldwide."

The new laboratory, processing, and storage center will be the third CI licensee to open in overseas markets. Currently, two other facilities operate in Athens, Greece and Delhi, India with eight more banks scheduled to open in other international locations.

CI provides advanced training for the licensees' lab personnel that will be handling cord blood units and operating the equipment to process and store cord blood. Training will be conducted at CI's unique training facility in Altamonte Springs, Florida, U.S.A. where personnel will spend six weeks learning from an extensive curriculum. This training is critical to obtaining international accreditations.

Typically, charges to privately store cord blood for individuals ranges from $1,600 USD to $2,500 USD initially with some facilities charging an annual renewal ranging from $100 USD to $150 USD. It is estimated that hundreds of thousands of parents have elected to pursue this option. Cryobanks International, FZC is projecting the storage of 4,000 cord blood units in this facility during its first 12 months of operation.

I think we got i great rebound play at .41 if you go back to the chart, you will notice that in march 9 went down to .53 and only one week later went up to 2.22 so i think we can have double, triple or cuadruple!!! we got a great opportunity here!!!
