Iconix Brand Group Announces Definitive Agreement to Purchase Danskin(R) Brand

NEW YORK, Feb 22, 2007 /PRNewswire-FirstCall via COMTEX/ -- Iconix Brand Group, Inc. (Nasdaq: ICON) ("Iconix" or the "Company") today announced that it has entered into a definitive agreement to purchase the brand Danskin(R) from Danskin, Inc. ("Seller" or "Danskin"). The transaction is anticipated to close in March 2007.
Danskin is a 125 year-old iconic brand of women's active wear, leg wear, dance wear, yoga apparel and fitness equipment. The brand is sold through better department, specialty and sporting goods stores, and through fifteen freestanding Danskin boutiques and Danskin.com. Danskin also has a partnership with Wal-Mart Stores for its "Danskin Now (R)" brand of apparel and fitness equipment.

The purchase price for the transaction will be $70 million with a contingent payment of an additional $15 million, payable in cash or stock, triggered by the brand exceeding certain revenue and performance targets. The acquisition will be self-funded from the Company's cash reserves.

Iconix has also announced that, as of the closing, it will enter into a license agreement with the Seller, to continue to operate the Danskin(R) wholesale business including the freestanding retail stores. Carol Hochman, President and CEO of Danskin, and her team will continue as Iconix's licensee to grow the Danskin department and sporting goods store business.

Neil Cole, Chairman and CEO of Iconix commented, "Danskin is one of the most established and recognized active wear brands in the world and we are thrilled to add it to our portfolio and to be partnering with Carol and her team as our licensee. Additional details of the Danskin acquisition will be addressed on the Company's fourth quarter and 2006 year end earnings conference call scheduled for Tuesday March 6, 2007 at 10:00 am EST. They've tightened up the spread. Looks real good. Might be up a 1200%, but this company is accually REAL, can't say that about to many pinks. The fact that ICON has pr'd this themselves, seals the deal for me. Their a freakin NASDAQ company!!

Yeah..I like the fact that ICON made the PR also...But what I am wondering is how this would work? Would it be a merger? Would DANS shares become ICON shares? Or would it continue to trade as DANS and not much change?

From this line in the PR, it sounds like a straight up buyout! ICON will continue to sell the Danskin product under that name, but they will be in control of the company. Waiting for a call back, but I think I'll just try and call again.

90+% of the buys are above .20- .25 there is not much in the way of profits yet.

only a handful got in early (under.10) and I would assume they are gone already.

My uneducated guess is this closes near HOD at .35-.40

Ok check out this Danskin and Iconix comparision./

Here is the last revs for Danskin in the last filing they had./

FinancialsQ3 (09/02)
Total Revenue $23.21M
Net Income $.25M

Ok now check out this filing from Iconix that is TRADING AT 22.92 a share!/

FinancialsQ3 (09/06)
Total Revenue $22.11M
Net Income $7.95M
EPS $.18

Danskin earned more revenue in 2002 than Iconix earned in 2006!!! Danskin has only INCREASED their market share in ladie's clothing since then, so could they make more than Iconix that is TRADING AT 22.92 a share?! Not sure but I see Danskin all over the place (WalMart, JcPenney, Dilliards, etc) and I am sure glad I bought in today!

If you watched this move this morning, you would have been saying .50 wasn't out of the question. It was moving .05 at a time and it did make it to .40. Unfortunetly, people do take profit and it put the brakes on for the rest of the afternoon. O/S is 68mil don't know what the float is. I bought this for the hell of it today and when I found out more about Danskin, it interested me. If you don't like how people get excited when their stock is going up, then don't read the threads. I always get excited when my stocks run, one of the biggest reasons I keep playing this crazy ass game.....GLTA

This company, considering their history, and what is to come in March, I can only see a PPS explosion over the next year. i am not a shareholder, but wish I was and the best of luck to those who bought at lower levels, and even at levels such as the parameters that existed today. Very undervalued, and considering that they will continue to operate as Dansskin, it will be a good buy anytime. However, knowing they way the MM's like to play their games in Pennyland cuz the cops aren't watching them so much as they are on the big boards, they can and may drive the price down to lower levels than we saw today, simply knowing that because the acquisition hasn't taken place yet, they will have a chance to make more money until then. Just my opinion, but I will become a shareholder before the acquisition takes place indeed, for the long term.

Fortunately I have some tings to watch with INXR and PLYCF, both I got in at the bottom, but it is sure exciting seeing the lot of you make some mulah. Like I said, if the F)(#&*%$^#)*$$ wholly MM"S bring the share price down to a lower level I will get in. Until then, the charts are a little iffy (being that you can't find much technicals)

I wouldn't sweat it yet , I think there's some more in this . WHy would ICON buy out DANS for 70 million if they didn't think they were getting a better deal ? If you look back , they have a history of buying out other companies . They must be doing something right to still be in business all these years and trading on the big board as well .........

IMO..this may be a good deal...yesterdays price jump? WAAAYYY to much too fast! It will go down...(sorry Jenna)..but I also think that it will creep back up..AND possibly move above it...
The "fast and high" gains came yesterday...after it settles..it may actually be a very good investment/hold...

Maybe if you're talking about stocks you're holding long term like big board stocks, but not keeping an eye on theses stocks is a death wish. In the span of minutes your stock could drop 75%, or you could miss the opportunity to sell at multi bags. You HAVE to watch these stocks every minute.

I've been watching this. Haven't got in yet but IMO there seems to be a misconception of what is happening here. ICON is not buying out merging or anything else with DANS. They bought DANS Intellectual Property which in turn they are licensing back to DANS who will continue to operate storefronts and ecommerce. Seems like a very sweet deal for DANS. The one thing that is holding me back the most about buying is the uncertain share structure. Nothing has been updated about that since 2002 and the company will not divulge any information on it. Seems to trade like a low float but I just don't know.

Still watching and might try some if it retraces further. Definately on m radar.

I still think that the real news will be in the details . ICON is up and has been all day . Why would a stock be up after announcing that they are blowing 70 million for a name and a license unless its worth alot more .

Danskins is a well known product and can be found in many retail outlets. ICON will now not only be marketing it to these retail outlets but also be able to license it worldwide. IMO, Danskins just didn't have the capital to do the proper marketing job after many years of trying. The brand is very well known and with proper marketing could explode again. It likes like a WIN WIN for both companies.

My reservation about buying at this time is the unknown share structure and current financial picture of Danskins. I'm watching and may dabble if it retraces further or more info is made available. On the surface it looks good.

It's not just a name and license. I believe it's a special process that the DANSKIN product is made by. ICON now owns that process.

If ICON is paying Millions for this company...I would think that DANS would not need to up the current share structure since they would not need funds...I am trying to figure out what ICON will be getting out of it...and that might be where new shares would come into play...I would like to see the details... Yesterday was FANTASTIC for those that were in...while the rest of us stood and watched with dropped jaws...

"Danskin, Inc. (OTC:PK: DANS.PK) ("Danskin" or the "Company") today announced that it has entered into a definitive agreement to sell its Danskin(R) intellectual property, to Iconix Brand Group, Inc. ("Iconix"). The transaction is anticipated to close in March 2007. Source, I disagree. They are not buying the company. They are buying the IP(Intellectual Property). DANSKINS is now licensing that property from ICON as will other companies. IMO, there is no mention of a buyout or of DANSKINS becoming a SUB of ICON.

Secondly, I'm not worried about DANS issuing shares now. It's the shares that could have been issued between 2002 and now that I'd like to know about.

Like I stated before, I believe this is a WIN for both companies. ICON gets the IP which they will reap licensing fees from other companies and be able to distrbute through their own network. DANS gets the capital to go forward with their stores. I just wish I had a better idea of where DANS was sitting financially before the deal. Will they be able to payoff any debt they have accured and have enough capital to be profitable. It sounds like it from the PR but one never knows when it comes to Pinkie land.

Take a look at ICON , they are trading near 52 week highs right now and it was touched this morning . I guess its just the difference in mentality between penny players and big money . The penny guys scramble like roaches with the light turned on while the big money just keeps plugging away .

As far as the reason that I am not in, there are WAY too many unknowns here. If I see somethign that says "Company X is buying company Y and paying .40 a share" and company Y is trading at .20 cents a share, then that means somethign to me.

There is NOTHING in the PR on either end that gives any kind of number, other than the 70 million. i don't think any of us have any idea what it applies to, how many shares it's divided by, or what the impact is to per share price. We all know that it went up 1000% yesterday, but did that put it to fair value? Should it be higher? Should it be lower? Who knows. that's why I'm staying out. Seems to me just as likely that .20 is over priced as it is underpriced. in fact, I'd say it's more likely to be overpriced, as I'd guess it's being "artifically" held up right now just by momentum and buying pressure from boards like this.

hope that doesn't come across as too much of a bash, but i just don't see any info to back up a sustained 1000% increase

You are right , its a guessing game right now but only from our view . The powers at hand (DANS & ICON) more than likely know the real info and are comfortable with the deal on the table . It would totally different if these were two shady azz penny stocks trying to cause waves and run their PPS up .

Maybe you are misunderstanding what I am attempting to convey. I'm not bashing and not even negative about this deal. First, I was attempting to give my read as to there not being a buyout or merger. ICON is buying the IP. DANS continues on as it's own company with a relationship with ICON now. Secondly, any stock that rises as high and as fast as this did yesterday is bound to retrace. So I'm just waiting to see where it bottoms and then will buy for the bounce. Hopefully will end up with some shares to hold for the longer term just in case it explodes.

Oh I don't doubt that the deal makes sense for them, but unless I'm missing something, the stock price has no impact on the deal. It could be that the deal is equivalent to a buyout at .10 a share, which as of Wednesday, was like a 400% premium but as of yesterday was a 50% discount. We just don't know what the deal means to the stock price, which is really all any of you should be worrying about. not if it's good for either or both companies.

I understand where you are coming from . I think the only two reasons this is where it is (1) People are taking profits from yesterday and (2) People are still unsure about the real details of the agreement .

None the less , penny players are for the here and now . Big money plays with big stocks and doesn't have to have PR's on a daily basis to keep the momo going .

Stocks on higher exchanges do react differently than Penny stocks, that is very true. ICON should be filing something that should give more insight into the deal itself. I hope that DANS puts something out that explains their situation a bit better. Hey if I find what i consider the right entry point I will buy in.

A retrace of 50 to 70% when a stock runs like this wouldn't be out of the ordinary and I would it expect it to bounce from there and settle into a trading range.

I believe that there will be more information out on this and it could still have a nice run.

I managed to flip GBDX for a 30% gain in two days today . Wasn't alot of profit but $150.00 is better than being down $150.00 in it .

I agree totally , once the business transaction is complete between ICON and DANS , investors will be chasing a cheetah's tail . I'm sitting on 6000 shares right now and will probably buy more once some of my funds clear from other sells I made this week .

It leaves me to think either there is nothing for us investors to gain by the IP purchase or they just don't give a crap where the PPS is . I don't think ICON gives a crap either . They are in it for the profits generated by the brand and the profits from selling other brands they own in Wal-Mart .

Its going to be this way until we get some more news . I fully expect it to trend down to around .04 if we don't get something pretty soon . The bad thing is , there is no reason for it . This could easily be over $1.00 if the company would just stay in touch with their investors .

Well I'm holding 20K shares of it and getting a little tired of this crap as well . Its weird , you have stinky pinky stock that issue PR's once a day and then you have them that won't issue crap for months at a time .

You can't . They are buying up all the shares they can get their hands on for .08 and selling them for .10-.12 a share . The MM are making the spread but sure as hell not going to let you in on the profits .

It is quite obvious that this co. does not give a flying 'you know what' about their stock, let alone shareholders. I'm dumping the rest of what I got today....chalk up another loser!

90+ days of no communications after a $70M transaction is dogchit.

BTW, any Danskin apparell that enters my house in the future will be immediately removed to the backyard and burned to a crisp.

Pre 10/16 ........ why does that matter ? Do you really think you are getting the split ? Even if you do , its nothing more than a 6 for 1 split like that fumble USSE pulled a few weeks ago . I'd take DANS any day over CSHD or anything Rufus is connected with .
