On January 19, 2007, the Board of Directors (“Board”) of Microfield Group, Inc. (the “Company”) approved a new Annual Incentive Bonus Plan (the “Plan”) for executive officers that will apply for the year beginning January 1, 2007 through December 31, 2007. The bonus targets for the executive officers and other eligible employees are recommended by the Compensation Committee and adopted by the Board. The bonus targets are based on performance measures tied to both revenue and operating income goals for the Company. Under the Plan, the Board approved annual revenue and operating income targets for the Company for 2007. If the Company exceeds its performance targets the executive officers will receive bonuses based on a sliding scale related to both revenue and operating income goals for the Company. These bonuses could be as high as 40% of the annual base compensation for the following executive employees:
• A. Mark Walter, President, Microfield Group, Inc. and Christenson Electric, Inc.

• Gene Ameduri, President, EnergyConnect, Inc.

• Randall R. Reed, CFO, Microfield Group, Inc.

The bonus payable under the Plan to Rodney Boucher, CEO of Microfield Group, Inc. could be as high as 60% of his annual base compensation.
The Compensation Committee of the Board will govern the Annual Incentive Bonus

Seems to me that 2 things hurt this stock - insider selling by Vince Cushing (now gone from the company) and poor performance.

Repo Scottrade has become useless.

I know the restrictions throw up red flags for you...BUT they have literally thrown CR1's on legitimate stocks for increases in volume....WTF

one thing that caught my eye looking at a couple charts.. look at the SPX on TRDY and the convergence right before january 2005.. and look at the convergence on the MICG chart right now.. looks similar.. granted they are two different stocks entirely, just caught my attention, b/c look how hard TRDY ran in the same situation, lol.. Im not in MICG yet, but this definately has my attention right now..

Look back to 05's run. It was not over night.

this might be a 1-4 month hold. Maybe longer...

I need a few longer term positions.

I think digging in to some more DD is in order as well.

Here is some DD from the yahoo board:

Vincent Cushing was one of the original partners in Energy Connect, he has sold over 2 million shares in the past 6 months...as of Jan. 5 he still has 1.7 million shares left.

Man.. I was not around for the last 1.5 hours and when I left we were at .66. Kind of shocked me to see the close.

I still am in for a longer play here but it will be difficult to hold this under .55

Sorry to bail on you guys I just don't have the capital to sit around and wait for this one...I really don't see a strong catalysis for MICG and with that Insider selling, its going to be a while before this one moves, imo. Good luck to you guys…I missed the original run and never should have chased. Never stay with a stock for the wrong reasons.

I don't know guys, its almost at where it was before the run, where it was stable, I think once it hits that point it should be a pretty safe buy. Put it on the watch list, if it goes below the point it was before the run, might be a good rollback.

If you look back the CEO did buy some shares, its just like that one guy selling all those insider shares. I haven't gotten in this one yet, but If there are 2, 10% gainer days in a row or if it hits where it was before the last run, or below that im getting in.

Sorry to hear that guys, but if you forget about the past and look into the future the chart looks better than ever. Its at where it was before it ran under the same conditions as it ran last time. Which means it could run exactly the same because all the fundamentals are still there. And if not id call this a pretty safe play, the stock just had a small run and people realized it didn't go up that much and took their leave as it became too bearish. Once my stupid Bank of America account works, this is going to be one of the first I get into. Along with maybe scll.

Microfield Group Reports 2006 Results

PORTLAND, Ore.--(BUSINESS WIRE)--Microfield Group, Inc. (OTCBB: MICG - News) announced financial results today for the twelve months ended December 30, 2006. The Company produced revenue of $76,141,000 for the year 2006 compared to revenue of $57,935,000 for the twelve months ended December 31, 2005. This increase of $18,206,000 is the result of a full 12 months of revenue in 2006 from the acquisitions of EnergyConnect (ECI) and Christenson Electric (CEI). CEI was acquired on July 20, 2005, and ECI was acquired on October 13, 2005.

On a GAAP basis, the Company had net income of $833,000 or $0.01 per share for the twelve months ended December 30, 2006, compared to a net loss of $77,640,000 or $3.13 per share for the twelve months ended December 31, 2005.

On a pro forma basis for the twelve months ended December 30, 2006, the Company had a non-GAAP operating loss of $4,189,000 and a non-GAAP net loss of $5,219,000 or $0.08 per share. This non-GAAP operating loss excludes $1,442,000 of stock-based compensation expense included in the GAAP operating loss. This non-GAAP net loss excludes $8,319,000 of gain from warrant liability re-measurement and also excludes $825,000 of interest from late registration included in GAAP net income. Each of these three items is a non-cash income or expense.

GAAP basis sales, general and administrative costs for the twelve months ended December 30, 2006 were $14,912,000, compared to $8,988,000 in the twelve months ended December 31, 2005. This increase in overhead expense of $5,924,000 represents an increase of 65.9% in year over year expenses, and is due to a full twelve months of expenses in 2006 from the acquisitions of EnergyConnect (ECI) and Christenson Electric (CEI). CEI was acquired on July 20, 2005, and ECI was acquired on October 13, 2005. Also contributing to the increase were costs incurred in 2006 for stock-based compensation, and $362,000 in compliance with the new Sarbanes-Oxley legislation. There were none of either of these costs in 2005.

Commenting on the 2006 results, Rod Boucher, Chief Executive Officer, said, "We achieved significant progress at Microfield this year as we integrated the Wind business and EnergyConnect into the company. Most recently, Mr. Harris retired from his positions as president and chief executive officer of PJM Interconnection and chairman of the PJM Board.
