I am definitely radaring this... huge insider transactions recently, profitable.. forget the T/A on this, there has to be big news events coming. They also attended the Roth presentation.

Company is already profitable... and coming off the lows. There has to be something big coming in terms of news in the next few weeks.

I don't know about 100%, but this is the play where the old adage "You need money to make money" comes in.

This has significant daily volume where you can throw $50K into it and not shake the PPS... plus, if you get even 50% return, $25K is nice.

I think I may just do that on a pullback.

Yes, that is usually how I make my money, longer term holds - 2-3 months (unless I discover the HOly Grail like FRPT). And for that time period, fundamentals like the ones mentioned above are everything.

But T/A still helps in timing your entry.

not sure how the selling works, but it must be reported by a form 4 sell, and all the form 4's lately have been buys.

No, but they can't sell just on a whim. They usually use Planned Sales so that they are not liable if bad news hits at the time of their sales.

I remember reading that 6 month thing a few months ago, can't even remember what I was looking for at the time, but the fact that I just found it on a site that I am pretty sure isn't the one I originally saw it on, I feel pretty confident about it.

One question I have though, and this will probably show my inexperience, is that before the big buys over the last few days the CEO only held 132,500 shares, and he got 100,000 on Oct 5. So before Oct 5th he had 32,500 shares. Isn't that REALLY low for a CEO? Especially as a % of 10million O/S?

Yes and no. Depends.. did he sell a lot before that? Is he new?

The bottom line is, he knows SOMETHING is up.

Bottom line is this...CEO just purchased about $1.2 million worth of stock from $3.20-$6 range.

He doesn't want to lose this money. Expect the stock price to appreciate. End of story.

Usually the case when dealing with pinks so those crooks can dilute on you.. but not in bigger companies.

what I do know is when it was at $6 the CEO was buying tons of shares....he bought it from 12-4 to 12-6 from $6-$3.20

The CEO purchased in the open market close to $1.2 million worth? Do you think any person is in the business to lose money? I don't think so!

Go ahead and look how profitable this company is expected to be. Check out the CEO's background...Yale graduate, very knowledgeable, lots of experience.

According to Chief Financial Officer, James Margulies, ``The third quarter 2006 filing is significant in that it reflects resolution of the various open accounting issues as previously detailed. These restatements, as stated earlier, will have no material impact on the Company's strong results for the fourth quarter or the earnings guidance of $1.20 per share previously provided for fiscal 2007.''

Okay take those earnings x 15 PE = $18 share price

Only 10 million shares outstanding...


Look at the PR on June 26th, about how quick they are expanding and have filed a form for nasdaq approval.

Now after looking at what investors relations said, you do the thinking for me. The latest 10Q was just amended on 12/06/06.....they have had trouble with their filings and had to get some stuff restated on there. That's why they havent gotten nasdaq approval yet. Now that the annual and quarterly is restated and correct what do you think is next? Isnt it funny the CEO is buying shares from 12/4/06-12/6/06...and not just buying a little but $1.2 million worth? If I had to guess....I'd say he knew the 10Q/A was about to be completed, and nasdaq is right around the corner. When earnings come in from this 4th quarter and combine it with a possible nasdaq listing...watch what happens

If you look at the chart for IEAM, the big drop off occurred on 4 Dec 06. With improved revenues as reported in the 10-QSB on 4 Dec 06, it makes you wonder why the big drop off? The file had to be amended because (read Bold):

The Amended Quarterly Report on Form 10-QSB for the period ended September 30, 2006 (the “Original Filing”) was inadvertantly filed with a box checked in the section titled “APPLICABLE ONLY TO ISSUERS INVOLVED IN BANKRUPTCY PROCEEDING DURING THE PRECEDING FIVE YEARS”. This box should not have been checked. Accordingly, in this Second Amendment to the Quarterly Report on Form 10-QSB for the quarter ended September 30, 2006 ("Amendment No. 2"), the Company has made the same filing but with the box unchecked..


Pursuant to the rules of the Securities and Exchange Commission (the "SEC"), Item 6, "Exhibits," of Part II of this Amendment No. 2 to the Original Filing has been amended to contain updated certifications from our Chief Executive Officer and Chief Financial Officer, as required by Sections 302 and 906 of the Sarbanes-Oxley Act of 2002.

This Amendment No. 2 only amends and restates the Items described above to reflect the effects of the restatement, and we have not modified or updated other disclosures presented in our Original Filing. The drop off occured after the original filing. Do you guys think this error inadvertantly caused the sell off? This might explain it. However, I have one more possibility that is a little more far reaching, suppose the error on the 10-QSB was made on purpose to allow for a buying opportunity for the insiders who are at present buying large sums of common stock.
The 10-QSB was recieved by the SEC on 4 Dec 06 at Accepted: 2006-12-04 06:05:20 . Did the massive sell off on 4 Dec 06 begin as soon as the market opened? If so, this might lead one to believe the 10-QSB that had to be amended might have caused the big sell of on 4 Dec 06 and the subsequent days.

Now that it has been amended and all of the company officers have had there fill of cheaper shares, do we see a bounce?

With regard to the CEO buying as much as he had I have a question. I know there are cases when a company will announce a share buyback which will get the price to rise while the CEO is selling his personal shares because he can make money on the proce increase. I can't think of a way that a CEO could pull the same type of shenanigans while buying shares on the open market, since he has to hold them for 6 months. So this isn't a case where you could think something is a good sign but in reality may not be.

What I'm saying is that there is no reason that a CEO would buy this many shares unless he expects it to go up, correct? Whereas a share buyback is a situation where peole say "the company must think good things are coming!" When really it could just be a way for the CEO to make some extra cash.

Anyone see a flaw in my logic?

I was reading through your post stocktrader22. The idea that the error in the 10Q was on purpose is exactly what I thought too when I found this stock. Great way for insiders to make money and not get caught.

Russell, I am holding for a few weeks. I got in at 3.08 yesterday. If the CEO spent 1.2 mil at an average of like $4.50 he thinks it's going higher. I'm not selling for a while.

So tell me, for the last five years, Mr. Impellicceiri has served as the Corporate Financial Controller of Union Drilling, Inc., a publicly traded oil and gas company with assets of $190 million and annual revenues of over $140 million. The stock is on the nasdaq and trades at $14...I'd say he has done a good job. But I can also say why would he leave that and go to some stock that is destined to do anything? He wouldn't. I think this information alone is huge!
If this hits nasdaq and the projections I don't see why this can't be a $10-$20 stock.

When looking at the drop the volume does not add up. Shorting must have been going on. Bad mistake by shorty. This is why I will say again, IEAM will be $6 by mid week.

Too many good things going for it right now. If you read my long long prior post from the weekend you will see that the CEO is predicting large revenues with over $1 for the year in EPS. Put a normal P/E of 15 on that, and this is a $15 stock.

I thought they had to trade above $5 for 90 days, so it may take some time... they have the auditors, financials. Do they have an independent BoD?

Those are the 2 questions I would ask.. the above $5 rule and the Bod.

Actually, there are 3 ways to get on nasdaq, and I believe it may be $4

So I don't have to keep asking, anyone know where to read up about it? Like is the $5 (or $4) rule it must trade that high every day for 90 days or at an average over the course of 90 days, etc? Do I just go to NASDAQ.com or is there a better site to start my reading?

They were trading above $5 for 90 days+ prior to the recent drop. The only hold up according to the company was filing quarterly financial statements, they filed the documents just before the drop. I believe they are qualified to move to the NASD. I will email IR to see if I am correct and post their response

Pulled out.

When a company does a stock buyback, often times they like to manipulate price so they dont have to buy to high. Will look to get in again when they pull the price down so they can repurchase the shares.

WOW! What a change of heart! Well, you made decent profits so good job!

But I disagree with your theory... quite the contrary. MM's know they company is buying back, and therefore will RAISE the prices so they pay a premium. I still say we hit $5-$6 within 2 months.

Nope not change of heart Repo. I am a swing trader and sometimes hold long. I believe this company will hit $5-$6 in a few months or less. I also believe I will have an opportunity to buy because based on what I've seen companies negotiate with MM to keep price at a certain level during buyback. Just my opinion

You should have asked about your buyback theory before you sold... that just doesn't happen. If the company DID want to do that, why would they PR that information? Why not just buyback on the DL and have MM's work with them?

No, the point of announcing the buyback is too limit the amount of shares, and drive the price up! Insiders already have their shares, they want it to go up now.

I hold EXPE and it was "halted" on Friday. When trading resumed, it went up over $2.00 due to the company announcing a share buyback.

So, yeah, a halt can be a good thing.

Still no response to my email asking if the company has met the requirements to move to the NASD. My hunch is they have and they might not want to respond if they are close to the move. Holding nicely because no one wants to sell, it's still $2.20 below where it was previously trading ($7) before the drop. We all now know the drop was caused by a mistake in their quarterly filing, an ammended filing was submitted with the error fixed. Still too much upside not to jump in...JMHO

i'm just excited about the upcoming prospects of it. There has been great reports about the quality of Trump Vodka..and the company has experienced management ready to take this to nasdaq, which is in their plans

Industrial Enterprises of America Forms Joint Venture With Sinochem Ningbo Ltd.
Monday December 18, 11:53 am ET


NEW YORK, Dec. 18, 2006 (PRIME NEWSWIRE) -- Industrial Enterprises of America, Inc. (OTC BB:IEAM.OB - News), a specialty automotive aftermarket supplier, today announced that the Company has entered into a Joint Venture agreement with Sinochem Ningbo Ltd., a subsidiary of Sinochem Corporation, for the packaging of refrigerant gases in China for worldwide distribution. Sinochem Corporation is China's largest chemicals trader and a Global 500 Company.

Per the agreement, IEAM will provide packaging equipment and expertise as well as train the staff for the facility which will be provided by Sinochem. Profits from the venture will be effectively equally split between the two parties.

Industrial Enterprises anticipates that the Joint Venture will begin operations early next year, with a full transfer of equipment and trained personnel between IEAM and Sinochem's facilities to be complete by the end of March.

John Mazzuto, Chief Executive Officer of Industrial Enterprises of America, commented, ``This new venture has the potential to increase the earnings of our company dramatically as this facility will be shipping worldwide. We expect this Joint Venture to be a strong profit center for IEAM for many years to come. Although it is premature to forecast earnings for the new venture, I would expect it to have at least the same impact as the acquisition of Pitt Penn.''

Sinochem Ningbo Ltd. was established in 1987 and is a subsidiary of China National Chemicals Import & Export Corporation (SINOCHEM), which ranked 276th among the top 500 enterprises in the world.

I went golfing today so I wasn't around for any of the action, but I'm still puzzled why we didn't move up on the news today, very low volume too, just 271K shares traded. Hopefully we get another good pop in pps before the new year! If not, 2007 is setting up to be HUGE for IEAM [Big Grin]
