WorldWater & Power Corp. (WWAT.OB), developer and marketer of proprietary high-horsepower solar systems, today announced results for the third quarter ended September 30, 2006. Revenue for the third quarter was $6.5 million with gross margins of 22%. The company had given preliminary guidance of revenue in the range of $5.8 - $6.1 million for the quarter.

"We are very pleased to announce, as expected, our best quarter in the Company's history," said Quentin T. Kelly, Chairman of WorldWater & Power Corp. "We are on course for continued improvement during the fourth quarter and project significantly stronger growth in 2007."

Financial Results:

Revenue for the third quarter was $6.5 million, compared with $0.6 million reported in the third quarter of 2005. Gross profit for the quarter was $1.5 million or 22.2% gross margin, versus a loss of $0.2 million in the prior-year period. The company posted an operating loss of $0.4 million compared with an operating loss of $1.4 million in the third quarter of 2005. Net loss for the third quarter was $0.8 million, or $(0.01) per share, compared to a loss of $4.8 million, or $(0.05) per share, in the prior-year period.



For the first nine months of fiscal 2006, WorldWater reported revenue of $10.3 million, versus $0.8 million in the same period last year. Gross profit was $1.9 million for the first three quarters of 2006, as compared with a loss of $(0.2) million in 2005. Net loss for the period was $6.3 million, or $(0.05) per share, versus a net loss of $7.5 million, or $(0.08) per share, in the same period last year.

(OTC Bulletin Board: WWAT - News), developer and marketer of photovoltaic systems for terrestrial power generation including proprietary electrical motor drive technology for water pumping, today jointly announced that EMCORE has agreed to invest $18 million in WorldWater in return for an amount of convertible preferred stock and warrants of WorldWater, equivalent to an approximately 31% equity ownership in WorldWater, or approximately 26.5% on a fully diluted basis.

The two companies also announced the formation of a strategic alliance and supply agreement under which EMCORE is the exclusive supplier of high-efficiency multi-junction solar cells, assemblies and concentrator subsystems to WorldWater with a contract valued at up to $100 million over the next 3 years.

On November 29, 2006, EMCORE invested $13.5 million in WorldWater, representing the first tranche of its $18 million investment. The investment of the remaining $4.5 million second tranche will occur once the definitive strategic agreement is signed and certain other conditions are met. The parties expect the execution of the definitive strategic agreement and second closing to occur before the end of the year. In connection with the investment, EMCORE will also gain two seats on WorldWater's Board of Directors.

"This strategic investment represents a shift in EMCORE's terrestrial photovoltaic strategy by becoming, with WorldWater, a solution provider rather than just a component supplier. Delaware Governor Cuts Ribbon on WorldWater & Power Corp. $500,000 Solar Project for Poultry Industry
Study Partners include Allen Family Foods, University of Delaware and GE Energy

In a ribbon-cutting ceremony held here yesterday, Delaware Governor Ruth Ann Minner joined a host of dignitaries to officially open a milestone solar electric study at a poultry growout house owned by Allen Family Foods, Inc. World Water & Power Corp., developer of proprietary high-power solar systems designed and engineered the $500,000 photovoltaic installation for Allen.

The project is a solar study for the U.S. poultry industry and a partnership between Allen Family Foods, WorldWater & Power Corp., GE Energy, the University of Delaware, the Delaware Department of Agriculture and the Delaware Department of Natural Resources and Environmental Control.

The new system supplies all essential electricity for lighting, heat and ventilation used to raise day-old chickens to maturity, and will significantly reduce Allen's electricity costs. While the innovative system is connected to the grid to earn net metering credits, it also incorporates WorldWater’s sophisticated load management technology. Solar electricity stored in batteries can be tapped if the grid fails, or used during periods when utility rates are most expensive. In the event there is no solar, battery or grid power, the system automatically triggers backup diesel generation of electricity.

Because the cost of grid electricity has risen so high over the past few years, the poultry industry is looking at solar power as a cost effective, sustainable energy source for growout contractors throughout the U.S.

An open house for poultry growers and farmers was held after the ceremony to acquaint them with the technology and economics of solar-electric for agriculture. The poultry industry is one of the largest employers in Delaware. Some counties have the highest concentration of growout houses in the U.S.

The Delaware Green Energy Program granted $250,000 to help fund the system, the University of Delaware will monitor the project and GE Energy, the PV panel supplier, will contribute to the project evaluation study. Ray Angelini, Inc. of Sewell, New Jersey is WorldWater's installation partner.

On Tuesday, April 10, 2007, the Fresno City Council will consider a large solar power generating project planned for Fresno Yosemite International Airport. The solar project will cover approximately 25 acres and is just one of the City’s latest initiatives as an environmental leader to improve sustainability and energy efficiency. The Airport solar project will be the single largest solar installation at any airport in the country.

Mayor Autry stated, “This project further establishes Fresno as a national leader amongst municipal governments in the innovative use of renewal energy and protecting the environment.”

The Airport solicited proposals from the solar energy industry and subsequently completed negotiations with World Water & Power Corporation to install, operate, and maintain a 2 megawatt solar power generating system. This project will provide up to 40% of the Airports annual power consumption through the use of 100% renewable energy sources. The Airport will save approximately $12.8 million in energy cost over a 25 year period. World Water & Power expects to complete the solar project in the spring of 2008.

The Airport will be able to take advantage of the California Public Utilities Commission (CPUC) renewable energy incentive programs, which are administered by PG& E. These programs, known as SGIP for 2006 and CSI for 2007 offer financial incentives to customers who install generation facilities that contribute to their energy needs.

Company on Track for Record-Setting Year

WorldWater & Solar Technologies Corp. (OTC BB: WWAT.OB), developer and marketer of proprietary high-horsepower solar systems, today announced results for the first quarter ended March 31, 2007. Revenue for the first quarter was $0.9 million, with gross profit of $0.2 million.

“We continue to be very excited about prospects for 2007, even as the first quarter showed declines versus last year on a revenue and bottom line basis due to contract timing,” said Quentin T. Kelly, Chairman of WorldWater & Solar Technologies Corp. “Gross margin improved to 21.0% from 6.7% in the first quarter of 2006, but revenue fell as WorldWater put in place a new strategy to pursue larger megawatt and multi-megawatt contracts – which take longer to bid and negotiate, with greater lead times for production and installation. WorldWater & Solar Technologies Announces Signing of New Letter of Intent with ENTECH
Parties Anticipate Closing During Summer

WorldWater & Solar Technologies Corp. (OTC BB: WWAT) (formerly WorldWater & Power Corp.), developer and marketer of proprietary high-power solar systems, today announced that Chairman and CEO Quentin T. Kelly and ENTECH, Inc. Vice President - Corporate Business Robert R. Walters signed a final Letter of Intent defining the terms for the acquisition of ENTECH, Inc., developer and manufacturer of advanced solar concentrating technology. The definitive agreement is expected to be completed before the end of the second quarter, with closing scheduled soon thereafter. As part of the agreement, WorldWater will pay ENTECH shareholders $6.3 million in cash consideration along with $12 million in WorldWater common stock. The deal also includes earn-out provisions for ENTECH’s stockholders and management if certain performance benchmarks are met. Additional terms were not disclosed.

“We greatly appreciate our shareholders’ patience as we worked hard to structure an appropriate transaction this past year,” stated Quentin T. I missed out on yesterdays gains, but I can't believe I snuck in at low of day today as I thought the days of under-a-buck were over after yesterdays action.

This thing still really needs to cool off a bit for my taste, so I'll probably be out by EOD as well. I agree as well that we will continue to see this rise slowly and playing it while it goes along will be a good learning experience for me, mainly chart reading.

Don't quite get it all Mort...but it sounds like it would give them "the option" of a stock split...almost as if they don't have it right now...and this date isn't until the middle of July...
The total issued and outstanding shares of common stock, $.001 par value per share (the “COMMON STOCK”), as of May 25, 2007 consisted of 165,656,319 shares.

I'm out for the day 1.23 I keep setting a buy-back-in price based on my reading that this thing needs time to "re-straighten its tie after a quickie in the stockroom" (i.e. go sideways for a bit). It's pulled me back in the last two days so far; we'll see what happens tomorrow.

The rookie street doesn't know how to break down news.. Kelly the ceo sold option the 30th of May i think totaling just over 30k. The thing is those options expired the 31st of May. He had to cash them in or they would go worthless.

Indeed, waiting a couple days is a good move as well. I felt getting a foot in the door on todays dip is a good step for me. I will for sure increase my position if it continues red the next couple days, but I think it needs to hold .91ish to solidify progress of the last run.

.70 would really push my "investor confidence" but high .7's not as much and I'd feel a bit more gamey to play this thing. Haha, investor confidence, gamey, and play in the same sentence - no comment.

There is a huge difference in pumps out there.
some are legitimate and some are P+D.

IMO this is one is far from being a pump and dump.

SWRI was a good example of a P+D.

I am kicking myself for not looking more into this co. 3 months back when I first saw this.

As it stands I bought a few last week on a semi-dip and will continue to add as I see fit.

I don't have to watch daily and I feel comfortable holding this.

No, everyone knows about it already. They need to increase the shares to close the Entech deal. Why do you think we are not at $5 by now? The contract was a LOI becuase it can't be official before Entech is closed. They stated they are using the Entech panels in the PR. Stick with making a couple of hundred here are there and leave the understanding to me.

"WE" aren't at $5 yet because so far all we have are letters of intent with the possibility to increase shares and do a RS...(aside from the airport deal)
Once those deals are done...will decide where this goes...keep in mind...many buy on rumor...sell on news...

WWAT appears to be a great investment...as well as an occasional great day trade...but it is still wise to proceed with caution...particularly if people are just starting to come into this stock...

Well its been over a year they have been in talks with Entech. I'll put a 99.9% it closes. After that Imo the spain deal turns to a contract because it states in the press release its using Entech panels. It's a $3.50 stock after spain is finalized. That's not including what happens from now to then

But WWAT is an OTC? I'm not trying to argue more to just understand and learn something maybe. Are you saying the typical investor of WWAT is "big board" minded, in that they think WWAT being listed on a big board is a not a question of "if" but "when"? Just getting in early, etc...

Basically I am just saying in my opinion that the reason for the decline late day was due to the overall market. This speculation only allows me to think that there is not another huge reason (such as insider selling, RS, etc) as to why it went down. Just giving me more confidence.

Here are the two charts to compare intraday. You can see they both had a somewhat steady climb and started to fall around the same time and jumped back up EOD.

This stock has been following the overall market to a "t" When it went down to 1.185 the market was correcting hard at the same time. i would expect it to be listed on the NASDAQ if anything

What i saw today was a big buyer not the small guys was buying. He was using GSCO(gelbaum?) Once he left the stock did not have the strengh it had all day. So the profit taking took it down to 1.75 on nothing. The volume to bring up to 1.995 compared to what it came down on is a joke. Smart money is buying this at all levels

Look at the history of Gelbaums purchases. He increased the number of shares he bought at the higher levels. My calculations has him with about a .97 average on just under 22 million shares

Yes, but consider the possibility that people who swing that sort of a line may have a different time frame in mind. This stock may get big, but it could take a couple of years to get there.

The fact that an OTC is following the market doesnt mean it belongs on the big boards, just means that nothing spectacular is going on with it.. its just riding nuetral... waiting for news or rumors to make it stray from the market.

(WWAT.OB) (formerly WorldWater & Power Corp.), developer and marketer of proprietary high-power solar systems, announced today it will build a photovoltaic system up to 1.2 Megawatts to provide electricity and water pumping power for the Valley Center Municipal Water District (VCMWD) of Valley Center, California. The system will be owned by Solar Power Partners of Mill Valley, California, which will operate it for VCMWD under a 20-year Power Purchase Agreement (PPA). I like the DOT technology....The one hinderance of solar power IMO was the fact that so much space was needed to provide a substantial amount of power.

If you can reduce a 40 acre solar field into 2 acres and produce the same kilowatts....Look out!

Prior to September 28, 2007, the Quercus Trust and its affiliates owned approximately 21.6 million shares of WorldWater common stock, representing approximately 12.2% of the equity ownership in the Company, or 8.2% on a fully diluted basis. With this Agreement, the Quercus Trust and its affiliates own approximately 16.4% of the equity ownership in WorldWater, or 10.6% on a fully diluted basis.

WWAT went as low as 1.71 the day after I sold at 1.85.. and I called it going down, if I recall correctly..

What's rookie then -- getting your money out before a correction, or religious faith in a stock? Hmm...

I'm bullish on WWAT, I think it's a good long-term investment. But I play short term.. so I can sit there, watch it go down 5% and up another 10% -- or I can exit when I see it's gonna go down, and play my money elsewhere, for a better profit.

I'm with you fourseven...I've been playing this for about 18 months or so...and swinging/flipping it is and/or was the best way to play it IMO...
But hey...I'm just a "rookie"...LOL!

Oh...and the PPS is 1.94...and I don't think it has gone over 2 today...BUT I do think that when it goes over and holds above 2...it should have another small run...IMO

(WWAT), developer and marketer of proprietary high-power solar systems, and ENTECH, Inc. of Keller, Texas, a high- tech supplier of solar technology to NASA for space operations, announced today the execution of an Agreement and Plan of Merger pursuant to which ENTECH will merge with and into a wholly-owned subsidiary of WorldWater. Under the terms of the Agreement and Plan of Merger, WorldWater will pay the following consideration to ENTECH stockholders:

-- $5 million in cash;

-- Shares of common stock of WorldWater based on a formula which, assuming a $2.00 per share price of our common stock, would result in issuance to ENTECH stockholders of common stock valued at approximately $39,300,000; and

right. i'm just trying to figure out how this works..

Quercus bought up millions of common shares of WWAT; now they exchanged 19.7M of those shares for 19.7K preferred stock shares. so WWAT got 19.7M shares plus $6M to buy out Entech.

Now WWAT will dilute the common share pool by issuing more common stock (so the price should go down?), so that they can get back the 19.7K preferred stock and return 19.7M common shares to Quercus..

how does Quercus benefit from this? the assumption is they're not a charitable organization, and they're doing this for profit.. so if the dilution will drop the PPS, why would they go for this deal?

This deal(dilution) was happening with or without Quercus. Entech makes WWAT. Now they compete against the big boys like FSLR for contracts. This has to be the best dilution ever. Quercus gave them the shares because they need to close Entech before getting the spain loi into a contract. basically they are loaning them the shares(which does nothing to their current position) to get the ball rolling. It's not like they are in this stock for a trade,those will be tightly held shares for a long time. When it's all said and done they will have around 300 mill OS. They announced a while back they will need 30 mill to build a new plant for Entech.

An Open Letter to: WWAT Stockholders, Management, and Potential Investors

Yesterday I had the opportunity to listen in on Frank Smith’s 10:00 AM question and answer session. This new openness brings a great ability for stockholders to be involved and stay informed with the World Water and Solar Technologies operation. I was impressed.

I believe that a few topics were not mentioned which are very worthy of comment.

To add credibility to my comments and to demonstrate my ability and knowledge to make these statements, you must know who I am. My name is Don Sable, II. I have been associated with Entech for almost two decades. At the time of the merger, I was one of the two largest stockholders of Entech. I now have over four million shares of WWAT.

My first point is ..... that while WWAT may be experiencing cost overruns on the Fresno and Denver jobs, these jobs were bid with WWAT being primarily an installer of other manufacture’s flat plate systems. This forced WWAT to bid these jobs with a very narrow profit margin. Valuable information, experience, and contacts will ultimately be derived from these two jobs.

The scenario will be far different when WWAT bids jobs using their own proprietary Entech arrays. As said yesterday by Mark O’Neill, Entech’s Chief Technology Officer, and as I personally know, due to the efficiency of the Entech design, the Entech system can be built and installed for a cost which is 25% to 50% less than conventional flat plate systems. WWAT and Entech have the possibility of being able to underbid all other solar systems and to be awarded all the work which they can handle. This equates to a very profitable bottom line for WWAT and due to the volume, a need for additional Entech manufacturing facilities in the future.

My second point is .... that while rebates and tax credits for green energy investments may be in question at this point, the increasing cost of carbon based fuels and the desire to have a fixed long term cost of electricity will fuel the investment in solar and wind generated electricity. Yesterday no mention was made of the value added by carbon credits, which will only become more valuable in the future.

Yesterday’s ABC nightly World News at 5:30 central time presented three very interesting stories which support a long term investment in WWAT.

First .... was a story about the rising price of oil. Yesterday oil made a record increase in its price. It can be concluded that as oil and natural gas increase in price, so will coal. As feeder stock energy increases to electrical generation plants, the cost of electricity will also increase.

Second.... was a story with the claim made that the cost of electricity will increase 6.5% over the next year.

Third .... was a story about a small Missouri town of 1300 people which bought four wind generators to produce electricity for their town. This investment will keep the cost of electricity fixed for ten years. The story indicated that there would be surplus electricity generated for another 1300 people.

In conclusion, I must say that I am “bullish” on the long term outlook for WWAT. While knowing the profits to be generated by the sales of Entech systems, I can overlook another possible quarter of loss. Entech arrays should be rolling off the line in August. I am definitely impressed with the new WWAT management team headed by Frank Smith.

I intend to retain my WWAT stock. With the current low price of WWAT stock, I would advise others to buy.
