Item 1.01 Entry into a Material Definitive Agreement

On February 22, 2007, pursuant to subscription agreements, we closed a private placement to two accredited investor for of an aggregate of 860,000 units at a price of US$1.25 per unit, for gross proceeds of US$1,075,000. The company paid $100,000 USD in fees. The units consisted of one common share and one warrant. The warrant entitles the holder to one common share upon conversion. The common shares were issued pursuant to Regulation S ("Regulation S") under the Securities Act of 1933, as amended (the "1933 Act").

The warrants have an exercise price of $1.50 for a period of two years from the closing date.

On December 28, 2006, pursuant to subscription agreements, we closed a private placement to two accredited investors for an aggregate of 7,500 units (30,000 shares) at a price per unit of Cdn$6.40 per unit (Cdn$1.60 per share), for total proceeds of CAD$48,000. The units consisted of three flow-through common shares and one common share. The flow-through shares entitle the shareholder to a Canadian Exploration Expense under the Income Tax Act. The company will use its best efforts to file a registration statement for the issued shares by April 30, 2007. The common shares were issued pursuant to Regulation S ("Regulation S") under the Securities Act of 1933, as amended (the "1933 Act").
