This is my first post so go easy on me. Let me know if this is the wrong forum on the board. I am not a stock promoter, pumper or the like.

I just started investing in the penny stocks and I am learning a lot from the vets here since I have been reading the last few weeks. I have a long way to go.

I have been playing UPZS the last few weeks when it was * 0.03. I have been out an in a few times (not in the same day).

There is some strange history on the stock. I was a Telecom stock now turned Pizza stock.

Looks like they are trying to tighen the pricing. I do know they want this stock to hit the NASDAQ and they are very serious about growth.

I am trying to figure out if they are just pumping the stock short term or if it can hold long term. I am happy to profit either way.

They do have an unaudited quarterly out there on pinksheets.com. I am trying to figure out A/S, O/S, etc.

Currently I am accumulating. I am told a good many of the shares are restricted and do not trade.

I am playing a few other stocks listed on this board. This is all play money while I learn.

I would appreciate any thoughts on this one.

TY...10of13

I am not new to this company's management and have non-trading investments with them. They also have frequent shareholder conference calls.

I am anticipating some interesting shareholder related PR this week but there is no promise of it.

Thanks for the info!

Tony did you get in? My last in was * .33 and .34. I pulled some of the cash I was going to put in FCFG and RXPC. I am still going to try for some RXPC later in the week. Perhaps Wed.

I think the target for these guys (UPZS) is $1. They are definately shooting for the NASDAQ.

When this run started at .03 I thought the target was .25.

As I understand it the management holds a vast majority of the stock. Upwards of 90% or so and it is restricted.

The following is COMPLETELY conjecture. I would not even class it as a rumor.

I think the company is aquiring stock. Not a buyback to retire it but to provide to certain investors or management.

Now I know I do not yet (if ever) have J_U_ICE's (nothing like acting like you know someone when you (I) don't!) savy in calling the investor line and chatting it up. So if anyone has a suggestion on how to ask or what to ask I am all ears. Like I said I am new to this and I only know about this stock from some guys at work. Then again I was the only one to grab it * .075.

I am definately going to try to get in on more of this. I love triple pay months coupled with bonus month!

Another nice day. I hope they don't have a .75 target.

I wish I had been in at .03. Profit is profit and I am very happy.

I will admit I almost sold at .8, but every day we have had a late rally so I held off not anticipating the profit taking. I hope we can get some nice early pricing.

The big questions is ... will we run again today? Or will the MM keep us * .75 range?

Should be moving, a solid move on their part...

PITTSBURGH, June 15, 2006 (PRIMEZONE) -- Unique Pizza and Subs Corporation (Other OTC:UPZS.PK - News), a Delaware Corporation, has added a 12,000 square foot, approximately $1 million Corporate Headquarters building in Greensburg, Pennsylvania to its growing list of corporate assets. The new building, located at 302 West Otterman Street, will accommodate Unique Pizza and Subs Customer Response Center, management, marketing, commissary and administrative staff.

The property establishes a centralized Corporate Headquarters' for Unique Pizza and Subs' technology and training facility, with additional space available for further expansion. Unique Pizza and Subs selected this building for many reasons: the building is already equipped and wired with a back-up generator to ensure power is never lost to the Customer Response Center and the rest of the building; the entire building has been wired to service two separate internet providers, allowing for a considerably lower set up cost of the C.R.C. and corporate networking system; a partial first floor tenant will pay approximately $4,000 a month in rent to UPZS; two separate private parking lots, in an area where parking spaces are in short supply.

Jack Carroll, Senior Vice President of Sales and Marketing for Unique Pizza and Subs, stated, ``Having our own building not only provides another tangible asset to increase our business' value. It gives us a solid base from which we can operate effectively as a comprehensive franchise organization. By bringing our franchising, commissary and marketing departments together with our call center staff, we will be able to interface all aspects of our operation, making it even easier to respond to our customers' needs. This is another strong indication to our shareholders how committed we are to build value in the Unique Pizza and Subs brand.''

That news came out today? Then why did it run so hard yesterday and dump today? Looks like a little insider information being passed around....

Yesterday was news of one of the franchisees' getting 3 more states in their territory. So was good expansion news....

OH, i see it, it actually was Tuesday before the bell. That was quite a one two punch of PR's for this. 2700% in June. I am jealous. You think it still has room to run?

Posted by MHampton on :

I hope so, I'm in at .68 coming late to the party, but I like what I see, they seem to have a solid game plan, already have some franchisees in place, they are making all the right moves and saying all the right things. Not sure if their product is good or if the pricepoints are comparable, but I would imagine they are. Done right Pizza is a great money maker. Ask Dominos, Pappa Johns and Yum (Pizza Hut)

Posted by Doniboy on :

Well they supposedly are opening franchises in major metropolitan areas like Boston. So I imagine that as they open each store a new PR will announce it and send the stock up. Not sure if you'll ever see another 2700% gain though. Man I wish I had a time machine.

Holy Gelatinous undergarments Batman!

I did exit my position at a decent gain.

A couple of things. I like this company and I am looking for another entry point. I like .55 for tomorrow to enter again. If it dives in the first hour I like .45.

Since a few of us were discussing this today at lunch. We would like to see 2Q financials and I hope they are out in a few weeks. Obviously they have cash and credible contracts or they would not be getting loans on million dollar property. Greensburg is not far outside Pittsburgh.

From what I have read it looks like they are going to have 30-70 operational franchise shops by EOY.

If anyone has thoughts let me know.

Posted by portman on :

Now that I said I wanted a low re-entry point...don't think I am hoping it drops and stays. If it looks like it wants to run I will buy in at the .60's or .70's.

I just want .55 in the first 60 minutes of trading then up up and away! .80's .90's...

Darn it! I had a GTC order in yesterday for .55. I should have cancelled that! Now I'm once again stuck trying to climb out of a lost straight away.

I realize that it is probably just a correction, but I sure which I would have bought at the bottom.

I know, I seem to be good at hitting the HOTD, which then turns into the HOTW for some reason, I need to learn to get to the party eariler.
My only consolation is that these havent dropped as much as the ones I was in... I was able to flip those for a gain, which of course has been reversed, but I think this one is definatetly salvageable, good business plan, seems to be good execution, this just isn't going to be a quick flip unless we get a good turn around soon.

I am going to make a call next week and see if I can get an Interview with someone and post it here.

We were stitting around chatting about UPZS and a few gas wells we could get into in the next few months.

My dad's take is it has bottomed out.

I still think it has .10 or .15 left to fall.

He also thinks this is a $10 stock in 12-18 months.

I think it will take a bit longer.

It is what it is...I like this sock and company over the long haul.

I think they have made a mistake or two with the management team. I think the team has made a few mistakes as they grew. Overall I think they have a solid business plan and have executed it. Everyone makes mistakes. Not everyone executes to the plan. I think the PR and activities bear this out.

Unique Pizza and Subs Corporation (Pink Sheets: UPZS - http://finance.yahoo.com/q?s=UPZS.PK ) Unique Pizza and Subs Corporation, a Delaware Corporation, has recently received another commitment from its current Massachusetts master franchisee to develop 3 (three) more states in New England. Joe Pitterino and David W. Nyberg have been active in developing the Boston market for Unique Pizza and Subs, and they have now acquired the rights to begin opening stores in the states of: Connecticut, New Hampshire and Rhode Island as early as September, 2006. Franchisee Joseph Pitterino stated, ''We started out to with the intention of opening forty-plus locations across Massachusetts by the end of 2007, but because the demand to open stores is becoming so strong we felt it was prudent to expand our territory to Conn., N.H., and R.I. while these markets were still available. David and I have many established business associates in these states and feel that will make our expansion into these new markets even easier. We are working in conjunction with the corporate office to hire a staff that is qualified to allow for this major expansion throughout New England.'' Joe Pitterino and David W. Nyberg are very educated and experienced businessmen, and by committing to open multiple locations in three additional states, it shows how excited and financially committed they are to developing Unique Pizza and Subs into New England's premier pizza franchise. This is one more strong indication to our shareholders how committed we are to expand Unique Pizza and Subs nationwide.''

Unique Pizza and Subs has done many things to position itself as the fastest growing, publicly traded pizza franchise in the U.S.: the ability to convert an existing pizza shop into a UPZS franchise in about one week; UPZS can open a franchise in any size market and is not limited to demographics or household incomes; the Customer Response Center (C.R.C.) which receives incoming orders for all nationwide stores is provided at no cost to the franchisee, saving them approximately 5% labor costs (pizza call centers have an average order 'up-sell' of 15-20 percent); a stock price that has continued to grow with UPZS's nationwide expansion; the superior product quality of a ''mom and pop'' pizza shop but with the consistency of a major franchise; a very unique and expanded menu with a limited inventory, for optimal cash flow and freshness of product. Unique Pizza and Subs will have locations in nine U.S. states before the end of 2006; Connecticut, Georgia, Massachusetts, New Hampshire, Pennsylvania, Rhode Island, Texas, Virginia and Wisconsin. In addition, Unique Pizza and Subs is in various stages of negotiations with prospective franchisees in: Canton, MI, Charlotte, NC, Chicago, IL, Greensburg, PA, Houston, TX, Ontario, CA., Phoenix, AZ, Royal Oak, MI, and Sacramento, CA, with the minimum commitment of five locations per franchisee.

Unique Pizza and Subs continues to adjust their projections upward as they continue to exceed their already ambitious plans.

We expect revenue for the production year beginning November 1, 2006 will be a minimum of $20,000,000 with net revenue from this operation fixed at 20%.

"We are seeking a credit facility of $25,000,000 to purchase additional systems for installation at various sites globally. This is proven technology that has been in service for several years in various industries and is now essential to remove oil and pollutants from wastewater and to maximize oil recovery which has suddenly become very valuable with the recent price increases in crude oil," stated company president Mel Rich.

NEWS !!

PITTSBURGH, June 27, 2006 (PRIMEZONE) -- Unique Pizza and Subs Corporation (Other OTC:UPZS.PK - News), a Delaware Corporation, is pleased to announce the acquisition of one of Boston's better-known pizza restaurants by its franchisees, Joe Pittorino and David W. Nyberg. Tommy's Pizza, located at 49 Mt. Auburn Street in Harvard Square, provides Unique Pizza and Subs with a high-profile location in the heart of Boston's prestigious Harvard College. The location is the first of several scheduled to open in Boston over the next few months, and represents a homecoming of sorts for Will Newell, Director of Conversions, ``I am especially excited about our first store because of its potential in a great location, and for sentimental reasons as well. I am a Harvard graduate, and I look forward to getting re-acquainted with an area that has meant a great deal to me personally. Although we have several locations under consideration to open, this one has added meaning because it establishes our commitment to make Unique Pizza and Subs the most successful pizza franchise in this market,'' he stated.

Every Tues and Thurs we get at least something...maybe they are over doing it but it seems they actually have somethings to tell us.

I think we are going to live in .25 - .45 land until they really start opening and converting.

I dont like that neighborhood, can we move to a better one, say in the .70-.90 area, the neighbors are so much nicer there (and I wont be underwater)...

Anyone still trolling this topic?

Like I said before I am in this one for long.

I am loaded up with some XKEM cash so now it is time to get more UPZS.

Looks to me (I am NOT a chart reader...yet) like we might be near bottom.

I tried all day to get in at .19 and did not get filled on my account. I will try again Monday.

I am going to post some new and old PR here.

This is my largest position in terms of number of shares but it is in terms of amount of money I have in it.

This a long term stock for me. I do anticipate there will be waves to ride on this one. From the first ride they seem to be bigger and fewer.

At this point I am bought back in on mostly free shares. But I am planning on sinking more "real" money into this one next week. I like the .18 and .19 range. If I get it cheaper I will be really happy.

One of the things I see as an issue here when flipping is this one is starting to get expensive and unless the swing is large our percentage gain on the flip is going to lessen. I see the flip opportunities as opportunities to get more shares and some cash.

I did get in contact with IR today. They were very nice and helpful. I have a additional questions in to them and they asked that they have until next week to get the answers.

I will post later tonight.

I was able to get to IR today and here is what I got. We are suppose to see some good PR soon. Not like we do not see one twice a week but I am told we will get more substance soon.

I also was able to get the current share structure. Please note I rounded the exact numbers so I would not use them for valuation.

Outstanding : 486.3 Mil.
Allocated : 486.3 Mil.
Float : 67.8 Mil.

It is my understanding that most if not all the allocated are restricted. I am calling back next week and I will update on any potential we have at getting a look at the financials.

I hope to get a good idea when the restricted shares register for trade, etc. If anyone has questions let me know.

But it seems I am the only one posting. [Wink]

Thanks Port,

I'm still keeping this one on my radar, so I appreciate your info. Haven't made any decisions yet, but it does look like they have found some more stable ground around .20

Going to keep watching and may buy in if I have some extra cash.

I was back in at .41 and I chased and chased it to .30 today. I am and have been back in.

I will and intend to flip this stock again and again. I also plan to get back in the stock over and over.

I invited a few allstocks friends to post here and follow the stock. It good to see the ols guard here as well. [Smile]

It was a good day folks. We are a small group here at allstocks on this stock.

Sorry your are not in Egg. This might still have some legs. I do not think this run will be as high but I also do not think it will settle as low.

Posted by portman on :

Last run was 5 to 6 days. We are 2 days in on this one. Everyone keep your eyes on the streaming charts if you can.

Today there was two flip opportunities. One from 10:45 - Noon and another from 1:45 - 2:45. I am interested to see if we see this repeat tomorrow onward.

Most trades today looked small and in batches.

Posted by portman on :

Charts look similar to the first days of the last run of the last run.

Posted by portman on :

Like I have said a few times. I do not think we are going to have a run up to the heights of .83 again.

I can't even say we will get out of the .30's.

I am looking to this over the next few months as they begin to open locations across the US and get the Call Center operational.

We will begin to know this company by how they execute through the end of the year. Certainly in business not everything goes as planned so we will see delays and we may see some targets not met on time.

To date we have seen the announcements of the Call Center, Custom Software and a few other items. They have executed on these items to date. Next on the list is executing the opening of shops.

Posted by portman on :

Planned for this week:

Call to IR:

When will we get 2Q financials?
When shop openings that are on schedule?
Progress of POS customization
Will a delay slow shop operations?
Is it on schedule?
What is the status of the Call Center?

Posted by portman on :

Today you saw mostly selling.

If you were watching the trades you could see shares unloading in the low 30's and upper 20's.

There were a few big buys as well.

I am not going to speculate on the small trades. Figure it out for yourself. [Wink]

I do not want to give the impression I feel this is a shell. I do not believe that.

Management has a lot of questions to answer and plans to execute. Once they do we will get valuation.

As for a small play at these prices. I would personally not by more shares.

The only valuation we have is speculative otherwise this is sub-penny.

Posted by portman on :

I am not the lookout for dilution at this point. There is an equity issue to deal with. The question is do they have stock in the treasury to deal with it without diultion.

New PR tomorrow and sever over the next few weeks.

Looks like we are nearing the execution phase folks. A very good sign.

Several new contracts in the works, leases getting signed and the merger getting closer to completion.

There is more but I will post when I get home.

CC Comments

From my notes (I was about 15 minutes late):

Stores in Wooster MASS should be signed soon.

Austin was in last week training, expect locations to begin opening by EOM.

WV location in lease negotiation. One note here. It sounds like UPZS is helping with the negotiations and location decisioning. A good idea. Hallmark does it this way (Hallmark is not a franchise).

Reiterated 5 stores in an area. Could be 5 individual owners or some combination. 5 allows effective name recognition and marketing.

PR's in the works. Used the term "juicy". Makes me wonder if they read our stuff. They probably do..which is good since we want them to succeed. This is rare pinky! I expect the normal Thursday and maybe a little more frequent in the next few weeks from what they were hinting at.

I can't remember who said it on the other side but it was muttered about a "smaller float". My ears are tuned to that phrase. [Smile]

They are providing unrestricted shares to owners. Part of helping to finance expansion. No amount was mentioned.

It was mentioned some forms that take 3-4 weeks to complete where in the works. I did not catch the form name or where it needed to be filed.

They are working to finalize the merger. Same old story. "in the next week or two". Which since the last CC was to be today. What is not clear is the share structure for these investors. They have been waiting a long time and are "restless".

Weekly Update

It was a short call today folks...no real questions.

A rehash of trading pennys that I think went over most peoples head. This crowd was really not a typical penny crowd. They are in long.

There was a rehash of the recent PRs.

Harvard Square will close shortly for a week to re-brand.

Several key market stores are completing base work to begin opening.

Call Center staff has been hired as contract to hire. Twelve people will staff three shifts.

Operations will start with store in key cities. Pittsburgh and Austin were among those mentioned. At least one Pittsburgh store already has the POS in house.

There will be a CC tomorrow for the PE shareholders.

My Take on the call:

Short call with only a few UPZS company reps. Mostly Fountain Cap people. So there were no real questions.

It was a good call. It begins to lay out the basic concept of what we can expect going forward. My general impression of any business development like this is that CEOs always think their company is undervalued. They also think things happen faster than they do. I expect missed dates but I still like a road map and time-line. This is beginning to happen.

They are resolving all the corporate issues as they move forward. Clearly they are positioning all shareholders to have a real stake in the company.

Unless the MM's find this stock and start playing with it we should progress in pricing nicely.

I'm from Pgh, but currently living on the other side of the state. Next time I visit the folks, I'll have to give it a try.

Unfortunately, it is NOT currently. I think I'm back where I started and I haven't plugged numbers into my spreadsheet for a few days cause I'm afraid to look LOL.

I go on vacation next week. To Boston. Wish the UPZS there was open!

I'm going to set GTC sells on all my stocks for a 5% gain or the break even point, and see what happens while I'm gone. Then I'm going to start over!

Weeekly Update #2 (Same Week)

Tommy's in Harvard Square will shut down 9/14 - 9/28 for re-branding.

Call Center will start operations 9/21.

PE folks will begin to convert to restricted, unrestricted and a mix based on agreements one at a time starting next week.

Here is where I think we are going.

We have had a very nice flat series of sessions that have allowed accumulation for those who are long in this stock. We have not seen the sort of MM manipulation and shorting we see in other pinks some or all of us may be involved with. A large number of longs will definitely fight that aspect of these stocks.

For those of you who have found this board because you are in UPZS first and it is the only stock you have in the pinks several of us can help you understand this. Just PM us or ask openly on the board.

Clearly we are going to have a success with the Harvard location. That will be an important PR and I think we will move on that PR alone. What will be interesting is the if there are a series of openings that will carry us through the EOM.

Based on the company's prediction we know there is going to have to be a flurry of activity in 4Q '06 and at a minimum an insane amount of activity in 2Q and 3Q '07. As of 7/12/06 UPZS has 194 committed locations by EOY '07. Which averages 12+ per month.

I think we are going to see the conversion process tested and perfected in the next few months. Certainly we should see a drastic change in number of units by 1Q '07.

If the investors and UPZS maintain control of this stock and the typical MM games are avoided we have a very good chance of quickly moving to a better market. I would like to see a move to the NAS by 1Q or latest 2Q '07.

All in all I think we have a positive upside on this stock that is very unusual in the pinks. Some of the positives are: Repeated quality communication, a stated business plan with all actions based on that plan, continued outside professional evaluation of the business, long range goals and plans in line with expectations.

All the above drive a company to success. If UPZS can effectively manage this process and deliver close to it's stated goals we can expect significant appreciation of our investment. For those who have traded this stock since .02 - .05 you have seen significant growth of the PPS. Let's hope UPZS delivers.
