Actually I'm a leeds member and this stock came off of something he call's his penny stock hit list that was released 2/16/06.(7th edition).
This deals with stocks specifically below $1
He does not update any of these, at least none that I see and I check regularly.
I e-mailed them and asked why they don't update the hit list (no reply to date).
Most of leed's picks are in the $2 to $4 range which is out of my preference.
Don't think I'll re-up on my subscription.

Boodog, management is key here.....Apparantly todays up swing is a testament of faith in management......But, more likely,,, people finding the chart interesting,, and the relatively cheap price.

It's a Penny! they are plaqued with manipulation and Volatility....

Thats why folks play um..

A 16.67% move upward in one day in a solid stock with no news is generaly because of a rumor of a good PR...Good earnings report, large contract, technology breakthru, etc...

In Pinks and many many many OTCBB'S, sometimes it is nothing but hype...

With STTC? who knows! But! As you well know by now, groups, pump and dump sites, some self proclaimed Guru with a following, can all make a stock move..

This is more of a accumulation variety stock..

I found the stock because of Leeds, I have a fair to coolish confidence level in his picks..

He has picked some grand slam's, generaly it is a waiting game on his picks..

I think I can atleast say, Leeds has a Good confidence level in the management team without violating any Copy rights agreements..

A few hundred bucks on a dip? Sure why not..But!!!!!! only if you feel comfortable with your decesion.

DO NOT BUY THIS STOCK ON MY RECOMENDATION...

Keep track of it, you should have plenty of time to buy if you decide to..

Thanks dust. I always do my own DD and just wanted to see if there was a flag flying that I didn't see. It will be interesting to watch how this goes. Seeing that STTC is a support company and not actually producing was making me wonder what the attention was about. I like PRs but I like facts better.

me too dustoff. sttc has been featured by them before. The paid side of his website is not compensated by the company he profiles. The free site is. I signed up with John back when he was posting on yahoo and got a lifetime membership for a few bucks. I never use though as I am always on the road. I hope we get a good 10q, if we do we wont need any pumping. TMAN...

Mine too. I dont understand how a stock can get 4 times its average trading one day and basically not trade the next. I think all but 6/7 trades Wednesday were buys so wtf. Oh well the 10q will probably come out after the bell so we can anguish over it all weekend. lol.
On a side note, I am aalllmmmooosstttt ready to get back into ndol. I still think it has room to run after they file their info. TMAN...

Hey Dustoff, I was looking at yahoo's analyst page for sttc. Some very interesting tidbits of info there. The first is the strangest but gave me a woody. 2 analyst have a price target at 30.88 for the year. [Eek!] I know that is way out there but why not put .50 or even stretching it 1.00 to make it somewhat more realistic. Crap that would be a market cap of around 1b. lol. The second and more relevent issue is that last month there was 1 hold recommendation. Now there are 4 hold and 2 buy recommendations. WTF. Does someone know something that we dont? I am curious if you had seen that. TMAN...

As disclosed in the Company's 8-K dated January 17, 2006, the Company entered into a certain Plan and Agreement of Reorganization (the Agreement) with Inspara, Inc. (InsPara) pursuant to which InsPara would merge with and into the Company (the Merger). The closing of the Agreement took place on January 18, 2006 and the Merger became effective retroactively to January 1, 2006.

The Merger was accomplished pursuant to the Agreement which was attached to the Company's 8-K dated January 17, 2006 and is incorporated herein by reference. Under the Agreement, the stockholders of InsPara will receive, pro rata, a total of 49,999,998 shares of this Company's Common Stock (the Acquisition Shares). The Acquisition Shares are unregistered shares and will only be free trading upon a filing of a Registration Statement for the Acquisition Shares, or an exemption from the registration thereof. Immediately following the closing of the Merger, Doug Wetzel resigned from the Board of Directors of the Company and Kevin Holt, the Chairman and C.E.O. of InsPara,

During the three months ended March 31, 2006, the Company sold Solutions Technology, Inc. for $100,000, and also disposed of its German subsidiary SoftNet International, Inc. The resulting gains from disposal are included in the Company's financials for the three months ended March 31, 2006.

Results of Operations

Three Months Ended March 31, 2006 and March 31, 2005

Revenues for the three months ended March 31, 2006 were $1,093,523 as compared to $231,683 for the three months ended March 31, 2005. As mentioned, the Company's acquisition of Inspara and combination of business operations with Indigo Technology Services consulting were the reasons that the Company experienced very fast revenue growth.

Cost of sales for the three months end March 31, 2006 was $733,973 compared to $97,174 for the three months ended March 31, 2005. The increase in cost of sales was manly due to the increased operations of the Company from the acquistion of Inspara.

Operating expenses for the three months ended 2006 were $2,033,602 as compared to $1,877,131 in the first quarter of 2005, an increase of approximately $156,000 due in large part to the decrease in marketing and promotional activity and in corporate expenses for legal and accounting and operating expenditures. However, the operating expense did include a large one time impairment of goodwill of $1,149,510 from the acquisition of Inspara. This will not be recorded going forward and should lead to better profitability of the overall company being reporting in the coming quarters.

Other income (expense) was $(5,552) for the first quarter of 2006 compared to $(5,308) for the first quarter of 2005.

The gross margin of (33%) in the first quarter of 2006 was attributable to the acquisition and operations of Inspara being brought into the overall company. This figure is not being compared to previous years of operations as the operations of the Company are significantly different than previous years. Going forward these margins should remain steady and there is no reason to believe outside competitive pressure would cause a decrease.

Liquidity and Capital Resources

For the three-months ended March 31, 2006, the Company used (2,033,602) in operating activities compared to ($1,877,131) for the three-months ended March 31, 2005. The decrease in cash used in operating activities of approximately $156,000 is most attributable to the decrease in shares of stock being issued for services. The Company has continued to borrow certain amounts from related parties to finance the quickened growth of the new enterprise solutions operations brought in to the company through the acquisition of Inspara. However, the Company would not require any additional capital to simply sustain operations and grow at a slower pace. The Company has made significant progress with respect to future funding. Funding is expected shortly, which will enable the Company to market, and continue to expand operations at a quickened pace. The current funding that is being contemplated would be through a loan from the Current CEO. Terms of this transaction are still being discussed. We anticipate that going forward; we will continue to streamline administrative, and professional fees to conserve cash flow. Once the recognition of increased revenues occurs, certain expenses will increase, but only in accordance with the increase in revenues.

The accompanying financial statements have been prepared assuming the Company will continue as a going concern. The Company has suffered recurring losses from operations and at March 31, 2006 had working capital deficits as noted above. The financial statements do not include any adjustments that might result from the outcome of this uncertainty. However, with the acquisition of Inspara and the combining of all corporate operations, the Company is now in a position to sustain operations without further capital infusion. Additional capital would only be required to increase the pace of growth for the overall company. It is expected in the coming 12 to 18 months that through organic growth and strategically targeted acquisitions that the Company will be able to sustain a very high rate of growth and not require additional capital. However, the Company has chosen a path of a high rate of growth and there for will require additional capital in order to meet these goals at the present time.

Correct me if I am wrong but if you take the one time impairment of goodwill of $1.1m from the operating expenses you have an actual decrease of over $1m from quarter 2005 to quarter 2006 in operating cost. They still lose money but that could translate into over $4m for the year. TMAN...

Ya know Dust, when I read a 10Q etc, and I think it sux the price of the stock skyrockets and vice versa. I didnt like all that I saw but with the reductions in expenses and the share count possibly going down to around 250mm shares I would have thought this would do something. Oh well, I planned on holding for $30. anyway so what the hell. lol. TMAN...

Hey Dustoff, glad to here you picked some more up. I have been traveling since Wednesday afternoon. I drove out from Long Beach back to Cleveland Texas. 1600 miles in 28 hours. Graphics do not show a lot of Liquidity on the ask...L2'S show a stack at .06 but that could just be a window dressing to bust right thru..

But I wouldn't count on anything the way this thing behaves.

I am just glad to see green. I cant believe there would be alot of people wanting to sell at 6 considering there hasnt been a lot of volume to get us here. They havent released any follow up news to the 10q which is unusual for JF. TMAN...

Interesting... financials out on sttc. IF it wasnt for the goodwill write off for Inspara they would have almost broke even for the quarter. Net loss of 1.75mm verses the write off of 1.5mm. I am starting to wonder if they will show a profit next quarter. If I am not reading that correctly let me know because, dang I am almost excited. TMAN...

Man Dustoff, this is hard to watch everyday. I dont understand the lack of info from the company. I am also surprised that JF hasnt picked up another 1mm shares at this price. lol. If I was him I would cost average down like the rest of us. It is a good sign that he hasnt sold and the float is around 250mm. They did put out an S8 giving some shares in lieu of payment but it wasnt anything outragous. I guess those folks sold out. Oh well if it goes to the 3s I will pick some more up. TMAN...

Bottom line on this is that it is a huge long term hold,small gains and then dips again,has been doing this for months now.Actually since april when it was close to 8 cents.I had this stock and am not bashing it,it just will not make you a good amount of money anytime soon,maybe in the future but not now.Again a basher would say never buy this,i am not saying that(that was for the mods),It could be a winner down the road,but again has been bad for months.wait for some real news on this.Dust calls me bucko,guess we touched a nerve here,but I guess name calling is OK here.

Here's something from another board...
Anything about the S-8's always get my attention..I am posting it verbatum.

Remember, the S-8 filing that paid for operational expenses will not improve the Income Statement. The expenses still accrued, but were not paid for in cash. So, the cash balance will be improved (balance sheet) and the net cash used in Operating Activities will decrease (cash flow statement)…by paying for the expenses in S-8. But it will NOT affect the Income statement.

I’m assuming at some point; their “Professional Fee’s & Compensation Expenses” will not increase with increasing revenues. The cost of auditing/Sarbanes-Oxley will not substantially increase with increased revenues. And at some point, they will (I hope) stop hiring Executive Management/Consultant (i.e. Tucker McDonaugah) type of employees who don’t directly impact revenue. These Exec’s/Consultants are coming in to help in the expansion of the business. More importantly, they are helping to build the company to run itself at some point. Case in point is the Halsey Group coming in and setting up a standard procedure for all new sales processes. It was a one time upfront fee that will pay off for years to come. Remember, STTC is diligently looking for new acquisition opportunities and when that happens, the new companies acquired will be able to quickly adapt to STTC’s procedures that are now established.

This year could be the time where the company takes all these upfront costs. I don’t have to big of an issue with that AS LONG AS they are communicating their plan to current and potential investors! And since they are currently looking for an IR firm, I imagine they will be doing it soon.

Results of Operations

Three Months Ended March 31, 2006 and March 31, 2005

Revenues for the three months ended March 31, 2006 were $1,093,523 as compared to $231,683 for the three months ended March 31, 2005. As mentioned, the Company's acquisition of Inspara and combination of business operations with Indigo Technology Services consulting were the reasons that the Company experienced very fast revenue growth.

Cost of sales for the three months end March 31, 2006 was $733,973 compared to $97,174 for the three months ended March 31, 2005. The increase in cost of sales was manly due to the increased operations of the Company from the acquistion of Inspara.

Operating expenses for the three months ended 2006 were $2,033,602 as compared to $1,877,131 in the first quarter of 2005, an increase of approximately $156,000 due in large part to the decrease in marketing and promotional activity and in corporate expenses for legal and accounting and operating expenditures. However, the operating expense did include a large one time impairment of goodwill of $1,149,510 from the acquisition of Inspara. This will not be recorded going forward and should lead to better profitability of the overall company being reporting in the coming quarters.

Other income (expense) was $(5,552) for the first quarter of 2006 compared to $(5,308) for the first quarter of 2005.

The gross margin of (33%) in the first quarter of 2006 was attributable to the acquisition and operations of Inspara being brought into the overall company. This figure is not being compared to previous years of operations as the operations of the Company are significantly different than previous years. Going forward these margins should remain steady and there is no reason to believe outside competitive pressure would cause a decrease.

Liquidity and Capital Resources

For the three-months ended March 31, 2006, the Company used (2,033,602) in operating activities compared to ($1,877,131) for the three-months ended March 31, 2005. The decrease in cash used in operating activities of approximately $156,000 is most attributable to the decrease in shares of stock being issued for services. The Company has continued to borrow certain amounts from related parties to finance the quickened growth of the new enterprise solutions operations brought in to the company through the acquisition of Inspara. However, the Company would not require any additional capital to simply sustain operations and grow at a slower pace. The Company has made significant progress with respect to future funding. Funding is expected shortly, which will enable the Company to market, and continue to expand operations at a quickened pace. The current funding that is being contemplated would be through a loan from the Current CEO. Terms of this transaction are still being discussed. We anticipate that going forward; we will continue to streamline administrative, and professional fees to conserve cash flow. Once the recognition of increased revenues occurs, certain expenses will increase, but only in accordance with the increase in revenues.

The accompanying financial statements have been prepared assuming the Company will continue as a going concern. The Company has suffered recurring losses from operations and at March 31, 2006 had working capital deficits as noted above. The financial statements do not include any adjustments that might result from the outcome of this uncertainty. However, with the acquisition of Inspara and the combining of all corporate operations, the Company is now in a position to sustain operations without further capital infusion. Additional capital would only be required to increase the pace of growth for the overall company. It is expected in the coming 12 to 18 months that through organic growth and strategically targeted acquisitions that the Company will be able to sustain a very high rate of growth and not require additional capital. However, the Company has chosen a path of a high rate of growth and there for will require additional capital in order to meet these goals at the present time.

Well, I am back for a few days and see my favorite stock has went to a level where I had to buy some more. It took almost all day to fill a small order. Hmmmm, I wonder if that is a good sign. Dustoff... you still around? Last I heard you were soon to be out of the hospital. I hope all is well. TMAN...

On a serious note, all we need is a new PR firm to help with information flow, a good 10q and good numbers. With that and any noted reduction in shares we might see some good action here. If we dont get the above mentioned items we may have a tax loss on our hands. TMAN...

Monday July 24, 3:01 pm ET

CRANFORD, N.J., July 24, 2006 (PRIMEZONE) -- SoftNet Technology Corp. (OTC BB:STTC.OB - News) (German WKN#:A0B7RZ) is pleased to announce that the consolidation of STTC's business operations is now just about complete with the sale of SoftNet International GmbH to Alexander Holtermann. Mr. Holtermann repurchased the German subsidiary by returning 5 million shares of SoftNet Technology Class A Common stock.

This will complete the effort to rid SoftNet of nonessential and nonperforming business operations.

SoftNet, however, recognizing the vitality of the global marketplace, will not limit operations to the United States as international expansion has already been put into place with SoftNet currently performing work in Canada. Current President and Chief Operating Officer, Kevin Holt, has led expansion into international markets for previous corporations that he was involved in, and will do the same for SoftNet Technology. These expansion plans will be evaluated in the coming weeks and months and will be strategically implemented in an organized and well thought out manner.

As a significant step towards maximizing internal synergies and brand-building efforts, as of July 1, 2006, all the technical steps were taken and the proper filings were completed officially merging Indigo Technology Services, Inc. This leaves approximately $400,000 of long term debt held by current CEO James M. Farinella.

The approximately $1 million of retired long term debt was converted into a total 5 million restricted shares of stock (one year restriction) and 20 million warrants convertible at $.035. These warrants will expire at 5 PM Eastern Standard Time, on April 30, 2007, if not exercised. Hey Dust. I was sleeping as the price readjusted itself today. They came out with pre earning news which is kinda unusual for STTC. The gross was 1.5m for the quarter, up 500000 from last quarter. HMMMM I wonder if we will show a profit? TMAN...

"It's hard to believe, but we actually eliminated most long term debt and increased sales at the same time," said Mr. James M. Farinella, CEO of SoftNet Technology. "Also, we not only extended the first quarter growth into the second quarter, but actually increased the rate of growth. I've been accumulating on any dips under .043. Not an easy task.

i'm just on a hold. see where this goes. It has the chart and the support to make a pretty good run IMO but like you said yest it may take more than a few days. If they keep the good news coming they will draw more attention.

Atleast a portion of any shares held from the high 2's to low 3's should be held..

Daytrading a position on this thing is a snap currently..Advanced trading tools and skills are a must for Daytrading this stock..

Always check the RSI before pulling the trigger when buying.

Played right, with no "nonsense pumping" and we will do well on this play.

Oh how I would like to see a chance at the HOD again into the close. It's been holding up well today.

100,000 just purchased at .047.

Like I mentioned before, I doubt that the .03's appear again, ever.

i agree. charts are looking good right now. volume slowed and did not trigger daytraders. Chart looks like a rece track today. Painting the lines pretty straight. My daughter might actually be able to drive in those lanes.

I think my 72% profit swing and daytrade days are becoming an endangered species...LOL

Yeah D, IMO anything bought under .05 will become rare over the next month.

We just had another buy at .047. I like the pace this is at, patience should pay off for all of us. I will be playing this for at least the next four months.

I know you got some nice buys in there at .029 a few days ago. Jealous? YES I AM!

My low buy in is .033 on up to .043.

I doubt that I'll get a chance to get more at .043 or under, but my fingers are crossed.

Hi yall... Nice to see its holding up. I hope you are right Boo about the price but I think they have to have some serious reduction in overhead and become profitable at about 3 cents a share before we see that. According to their most recent S8 they have issued about 70mm restricted shares for reduction of debt and payment of services in the last 3 months. Next June we could see those come onto the market. Hopefully I will have made a tidy sum here and will play it next summer. lol. Have a great evening. TMAN...

Strictly going by the chart, STTC has bounced and begun a new uptrend IMO. Again, I highly doubt that .03 will appear again.

This company has a past record of re-purchasing shares to reduce the float when they can, so I am confident in this company/stock.

There was a bullish flag formed from 1:30pm est to the close, so tomorrow could be a good day, as soon as the flag is broken out of anyways IMO.

Even with those points brought up, I still like the stock. The CEO owns over 24mil shares now. That's a pretty heavy interest. Plus, he was paid in $400k in stock in lieu of a salary not too long ago. To me, that says that he believes in the company, and he feels this stock is going up. My guess is that the next 10Q which should be out soon(?) will be much better(?)

Peaser mentioned the 3 year chart, and I agree, look at late september 2004, looks very similar to the current chart pattern forming, pay special attention to the curl upward the 50 day moving average is forming...look familiar? [Smile]

.12 was my only target. Gutsy? was even planing to cover at .082 but was doin somethin, saw pea post and reminded myself, by the time i was set it was .085. Not putting in anything else. free shares hit my target then I'll re-evaluate. Looks to dip too far I'll get out. IMO and I shouldn't say it but this has potential to hit the .5 mark. I wouldn't bank on it though but we'll see.

I've taken profits and flipped over the past couple of weeks...I sold earlier today at .079...back in at .073...and now out at .09...
lookin' to reenter...we shall see if it hits my bid late in the day...

Boo...I was worried about the same things as you..BUT...I only use my actual cash...I don't "borrow" any...all the margin account allows me to do is not have to wait for my settled funds...in the 3 months that I have been using it...I think that I have paid less than $2 for "going over"...it is defintely worth it...my profits being able to flip and not worry about settled funds has been great...the key is to not borrow...
You should look more into it...I was surprised...

I do exactly that same thing. I never go beyond the cash I have on hand.

Having a margin account allows me the freedom to get out of questionable things and set back on the side watching to see if I want to buy back in. If I decide to, the funds are there ready for me to buy back when I want them, not three days later.

yeah, thanks again for that advice 10. Not waiting for settled funds has been great. I don't borrow either, I just use no more than the cash I have on hand.

STTC looking pretty good today, making me start to think it could start a run like it had in september/october of 2004...

A trader can play this stock like a fiddle..
The trick? do not get greedy and not take profits..

Have patience and wait for a bottom you are comfortable with and then wait..Accumulate just enough at bottom that you can afford to sit on for awhile.

I see support at .044 - .046 and then down to .03. I don't see much of a bounce without more good news. They could hold somwhere around .03 - .038 for some time but that is just a guess. Keep an eye for another squeeze.

Well I finally took one for the team and sold out 90% of my position in sttc so that yall can make some money on it. lol. I only trade when I am home or when I am on a job that allows me the leeway to investigate some of the stocks mentioned here. I have hit one of my goals in my trading and that is I have a check coming that will pay off my truck. WOOHOO!!! Now I have to work on my travel trailer. Maybe in 6 months I will have that done too.
