Look my analysis carefully:

With aprox numbers

first XKEM had 250 million shares O/S (aprox) that is float 125 million shares (the others 125 million shares of the owners)

but XKEM paid Alembic in shares 250 million again aprox (47% of the company) convertable and restricted (new O/S 500 million)

that means new numbers Alembic 47% / XKEM 53% (but 25% owners and 28% float)

Alembic is the new owner has control of the company last owners lost THE CONTROL

Well Alembic need shares to complete 51% but XKEM first owners need shares too to complete an important number

*important is that they are going to pay the ask price always, need the shares (yes WUND only buy don`t sell one share) and drying all the float...they are desperate and if they know good news coming and people know the plan (don`t sell) expect a BOOOOOOOOOOOOMMMMMMMMMM!!!!!

XKEM,has a knockoff cancer drug coming to market soon, also has a Sickel Cell drug out this quarter.Just won a law suit against Brystol Myers, which in itself is impressive for a penny stock company to win against one of the giant drug manufacturers. This stock should have news out this week or next week regarding the Sickell Cell drug coming to market. I like the potential of XKEM.

Alembic Surrenders 15% Equity Stake in Xechem's Nigerian Subsidiary and Broad Royalty Rights Under New Agreement


NEW BRUNSWICK, N.J.--(BUSINESS WIRE)--Jan. 12, 2006--Xechem International, Inc. (OTC BB: XKEM - News) Xechem International announced today it has completed a comprehensive restructuring of its $3 million convertible loan with Alembic Limited, an Indian pharmaceutical company that had invested in Xechem in 2003. At the time of the original financing, Alembic received a substantial equity stake in Xechem and its Nigerian subsidiary, Xechem Pharmaceuticals Nigeria Limited, as well as the right to receive a gross royalty of 15% of Xechem Nigeria's total sales of NICOSAN(TM), the promising drug being developed by Xechem for the treatment of Sickle Cell Disease. Under the old financing arrangement, Alembic also was entitled to a 1% export fee for all revenues generated outside of Nigeria from the sale of the Company's sickle cell drug, 10 million warrants to purchase Xechem's common stock, and a right of first refusal for the distribution rights in Africa and India from the sale of its sickle cell drug. The loan had an original maturity date of April 2008, and was convertible at any time by Alembic into common stock of Xechem at a substantial discount to the then-current market price for the stock.

Transaction Dramatically Enhances Xechem's Bottom Line Potential From Sale Of NICOSAN(TM), Xechem's Sickle Cell Drug

Under the broad restructuring announced by Xechem, the amount of Xechem's obligation to Alembic remains unchanged at $3 million. However, in exchange for accelerated repayment terms, which include paying Alembic $1 million later this month with full repayment moved up to year-end 2006, as well as Xechem's pledge of certain collateral, Alembic has agreed to terminate all existing agreements, rights and obligations under the old loan arrangement, including its 15% equity interest in the Xechem Nigeria subsidiary, the gross royalty stream from both the Nigerian and U.S. operations, the warrants to purchase Xechem International stock and the right to convert its debt into Common Stock of Xechem.

Dr. Ramesh C. Pandey, the Chairman and Chief Executive Officer of both Xechem International and its Nigerian subsidiary, said "For quite some time, we have been looking for a way to restructure the Alembic indebtedness in a manner that would allow us reclaim the equity stake in our Nigerian subsidiary and the royalty stream that was part of the package of rights transferred to Alembic at the time of the original loan. Alembic expressed a willingness to accommodate our desire as long as the repayment schedule was improved upon and certain collateral was posted. In the deal that was agreed to, Alembic got what it wanted, which was improved repayment terms and a measure of collateral, and we have again taken full control of our Nigerian subsidiary with the termination of broad rights and understandings that previously belonged to Alembic. I believe this truly was a win-win situation for both parties." Dr. Pandey went on to add that Alembic's return to Xechem of the equity stake in the Xechem Nigeria subsidiary and the gross royalty rights it previously held "should greatly enhance the prospects and bottom line success of our Nigerian and U.S. operations and may also increase the likelihood of our attracting private investment or raising money through the public markets, both in Nigeria and elsewhere."

Just Monday, XKEM had EXTREME record breaking volume, and over the past month, even during the sell off period, volume was just insane, and then this radical volume on monday.... Chart closed a triple hammer at the 3rd day today. I must say, things are getting exciting right now for XKEM Shareholders. It would be in your best interest NOT to sell this stock right now. Something is going on and it could be very benificial to all of you holders of this stock.

ubank, i'm holding XKEM until the run is over and IMO it is not. We closed with a bullish white hammer over the 200DMA today, right at the top of the 20 day Boll. Band. Wedged between the two. Todays low was a lot higher than yesterdays and we are pressing into major support. The Accumulation/Distribution is going crazy and all other indicators are supporting this.

Step away from the intraday charts and study the daily and week charts for a minute, you might see what i mean. How many days with this volume can the stock take at these levels? Not much more, its going to run and the momo will be huge. Even without news IMO! Add news and you better strap yourself to your seat.

This of course is influenced by bullish market conditions. This time a year ago, we would have sold off already and needed to go through a major consolidation phase to absorb the profit takes, dilution, etc before we could even hold levels this high from the lows.

Maybe you weren't around in the 90's to March 2000. I WAS! And i'm telling you! Don't be so near sighted. I've see stocks run like you would not believe when this much money is coming into the market. Pennies to dollars! We're getting fueled by Chinese investors as well. Along with the new OTC short disclosure rules being initiated, the shorts are covering like crazy!

THIS OTCBB MARKET COULD POSSIBLY BE A ONCE IN A LIFETIME OPPORTUNITY. All this cash influx is happening at one time.

A great example is USXP. Take a look at that massive runner. 10's of millions of DOLLARS are trading hands each DAY. Its a complete pig stock too. Every bull market Altomare has a nice story for the masses and he gets rich off of it.

I'm sure XKEM will not let this amazing market pass them by. They are going to hit us with a blockbuster Page Ranking and we are going to make a lotta mulla from these levels.

Everything is my opinion supported by facts and market sentiment.

Looks like XKEM is going to be making some SERIOUS progress here in the VERY near future!!!!

If you look at this (source below), XKEM will have to pay 16,600 to Alembic starting in July 2006 EVERY MONTH!

I don't know about you, but if my corporation had a 16K a month recurring revenue hanging in the wind... I would be busting my arse to complete the agreement and/or boost my stock high enough so I could throw them some shares to make the debt go away.

I think they will be making a wealth of press releases coming up in the near future to help boost their outward appearnence and drive up some "deals" before July rolls around.

A different company is also trying to push a sickle cell drug. They are only in thier initial testing on people though and XKEM has been testing theirs on humans for some time.

This other company is running at 8.35 up .40 cents!!!!

Obasanjo to launch locally produced sickle cell drug



President Olusegun Obasanjo will by June launch NIPRISAN (HEMOXIN(TM)), the locally produced drug for sickle cell disorder.

The president will also use the occasion to commission Xechem International Inc. factory in the country in a move seen as a landmark investment in Nigeria. The company owns the exclusive rights to NIPRISAN

The drug NIPRISAN (HEMOXIN(TM), which is at present, undergoing final stage of registration with NAFDAC is a phyto-pharmaceutical drug for the treatment of patients suffering from Sickle Cell Disease (SCD). SCD is an insidious and painful genetic blood disorder often resulting in death at an early age.

Science and Technology Minister, Turner Isoun who disclosed this in Abuja noted that location of the factory in Nigeria would further crash the price of sickle cell drugs in Nigeria.

Isoun stated that Niprisan (HEMOXIN(TM)) was a drug cocktail, with phyto-pharmaceutical composition of four traditional plants extracted in a proprietary process. The licensor of the technology is the National Institute for Pharmaceutical Research and Development (NIPRD) in Abuja, Nigeria.

Nigeria is said to have the highest sickle cell disease population in the world ranging from four to six million representing roughly three to five percent of the country's population.

Isoun spoke at the inaugural meeting of the Ministers’ Council for the National Biotechnology Development Agency (NABDA) where he also called on the government to involve more laboratories for the control and analysis of the bird flu menace.

On the situation of bio technology in Nigeria, he called on the stockholding agencies to ensure that Nigeria benefits from the judicious and safe use of modern biotechnology.

"Biotech is a gold mine and important to this nation. Almost every Nigerian is affected by the operations of biotech. To be able to achieve all these, we will require the concerted political will and a focused leadership drive. It is therefore the collective responsibility of all of us key stakeholders of modern biotechnology to join forces in realizing this vision.

It is my belief that this collective mission will not jeopardize our separate mandates but will promote the effective coordination of our effort towards achieving the same ultimate goal."

To achieve the nation’s targets in biotech, the Director General of the National Biotechnology Development Agency (NABDA), Bamidele Solomon called for the establishment of biotechnology development fund.

The fund, he stressed, could help the nation support competent researches and be ready to tackle problems like the bird flu.

He also disclosed that Nigeria in collaboration with Trinity Biotech of the Republic of Ireland will establish a facility at SHESTCO Abuja for the production of test kits for HIV/AIDS and other diseases like HB, malaria and so on.

He added that the Federal Government has approved the sum of $28 million as counterpart commitment for the project.

He also spoke of Nigeria’s collaboration with Shantha Biotechnics Limited of India for the establishment a facility for the production of Hepatitis B vaccine and other vaccines for related diseases like typhoid, polio, DTP and related ailments.

"Government approved the sum of N10 Million in the 2004 capital budget to support carrying out of a detailed feasibility study and fulfilling other MoU requirement."

I'm now all in XKEM. The main reason for me buying so much XKEM is due to the fact that Bristol-Meyers tried to squash them and failed. That tells me that they have sumpum.

I strongly advise you to re-think your position..

Going " All in " in any stock is more like gambling than Trading or investing...

I hope you are not advocating that the less expierianced do the same...That could wipe some of these guys out. Poor advise to advocate such a strategy..

I think it's been doing well considering I got in at .007... I just wish I would have purchased more at that price.

Looks like we had a great deal of profit takers today... But that will pass.

We just need some more good PR and we are off and running again.

I wish I woulda purchased more than I did down there too. I made a big boo boo buying more the past few days. I should have waited until at least today to buy. Fortunately, I'm still in the green a few thousand.

This is one of those shoulda known betters. Oh well, I may just sit on this sucker 'til June.

Yeah, this stock is just resting a bit. It should return to .025 next week, and might top .03 on news sometime this month. People are just getting shaken out of this stock right now. I was in at .01 and sold half at .028 to guarantee profit. I'm sure lots of others are doing the same.
