Patriot Scientific Corporation Announces Unprecedented Microcap Dividend

SAN DIEGO, Calif., Feb 14, 2006 (BUSINESS WIRE) -- In a move virtually unprecedented among Microcap stocks, Patriot Scientific Corporation (OTCBB: PTSC.OB) - a high-tech intellectual properties Company that specializes in developing and licensing high-performance ultra-low power microprocessor technology - today announced that it will issue a cash dividend of $0.02 per share of common stock for shareholders and qualified warrant holders of record as of February 24, 2006. The dividend is payable March 22, 2006.

This dramatic announcement follows closely on the heels of the Company's announcement last week of a buy-back program for up to 20 million stock warrants and the conversion and retirement of all outstanding debentures. Final information as to the number of shareholders and outstanding shares will be provided by the Company's transfer agent as of the record date, but based upon current information and estimates the Company will set aside funds of approximately $7million or more for payment of the dividend from its currently available cash and cash equivalents that amount to approximately $17 million.

This announcement is especially significant because - until less than 12 months ago - Patriot had never shown a quarterly profit, and had never realized significant revenue from its 10-patent portfolio of seminal microprocessor innovations. Since February of last year, the Company's jointly owned patent portfolio has been successfully licensed to Intel, HP and AMD - in the process, generating nearly $24 million in revenue for Patriot. Based on these licenses and other key factors covered in recent SEC filings, Patriot Scientific currently has a market cap of approximately $64 million dollars.

With these successful license negotiations as precedent, the Company - through its marketing alliance with The TPL Group's Alliacense division, - is actively and confidently negotiating for licenses with other U.S. and foreign companies whose products include high speed microprocessors - more than 150 of which were put on notice of likely infringement - and that includes practically every high-tech consumer electronics manufacturer and systems integrator in the global marketplace.

The action by Patriot Scientific to issue this dividend - and also last week's decision to retire the debentures and buy back what could amount to up to approximately 20 percent of the Company's total outstanding stock warrants at this juncture - were driven by the same impetus that has guided other strategic re-organizational moves that began in 2005. Last year the Company changed both its executive team and the Company's strategic direction, including the signing of a significant agreement with The TPL Group regarding joint ownership and marketing of its patent portfolio.

this is somewhat of a significant dividend payout. You think it's possible that this might keep going up, probably not at this pace, until the dividend date because people actually are buying this stock for the dividend?

I don't think anyone will buy for the dividend alone but it does show that the company is moving in a good direction. I think we can look for steady growth.

I would not be buying a share here....would be selling. Based on Technicals.....Fundamentals still good....but you can probably get in much cheaper in a few days.


BTW i bought back at .35 on momentum strength and sold again .41 lol.

Read the news on this company and if you go a little further in researching you will see this isn't your typical daytrade.

I believe this will be a sustained run. I'm not pumpin this I just bought the other day at .27 and have spent about 4 hours on DD.

PTSC is a real company that has been around quite a while. There was a time that they were trading for close to $7.00 a share. It was a long time back.

They may be comming into some settlement money for patent infringements from AMD and other MFG's. They are also getting licensing fees for there patents. They have 10.

Go to ihub and look up PTSC and follow the research.

Make your own decisions after having all the details. I will probably sell a portion at .50 which will cover my trades and ride the free shares.

If they come up with more licensing agreements or some settlements it will. If they don't announce anything it will stall. IMO, it now has some support in the .35 to .40 range. Some good news and Boom. The MM's have taken this one up slowly. I've watched as they have pulled it back everytime it wants to run away. This could rise slowly over time without ever having that one day that knocks your socks off.

I doubt if you will find another penny stock that has $23M in revenue ttm. And due to the fact that it is licensing revenue nearly all is profit (90 percentile) 3 companies have settled (Intel,AMD and Hewlett Packard) for $23M with about 150 companies to go. Paying a .02 dividend, currently .42 pps. By far one of the hottest stocks out there period.

It really depends. There could be a minor retracement without any additional news. Then again if PTSC plays it right and gives us some hard numbers on the casio deal that match HP's it could continue rising. If you are looking long term, remember that there are still hundreds of companies that haven't signed agreements yet. What we have at this point is really just the tip of the iceberg.

At the close of trading today PTSC's mkt cap was 304M.

k2 I think $1 this week is probably pushing it, but end of next week is VERY possible. And ANY "decent" PR would put it back on everyone's radar...

I took my profits on it last week, but will be looking for a good re-entry point this week for the next PR.

Does anyone know when the next 8k is due..? It should include particulars on the Casio deal, with good financials...

I think this stock will just keep going up (with some natural pull-backs). They're going to continue getting more and more companies signed up with their licensing (so long as the court's rulings stay in their favor). This can only keep bringing more money to the table.

This license represents a settlement of patent disputes between Fujitsu and the owners of the MMP Portfolio.

In striking this licensing agreement, Fujitsu joins Casio, Hewlett-Packard, AMD and Intel in licensing Patriot's core patents impacting virtually every microprocessor manufactured since 1994. Casio struck its licensing deal last month, HP signed a licensing agreement in January, and both AMD and Intel negotiated licenses in 2005. Terms of the Fujitsu license were not disclosed.

Fujitsu had been one of four major Japanese electronics manufacturers against whom broad-based patent infringement claims had been filed last October by The TPL Group in the Federal District Court of East Texas on behalf of the MMP Portfolio. Today's announcement further substantiates the need for modern system manufacturers to secure MMP Portfolio licenses to cover the entire spectrum of their digital product lines.

If PTSC just got 10 percent of that $ 260 billion they are estimating annually that would be about $65 per fully diluted share; annually. With just a PE ratio of 5, that would set the PPS at around $ 325. That's with only 10 percent of the estimate realized folks.

wow, let's see if the market agrees with that analysis, because as we all know the numbers are backed only by stong consumer demand. In PTSC's case there should be no problem because they are in the right place at the right time. Small pullback this morning as some traders took their profits, we should surge forward from here on out. I'm in long now, learned my lesson after selling at .73 and buying back in at .78. GLTA

As far as future earnings from licensing is concerned, I'm sure even PTSC doesn't know what that'll be. In their PR's they've said they're offering a 'discount' to the early signors of the licensing and it will escalate for the later ones.
Who knows at this time who will sign and when???
It's a big number though no matter what.

That was exactly my point... $260 Billion is what the industry makes in GROSS sales, but the settlements would be MUCH lower than 10% of that... I believe the HP deal was quoted at $10 Million... and what does HP do in annual GROSS sales..? I believe the best they can hope for is UNDER $1 Billion per year in a best case scenario... and that's if they were to sign up EVERYONE.

Don't get me wrong I'm in PTSC LOOONNNGGG. I believe the stock will continue to go up... WAY UP, but don't expect a 50-60% gain after EVERY PR... expecially if they release them every few weeks. I think an end of year price of around $10.00 - $15.00 is likely.

Bidding up again this morning... here's some speculation to chew on:

1) STI-CELL chip superior to any chip build by INTEL or AMD.

2) STI-CELL makes INTEL and AMD's chips obsolete.

3) Nintendo Revolution STI-CELL.

4) Playstation 3 STI-CELL.

5) XBOX-360 qty 4 AMD Opterons; currently in testing with STI-CELL

6) Toshiba computers STI-CELL

7) Sony computers STI-CELL

8) See no matter which chip the manufacturers use they are in patent infringement with PTSC and TPL.

9) INTEL must buy out and own the PTSC/TPL patent rights
in order to control Sony, Toshiba, and IBM.

10) INTEL owes some payback on patent infringement with Intergraph in which they would also be able to control them.

11) As soon as STI boys show up, INTEL will immediately proceed with Buyout negotiations with TPL/PTSC. We are now looking at $10 to $15 per share as a buyout price. Due to the substantial billions of dollars investments already put up by both Intel and the STI boys, a bidding war is sure to follow. Each party has everything to gain by buying the ownership of the PTSC/TPL patent Portfolio. As in Monopoly.

Interesting thoughts Repoman....
I think we'd see $ 10 by year end even without a buyout though. I ran a stock screen program this morning looking at the PPS's for companies that netted between $ 250m and $ 500m annually (which is within reach for PTSC). I didn't find a single one under $ 22. Most were between $50 - $70 PPS (and most of these companies had more O/S). I couldn't believe it. People pay a premium for very profitable companies.

Another key is insider transactions. If the insiders do not sell any of their shares at these prices, after probably accumulating a lot in the pennies, then you know they believe (and know) that this thing is going much higher. Next week will be very interesting.

I couldn't agree more Repoman. The process of signing up companies on licensing agreements is just in it's beginning stages. IMO the PPS will continue to climb until PTSC is receiving over $ 250m annually or it's patents are bought out. My magic 8-ball sees a target PPS of $ 10 - $ 15 this time next year.

We are up 27% for the same reason we are up 100% over the last week. News is not driving this stock... it's the GUARANTEE that 150 companies are using this chip and they MUST settle eventually. That simple. Dip is NOW period. Buy now. If you wait, you will not get in and tomorrow we will be up again.

I see a close of under $2.00 . Lots of morons cashing in at these levels... let them go. When the next settlement is announced (I think it will be Texas Ins.), or the 8-Ks are released, this thing will be unbuyable below $3.

ARCA - my guess is they are block traders. They aren't the big players in this game. They easily get plowed over by price swings.

NITE and UBSS are the big boys.

I usually don't like to hold either but this tock is different. They still have over 100 companies that need to sign licensing. When they sign Sony forget about it. This stock has shown consistent progress.

I know I'm not selling. The 6 Japanese companies that were defying the licensing together (the J6) have already gone to J4. If Sony or some of the other big companies sign, (which could be any day), this thing will pop over $ 5 very fast. I wouldn't want to be chasing it. I'd rather have the shares and wait for the kill. IMO. GLTA.

I told you there would be a dip repoman, its a stock and there will always be ups and down. The problem with flipping this stock is it jumps very fast sometimes without warning. I normally hold OTC's for 2 days but this stock is one you want to hold even if you took a loss for a day or two. Stay on board and you'll thank us. JMHO

The $612 million settlement last week will seem small compared to more than 150 computer/semiconductor manufacturers and consumer electronics companies worldwide now being sued or put on notice for industry wide patent infringement that is validated by recent licensing or court settlements by Intel, AMD, HP, Casio and last week Fujitsu.

Publicly traded Patriot Scientific Corporation co-owns and markets core microprocessor architecture technology patents which affects every computer manufactured since 1994 and semiconductors which run faster than 120 MHz. SAN DIEGO, Mar 09, 2006 (BUSINESS WIRE) -- Patriot Scientific Corporation (OTC Bulletin Board: PTSC.OB) today announced that it will issue yet another cash dividend for shareholders and qualified warrant holders of record as of March 31, 2006. This dramatic announcement follows closely on the heels of last month's announcement of the Company's first dividend payable on March 22, 2006. Patriot's earlier dividend was $0.02 per share - the new dividend is planned to be $0.04 per share.

The Company has been advised that it will likely receive the distribution of its share of the proceeds from recently announced patent portfolio license transactions by the end of March. Those transactions, announced within the past month, involved the Company's jointly owned Moore Microprocessor Patent(TM) (MMP) Portfolio having been successfully licensed - through its marketing alliance with The TPL Group's Alliacense division - to Casio Computer Co. Ltd. and Fujitsu Limited.

The Company expects to pay the dividend in late April, with the exact date to be determined and announced. Final information as to the number of shareholders and outstanding shares will be provided by the Company's transfer agent as of the record date, but based upon current information and estimates the Company will set aside funds of approximately $15 million for payment of the dividend when distribution of its share of licensing proceeds is received.

"We are pleased to be able to continue rewarding loyal shareholders with this additional, and even more significant dividend." The Company strongly believes that more licensing transactions and related revenues are likely, although none are assured. Annual Meeting

The Company has scheduled the corporation's Annual Meeting for April 28, 2006 to be held in Carlsbad California. The site and time of the annual meeting will be announced at a later date. The .04 cash dividend is a great way to show us that the company is doing well and continues to anticipate it will do even better. With this dividend costing the company an estimated $15 million, I think it is safe to say that the licence agreements already signed have netted the company enough to anticipate huge income to come. If you are in already, congrats, if not do your own DD and get on board before it's to late.

You hit the nail on the head!!

We know the HP deal netted PTSC around 10 Mil, and if they're willing to pump $15 Mil back to the stockholders in this latest dividend...

We have to assume that the numbers from the Casio and Fujitsu deals (as well as any pending ones they have yet to release) will be VERY BIG !!

I think we will see an 8K VERY soon giving us specifics on these deals, as well as a few new ones!!!

Here's the real kicker... come near the end of March, since the div. is given to shareholders on record as of 3/31, people will begin a MASSIVE accumulation. If they can get a .04 div. on a $2 stock??? People with cash (not small time investors like the people here), people who buy blocks of stocks for the divvies, will scoop this stock up in great quantities.

Good point Repo... a .04 div doesn't mean much for someone who buys a few thousand shares, but it can be nice for the big block traders. I would see some good accumulation near the end of the month.

AR, from what I've read, the license agreements are comprised of both, an upfront negotiated fee (representing past royalty fees), and future royalty payments (as a percentage of the licensees' net income). PTSC has not disclosed (to my knowledge) what this royalty percent will be.
I love this company. They are very loyal to their long term shareholders.

I'd expect more companies to sign agreements soon. About 150 companies have been notified of license enfringement and many of them have a lot less resources as the companies that have already signed the agreements. If the lawyers of the bigger companies caved in, well, think about it.

Their PRs really seem to be hitting in a nice pattern... with a GOOD ONE about every 6 to 8 days.

I believe we will see a real hum dinger tomorrow or Monday at the latest. It could be another license agreement announcement, or possibly an 8k detailing the $$ they made from Casio & Fujitsu.

Either way, we should see a sharp bounce up to $2.25 to $3.00 -- so hold on for the ride !!

$1.40 is a GREAT entry point...

The $612 million settlement last week will seem small compared to more than 150 computer/semiconductor manufacturers and consumer electronics companies worldwide now being sued or put on notice for industry wide patent infringement that is validated by recent licensing or court settlements by Intel, AMD, HP, Casio and last week Fujitsu.

Publicly traded Patriot Scientific Corporation co-owns and markets core microprocessor architecture technology patents which affects every computer manufactured since 1994 and semiconductors which run faster than 120 MHz. These microprocessors put into everything from office copy machines and automobiles to DVD players and PDAs has been almost universally ignored until recently when Intel, AMD, HP, Casio and just last week, Fujitsu decided to receive amnesty in the form of a license.

Unlike NTP, the BlackBerry plaintiff, Patriot has developed technology as well as co-owns a patent portfolio. Currently, Matsu****a, NEC and Toshiba the others are being sued in U.S. District Court for industry wide infringement More than 150 other companies have already been put on notice.

Trading with a market cap of $25 million a month ago, Patriot's stock, in anticipation of an industry-wide earthquake, has soared to a market cap of over $600 million today.

Leckrone noted that the Fujitsu entities -- who were also defendants in the Texas action -- have recently purchased a license under the MMP Portfolio, and have been dismissed from the Texas and California actions.

The validity of TPL's views regarding the scope of the MMP Portfolio has gained substantial momentum since marquee chip makers Intel and AMD purchased MMP licenses last year. Since the beginning of 2006, Hewlett-Packard, Casio Computer and Fujitsu have purchased MMP system licenses. TPL believes that the intellectual property protected by the MMP Portfolio is used in a wide variety of end-user products including personal computers, servers, workstations, home theater systems, digital TVs, video games, DVD Recorders/Players, mobile handsets and automotive electronics.

While this PR doesn't list $$$ income for the company (like license agreements), hopefully people will actually READ the PR and understand what it really means... This is VERY good news for PTSC !!!

Remember, Fujitsu already jumped ship, because they probably saw this coming.

normaly I am a day trader, but this stock is without a doubt an investment. I tried flipping it back when it was .59 and got burned. Maybe these guys will learn the same lesson and just hold on for the ride.

Well, in all fairness, you could have made a fortune flipping from $1 to over $2, back down to $1.20 to $1.70, back down to $1.30 now up to $1.75.

It will continue to trade this way, taking higher legs, until settlement news. Settlement news took this stock out of the double digits.... more settlement news will put this in the $2s permanently.

Well, this was to be expected today w/out new news. But, we should see the quarterly results very soon, my guess last week was we would see them sometime this week. That is only a speculation, the company did not return my email regarding the subject. I am currently trying to allocate funds to up my position in PTSC, after all we have only 5 confirmed license agreements and over 145 to go. The last PR PTSC released is a good indication of what this company has to gain. If the court rules in favor of PTSC, which all indications point to, we should see a large number of agreements signed immediately, as companies listed in the lawsuit try to avoid further legal representation costs. The next point of interest all of us holding long can smile about is the cash dividends we all have coming our way. The first dividend of .02 and the next of .04 will net all of us holding some nice chump change, just for holding in my opinion, an incredibly undervalued stock. GL to all those long and short

And I don't think we will see 145 settlements... a lot of the other companies in the 145 are subsidiaries of bigger companies, therefore, we may only have a dozen or so big settlements.

Maybe stockvaper will give us some charitable donations:) Thanks for the refresher on the settlements, I assumed they would not bring subsidaries of bigger companies into the suit, because the parent company would be ultimatly responsible anyway. Oh well, still a lot of $ coming to PTSC, especially from the companies who fight the court battle all the way.

Nope. We have 2 big PR's on the horizon. One is the 8-K from the Casio / Fuji settlements. The other, more long term, is the court case in Texas.

A third could be other companies settling but that probably won't happen until after the TX case.

Well, after the 8-K, my guess will be around $2. However, if the Texas court settles in PTSC's favor, that opens the floodgates for settlements. I think $5 - $10 within 6 months to 1 year after that verdict.

8-K is a financial document released by companies to illustrate financial changes to a company. The 8-K from PTSC will show how much Casio & Fuji paid PTSC in royalty fees to use their patented technology. No idea when they will be released.... it's up to PTSC.

REPO take a look at NXTI,volume is low and has been slowly climbing in price.2nd week of april that are announcing revenues that they made.I know that they exceeded what they expected and it will go much higher in april,but for now just a slow rise.Just take a look I am not pumping this stock.This is just for the advice you are giving me,thanks.

I say an entry point is good now. I only say 1.40 because I really don't see it going lower than that, if it even reaches 1.40. Plus, I don't have my big block of cash yet ready... so I'm hoping no news comes out over the next 2 weeks. It seems that we've built support at 1.49 so I doubt it drops much lower unless bad news comes out.

We don't know the decision will be in favor of PTSC. The only inclination we have that it will be is that AMD, Intel, HP, Casio and Fuji decided to settle instead of going to court. If they knew they could win, they would have went to court instead of settling. The defendents in the latest case are Toshiba, JVC, and one other Japanese company... again, could go against PTSC, but I'm banking on it going forward. Also, TX is known to rule in favor of those companies whose patents have been infringed.

As for the price decreasing, you have to understand that this was a .20 stock less than 1 month ago. And it is a BB. Without news, daytraders and flippers become disinterested and it may drift south. Plus, those people who bought in at low prices may cash out some shares. It won't plummet, and I doubt we'll ever see below 1.40.

This was a shock to me.?. I was unaware that the 8k was already released, unless the 10Q is the same thing? Either way, that is another month, I hope PTSC has another agreement to release. If we see no news we might dip as low as $1, which in my opinion would be ok, since I plan on loading up more shares at these prices. But, on the other hand, the lower we go, the harder it will be to reach 2, 3 and 4 as quickly as we all would like. IMO these next couple days/weeks will be the last time we see $1 prices, so I am loading up. We also have cash dividends coming to all those on record as of Mar 31, so we should see a push forward next week regardless if a pr comes or not, as traders try to get in on the .04 pps cash dividend. What are everyone elses thoughts?

Why is this a shock? The 10Q is not the same as the 8-K. The 10Q is a quarterly update of the overall financial picture of the company. The 8-K gives updates on specific events that impact the company's cash flow.

No way we hit $1. There is massive support around 1.20, and around 1.39. I hope we do stay around the 1.40 mark for just 2 more weeks.

Something weird happened last summer at Patriot Scientific Corp. The company made money.

Since the technology developer was launched in San Diego in 1987, Patriot had always lost money. Its quarterly losses were as predictable as the daily commuter traffic tie-ups in Sorrento Valley.


As a corporate ne'er do well, Patriot financed its operations for some 18 years by issuing millions of shares of stock, which usually traded over the counter for pennies a share. The company has about 427 million shares outstanding, including warrants, options and convertible bonds, according to filings with government regulators.

But Patriot's outlook began to brighten last spring, and these days, the biggest question appears to be just how bright Patriot's future may really be.

“Right now, you're talking to a company that 60 days ago had stock trading in the 12 to 14 cents range,” said David Pohl, a lawyer and board member who became Patriot's chief executive in June. Yesterday, Patriot's stock closed at $1.60 a share, a 14 cent gain in bulletin board trading of more than 6.2 million shares.

So what happened?

After spending some 15 years trying vainly to commercialize various technologies, Patriot moved in early 2002 to generate revenue instead by licensing its proprietary technology to other companies.

The company focused in particular on technology for a specialized computer chip dubbed “Sh-Boom,” which Patriot acquired in 1994. Patriot concluded that a group of patents covering the Sh-Boom microprocessor design represented a fundamental innovation that had been absorbed throughout the semiconductor industry. The industry just didn't realize it.

Patriot moved to correct that oversight, initially by filing a series of patent infringement lawsuits in early 2004 against some major Japanese computer makers. The company also sent letters to some 150 other companies, notifying them of potential infringements on Patriot's patents.

Patriot, which is now based in Carlsbad, revised its strategy last year by forming a joint venture with the TPL Group, a Cupertino firm that specializes in intellectual property licensing. Patriot withdrew the patent lawsuits it had filed against the Japanese computer giants, and TPL filed new cases on behalf of its joint venture with Patriot.

“I think of this as the business model of the new millennium,” said Mark A. Lemley, a professor of law at the Stanford Law School who specializes in intellectual property and patent law. A number of other firms, such as Forgent Networks, Acacia Research and Rambus are pursuing similar strategies, Lemley said.

“Ten years ago, there was one guy who was making a living doing this – Jerome Lemelson,” Lemley said. “Now there are certainly dozens that are actively trying to make a living at it and probably hundreds more in the wings.”

The motivation is clear.

This month, the maker of BlackBerry wireless e-mail devices agreed to pay $612.5 million to NTP, a private patent holding firm in McLean, Va., to resolve a long-running patent dispute. The case threatened to shut down BlackBerry service nationwide.

A similar high-profile case is scheduled for arguments before the U.S. Supreme Court next week between auction giant eBay and MercExchange, a networking-systems developer. A federal jury found in 2003 that eBay had infringed on MercExchange patents related to its “Buy It Now” feature, which lets shoppers buy items at a fixed price, without participating in an auction.

A rising tide of such cases also has prompted Congress to consider patent reform legislation.

“Hundreds of patent infringement cases are pending against computer software and hardware manufacturers,” Emery Simon, a lawyer for the Business Software Alliance trade group, said in testimony last year before the House Judiciary Committee. He argued that the problem has become endemic in the technology industry.

Stanford's Lemley said the patent reform bill proposed by Congress raises broad concerns for inventors, however, by restricting the legal power they now have to shut down patent infringers and by limiting their monetary damages.

“The problem is, how do you distinguish between the people who are abusing the system and the people who are making legitimate use of the system?” Lemley said.

At Patriot Scientific, Pohl maintains the BlackBerry case bears no resemblance to the business strategy his company has been pursuing in recent years.

Patriot's goal is not to litigate, Pohl said, but to negotiate with other technology companies for the licensing rights to a group of related patents held jointly by Patriot and TPL.

Patriot settled on this course after nearly getting derailed in the patent litigation it initiated in 2004.

Patriot had acquired its patent rights to the Sh-Boom chip that were tied to Russell H. Fish, a Silicon Valley engineer. But Fish was only one of two inventors who developed the Sh-Boom chip. TPL held the rights from the other co-inventor, Charles Moore.

Patriot initially claimed to be the sole owner of the significant patent claims. But the company was no match for TPL, Fish said in a recent interview.

“TPL just out-maneuvered, out-bluffed and out-poker-played them,” Fish said. “It was really amateur hour, but that's the way it tends to be with these penny stocks.”

During the dispute, Pohl and other members of Patriot's board stepped in to fire the New York law firm that was handling the patent litigation. They also replaced Patriot's chief executive and chief financial officer.

“At some point, the executive committee decided their views were at odds with management as to the desirability of combining the interests of Patriot and TPL,” Pohl said. “Ultimately, the negotiations resulted in a joint venture being put together. Then it was decided that a change in management would be prudent for the company.”

Under terms of the joint venture, Patriot also wisely decided to let the TPL Group oversee the chore of patent licensing and litigation.

In regulatory filings last year with the Securities and Exchange Commission, Patriot disclosed that it had reached two licensing agreements with major chip makers. Intel agreed to make a one-time, lump-sum payment of $10 million to license the technology. AMD reached a similar deal for roughly $3 million.

Patriot later disclosed that Hewlett-Packard had reached a similar lump-sum deal for $10 million.

In recent months, Patriot announced it also has reached licensing agreements with Fujitsu and Casio, although the value of those deals have not been disclosed.

None of these deals requires royalties or other types of recurring payments, but Pohl sees no shortage of revenue.

“There is such a mother lode out there to be mined that this doesn't concern us at the present time,” Pohl said.

The patents are valid through 2015, he added, and the joint venture has identified hundreds, if not thousands, of products that potentially infringe. Aside from desktop computers, notebooks and servers, Pohl said the list includes digital TVs, portable media players, DVD recorders and players, cell phones, microwave ovens, dishwashers, medical equipment and even automotive electronics.

The potential licensing revenue could be substantial, although Stanford's Lemley said the value of the deals disclosed by Patriot so far appear relatively minimal. He suggested the deals are being struck close to the “nuisance value” of the litigation itself.

“The thing about patent litigation is that it is extremely expensive – typically $5 million per side in legal fees,” Lemley said.

In any case, the revenue generated so far has enabled Patriot to show a profit in its fiscal 2006 first quarter – for the first time in 18 years. The company reported net income of more than $4.4 million, or a penny a share, for the three months ended Aug. 31. The company also listed more than $11.8 million in assets on its balance sheet.

As a result, the company paid a cash dividend this week of 2 cents a share to qualified shareholders. In its announcement last month, Patriot said the move was “virtually unprecedented among Microcap stocks” – referring to companies with a total market valuation of less than $250 million.

“We have $17 million in cash and five employees,” Pohl said. “So why not do something that has hardly ever been done before by a microcap. Let's distribute some of this cash to our shareholders.”

The dividend also amounted to a broad signal to the market that Patriot has crossed the line into profitability.

Earlier this month, the company announced plans to do it again. The company declared it will pay a cash dividend – this time 4 cents a share – to qualified shareholders of record as of March 31.

Such moves have spurred investors to push up the price of Patriot's stock. With the price now at $1.60 a share, Patriot isn't a penny stock any more – and with the company's market valuation close to $500 million, Patriot is no longer a microcap.

There are a lot of great reports surfacing about PTSC. I hope they can live up to everyones expectations. They need to do two things from my point of view to bring this stock to its full potential.
1. Use these patent infringement suits and license agreements to gain AS MUCH CAPITAL AS POSSIBLE.
2. Utilize the new money for growth and expanding opportunities for revenue.

If they can accomplish these two things we will all be very happy campers EOY. No pr's or 8K this week like I thought, next week should be prime for one or both, not to mention the cash dividend payout on the 31st. The 10Q quarterly earnings report is due out the 2nd or 3rd week in Apr, so these next couple weeks should be very exciting and profitable indeed! See everyone next week.

PTSC is playing this very nicely. PR about the dividend and the court case. Nothing new since. One week left until end of 1stQ. This week we get a PR restating the Dividend with the Ex-date of 3/29/2006, date of record is 3/31/2006. We will see some buying monday and tuesday.

Remember the Divy won't be paid until the end of April. I wonder why? Because the money from the Casio and Fujitsu deals won't come in until after April first to go on next quarter's business.

April is going to be a huge month.

We have 8k's for Casio & Fujitsu. Hopefully done seperately. Will have financials show profits. Dividend and possibly more licensing agreements.

This is no April Fool's joke it's for real buckle up.

It's amazing what a base we have at 1.55 here.. I'm looking to buy large again next week.. but was hoping for 1.40, even 1.30. Guess I'm not going to get it. EVERYONE is anticipating good news and is unwilling to sell.

What do you have to do to get the dividend? I bought today, do I have to hold till the 31st to get the dividend? I think I will hold this stock at least until the next 8K's come out. Should be pretty easy money I hope.

No, you don't have to hold. Once you are on record, you can sell, but remember, they adjust the stock price per the price of the dividend.

I would hold though.
